REVALUATION IN COMPLIANCE WITH FINANCIAL REPORTING STANDARD 140
1.       INTRODUCTION
The Board of Directors of HUNZPTY wishes to announce that the Company had undertaken the annual revaluation exercise on all the Group’s Investment Properties. Details of the Investment Properties (including its financial impact) are as per the Table attached (except those Investment Properties with no difference between current market value and their carrying values). The Board has today approved the incorporation of the net gain arising from fair value adjustment of the Investment Properties in the consolidated financial statements for the financial year ended 30 June 2014.

2.       PURPOSE OF VALUATION
The valuation is carried out pursuant to the Group’s accounting policy and to be in compliance with the Financial Reporting Standard (“FRS”) 140, Investment Property.

3.       REVALUATION SURPLUS
The gain arising from fair value adjustment of the Investment Properties is RM41.74 million. The details of the fair value gain are set out in the Table attached.

4.       EFFECTS ON THE NET ASSET VALUE
The fair value gain of RM41.74 million has resulted an increase of RM0.18* of net assets per share for the outstanding shares as at 30 June 2014 (not including treasury shares).

5.       DATE OF VALUATION     
The valuation was done on June 2014.

6.       NAME OF VALUER
The valuation was done by independent firms of professional valuers and/or directors as in the Table attached.

7.       DOCUMENTS AVAILABLE FOR INSPECTION
The Certificates of Valuation in relation to the Revaluations are available for inspection at the Registered Office of Suite 12-02, 12th Floor, Menara Zurich, 170 Jalan Argyll, 10050 Penang during normal office hours from Monday to Friday (except public holidays) for a period of 3 months from the date of this announcement.

* This is excluding the effect of deferred tax derived from booking of 5% RPGT for the gain on revaluation of investment properties (refer to note B5 of quarterly report ended 30 June 2014 which we announced today in a separate announcement).

匯華產業首季淨利勁漲4倍

(吉隆坡26日訊)受房地產業務帶動,匯華產業(HUNZPTY,5018,主要板房產)截至9月底首季,淨利取得4倍增長,從144萬令吉勁漲至763萬令吉。

同期,營業額從3131萬令吉,增長69%至5300萬令吉。

該公司向馬證交所報備,房產發展業務錄得較高銷量,及新關仔角百麗宮廣場(Gurney Paragon)商場和辦公大樓出租率更高,皆貢獻業績成長。

匯華產業指出,將專注建築Putra Bertam最后階段雙層排屋以及Alila II綠色超級公寓,有信心今年可交出正面表現。【中国报财经】

汇华300万入股NASB 30%

(吉隆坡26日讯)汇华产业(HUNZPTY,5018,主板产业股)建议,以总值300万令吉,收购Nilai Arif私人有限公司(NASB)的30%股权。

收购后,NASB将成为汇华产业的联号公司,前者主要业务涉及一般贸易、产业发展和投资控股。

汇华产业独资子公司汇华产业(北部)私人有限公司,是NASB的Alila II发展计划的项目经理兼顾问。

根据2007年签署的协议,汇华产业(北部)私人有限公司,有权取得该发展项目80%经审核税前盈利作为费用,同时,NASB的前景和净利潜能正面。【南洋网财经】

重大宣布停牌前夕 匯華產業刷新高

(吉隆坡19日訊)匯華產業(HUNZPTY,5018,主要板房產)今日股價如黑馬跑出,以逾 1年新高之姿晉身今日十大上升股榜,晚間即報備本週五(20日)停牌,醞釀重大宣布。

該公司今日稍晚向馬證交所報備指出,配合公司重大宣布,股項將從明日即本週五上午9時起停牌至下午5時。

儘管沒有透露更多詳情,投資者似早已嗅到蛛絲馬跡,匯華產業今日股價走勢大好,開市微揚2仙至1.96令吉,過后盤中漲幅擴大,休市時漲8仙至2.02令吉,半日交投57萬8900股。

該股今日盤中最高站2.18令吉水平,為2013年12月以來最高水平,匯華產業閉市時漲16仙至2.10令吉,成交量248萬9400股,為今日十大上升股項之一。【中国报财经】

大股东每股2.50令吉私有化匯华

(吉隆坡20日讯)今天暂停交易的匯华產业(HUNZPTY,5018,主板產业股)宣布,大股东许氏家族將通过许廷忠控股私人有限公司,以每股2.50令吉,或相等于总值2亿3072万3303令吉,全面收购未持有的41%股权,以把公司私有化,然后再从大马股市除牌。

匯华產业发文告指出,持股59%的大股东许氏家族,將透过许廷忠控股私人有限公司,以每股2.50令吉或总值2亿3072万3303令吉,全面收购小股东手上的41%股权,进行资本回退计划。

资本回退成后,该批股票將会被注消,以达到私有化该公司的目的。

配合以上宣布,匯华產业昨天傍晚宣布,公司股票將在今天暂停交易一天。

该2.50令吉的收购价,相比匯华產业的昨天闭市价2.10令吉,高出19%,也是自2007年以来最高价。

值得一提的是,该公司股价在昨日闭市时,单日大起16仙或8.2%。

该公司股票將在3月23日(周一)恢復交易。

匯华產业在文告中指出,以上私有化活动將为现有的股东提供一个释放投资价值的机会。此外,大股东私有化公司的另一个原因是,公司的股票流通量在过去5年处在偏低水平,每日平均成交量仅11万6000股。

许祥人:无关债务

另一方面,私有化消息出炉后,匯华產业董事经理许祥人向《东方財经》表示,许氏家族决定私有化公司,是因为公司股价多年被投资者低估,並非市场谣传的债务问题。

他说,「公司多年来不受投资者重视,加上我们家族已经控制公司约60%股权,上市的意义不大,所以决定將公司私有化。」【东方网财经】

匯華需拿出融資證明

(吉隆坡21日訊)公司股價通常會在一些非常具吸引力的收購消息傳出後飆漲,就算那只是個傳聞。

上週,在匯華產業(HUNZPTY,5018,主板產業組)於3月20日暫停交易前,該公司股價在過去5週飆漲18.6%,從2月12日的1令吉77仙增至3月19日的2令吉10仙。匯華產業停牌,是為了宣佈該公司大股東以每股2令吉50仙或2億3千零72萬令吉,從小股東手上買下其餘41%的股權,最終以選擇性資本回退方式私有化匯華產業。

若此獻購計劃成真,該公司的股價還有19%的上揚潛能。

下一步,匯華產業需要委託一名獨立顧問,以判斷獻購價是否與該公司在2014年底每股值3令吉50仙的未審核資產成正比。

此外,有鑑於該公司沒有太多的現金,該公司也必須為選擇性資本回退的融資方式提供證明。

該公司目前的現金只有1億令吉,所以有必要與第三方融資。若有多於10%的小股東反對,此計劃也會隨之告吹。

總括而言,此計劃還存在太多的未確定因素,就算匯華產業大股東許廷忠控股私人有限公司真的很想實現此計劃,融資方面仍然是個大問題。

(吉隆坡28日訊)匯華產業(HUNZPTY,5018,主板產業組)大股東獻議將公司私有化,此計劃料受到小股東詳細審查,特別是每股獻購價2令吉50仙是否合理,因為該公司在檳城擁有黃金地段及產業資產。

大股東私有化全購價2.50令吉

匯華產業被視為北馬蓬勃產業市場的“代言人”,市場觀察家認為,該公司小股東在私有化計劃下,應該獲得較高的獻購價。

3月20日,匯華產業宣布,由公司非執行董事拿督許廷忠為首的許氏家族及相關人士,作出私有化計劃獻議,即通過選擇性削減資本及回退行動,以將公司私有化。

在上述私有化計劃下,大股東將以2億3千零72萬令吉,或是每股2令吉50仙代價,以進行收購其余尚未持有的41%股權。

與其他選擇性削減資本及回退行動計劃一樣,上述全面議購的部分收購資本,是來自公司本身擁有的現金。

截至2014年12月31日為止,匯華產業的現金及等同現金為9千286萬令吉,或是每股41.3仙,這意味着大股東只要拿出約1億3千786萬令吉,以融資有關的收購計劃。

同期間,匯華產業未審核淨資產達到7億7千134萬令吉,或是每股3令吉50仙,這等于獻購價2令吉50仙的40%溢價。

評估許廷忠私有化獻議‧匯華向股東呈提案

(吉隆坡31日訊)匯華產業(HUNZPTY,5018,主板產業組)董事部在評估大股東拿督許廷忠的每股2令吉50仙私有化獻議後,決定向股東提呈相關提案。

許廷忠出價每股2.50

該公司發文告指出,相關私有化計劃將為股東以19.05至29.53%溢價水平兌現投資,而大股東也相信這將為集團帶來更大的彈性來達成發展規劃,並對公司股東帶來最佳利益。

匯華產業是在3月20日接獲許廷忠建議,通過選擇性削減資本和回退方式將公司私有化,將向未持有股權的41%股東回退每股2令吉50仙現金,總回退額達2億3千零72萬令吉。

在完成資本回退後,大股東將註銷匯華產業的2億3千零72萬3千303股股本,且無意維持其上市地位,惟因現有股本只有2億2千508萬股,大股東將提議透過發行紅股,將股本推高至足以進行削資的水平。(星洲日報/財經)

陆氏大宅业主索赔 汇华理据足没影响

(吉隆坡16日讯)汇华产业(HUNZPTY,5018,主板产业股)遭Loke Wan Yat产业私人有限公司起诉索赔,惟该公司相信不会冲击营运和财务状况。

汇华产业日前向马交所报备,4月13日接获Loke Wan Yat产业向槟城高庭提出起诉信函,针对毗邻汇华产业所发展的Gurney Paragon的陆氏大宅(Loke Mansion)索赔。

根据该公司文告,Loke Wan Yat产业称,Gurney Paragon建筑期间影响到其租金收入,因此索赔租金损失、维修费、监管费和专业人士费用等,共235万6649令吉。

汇华产业指出,Gurney Paragon与陆氏大宅毗邻,因此Gurney Paragon发展建议阶段,就遭到Loke Wan Yat产业抗议。但获得槟州政府核准后,该公司即展开发展计划。

汇华产业还补充,发展过程中也为陆氏大宅进行了修复,并获得BK Ooi建筑师证实。

因此,该公司法律顾问认为,Loke Wan Yat产业索赔的理据不足,相反,汇华产业的答辩理据充足,相信不会造成任何影响。【南洋网财经】

该集团的净利润按年从17万1000令吉暴涨至550万令吉。净利猛增归因于旗下产业发展业务取得较高的销售额,以及位于槟城的葛尼百丽宫广场的商铺与办公室单位的出租率颇高。

至于营业额则由之前的3769万令吉上调至5481万令吉。

此外,在首9个月中,它的净利按年从901万令吉高涨89%至1701万令吉。

而营业额则由前期的1亿199万令吉锐增43.3%至1亿4622万令吉。

第3季的每股盈利多达2.48仙,而去年同期仅0.07仙。至于首9个月的每股盈利合共7.60仙。

汇华产业致函大马交易所说:“展望未来,我们有信心将会交出一个令人满意的业绩。”

它称:“我们仍然维持专注于葛尼百丽宫零售商场和办公大楼的租务和管理业务。另一方面,我们也致力加强兴建廉价公寓,目前该项目进展顺利。”

汇华产业曾在今年3月宣布:“我们可能会被大股东许廷忠控股私人有限公司,通过选择性减资(SCR)和退还资本计划来进行私有化。根据该项企业行动,所有合资格股东将获得偿还总值2亿3072万令吉的资本总额,或每股现金2.50令吉。拟议中的退还资本计划,将该集团的股本减少2亿3072万令吉。”

董事局决定将上述建议中的企业活动提呈给股东们通过,但是股东特别大会的举行日期尚未落实。【光华日报财经】

匯華大股東多給40仙‧每股回退2.90令吉

(吉隆坡4日訊)今年3月提出以每股2令吉50仙私有化匯華產業(HUNZPTY,5018,主板產業組)的大股東拿督許廷忠,提議把每股資本回退額調高至2令吉90仙。

該公司在文告中說,全購方已經把全購價調高至2令吉90仙,最新出價相當於過去6個月各時段平均價的38.1%至50.26%溢價,或是最新3令吉47仙每股淨資產值的0.84倍。
需獲股東支持

據瞭解,上述建議仍需獲得超過50%無利益關係股東人數及超過75%無利益股權的支持,投反對票的股權亦不得超過10%,匯華產業需召開特大讓其他股東投票表決私有化議案。

以持股57.5%大股東許廷忠為首的全購方,是在今年3月提出以每股2令吉50仙進行私有化,當時的提案是通過選擇性削減資本和回退方式,減少該公司的繳足資本,讓剩餘的41%股東獲得回退每股2令吉50仙現金。(星洲日報/財經)

We refer to the Company’s announcements dated 20 March 2015 and 31 March 2015 in relation to the Proposed SCR.

Under the terms of the SCR Offer Letter, the Entitled Shareholders will receive a capital repayment of RM2.50 in cash for each existing Hunza Share held by the Entitled Shareholders.  

On behalf of the Board, CIMB Investment Bank Berhad wishes to announce that the Board, has today, received a letter from KTTHSB to revise the Offer Price for the Proposed SCR to RM2.90 for each existing Hunza Share (“Revised Offer Price”) held by the Entitled Shareholders (“Revised SCR Offer Letter”). Save for the Revised Offer Price, all other terms and conditions to the Proposed SCR remains the same.

A copy of the Revised SCR Offer Letter is enclosed herewith.
