The Board of Directors of the Company wishes to announce that its associate company, I-Pay MYEG Philippines Inc (“IPMPI”) had on 2 July 2018 entered into a Memorandum of Agreement (“MOA”) with CIMB Bank Philippines Inc (“CIMBPH”) for the purpose of marketing CIMBPH’s financial products on IPMPI’s digital services and platforms to eligible individuals in the Republic of the Philippines. The MOA will be effective for three (3) years from the date CIMBPH commences its banking operations, which is expected to be in the near future. The MOA has no fixed value and is dependent on the customer take-up of CIMBPH’s financial products through IPMPI’s channels. The Board of Directors of the Company, having reviewed and considered the terms and conditions of the MOA, are of the opinion that the MOA is in the best interest of the Company and its subsidiaries and the terms and conditions of the MOA are fair, reasonable and on terms that are not detrimental to the interest of the minority shareholders of the Company.
