柏达纳信贷状况强稳 6.5亿回债评级AAA

（吉隆坡19日讯）大马评估机构（RAM）对柏达纳（PERDANA，7108，主板贸服股）建议发行总值6.5亿令吉的5年期回教债券，给予“AAA（fg）/稳定”评级。

该机构消费与工业评级主管林凯文（译音）在文告中指出，国家金融担保机构为这批债券提供了无条件和不可撤销的金融担保，强化了债券的信贷状况。

除了这项担保，柏达纳本身的信贷状况也相当强劲，反映出本身与母公司达洋企业（DAYANG，5141，主板贸服股）的协同效应。

“同时，柏达纳的定期租船合约，持续带来稳定的贡献，也是信贷优势之一。”

林凯文点出，公司其他的信贷优势，还包括公司在国内住宿工作驳船，以及起锚支援拖船（AHTS）市场，拥有很高的市场地位。

“而且，柏达纳等国内海事支援服务供应商，也受到政策保护，免于受到国外公司带来的竞争。”

负债率料增至1.4倍

值得注意的是，柏达纳负债率高企，将对这些信贷优势造成影响。

根据大马评估机构，柏达纳过去的负债率，都徘徊在1.1至1.3倍水平，但随着公司为了2艘船只的潜在收购计划而进行融资，可能会把负债率推高至1.4倍。【南洋网财经】

柏达纳擬发6.5亿伊债

（吉隆坡15日讯）柏达纳石油（PERDANA，7108，主板贸服股）建议发出一批总值6亿5000万令吉的伊斯兰债券，以便符合伊斯兰教义及筹集资本开销。

柏达纳石油今天建议发出伊斯兰债券（sukuk），而大华银行为首席顾问及主理银行。该公司发出的第一批债券將由国家担保基金所担保，有效期长达12年。

同时，第1批债券所筹获的资金，將用作：

1.其中6亿3000万令吉將用来再融资公司及子公司收购油船时所获得的贷款；

2.其中2000万令吉支付发出伊斯兰债券和申请伊斯兰贷款（Al-Kafalah）的手续费及相关开支；

3.余下的资金当中，最多拨出4000万令吉来充作公司的资本开销。

根据文告，柏达纳在周一（28日）向南昌国际公司发出通知，中止或取消双方在前年6月23日签署的协议备忘录，不再收购一艘名为“SK 316”的工作驳船。

公司指出，中止这宗交易的原因，是因为SK 316已闲置了很长一段时间，且目前还未找到可能取得的潜在出租合约，因此，公司接手该船只后，将面临额外营运和财务成本。

这宗交易中止后，公司在截至去年12月杪的业绩中，注销了总值3610万令吉交易订金。

柏达纳：南昌接受取消合约

（吉隆坡11日讯）柏达纳石油（PERDANA，7108，主板贸服股）宣布，新加坡南昌公司接受取消谅解备忘录，没收柏达纳石油支付的840万美元定金（约3267万令吉），並保留该备忘录下的所有追究权利。

柏达纳石油在上月30日发文告宣布，取消与新加坡南昌公司的在2014年6月24日签下的备忘录，不向后者购买两艘总值8400万美元（约3亿3036万令吉）的住宿及工作驳船。

文告指出，柏达纳石油將因此失去在2015財政年（结账日12月31日）支付的20%订金，相等於3610万令吉。

管理层表示，在当前的低迷市况下，无法为上述驳船找到潜在客户，因此决定不接收新船，避免为公司带来財务负担。【东方网财经】

根据文告，上述计划首批为期5年、总值6.35亿令吉的回债，已在今天发售，并得到全面认购。

该回债得到大马评估机构（RAM）给予的“AAA（fg）”评级。

柏达纳是达洋企业（DAYANG，5141，主板贸服股）的子公司，主要涉及油气相关活动，特别是岸外支援油船的持有者和租船商。

文告称，发售回债所得的收益，将用来再融资未偿还贷款，及作为营运资本。

大华银行（UOB）是上述回债的负责安排银行和主要承销商。

国家金融担保机构总执行长莫哈末纳兹里奥马表示，该机构一直都在寻求机会，让财务有能力的公司，参与资本市场，以取得长期融资。

裁員三分二‧柏達納力保上市地位

（吉隆坡23日訊）去年底裁退三分二員工的柏達納石油（PERDANA,7108,主板貿服組）表示，新管理層進行一系列重組計劃，希望保持柏達納石油上市地位之餘，又能以全新形象示人。

柏達納石油執行董事許俊祥在股東大會後表示，在迎接新的管理層後，該公司過去6個月展開一系列的重組計劃，包括削減開銷、再融資計劃等。

他表示，該公司在未來1至2年都不會撥出任何資本開銷。

“我們將專注於提昇公司船隻的使用率，目前的平均使用率為60%。”

許俊祥也提到，該公司在2015年末季進行了自願離職計劃（VSS），涉及約100位員工。

“我們將原有的150位員工減少至50位，涉及的費用逾1千萬令吉。”許俊祥也樂觀看待油價將在今年反彈。“公司已做好準備，一旦油價反彈，則可以提供服務。”

他補充，公司希望今年將能維持表現，並能夠應對目前油價的低迷情況。

他說，柏達納石油在此前核心業務為提供岸外工作船（OSV）服務，惟在達洋企業收購後，則將會有不同的方向。

許俊祥說，達洋企業目前有9艘船隻，而柏達納石油則有17艘，雙方組隊後，則擁有26艘船隻，規模不小。

許俊祥說，柏達納石油目前手握6億5千萬令吉的訂單，並可忙碌至2018年。“公司目前專注於區域市場，包括緬甸、汶萊及印尼。”

達洋持股98%

他指出，達洋企業（DAYANG,5141,主板貿服組）目前持有柏達納石油超過98%的股權，根據大馬股票交易所上市條例，公眾持股必須不少於25%。

“達洋企業有意保持柏達納石油上市公司的地位，目前在與潛在投資者，包括機構及個人投資者商討。”

他說，柏達納石油獲得交易所批准，延遲至今年8月12日提高公眾持股比例。

許俊祥透露，柏達納石油有意更換公司的名字，以重新塑造品牌及建立業務。

柏達納石油因為公眾持股率不達標，由去年9月30日開始暫停交易，只有在符合公眾持股率的標準下，交易所才將重新允許恢復交易，而該股當時以1令吉54仙收市。（星洲日報／財經）

柏达纳石油为何仍未复牌？

请问柏达纳石油（PERDANA，7108，主板贸易组）为何停牌已有10个月都还没有复牌？还可以入货吗？这个股还有希望吗？它的业绩如何？

答：先谈柏达纳石油最新业绩表现，截至2016年3月31日为止第一季，柏达纳石油由盈转亏，净亏损为1196万5000令吉（每股净亏为1.54仙），前期净利为863万7000令吉（每股净利为1.17仙）。该公司营业额为4201万3000令吉，前期为6950万8000令吉。

该公司由盈转亏，主要是旗下的油气船只的使用率走低至50%，前期油气服务船只的使用率达76%。

目前达洋企业（DAYANG，5141，主板贸服组）收购该公司，其服务船只组合进行一些重组活动，以提升旗下船队使用率及改善效率，其中措施包括精简营运，及将其船只使用率的无盈无亏水平降低至约50%水平。目前该公司继续暂停交易，主要是等待其收购计划架构出炉。

柏达纳石油次季亏2674万

（吉隆坡22日讯）受船舰使用率低迷和融资开销影响，柏达纳石油（PERDANA，7108，主板贸服组）截至2016年6月30日止第二季净亏损扩大至2674万1000令吉，前期为1174万6000令吉。

在次季业绩拖累下，该公司上半年净亏3870万6000令吉，前期为净亏310万9000令吉。

第二季营业额按年下滑23.07%至4937万6000令吉，上半年营业额则下跌31.64%至9138万9000令吉。

船舰使用率跌

该公司董事部透过文告说，上半年业绩恶化主要因船舰使用率下滑至56%，对比去年同期68%明显低迷，船舰使用率逊色主要因市场合约减少。

另外，该公司补充一笔随再融资而来的一次性的1130万令吉融资成本补偿费用，也是造成业绩恶化的主因之一。

展望未来，董事部表示虽然油价从每桶27美元低点反弹至截至8月初的43美元，岸外工作船（OSV）市场展望依然疲弱，惟董事部看好公司可在下半年取得更佳的船舰使用率。

“另外，集团在去年所做的各种重大决策，包括管理重组、重新融资贷款和各种成本节约措施等料将强化公司应付领域下跌周期的能力，集团也正在探讨进军区域市场的可能性。”

柏达纳获国油6700万合约

（吉隆坡4日讯）柏达纳（PERDANA，7108，主板贸服股）子公司Perdana Nautika私人有限公司获国油勘探（PETRONAS Carigali）颁发一项合约，以供应一艘住宿浮船，总值约6700万令吉。

根据文告，该租约将为期3年，从9月17日开始，另有延长两年的选择权。

The Board of PPB is pleased to announce that Perdana Nautika Sdn Bhd (“PNSB”), a subsidiary company of PPB, has secured a contract from PETRONAS Carigali Sdn Bhd (“PCSB”) for the supply of one (1) unit of Floating Accommodation vessel. The approval from PCSB to release the announcement of the above awarded contract was received by the Company on 30 September 2016. The charter will run for a period of three (3) years from on-hire date, 17 September 2016 with extension option of two (2) years. The risks associated with the Contract are normal operational risks which can be mitigated through PPB’s system of project management and internal business controls. The contract is valued at approximately RM67 million and is expected to contribute positively to the revenue and earnings of PPB Group for the financial year ending 31 December 2016 and the financial periods thereafter for the duration of the Contract. There will be no effect on the gearing of the PPB Group and the Contract will not have material effect on the net asset per share for the financial year ending 31 December 2016. None of the Directors or major shareholders of the Company and persons connected with such Directors or major shareholders have any interest in the Contract. 柏达纳取消协议备忘录

（吉隆坡1日讯）柏达纳（PERDANA，7108，主板贸服股）宣布，取消与南昌国际公司早前签下2艘工作驳船收购协议。

柏达纳向马交所报备，柏达纳独资子公司必达岸外（Petra Offshore）有限公司，2014年6月25日，建议以8400万美元（约3亿7493万令吉）向南昌收购2艘工作驳船。

2艘工作驳船，分别为SK 316船及SK 317船。

因SK 317船不符合合约的交付条件，因此必达岸外今日向南昌发出通知，取消协议备忘录。

同时，该公司也要求南昌立即退还840万美元（约3749万令吉）的订金。

柏达纳指出，除了退还的订金会增加公司的现金流，取消购船协议，预计不会对大幅影响必达岸外的财务及营运。【e南洋】

The announcement by PPB on 25 June 2014 in relation to the proposed acquisition of two units of 500-men accommodation workbarges, identified as Vessel Hull No. SK 316 and SK 317 from Nam Cheong International Limited at a consideration of USD84.0 million refers. The Board of Directors of PPB wishes to announce that the Company’s wholly owned subsidiary, Petra Offshore Limited (“POL”) has on 1 December 2016 sent notification to Nam Cheong International Ltd (NCIL) of the cancellation of the Memorandum of Agreement (“MoA”) on the acquisition of the accommodation work barge identified as Vessel Hull No. SK 317 (“Vessel”) as NCIL has not fulfilled the condition of delivery of the Vessel in accordance with the terms and conditions of the MoA. Accordingly, POL has sought for the immediate return of the deposit paid of USD8.4 million (equivalent to approximately RM37.0 million), as advised by the legal counsel. Impact on Financial and Operations The cancellation of the MoA does not have any reasonably foreseeable material and adverse financial and operational impact on POL, except for the refund of the said deposit which will improve the cashflow. 根据路透社报道，南昌国际声称，由于必达岸外不正当终止合同，因此，840万美元（约3749万令吉）的订金应当被没收。

Further to the announcement on 1, 7 and 14 December 2016, Perdana Petroleum Berhad (“PPB” or the “Company”) wishes to announce that its wholly owned subsidiary, Petra Offshore Limited (“POL”), has on 22 December 2016 received from the solicitors of Nam Cheong International Ltd (NCIL) a Notice of Arbitration dated 22 December 2016 that NCIL has filed with the Kuala Lumpur Regional Centre for Arbitrations as Claimant against POL as the Respondent in respect of disputes arising out of the Memorandum of Agreement for the sale and purchase of one unit 500 amn accommodation/work barge (Hull No. SK317) (“the Vessel”) dated 23 June 2014 (the “MoA”) as amended by the Addendum No. 1 dated 27 May 2015. NCIL is seeking, inter alia, the relief that POL’s purported termination of the MOA on 1 December 2016 is wrongful and unwarranted and the forfeiture of the 20% deposit amounting to USD8.4 million together with damages arising from falure and/or refusal and/or neglect of POL to take delivery of the Vessel. POL shall take all necessary steps to defend or safeguard POL’s interests in the arbitration proceedings. This announcement is dated 23 December 2016.
