Description	CIMB GROUP HOLDINGS BERHAD ("CIMB") - PROPOSED DIVESTMENT OF 20.0% EQUITY STAKE IN CIMB-PRINCIPAL ASSET MANAGEMENT BERHAD ("CPAM") TO PRINCIPAL INTERNATIONAL (ASIA) LIMITED ("PIA"), AND 10.0% EQUITY STAKE IN CIMB-PRINCIPAL ISLAMIC ASSET MANAGEMENT SDN. BHD. ("CPIAM") TO PRINCIPAL FINANCIAL SERVICES INC. ("PFI")
We refer to the announcements dated 11 January 2018 and 10 April 2018 in relation to the proposed divestment of 20.0% equity stake in CPAM to PIA, and 10.0% equity stake in CPIAM to PFI (“Proposed Divestment”). CIMB is pleased to announce that the Proposed Divestment has been completed on 25 May 2018. CIMB is expected to recognise a gain of approximately RM920 million and about 15 bps increase in its Common Equity Tier 1 (“CET1”) ratio arising from the Proposed Divestment, subject to final adjustments. The Proposed Divestment will not have any effect on CIMB's share capital and substantial shareholders’ shareholdings, and is not expected to have any material effect on CIMB's gearing and net assets for the financial year ending 31 December 2018. Description	Memorandum of Agreement between CIMB Bank Philippines Inc. and I-Pay MYEG Philippines Inc.
CIMB Group Holdings Berhad ("CIMB" or the "Company") wishes to announce that CIMB Bank Philippines Inc. (“CIMBPH”), which is a foreign bank branch of CIMB Bank Berhad, a 99.99% subsidiary of CIMB Group Sdn Bhd, which in turn is a wholly-owned subsidiary of the Company, had on 2 July 2018 entered into a Memorandum of Agreement (“MOA”) with I-Pay MYEG Philippines Inc (“IPMPI”) for the purpose of marketing CIMBPH’s financial products on IPMPI’s digital services and platforms to eligible individuals in the Republic of Philippines. The MOA will be effective for three (3) years from the date CIMBPH commences its banking operations. Under the MOA, the payment to IPMPI is dependent on the customer take up rate of CIMBPH’s financial products through IPMPI’s channels. Both parties are committed to investing necessary resources as agreed in the agreement. This announcement is dated 3 July 2018.

Description	CIMB Group Holdings Berhad ("CIMB Group" or "Company") - Proposed Acquisition of Jupiter Securities Sdn Bhd ("Proposed Acquisition") and Proposed Strategic Partnership in Stockbroking Business ("Proposed Partnership") (collectively referred to as "Proposed Transaction")
With reference to our earlier announcements dated 6 September 2017, 18 January 2018 and 2 April 2018, we are pleased to announce that Bank Negara Malaysia (“BNM”) has approved, among others, the Proposed Acquisition and the proposed sale of CIMB Group’s Malaysia cash equities business including the sale of 100% equity interest in CIMB Futures Sdn Bhd to Jupiter Securities Sdn Bhd (“Jupiter Securities”) in connection with the Proposed Partnership.   With the approvals granted by both the Securities Commission and BNM, CIMB Group and China Galaxy Securities Co. Ltd. (“China Galaxy”) will be entering into the relevant agreements to formalise the Proposed Partnership as well as to incorporate a new entity (“Malaysia JVCo”) to be the holding company of Jupiter Securities. At the completion of the Proposed Transaction, Malaysia JVCo will be the holding company of Jupiter Securities and shall be 50:50 owned by CIMB Group and China Galaxy, through their respective wholly-owned subsidiaries CIMB Group Sdn Bhd and China Galaxy International Financial Holdings Limited. Jupiter Securities shall be the platform for the Proposed Partnership’s operations in Malaysia. CIMB Group’s Malaysia cash equities business comprises institutional and retail brokerage, share margin financing for broking clients, equity financing services and equities research, as well as exchange listed derivative broking under CIMB Futures Sdn Bhd.
