The Board of Directors of the Company ("Board") wishes to announce that the Company had on 17 December 2012 received a notice of demand from Koh Yew Chong & Partners, the solicitors for AmBank (M) Berhad ("AmBank"), for the payment of the amount outstanding of RM7,023,105.04 being the revolving credit facilities of its wholly-owned subsidiary, Comfort Rubber Gloves Industries Sdn Bhd ("CRG"), for which the Company is a corporate guarantor.
The Company is still in the process of negotiating with AmBank to restructure the facilities. With the continued support from Malayan Banking Berhad and CIMB Bank Berhad, and the ongoing negotiation with AmBank, the Board is confident of regularising AmBank's facilities in the near term. Therefore, the Board is of the opinion that the demand will not have any significant impact on the business, financial and operation of IRCB Group at this point of time.
Legal Implications
The creditor bank had indicated in its notice of demand that it may initiate legal proceedings against the Company to recover the entire outstanding amount.

（吉隆坡27日讯）综合橡胶机构（IRCB，2127，主板工业产品股）因拖欠3家银行债务，款项均超过公司净资产的5%而被列入PN17行列。
文告指出，综合橡胶机构企业担保人Chip Lam Seng有限公司正在重组，导致子公司Comfort橡胶手套工业私人有限公司现金受限，无法偿还向大马银行、联昌国际银行和马银行的贷款。
同时，公司也因此触犯PN17的2.1（f）条文，可被列为PN17公司。[Nanyang]

In view of all the banks having withdrawn their support for the Group, the Board of Directors is of the opinion that the Company will not be able to pay all the debts as and when they fall due in the next 12 months from the date of this announcement. However, should the standstill agreement be reached with the Group's bankers, solvency of the Company will be restored.

列PN17公司‧綜合橡膠慘跌6仙

（吉隆坡28日訊）綜合橡膠（IRCB,2127,主板工業產品組）因多達6千420萬令吉的債務違約，被打入PN17公司的“冷宮＂，噩耗導致身價瞬間蒸發46%，以全天最低掛收。

儘管大市造好，綜合橡膠因上述噩耗引起龐大拋壓，開市即挫1仙到12仙，賣盤蜂擁而至促使股價早盤時一路狂瀉，身價在短短兩小時內減半。該股終場始終無力回天，暴跌6仙到7仙。
綜合橡膠WA大跌50%
綜合橡膠WA（IRCB-WA,2127WA,憑單）同樣慘遭追殺，一度滑落62%到1.5仙，終場報2仙，跌50%。
綜合橡膠和綜合橡膠WA的成交量熱絡，各達6千697萬1千和3千零25萬股，是全場第一和第二大交投熱絡的股項。
根據文告，綜合橡膠旗下Comfort膠手套工業（CRG）接獲馬來亞銀行立即追討債務的通知，因該公司總拖欠的銀行貸款，已超過綜合淨資產的5%。CRG債務違約的數目高達6千420萬令吉。
上述違約情況源自大馬銀行早前指企業擔保人ChipLam Seng公司（CLS）違約，大馬銀行因而決定不再借貸。
馬來亞銀行已召回、取消並終止CRG的貸款，立即生效，同時可能對CRG開始採取法律行動。
無論如何，CRG正和這些銀行洽談終止執行協議，同時和策略性夥伴洽商注資的可能性。
基於債務違約，綜合橡膠宣佈被列為PN17公司，若無法在期限內提呈重組計劃，該公司將被迫下市。
該公司目前雖仍未有正式的重組計劃以扭轉財務情況，但將採取必要行動以擬定重組計劃，並將適時公佈。（星洲日報／財經） |

白武士现身 张培根晋综合橡胶大股东

（吉隆坡11日讯）陷入财务危机的综合橡胶机构（IRCB，2127，主板工业产品股）获白武士搭救！
今日宣布刚晋身为大股东的张培根，正式受委为董事经理。
随着张培根的走马上任，原董事经理陈敬敏则宣布离职，理由为专注于自家的橡胶加工业务。
综合橡胶机构昨日向马交所报备，张培根在本月4日透过场外交易，购入了综合橡胶机构共6500万股或相等于10.98%股权，该批股权的每股售价为15仙，总值975万令吉。
而这批股权的卖家，则是该公司大股东集南成有限公司（Chip Lam Seng Bhd）及董事成员，包括陈敬敏和家族成员。
在完成上述交易后，陈氏家族透过集南成仍然持有综合橡胶机构11.3%股权。
随后，张培根本月8日在公开市场购入148万股，持股权提升至11.23%。
手套业老将
至于新大股东张培根为何人？
经过《南洋商报》的查询，张培根为此前在2007年被速柏玛（Supermx，7106，主板工业产品股）私有化的斯保利工业（Seal Polymar Industries）的前任董事经理。
曾在2004年上市马交所主板的斯保利工业，当时是一家高级手套制造和贸易商。
由此不禁让人连续联想，曾拥有相关领域经验的张培根，或许是综合橡胶机构的白武士。
去年陷PN17
综合橡胶机构在去年杪，因拖欠了3家银行债务，款项均超过公司净资产的5%，触犯马交所PN17的2.1（f）条文，而被列入PN17行列。
该公司近年的业绩表现也差强人意，截至2012年10月31日第三季，净亏损从上财年的529万5000令吉，扩大至993万7000令吉；营业额则从2483万令吉，增长35.32%至3360万令吉。
首9个月，公司营业额增长9.26%至9505万1000令吉，净亏损则有1799万9000令吉，较上财年的1793万令吉来得高。
董事部更变
除了张培根和张敬敏之外，综合橡胶机构董事部更变，还包括张培根之子张开盛（译音），受委为执行董事。
另一位新加入非执行董事，则为林文发（译音），持3万8000股普通股。
此外，陈敬敏堂兄弟陈伦冠（译音）辞去非独立非执行董事一职，而陈敬敏父亲陈坤鹏（译音），则因逝世而辞去同样董事席位。[南洋财经]

綜合橡膠機構董事局近來頻頻變動，前董事經理陳敬敏以專注自家業務為由宣布離職。今日，該公司再向馬證交所報備，鄭冠輝以專注個人工作為理由宣佈辭職。
該公司主席希爾米，今日也以專注其他工作為理由，辭去主席一職。

（吉隆坡22日讯）马银行（Maybank，1155，主板金融股）向综合橡胶机构（IRCB，2127，主板工业产品股）追讨1689万1004.53令吉欠款。
综合橡胶机构向大马交易所报备，公司收到马银行发出的通知，马银行要求综合橡胶机构在接获通知起的3个星期内付清欠款（联同利息），否则，综合橡胶机构或面临清盘。
文告指出，上述发展将影响综合橡胶机构的财务状况和营运。

- Uplift and Set-Off of Fixed Deposit Pledged by the Company | We refer to our announcements dated 27 December 2012, 2 January 2013 (amended announcement dated 4 January 2013) and 8 February 2013 respectively on the above matter.
The Board of Directors of the Company wishes to announce that the Company had on 14 February 2013 received a letter from the solicitors of Malayan Banking Berhad ("MayBank") dated 6 February 2013 that MayBank will proceed to uplift the fixed deposit of RM5million pledged to secure the banking facilities to settle the amount owing under the banking facilities granted to the Company. The balance sum (if any) will be utilized to partly settle the amount owing by the Company in the capacity as the Corporate Guarantor for the banking facilities granted to the Company's wholly-owned subsidiary, Comfort Rubber Gloves Industries Sdn Bhd.
This announcement is dated 18 February 2013.

綜合橡膠（IRCB，2127，主板工業產品組）為甚麼會被列為PN17，還能持有嗎？
答：
該公司在去年12月28日宣佈，旗下公司——Comfort膠手套工業，因無法履行償還銀行債務，數目高達6千420萬令吉，並超過綜合淨資產的5%水平，触及上市條例而被列人PN17公司行列。
該公司的違約情況，先是源自大馬銀行指其企業擔保人Chip Lam Seng公司違約，大馬銀行因而決定不再借貸，接著也獲得馬來亞銀行的追討債務通知。
最近該公司出現企業變動，即公司董事部改革，大股東陳氏家族全面退出公司董事部，由新的大股東張培根領導，並成為公司的董事經理。
隨著上述人事變動，相信有助於公司的重組計劃。若是新股東能成功重組公司，公司未來業務表現尚可期待。要不要持有該股，上述一點最近發展可供參考。（星洲日報／投資致富‧投資問診室） |
