双赢交易互持股权　白利金中国文具挂钩

（吉隆坡23日讯）在建议中与竞争对手中国文具有限公司（CSL，5214，消费产品组）的换股交易刺激下，白利金国际有限公司（PELIKAN，5231，消费产品组）股价今早挺高，不过中国文具股价却相对滑落。在这项交易下，中国文具最终将获得白利金国际的9.79%股份。

分析师说，虽然这项交易对白利金国际有利，但它不足以转移其欧洲收益下滑所带来的冲击。

欧洲市场占了白利金国际85%的收支贡献。

联昌投资银行分析师指出，任何与中国文具合作的协同作用，‘将需要时间才能带来成果’。

因此联昌投资银行将维持对白利金国际的预测，直到该研究公司看到潜在合作所带来的实质效益。

他在报告中透露：“这项交易不会对该股（白利金国际）带来即时利好因素，它仍然‘低于大市’。”

该研究公司已把白利金国际合理订于71仙。

截至闭市时，白利金国际以76仙挂收，较昨日闭市升2仙，最高晋至76.5仙，成交量达38万4800股。

中国文具涨1仙至1.07令吉，共有260万8500股转手。

在周一的一项声明中，中国文具表示，它将以5000万令吉代价，向白利金国际大股东收购这家竞争对手的9.79%股权，包括5000万股票。

在这项全股票交易下，中国文具称，它将发行公司的4717万新股予卖方，以作为白利金国际股权的付款。

这项换股基本上相等于每股中国文具1.06令吉，换得每股白利金国际1令吉。

上述白利金国际股票的卖方是Mahir Agresif（马）私人有限公司、PBS办公室供应控股私人有限公司、和Persada建筑私人有限公司。

白利金国际首席执行员吕少杰为Mahir Agresif和PBS办公室供应控制股东，分别持有100%和53%。与此同时，Persada建筑则是由杨哲杰和莫哈末尤索夫联营。

据中国文具指出，上述交易被视为一项双赢交易。因于欧洲主要市场疲软经济环境导致蒙受亏损的白利金国际，将可利用中国文具在亚洲的行销网络，进一步成长销售。

白利金国际的最新季度财务显示，该公司于截至6月30日止第2财季净亏损245万令吉，比较一年前净盈利达1281万令吉；而收益则从5亿508万令吉退至4亿2772万令吉。

在截至2011年12月31日止财政年，白利金国际净亏损则达8842万令吉。

与此同时，中国文具表示，它也将可参与白利金国际在欧洲市场的建立品牌和强稳据点。

中国文具净利飙98%

（吉隆坡19日讯）中国文具（CSL，5214，主板消费产品股）截至2012年9月30日财年第3季，净利飙涨98%至人民币1亿4738万（约7260万令吉），上财年同期为人民币7442万。

第3季营业额则增长14%，报5亿580万（约2亿4916万令吉），上财年同期为4亿4558万；每股盈利从上财年同期的7仙，下滑至6仙。

累计3季净利扬26%至3亿9724万（约1亿9568万令吉），上财年同期为3亿1562万；营业额则增长19%，报15亿2000万（约7亿4811万令吉），上财年同期为12亿7000万。

中国文具执行主席关永贤在文告中表示，在自有专利和非专利产品交出标青销售下，预期2012财年将可维持良好。

展望未来，公司乐观自有专利产品增长前景，因为研究显示，全球塑胶文具市场2011至2014年间复合年增长率将达5.3%。

“为了加强作为福建省最大文具制造商的地位，公司已为新厂房购入新机械提高产能。”[Nanyang]

答：
按業務基本面來看，中國文具表現穩健，截至2012年9月30日止，第三季淨利因融資成本銳減多達83%，自前期3千446萬3千令吉激漲近111%到7千259萬9千令吉；首三季淨利也由前期1億4千616萬5千令吉上揚34%到1億9千568萬令吉。

該公司營業額也表現不俗，在專利和非專利產品銷量分別提高36和13%下，第三季營業額由前期2億零634萬8千令吉走高近21%到2億4千915萬8千令吉；首三季營業額從前期5億9千零9萬2千令吉提高近27%到7億4千811萬1千令吉。該公司派發1.8仙的股息。

該公司預見，具創意性的專利和非專利品將持續支撐業務成長，尤其該公司在去年初推出的第二代磁帶印表機。該公司也樂觀看待創意性專利產品的成長展望，預見消費者的財富和閱讀能力提高，促使高素質的塑料文具市場需求持續成長。

作為福建最大膠質文件夾和存儲產品製造商，該公司也已收購新器材，以提高產能並攫取更多市佔率。

儘管該公司的業務表現不俗，但大馬紅籌股的表現普遍平平，加上中國文具去年才上市，對很多投資者言，仍是新臉孔，吸資力有待考驗。

處“超賣＂格局中國文具上市前就出現認購率不足問題，只有近50%，不過之後疑因有心人炒作，身價一度翻倍到1令吉93仙，但炒風消退後，該股又迅速打回原形，甚至跌破發售價。

評論該股的分析員不多，一些分析員認為，中國文具處於“超賣＂格局，認為該股的調整已近尾聲，有望出現技術性反彈，予該股“買進＂評級，目標價為1令吉22仙。無論如何，礙於該股的流通率受限，上升潛力或面對一定挑戰。（星洲日報／投資致富）

（吉隆坡19日讯）中国文具（CSL，5214，主板消费产品股）在周五有3858万股，或相等于3.1%股权，通过场外交易。

根据大马交易所数据，上述股票平均以每股90仙交易，比其周四的每股79.5仙闭市价，增加10.5仙或13.2%。

该股周五以80仙挂收，涨0.5仙或0.63%，总成交量为139万4800股。[南洋商报财经]

（吉隆坡23日讯）中国文具（CSL，5214，主板消费产品股）执行主席关永贤与执行董事关振质，分别在上周的两天内以每股90仙脱售8.04%股权。

中国文具昨天及今天分别向马交所报备，关氏父子今年1月16日和18日透过旗下Lead Champion集团有限公司脱售上述股权。

他们的持股权也此从原71.85%或8亿9300万股，减少至63.80%或7亿9300万股。[南洋商报财经]
