打南雄风末季转亏1.2亿

(吉隆坡27日讯)受到低营业额及减值亏损拖累,打南雄风(TALAMT,2259,主板产业股)末季由盈转亏,蒙亏1亿2409万1000令吉。

截至1月31日末季,营业额滑落46.8%,报7976万5000令吉。

全年而言,公司净亏1亿2557万8000令吉;营业额则扬52.8%,报2亿9257万4000令吉。

打南雄风表示,末季营业额滑落主要是因为脱售开发土地的收益较少。

至于亏损,则是受到低营业额,以及较高的减值亏损(impairment loss)所拖累。

未来,公司将继续与商誉佳的企业联营,携手开发地库。

一旦从有关单位获得批准,打南雄风将推出新的发展项目。

然而,基于市况日益艰难,加上建筑成本走扬,预计本财年将更面临更大挑战。【南洋网财经】

新達南(TALAMT,2259,主板產業組)最新業績表現及前景如何?財務狀況如何?有甚麼最新企業動作,我想要投資。

答:
先看最新業績,截至2015年1月31日為止第4季,新達南蒙受淨虧損1億2千409萬1千令吉(每股淨虧損為3.06仙),前期為淨利3千705萬1千令吉(每股淨利為0.76仙)。首季營業額減少至7千976萬5千令吉,前期為1億4千994萬令吉。

全年淨虧損為1億2千557萬8千令吉(每股淨虧為3.26仙),前期仍取得淨利2千197萬5千令吉(每股淨利為0.26仙)。全年的營業額為2億9千257萬4千令吉,前期為1億9千143萬5千令吉。該公司每股資產值為11仙。

該公司虧損劇增,主要是較高的虧損減值達1億7千744萬令吉所致。

談到未來業務展望,該公司表示,除了目前進行著的聯營產業發展計劃,將繼續與信譽良好機構進行聯營計劃,以發展公司旗下的地皮。一旦獲得有關當局批准,該公司將會推介新的產業發展計劃。

不過,該公司董事部認為,未來一年依然深具挑戰,特別是國家銀行推出更嚴格的借貸指南,以及建築成本增加等經營環境。

該公司財務情況方面,截至2015年1月31日為止,該公司的總資產為14億9千917萬3千令吉,主要包括供產業發展計劃的土地值5億零518萬2千令吉、產業發展成本為2億4千零83萬2千令吉、聯合控制公司拖欠款項為1億4千626萬8千令吉。待售的資產值2億3千214萬5千令吉,以及該公司的現金及銀行余款為2千959萬令吉。

至於該公司的總負債為10億4千零9萬9千令吉,主要包括借貸為1億2千167萬8千令吉、貿易及其他應付款項為5億7千679萬3千令吉。該公司的股本為8億4千405萬6千令吉,而儲備金為負3億7千886萬令吉。累積虧損為4億3千853萬2千令吉。

最新企業消息方面,該公司3月21日與達全球(TAGB,5158,主板產業組)子公司Metro Ingenious有限公司簽署買賣協議,以1億零686萬令吉脫售烏雪兩塊土地。賣地活動將取得4千848萬令吉盈餘,將用來償還集團債務。

在4月16日,優樂家集團(KEURO,3565,主板建築組)與該公司董事兼大股東丹斯里陳雅才,針對後者完成以9千900萬令吉代價,脫售新達南9億股或21.34%股權的期限,再延長1個月至2015年5月16日。隨著上述延期後,有關陳雅才脫售上述股權的無條件截止日期,將從今年4月16日延長至5月16日。上述一點資料供參考。(星洲日報/投資致富‧投資問診‧文:李文龍)

The Board of Directors of Talam Transform Berhad wishes to announce that G.L. Development Sdn Bhd ("GLSB"), a wholly-owned subsidiary of TTB had on 18 June 2015 entered into two (2) separate sale and purchase agreements with Mohd Ruah Bin Hj Manan (I.C. With the Acquisition, BVSB becomes a wholly-owned subsidiary of GLSB.

BVSB was incorporated in Malaysia on 9 October 1995 and has an authorised share capital of RM500,000 comprising 500,000 ordinary shares of RM1.00 each of which 250,000 ordinary shares of RM1.00 each have been issued and fully paid-up.

The Acquisition is not expected to have any material effect on the earnings or net assets of TTB for the financial year ending 31 January 2016.

None of the directors or major shareholders of the Company and/or persons connected with them has any interest, direct or indirect, in the Acquisition.

Further to the Company’s announcement made on 27 August 2014, we wish to inform that the Company has on 25 June 2015 entered into a Supplemental Agreement (“Supplemental Agreement”) with Mutual Double Sdn Bhd (Company No. 1059838-X) (“MDSB” or “Purchaser”) to vary the Sale and Purchase Agreement dated 27 August 2014 made between the Company and MDSB (“SPA”) as follows:-
(a)      The Purchaser agrees to waive the condition precedent set out in Clause 3 of the SPA in relation to the procurement by the Vendor of the letter of approval of zoning plan (“Zoning Approval”) from the relevant authorities approving the zoning of the area comprising the Land as “Industrial” (“Rezoning”) within eighteen (18) months from the date of the SPA or such extension of time as both parties shall mutually agree. The Vendor agrees to continue to assist the Purchaser to procure the Zoning Approval from the relevant authorities approving the Rezoning at the Vendor’s own costs and expense within a period of two (2) years from the date of the Supplemental Agreement. In the event the Zoning Approval is rejected, not approved and/or there is no reply from the relevant authorities within the 2 years period, then the sale and purchase of the Land shall be deemed to be completed based on the existing layout plan in Appendix I of the SPA and subsequently, Clause 4A of the SPA shall no longer be of any effects.

(b)        The Balance Purchase Price shall be paid by the Purchaser within three (3) months from the date of the Supplemental Agreement (the last day of which is referred to as “the Completion Date”) with an automatic extension of one (1) month from the expiry of the Completion Date subject to the Purchaser paying Late Payment Interest on the Balance Purchase Price or such part thereof which is outstanding until the date of full settlement and the Late Payment Interest shall be paid simultaneously with the payment of the Balance Purchase Price.

(c)        The Purchaser and the Vendor agree and authorise the Vendor’s solicitors to release to the Company the Deposit paid by the Purchaser (currently held by the Vendor’s Solicitors as stakeholder in an interest bearing account) together with interest earned thereon simultaneously upon execution of the Supplemental Agreement subject to the Vendor having deposit the Original Title free from encumbrances together with all the Quit Rent and Assessment Receipt (if applicable) duly paid to date with the Vendor’s Solicitors.
The variance is not expected to have any material financial effects to TTB Group.

Barring any unforeseen circumstances, the Proposed Disposal is expected to be completed within 4 months from the date of the signing of the Supplemental Agreement.
The Supplemental Agreement is available for inspection at the registered office of the Company at Suite 2.12, Level 2, Menara Maxisegar, Jalan Pandan Indah 4/2, Pandan Indah, 55100 Kuala Lumpur between 9.00 a.m. and 5.00 p.m. from Monday to Friday (except public holidays) for a period of three (3) months from the date of this announcement.

售开发地出清库存 打南雄风亏损收窄

(吉隆坡30日讯)脱售开发土地和出清库存获得收益,打南雄风(TALAMT,2259,主板产业股)截至4月底的2016财年首季,净亏损收窄至416万令吉。

公司上财年净亏1647万4000令吉。

同时,高营运收入及低融资成本,也减缓净亏损,早前的融资成本主要源自上述土地的亏损拨备。

首季营业额按年扬38.22%,报1亿984万3000令吉,优于上财年的7947万1000令吉。

在产业发展及投资业务,该业务的净亏从上财年的1671万令吉,减至250万令吉。

至于酒店与休闲业务,该业务的营业额则下滑41.63%,从245万令吉跌至143万令吉,主要是因为经营不善,营运走低,导致蒙亏126万令吉。

未来,公司将继续与商誉佳的企业联营,携手开发地库。

明年推新盘 打南机构改善財务状况

(吉隆坡28日讯)打南机构(TALAMT,2259,主板產业股)正在等待政府批准,预料最快將在2017財政年开始推出新的房產计划,届时將可改善其財务状况。

打南机构主席曾庆炎在出席第90届股东大会后向媒体表示,目前公司一切准备就绪,就只差政府当局放行。

一旦获得政府批准,该公司將分別在淡江和士拉央推出新的房產计划。

「该两项新房產计划將以住宅房產发展为主,这包括有地房產和公寓房產。」

曾氏也表示,在推出房產计划后,料可为公司带来正面贡献,实现转亏为盈的目標。

曾庆炎坦言,转亏为盈的前提是,政府批准公司的房產计划,接下来,公司最快也须2年来达到转亏为盈的目標。

他坦言,目前大马的房產市场处于低迷的情况,加上政府的打房措施,导致银行借贷紧缩,从而殃及新房產计划的推出。

他透露,目前公司的收入主要依赖出售公司土地、加上早前未完全售出的房產单位、项目管理、联营计划、和购物商场与办公楼租金为主。

该公司2016財政年首季(截至4月30日止)成功將亏损缩小至416万令吉,去年同期为1647万令吉;营业额为1亿零984万令吉,按年上涨38.22%,前期为7947万令吉。

曾庆炎透露,现阶段打南机构无意出售手中的土地。

坐拥1300英亩地

该公司目前手中拥有面积近1300英亩的未发展土地,全部都在雪州。

该土地面积的发展总值料高达60亿令吉,足够应付公司未来5年的发展计划。

对于近10年没有派息的打南机构,曾庆炎对此表示,公司有开始草擬派发股息的计划。

不过,基于房產市场仍处在低迷的情况,公司对此计划抱持谨慎。

至于丹斯里陈雅才计划以9900万令吉,向优乐家集团(KEURO,3565,主板建筑股)购买打南机构9亿股或佔缴足资本21.34%股权,管理层表示,一切有待大马交易所批准。

这项收购案已经多次被展延期限,最新的期限为8月16日。【东方网财经】

On 17 October 2014, the Company had announced that Tan Sri Dato’ (Dr) Ir Chan Ah Chye @ Chan Chong Yoon (“TSDCAC”) had entered into a conditional share sale agreement (“SSA”) with Kumpulan Europlus Berhad (Company No. 534368-A) (“KEB”) in relation to the proposed disposal of 900,000,000 ordinary shares of RM0.20 each in TTB (“TTB Share(s)”), representing 21.34% of the issued and paid-up share capital of TTB (excluding 2,635,800 treasury shares), by KEB to TSDCAC (“Sale Shares”) for a total cash consideration of approximately RM99.00 million.

Further to our announcement made on 17 August 2015, the Company has been informed today by TSDCAC that he had on 28 August 2015 entered into a supplemental agreement (“Supplemental Agreement”) to the SSA with KEB to amend and vary certain provisions in the SSA which entails, amongst others, the proposed disposal of the Sale Shares in two (2) separate tranches as follows:-
(a)  500,000,000 TTB Shares at the price of RM0.085 per TTB Share or RM42,500,000.00 (“First Tranche Sale Shares”) and to be completed within 30 days after the Unconditional     Date (as defined in the Supplemental Agreement) or such other extension of time or later date the parties may agree in writing (“First Completion Date”); and

(b)  400,000,000 TTB Shares at the price RM0.095 per TTB Share or RM38,000,000.00 (“Second Tranche Sale Shares”) and to be completed within 18 months after the Unconditional Date (as defined in the Supplemental Agreement) or such other extension of time or later date the parties may agree in writing (“Second Completion Date”),

The definition of “Unconditional Date” in the Supplemental Agreement has been amended to mean “the date expiring 14 months from the date of the SSA and includes such other extension of time as may be agreed between the parties in writing where the Conditions Precedent stipulated in the SSA has been fulfilled”.

The sale and purchase of the First Tranche Sale Shares and Second Tranche Sale Shares shall be undertaken and completed on a “married deal” basis and shall be transacted by way of direct business transaction in accordance with the rules and directives issued by Bursa Malaysia Securities Berhad and Bursa Malaysia Securities Clearing Sdn Bhd within the First Completion Date and Second Completion Date respectively.

打南雄风次季亏1198万

(吉隆坡25日讯)打南雄风(TALAMT,2259,主板产业股)截至7月杪次季,净亏1198万5000令吉,每股亏损0.28仙,去年同期则净赚685万5000令吉。

同期营业额按年大跌87.31%,至1091万6000令吉,逊于去年同期的8603万8000令吉。

在这当中,产业发展与投资业务的次季营业额,按年挫87.31%,至1092万令吉。

公司在文告中指出,由于卖地与其他收入减少,抵消了脱售子公司取得的盈利,冲击了次季业绩表现。

合计上半年,打南雄风净亏1507万8000令吉,比去年同期净亏的1254万4000令吉来得严重。

同期营业额按年跌27.04%,从1亿6550万9000令吉,减少至1亿2075万9000令吉。【南洋网财经】

TALAM TRANSFORM BERHAD ("TTB" or "the Company")DISPOSAL OF SUBSIDIARIES
We refer to the Company’s announcement made on 2 October 2015 in relation to the following:-
(a)        Sale and Purchase of Shares Agreement (“SSA”) between the Company’s wholly-owned subsidiary, Talam Plantations Sdn Bhd (“TPSB”) and Larut Leisure Enterprise Sdn Bhd (“LLE”) for the disposal of 100 ordinary shares of HK$1.00 each representing 100% equity interest in Talam Corporation (HK) Limited (“TCHK”) by TPSB to LLE, for a cash consideration of RM1.00 only (“Disposal 1”); and
(b)       SSA between the Company’s wholly-owned subsidiary, Larut Overseas Ventures Sdn Bhd (“LOVSB”) and Maxisegar Education Sdn Bhd (“MESB”) for the disposal of 2 ordinary shares of HK$1.00 each representing 100% equity interest in Larut Consolidated (HK) Limited (“LCHK”) by LOVSB to MESB, for a cash consideration of RM1.00 only (“Disposal 2”).
(Disposal 1 and Disposal 2 are collectively known as “the Disposals”.)

The Board of Directors of the Company wishes to announce that on 9 October 2015, the Disposals have been completed and TCHK and LCHK have ceased to be subsidiaries of the Company.

新达南:协议终止 撤售在华酒店计划

(吉隆坡15日讯)新达南有限公司(TALAMT,2259,产业组)已经取消以2亿3000万人民币,脱售吉林省吉隆坡大酒店(Maxcourt Hotel)85%股权,予鼎元酒店管理有限公司(Cre8ive Hotels Management Ltd)的计划。

新达南向大马交易所报备,独资子公司香港Malim企业(香港)有限公司与鼎元酒店管理在去年4月3日的售股协议正式终止。

这是因为鼎元酒店管理未能提供相关文件,提交予地方当局,以及结清吉林省吉隆坡大酒店的未偿还银行贷款。

新达南表示,已经向鼎元酒店管理发出终止通知,并告知它们售股协议已正式终止,截至目前它们还没有回应。

“取消脱售计划不会对截至2016年1月31日止财政年的盈利或每股净资产,有任何显著影响。”

根据去年的文告,总值2亿3000万人民币(约1亿2156万令吉)现金的脱售计划,将为新达南带来约1830万令吉的净收益。

该集团之前表示,净收益将用于削减集团贷款,以及充当营运资本。【光华日报财经】

TALAM TRANSFORM BERHAD ("TTB" or "the Company")TERMINATION OF SHARE SALE AGREEMENT BETWEEN MALIM ENTERPRISE (HK) LIMITED AND CRE8IVE HOTELS MANAGEMENT LIMITED FOR THE PROPOSED DISPOSAL OF THE ENTIRE 85% EQUITY INTEREST IN JILIN PROVINCE MAXCOURT HOTEL LIMITED
Further to our announcement dated 4 April 2014, the Company wishes to announce that it had sent out a termination notice to the Purchaser, Cre8ive Hotels Management Limited informing them that the Share Sale Agreement dated 3 April 2014 (“SSA”) has been officially terminated (“Termination”) and as at todate they have not replied.

The Termination was the result of the failure of the Purchaser to provide the relevant documents for submission to the local authorities and to settle the outstanding bank loan of Jilin Province Maxcourt Hotel Limited.

The Termination will not have any significant effect on the earnings or net assets per share of the Company for the financial year ending 31 January 2016.

None of the directors and/or the major shareholders of TTB and/or persons connected with them have any interest, direct or indirect in the Termination.

This announcement is dated 13 November 2015.

Further to the Company’s announcement made on 26 June 2015, the Company wishes to announce that the Proposed Disposal is completed today following the receipt of the balance purchase price from the purchaser, Mutual Double Sdn Bhd after approval was obtained from the Selangor Estate Board on 5 November 2015 and successful presentation of the memorandum of transfer of land.

This announcement is dated 23 December 2015.

售子公司获利 打南雄风转盈

(吉隆坡30日讯)由于脱售子公司获利,打南雄风(TALAMT,2259,主板产业股)截至10月31日第三季业绩按年转亏为盈。

根据文告,第三季净赚567万1000令吉,或每股净利0.13仙,上财年同季则净亏469万2000令吉,或每股净亏0.01仙。

营业额大跌93%

不过,营业额却因为当季的土地脱售所得较少,而按年大跌93.33%,达315万3000令吉。

至于首九个月业绩,净亏从上财年同季的1723万6000令吉,或每股净亏0.28仙,扩大至940万8000令吉或0.22仙;而营业额则按年减少41.77%,达1亿2391万令吉。【南洋网财经】

The Board of Directors of TTB wishes to announce that G.L. Development Sdn Bhd (Company No. 50385-W) ("GLDSB"), a wholly-owned subsidiary of the Company, has on 29 January 2016 entered into a sale of shares agreement with Mohd Ruah Bin Hj Abd Manan (NRIC No. 480701-01-5631) (“MRAM”) and Mohamad Nor Bin Hassan (NRIC No. 480218-02-5477) (”MNH”) to dispose of 250,000 ordinary shares of RM1.00 each representing 100% equity interest in Bay Vista Sdn Bhd (Company No. 362820-T) ("BVSB") for a total cash consideration of RM2.00 only to MRAM and MNH in equal portion or 125,000 ordinary shares of RM1.00 each at cash consideration of RM1.00 each respectively ("Disposal”).  With the Disposal, BVSB has ceased to be a wholly-owned subsidiary of GLDSB and an indirect wholly-owned subsidiary of TTB.

(吉隆坡25日訊)新達南(TALAMT,2259,主板產業組)宣佈,該公司以2千169萬4千700令吉代價,脫售雪州雙文丹的739單位的空置地皮,以集資供償還債務及營運資本用途。

該公司文告指出,該公司以732萬4千400令吉現金,脫售雙文丹的249單位的地皮予Setiatiwi置地有限公司,占地為3萬1千627平方公尺。

同時,它也以1千437萬令吉,脫售雙文丹的490單位地皮給Setiatiwi發展有限公司,占地為6萬1千896平方公尺。

上述脫售地皮活動,分別使公司蒙虧69萬5千595令吉及266萬9千673令吉。(星洲日報‧財經)

打南雄风净亏收窄

(吉隆坡31日讯)由于亏损拨备和其他成本减少,让打南雄风(TALAMT,2259,主板产业股)截至1月31日末季中净亏,按年收窄至1129万4000令吉或每股净亏0.27仙。
打南雄风上财年同期的净亏达1亿2788万5000令吉,或每股净亏2.95仙。

另外,末季营业额也从上财年同季的7976万5000令吉,萎缩59.86%,至3202万令吉,归咎于开发土地销售减少。

该公司全年净亏从上财年的1亿4173万8000令吉,减少至净亏2070万4000令吉;营业额也按年下跌23.77%至1亿5593万2000令吉。【南洋网财经】
