INTRODUCTION The Board of Directors of XOX Bhd (“XOX” or “the Company” or "the Group") is pleased to announce that XOX Wallet Sdn. Bhd. (“XOX Wallet”), a wholly-owned subsidiary of the Company has on 12 April 2017, entered into a Technology Collaboration Agreement with Payallz Sdn. Bhd. ("Collaboration Agreement").
2. INFORMATION ON PAYALLZ Payallz is a subsidiary of Netx Holdings Berhad (hereinafter referred to as “Netx”), a company listed on the ACE Market of Bursa Malaysia Securities Berhad with subsidiaries and associated companies specialising in electronic payment solutions and applications.
3. SALIENT TERMS OF COLLABORATION AGREEMENT a) XOX Wallet would collaborate with Payallz to develop an E-payment exchange that enables every XOX mobile subscriber to be an e-commerce merchant. Payallz to provide integration of multiple payment gateways and be able to seamlessly connect into the Digital Free Trade Zone ("Project"). This will allow for XOX subscriber to have multiple payment options to perform e-commerce transactions whether on conventional websites or using their mobile wallet. b) The Parties may mutually agree to broaden, increase, narrow, limit, abandon or undertake new areas or more specific areas of research and development or joint research opportunities from time to time in accordance with the terms and condition of this Collaboration Agreement. c) The Project costs and detailed investment terms of each available site shall be determined on a case to case basis mutually between the Parties. d) The Collaboration Agreement is for an initial period of one (1) years and renewed annually, commencing on the date of the Collaboration Agreement, unless otherwise mutually extended or terminated. e) Intellectual property including all trademarks, property rights, title and interest with respect to the products which is proprietary to each party shall be owned by the respective party concerned. f) XOX grants Payallz consent to include XOX name, profile and technological write-up in documents issued by Payallz including but not limited to Netx's corporate profile, brochures, marketing materials, prospectus, or other documentation. g) Both parties shall cooperate in respect of any litigation or claims, notifying the other party of any possible claims of infringement of intellectual property the party may be aware of and cooperate with each other in the prosecution of any actual or alleged infringement by third party of any of the same.
4. Financial Effects The Collaboration Agreement is not expected to have any material effects on the share capital and shareholding structure of the Company. However, it is expected to have positive contribution to the earnings per share and net assets per share of the Group should the Collaboration Agreement be subsequently commercialised.
5. APPROVAL REQUIRED The Collaboration Agreement being incurred in the ordinary course of business, is not subject to the approval of the shareholders.
6. DIRECTORS’ AND MAJOR SHAREHOLDERS’ INTEREST Save for Mr Tan Sik Eek, who is the Independent Non-Executive Director of the Company and also the Executive Director of Netx, none of the directors, major shareholders of XOX and/or persons connected to them has any interest, direct or indirect in the Collaboration Agreement.
7. STATEMENT BY DIRECTORS The Board of Director of XOX (save for Mr Tan Sik Eek), having taken into consideration all aspects of the Collaboration Agreement, is of the opinion that the Collaboration Agreement is in the best interest of the Group.

XOX 蔡文杰：无参与水之美及WBW
（吉隆披6日）XOX说电讯（XOX，0165，创业板贸服组）澄清，水之美国际（Water Beaute World）及WBW全球有限公司并未持有该公司股权，董事经理拿督蔡文杰亦未参与上述公司运作。
该公司发文告指出，针对《TheEdge》“金钱游戏资金流入股市”报道，指WBW全球及水之美国际分别持有3.08%及3.01%股权的事作出澄清。
根据2017年5月24日止马股的中央存票纪录显示，水之美国际及WBW全球并未持有XOX说电讯股票。
另外，该公司董事部也强调，公司股票于创业板自由交易，无法避免投资者于公开市场购买公司股票。
董事部谘询董事经理拿督蔡文杰后，他已证实，并未与上述两家公司有任何关联或参与其业务运作。

2017年7月15日
（吉隆坡14日讯）XOX说电讯（XOX，0165，创业板）计划私下配售高达10%的股本给第三方投资者，预计可筹得937万令吉。
XOX说电讯今日向交易所报备，假设配售价为每股11仙，私下配售高达10%的股本，相等于8518万2000股，估计可筹获937万令吉。
该公司表示，配售价不会比定价日前5天交易量加权均价（VWAP）折低超过10%。
筹获所得，当中的922万令吉将用作品牌打造与营销开销，而剩余的15万令吉则为私下配售的开销。
与银行贷款比较，私下配售活动能让公司在无需承担利息，就能快速取得额外资金，加强财务状况。
私下配售活动将会在6个月内分批进行，所以将会有数个定价日及配售价。【e南洋】

XOX说电讯昨天向交易所报备，独资子公司XOX媒体私人有限公司，与MLABS系统（MLAB，0085，创业板）独资子公司MRL签署了解备忘录。
根据备忘录，旨在通过共享和结合MRL视频会议和服务器技术的范围，开拓由XOX媒体和PT.Inovasi Telematika Nusantara（PT Inovasi）及Pengurus Besar Nahdlatul Ulama（PBNU）创下的潜在市场，从而加强Voopee移动应用的功能。

a) exchange of technology involved in multimedia video conferencing, server system and equipment;

d) jointly undertake research and development in the areas of multimedia video conferencing and mobile application with voice and video conferencing features. The MOU shall commence on the date of execution of the MOU and shall remain in force for a duration of one (1) year and shall continue to remain in force by a written agreement between the Parties. Each party may terminate the MOU by providing three (3) months written notice in advance to the other party. Upon termination, each party shall return any documents retained by the same to its original owner accordingly.
Upon signing of MOU, both Parties will evaluate the technology suitability and the business model which may lead to a contractual agreement. As such, the total cost and/or estimated fees payable to MRL for the services provided to XOX, if any, can only be determined after a definitive collaboration agreement has been entered between the Parties.
The MOU is not expected to have any material effects on the share capital and shareholding structure of the Company. （吉隆坡13日讯）在今年7月签署了解备忘录后，XOX说电讯（XOX，0165，创业板）与来自印尼的电讯企业和组织之间的合作正式落实签约。
今年7月28日，XOX说电讯透过独资子公司XOX媒体私人有限公司，与印尼Inovasi Telematika私人有限公司（简称“IT公司”）及印尼伊斯兰教教士联合会（PBNU）签署了解备忘录，将Voopee方案引入印尼市场，共同发展与部署Voopee方案。
IT公司是印尼电信公司，将提供电子通讯服务。而PBNU为全球最大的独立回教组织，成员达9400万名，为学校与医院筹资，及安排社区活动以缓和贫困的慈善团体。
XOX说电讯在上周五向交易所报备，三方已达成合作协议，通过Voopee方案来共同开发N以ahdlatul Ulama（NU）为品牌的手机应用程式。
据协议，三方在合作项目中担当不同责任。XOX媒体将提供相关科技来发展NU手机应用程式，而IT公司将为该手机程序提供技术和维修服务。
另外，PBNU将从事营销工作以及分销给旗下会员。
该应用程式作为向印尼市场提供电子商务、电子服务和资讯供应服务的平台，服务包括无SIM卡联系服务、政府、银行和教育机构服务，以及电子钱包功能。【e南洋】

Bhd. (“XOX Media”), a wholly-owned subsidiary of the Company with PT. Inovasi Telematika Nusantara (“PT. Inovasi”) and Pengurus Besar Nahdlatul Ulama (“PBNU”) for the purpose of conduct a study and the planning for the development and deployment of the Voopee solution under the Nahdlatul Ulama (“NU”) branding with all other accompanying solutions targeting to be adopted by PBNU members (“MOU”).
The Board of Directors of XOX is pleased to announce that in line with the MOU entered on 27 July 2017, XOX Media has on 10 November 2017 entered into a Collaboration Agreement with PT. Inovasi and PBNU (“collectively referred to as the “Parties”) to cooperate and collaborate on the development the NU Mobile Application using Voopee solution, which to be promoted into Indonesia’s market and to be served as the platform to provide information, e-services and e-commerce platform. NU Mobile Application is an application which offers various services electronically including the sim-less mobile services and a platform to engage various services like government, banking, education and most importantly, e-wallet functions for its users.
PT. Inovasi is a company incorporated in Indonesia which principally engaged in the business of telecommunication services.
PBNU is the largest independent Islamic organisation in the world with about 94 million members, and also a charitable body funding schools and hospitals as well as organising communities to help alleviate poverty.
Pursuant to the Collaboration Agreement, the duties and responsibilities of the respective party are including but not limited to the following :
i) XOX Media will provide the relevant technology relating to the development of the NU Mobile Application;
ii) PT. Innovasi will provide the technical and maintenance support to the NU Mobile Application; and
iii) PBNU will be responsible for the distribution and marketing of the NU Mobile Application to its members.
The Collaboration Agreement shall commence on the date of execution and shall remain in force for a period of ten (10) years and may be renewed for another ten (10) years with the agreement of the Parties.
Either party may terminate the Collaboration Agreement by giving thirty (30) days prior written notice to the other party if:
i) One of the Parties has materially not fulfilled any obligations being pledged without intentionally violating the Collaboration Agreement, including but not limited to the obligation of any Party to cooperate in good faith with the other contracting party and to provide information or assistance to the other Party in connection with the performance and services provided by the other Party; and
ii) the other Party shall not pay attention or response within thirty (30) days from the date of notice.
The Collaboration Agreement is not expected to have any material effects on the share capital and shareholding structure of the Company and earnings per share and net assets per share of the Group. However, once the NU Mobile Application has been fully deployed and commercialised, it is expected to have positive contribution to the future earnings per share and net assets per share of the Group.
The Collaboration Agreement being incurred in the ordinary course of business, is not subject to the approval of the shareholders.
None of the directors, major shareholders of XOX and/or persons connected to them has any interest, direct or indirect in the Collaboration Agreement.
The Board of Director of XOX, having taken into consideration all aspects of the Collaboration Agreement, is of the opinion that the Collaboration Agreement is in the best interest of the Group.

未来3年．XOX说进军东盟盟和欧洲
（吉隆坡27日讯）XOX说电讯（XOX，0165，创业板贸服组）积极拓展业务至数码内容业务，同时，放眼未来2至3年内，延伸业务触角至东盟和欧洲国家。
XOX说电讯首席执行员黄国兴在股东大会后表示，电讯领域竞争激烈，因此公司必须进行创意改革，多元化产品。
他补充，XOX说电讯积极开拓数码内容业务，预计下月初将推出以娱乐为主的手机应用程序。
该公司目前有两个主要的手机应用程序，分别为Voopee及即将推出的onemusic。
黄国兴指出，该公司也预计在未来2至3年内，拓展业务至东盟，包括新加坡、菲律宾及泰国和欧洲市场。
他指出，目前海外业务的贡献并不显著，不过，他相信在全球化的时代到来之时，对于XOX说电讯将是一个机会。
该公司与印尼电讯公司PTInovasi及伊斯兰教士联合会理监事合作，在印尼推出Voopee服务。
黄国兴指出，XOX说电讯在印尼同时也推出电子钱包（e-dompet）的服务。
“至于大马方面，早在7年前，公司已经获得国家银行批准推出电子货币服务，只是因为种种原因，包括市场尚未做好准备及基建不够完善下，而没有被广泛使用。”
他补充，XOX说电讯将会继续探讨在大马推出电子钱包服务，惟无法进一步透露详情。
黄国兴也指出，XOX说电讯放眼明年，Voopee在大马及印尼的订户将达到1000万人。
“至于XOX用户，则放眼可以在明年，达到300万人。”
在过去7年，Voopee在大马的下载者仅有30万人，而XOX用户则由2016年的150万用户增加至2017年的210万人。
2017财政年转亏为盈
对于XOX说电讯成功转亏为盈是否探讨派息回馈股东一事，黄国兴指出，该公司目前尚在拓展中，必须延后派息的决定，并不排除未来将探讨派息政策。
XOX说电讯在2017财政年，成功由前期的净亏957万5836令吉转为202万7090令吉净利。
