森那美未全購爭議‧東方小股東撤回上訴

(吉隆坡2日訊)森那美(SIME,4197,主板貿服組)未全購東方(E&O,3417,主板產業組)所引發的爭議告終,隨着東方的股價已超越森那美當年的收購價,該公司小股東周傑泰(譯音)撤回司法覆核的上訴行動。

東方股價已超越收購價

森那美發文告表示,周傑泰的律師已知會森那美信托私人有限公司(SDNominees)以尋求同意撤回上訴,因東方的股價如今已超越2令吉30仙(要求森那美進行強制性收購的價格),繼續進行司法覆核程序將是學術性的活動。

隨着森那美信托和證監會同意不再重新提呈和無訴訟費下撤除上訴,周傑泰的律師已正式通知,不再進行上訴,因此司法覆核程序如今宣告結束。

2011年8月,森那美以高出東方當時股價60%的出價,向東方3大股東收購30%股權,交易總值為7億7千600萬令吉或每股2令吉30仙。此收購引發軒然大波,小股東認為森那美和出售股權的三大股東——拿督譚家漢、丹斯里旺阿茲米以及新加坡吳玉欽控股,明顯是“一夥"(party actingin concert),合共持股超過33%,應該展開全購。

不過,證監會主張森那美與拿督譚家漢並非“一夥",因此,森那美沒有義務對東方提出強制性全購。

證監會豁免森那美全購東方

由於證監會豁免森那美全面獻購東方其餘股票,周傑泰為此向高庭申請,針對證監會的決定做出司法覆核,以推翻證監會豁免森那美全購東方的決定。周傑泰將證監會列為答辯方。

隨後,森那美通過森那美信託私人有限公司,基於其司法與商業利益將直接受到影響,而入稟法庭申請介入訴訟,以扭轉形勢。其申請獲法庭接受。

不過,周傑泰提出的司法覆核申請,在去年11月被高庭駁回,主要是他在申請司法覆核前,並未根據1993年證券監督委員會法令2007年資金市場與服務法令,使用替代方案。

周傑泰隨后在去年12月9日針對高庭的裁決向上訴庭提出上訴。

這項引來滿城風雨的收購計劃,更導致當時的證監會主席丹斯里查麗娜在市場壓力下約滿離職。

由於查麗娜的丈夫拿督阿茲山阿都拉曼是東方的主席,並在森那美公佈收購東方股權前,提高在東方的持股權,以致查麗娜面對巨大的市場壓力,最終於2012年初下台。(星洲日報/財經)

With this development, SD Nominees has been advised by its lawyers that the judicial review proceedings have now come to an end.

末季淨利增34% 東家全年淨賺1.1億

(吉隆坡23日訊)東家(E&O,3417,主要板房產)截至3月底2014財年末季淨利按年增長33.8%,至5068萬令吉,建議派發每股3仙股息。

東家向馬證交所報備,配合業績宣佈,該公司建議在來屆股東常年大會,尋求通過每股3仙終期股息。

末季營業額按年上揚39%,達2億2968萬令吉。

該公司全年淨賺1億1342萬令吉,淨利按年跌12.5%;營業額下挫18%,至4億9714萬令吉。

根據文告,房地產業務仍然是帶動業績表現的業務,貢獻80%業績。公司相信,隨著Seri Tanjung Pinang 2(STP2)房產計劃所作出努力,料可成為公司更上一層樓的催化劑。

至于酒店與休閒業務的營業額亦取得成長,上揚35%,因為吉隆坡E&O Residences,及Victory Annexe酒店開幕的扶持。【中国报财经】

谭家汉3.19 亿购东家9.9%

(吉隆坡28日讯)东家(E&O,3417,主板产业股)董事经理拿督谭家汉,以3亿1900万令吉或每股2.90令吉,收购森那美(SIME,4197,主板贸服股手中的9.9%股权。

森那美向马交所报备,将所持有的东家11亿股,脱售予Morning Crest公司,谭家汉为Morning Crest大股东。

完成售股后,森那美于东家的持股将降至22%。

两家公司已与今日签署售股合约,预计将在第三季完成。

森那美是在2011年至2013年之间购入股权,平均每股投资成本介于2.27至2.39令吉。

“脱售股权可进账5600万令吉,过去3年的投资回酬率达28%,这笔资金将用作公司营运资本。”

彭博社资料显示,谭家汉目前持股5.18%。

森那美減持‧東方私有化傳言粉碎

(吉隆坡29日訊)森那美(SIME,4197,主板貿服組)脫售東方(E&O,3417,主板產業組)的9.9%股權給東方董事經理拿督譚家漢,令市場深感意外,不過份析員認為這是正面之舉,森那美可獲得特別收益,而譚家漢願以高價購股,顯示他對公司前景深具信心。

馬銀行研究指出,森那美以3億1千900萬令吉現金(每股2令吉90仙)售股,使其持股從32%下降至約22%,這是項正面意外驚喜,森那美預料可從中取得5千600萬令吉的盈利,也將合理化其持股及進一步調整譚家漢在東方的股權。

“此脫售也進一步粉碎了森那美可能私有化東方的傳言。”

大馬研究指出,譚家漢向森那美收購9.9%股權後,持股將增加至15%,成為繼森那美之後的第二大股東。

該行指出,交易價相等於昨日閉市價2令吉38仙的21.8%溢價,這為東方的股價設定了更高的基準價,相比森那美之前是在2011年以每股2令吉30仙買進30%股權。

“從收購價擁有偏高溢價來看,顯示東方管理層對其未來業務前景深具信心,特別是旗下的檳城斯里丹絨檳榔2計劃(STP2)將啟動。”

該行認為此交易尤其顯著,因譚家漢是東方的創辦人,自1990年代中期將出掌該公司。同時,森那美保持為東方最大股東和策略伙伴。

該行給東方的合理價為3令吉90仙,及給於“買進”評級。

譚家漢購回9.9%正面‧東方檳城計劃添助力

(吉隆坡3日訊)東方(E&O,3417,主板產業組)董事經理拿督譚家漢以每股2令吉90仙向森那美(SIME,4197,主板貿服組)收購公司9.9%股權,興業研究認為有關交易對投資者而言是項正面指引,並且有助讓檳州政府更支持丹絨檳榔2(STP2)發展計劃。

東方股價週二盤中一度飆漲32仙至2令吉86仙,最終閉市報2令吉64仙,揚10仙,成交量1千741萬6千100股。

交易趕在譚家漢合約屆滿前落實

興業研究在與東方副董事經理陳國良會面後發報告表示,最新股權交易正好趕在譚家漢管理合約在今年8月屆滿前落實,而作為東方最大股東,森那美亦不希望現有管理層出現任何變動,加上譚家漢本身也有意留任,森那美才會將部份股權回賣給譚家漢,希望拉近董事部與公司的利益關係。

“由於譚家漢的出價較東方股票市價高出22%,一些投資者可能對譚家漢為何不從公開市場吸納保持懷疑,但考量東方日均成交量只有800萬令吉,譚家漢不可能在短時間內購買1億1千萬股股票,而且,從公開市場吸購還須向交易所匯報。”

檳政府或加快批准STP2

興業將每股2令吉90仙視作譚家漢願意為東方股票支付的底價,同時認為若未來出現任何全購提案,出價將是2令吉90仙外加特定幅度溢價。

興業還認為,隨董事部與東方的利益關係更加一致,檳州政府可能加快批准丹絨檳榔2發展計劃。

“環境局已在今年4月給予STP2有條件批准,東方目前正等待檳州政府批准發展大藍圖,相信能在取得動工通知後開始填土工作,根據計劃,東方料可在6月或7月取得批准,相信這將成為下個催化劑。”

此外,興業研究也根據綠盛世控股私人有限公司去年杪在當地進行的土地收購價格,把STP2土地價預估調高至每平方呎400令吉,重估淨資產值亦因此上調至4令吉70仙。

根據重估淨資產值的25%折價,興業上調東方合理價至3令吉52仙,維持“買進”評級不變。(星洲日報/財經‧報道:李三宇)

答:
東方2014財政年盈利表現符預期,分析員相信在延宕產業項目推介,以及現有產業發展計劃進度款項累積下,2015財政年盈利表現有望後起直追。

大馬研究說,東方2014財政年第四季盈利達5千100萬令吉,拉動全年盈利達到1億1千300萬令吉,但營業額則因現有工程營業額兌現低,以及主要工程延宕拖累,按年下跌18%。

Avira獲70%認購率

不過,東方2015財政年取得開門紅,美迪尼的Avira工程取得70%認購率,預見新加坡等市場買家需求持續強勁,加上當地特別稅務和獎掖配套將為集團銷售帶來動力。

有鑑於此,大馬研究相信東方2014至2016財政年累積淨利4億5千萬令吉目標可期,主要是The Mews、Avira、Andaman系列和Prince House強勁營業額將逐漸兌現。

MIDF研究表示,受到政府系列打房措施影響,發展總值達4億令吉的The Mews是東方2014財政年唯一推介的新產業發展計劃,令全年新產業推介目標落空,但發展總值達14億8千萬令吉的檳城的Andaman 18 EAST公寓、美迪尼的Avira排屋和Princess House等延遲推介的產業發展計劃料在2015財政年進行推介。

受到產業發展計劃延遲推介影響,東方2014財政年7億3千萬令吉銷售遜於10億令吉目標,但邁向2015財政年,管理層放眼柔佛(40%)、英國(23.3%)、檳城(31.7%)和巴生河流域(5%)將貢獻12億令吉銷售。

該行相信透過東方現有產業發展計劃的成功,柔佛、英國和巴生河流域銷售目標可期,但對中國、香港和台灣等海外買家對第二棟Andaman公寓的購興可能受MH370事件影響感到憂慮。

STP 2料明年初填土

但大眾研究指出,檳城州政府料在今年杪為發展總值達250億令吉的Seri Tanjung Pinang(STP)第二期工程藍圖掃除障礙,填土計劃可能最快在2015年初進行,首期工程涉及30個月填海253英畝土地,其餘507英畝則料在4年時間內完成。

整體來說,東方前景仍胥視STP 2填土計劃,畢竟這將是檳州最大的單一黃金土地發展計劃。以每平方呎300令吉來看,515.5英畝的淨土地市值為67億令吉。

(吉隆坡10日訊)東家(E&O,3417,主要板房產)宣布,斯里丹絨檳榔第2期填土計劃(STP2)獲檳城鎮規劃委員會正式批准。

該公司在文告中指出,子公司丹絨檳榔發展私人有限公司是在本月10日接獲批准通知。

斯里丹絨檳榔第2期填土計劃為東家旗下重要計劃,今年4月已先獲當地環境局有條件批准,其中包括760畝的人造島和131畝的新關仔角前岸和疏浚工程,有效期2年。

土地價值未完全納入 東家股價仍具升值空間

(吉隆坡11日訊)東家(E&O,3417,主要板房產)旗艦項目斯里丹絨檳榔第2階段填土工程獲檳州監管單位通過,下半年料公開招標,券商相信現有股價未完全納入土地價值,股價仍具升值空間。

興業證券研究分析師龍國雯在報告中指出,填土計劃批后,預計第3季將正式公開招標,末季動工,相信市場至今未將該計劃土地價值納入考量,消息將成為股價催化劑。

“若以每平方尺400令吉計算,單單是斯里丹絨檳榔第2階段已佔每股重估淨資產值(RNAV)4.70令吉的51%,該股現階段仍以低每股重估淨資產值43%價格交易,未來仍有升值空間。”

她指出,目前該公司已為面積891畝的土地投入環境管理計劃(EMP),並且仍需當地環境局批准,在公開招標前確保符合技術要求,此部分應該不會拖慢進度;該行給于東家“買進”評級,目標價3.52令吉。

聯昌證券研究分析主管黃大任則在報告中指出,隨著各項利好包括近期大股東回購股權及未來發展計劃釋出,投資者應趁現在累積持股,尤其現有股價與大股東每股2.90令吉回購仍有一段距離。

該行亦給于東家“買進”評級,目標價2.99令吉。

今早開市時,東家即在利好釋放下揚8仙至2.76令吉,休市時仍維持6仙揚幅,掛2.74令吉,不過后來后勁不繼,閉市時起3仙,掛2.71令吉,成交量554萬600股。【中国报财经】

森那美卖Elmina地 东家2.4亿接手

(吉隆坡4日讯)森那美(SIME,4197,主板贸服股)旗下产业子公司,以2.398亿令吉脱售135英亩的Elmina西部地段,给东家(E&O,3417,主板产业股)。

森那美Elmina发展今天与东家子公司———东家Express正式签署土地买卖合约,脱售Elmina城镇计划的一部分土地。

根据两家公司联合发出的文告,东家新收购的地段,料超过原本估算的150亿令吉发展总值。

若实际发展总值超过原本估算的数额,东家同意以80:20的比率,支付森那美Elmina发展20%额外价值。

森那美总营运长兼森那美产业董事经理拿督斯里阿都瓦哈表示,双方可依据本身的专业和优势,发展不同产品,以提升土地的价值。

Elmina城镇计划占地5000英亩,西区毗邻2700英亩的森林保护区,南方则由300英亩的Elmina中央公园。【南洋网财经】

东家送雇员和董事逾300万股

(吉隆坡1日讯)东家(E&O,3417,主板产业股)以周四闭市价2.92令吉,颁发超过300万股给符合资格的雇员和执行董事。

文告指,公司所派发的股票,有68万股是基于绩效表现的限制性股票,而236万股则是奖掖性质的限制股票。

该批股票的授予期限是在2017年7月31日。

有关根据绩效表现派发的股票,雇员和执行董事必须在授予期限,达到公司的要求及相关条件,才能够拥有该批股票。

公司或通过发行新股、回购股票、支付现金或综合方式,进行这项计划。

市值增至30亿

东家是在2012年9月27日,获批进行长期股票奖掖计划(LTIP)。

近期,该公司董事经理拿督谭家汉,以每股2.90令吉,收购森那美(SIME,4197,主板贸服股)手中的1亿1000万股或9.9%股权,把持股率增加至15%。

至于大股东森那美的持股率,则减少至22%。

同时,东家高级管理层亦拥有购买该批1亿1000万股的选择权。

谭家汉表示,这主要是因为公司核心团队的16人,在过去15年一起发展公司,把市值从1亿5000万令吉,增加至30亿令吉。【南洋网财经】

公开市场买20万股 吴玉钦增持东家至7.43%

(吉隆坡29日讯)东家(E&O,3417,主板产业股)向马交所报备,新加坡大亨吴玉钦通过新加坡吴玉钦控股,周三再增持了该公司20万股股票。

根据东家文告,吴玉钦是通过公开市场,于8月27日收购上述股权。但未透露该些股权是以何价位易手。

若以当天东家股价走势来看,预计以全日介于2.89令吉和2.92令吉之间的价格交易。

目前为止,吴玉钦共持有东家8256万股或7.43%股权。

其中0.18%股权为直接持有,其余的则都通过吴玉钦控股持有。

另外,东家也宣布,代表Libra Strategic Opportunity基金的联昌国际信托(CIMB Commerce Trustee),共售出了该公司260万股。

联昌减持至5.06%

该些交易分别于上周五(22日)和周一(25日)进行。同样未透露交易价。

东家于22日闭市价为2.95令吉,周一则以2.94令吉挂收。

目前,联昌国际信托手上的东家股权,已从6日的5.68%,减持至5.06%。【南洋网财经】

(吉隆坡5日讯)东家(E&O,3417,主板产业股)建议进行一系列企业活动,包括派发红股,免费凭单和发行中期票据。

此外,该公司建议以10配1比例派发红股,以及5配1比例派发免费凭单予持股人,奖励公司股东。

在此计划下,该公司将派发1亿1409万4461红股,以及2亿2818万8922张凭单。

发5亿票据

东家也建议发行面值不超过5亿令吉的中期票据(CP/MTN),首期计划将发行面值达3.5亿令吉中期票据。

中期票据的转换参阅价为5令吉,5日交易量加权均价(VWAP)溢价75.19%或2.146令吉。

假设首期计划的所有中期票据均转换为东家股权,该公司需发行7000万新股,相当于该公司股票的6.14%。

•        PROPOSED REDEEMABLE CONVERTIBLE MEDIUM TERM NOTES ISSUE
On behalf of the Board of Directors of E&O, Hong Leong Investment Bank Berhad wishes to announce that E&O is proposing to undertake the following proposals:
  • bonus issue of up to 114,094,461 stock units of RM1.00 each in E&O (“E&O Stock Units”) (“Bonus Stock Units”) on the basis of one (1) Bonus Stock Unit for every ten (10) existing E&O Stock Units held on an entitlement date to be determined later (“Entitlement Date”) (“Proposed Bonus Issue”);
  • issuance of up to 228,188,922 free warrants in E&O (“Warrants”) on the basis of one (1) Warrant for every five (5) existing E&O Stock Units held on the same Entitlement Date as the Proposed Bonus Issue; and
  • issuance of up to RM500,000,000 in nominal value of private debt securities in the forms of:


  • medium term notes (“MTNs”) pursuant to a proposed twenty (20)-year medium term note programme (“MTN Programme”); and/or
  • commercial papers (“CPs”) pursuant to a proposed seven (7)-year commercial paper programme (“CP Programme”).


For the avoidance of doubt, the combined limit of both the MTN Programme and the CP Programme shall not exceed RM500,000,000 in nominal value at any point of time during the tenure of the MTN Programme and/or the CP Programme.

The first issuance under the MTN Programme shall comprise of a five (5)-year redeemable convertible MTNs of up to RM350,000,000 in nominal value.
