The Board of Directors of LCB (“Board”), wishes to announce that Bright Steel Service Centre Sdn Bhd (“BSSC” or the “Vendor”), a wholly-owned subsidiary of Bright Steel Sdn Bhd (“BSSB”), which is in turn a wholly-owned subsidiary of the Company, had on 18 May 2016 entered into a conditional sale and purchase agreement (“SPA”) and business assets acquisition agreement (“BA”) with Axis Development Sdn Bhd (“ADSB”), for the disposal of the following for a total cash consideration of RM64 million (“Total Disposal Consideration”): (i) a piece of leasehold land measuring 453,500 square feet located in Shah Alam, Selangor (“Land”) together with a one (1) storey factory building with two (2) storey annexed office building, one (1) storey factory building with an office and ancillary buildings erected thereon (“Property”) for a cash consideration of RM61 million (“Property Consideration”) (“Proposed Property Disposal”); and (ii) cranes and shearing/slitting machineries (“Assets”) for a cash consideration of RM3 million (“Assets Consideration”) (“Proposed Assets Disposal”). 传美佳钢铁重组清债 拨11.3亿建炼铁高炉

（吉隆坡21日讯）传金狮（LIONCOR，3581，主板工业产品股）子公司美佳钢铁（Megasteel）将在企业重组和债务清偿活动中，拨出11.3亿令吉兴建一座新炼铁高炉。

根据《The Edge》所取得的法庭文件，美佳钢铁向债权人建议兴建的这座厂房，可降低生产成本与提高钢铁品质，有望帮助公司的热轧钢业务独立发展。

根据金狮主席兼董事经理丹斯里鐘廷森的宣誓书，在没有获得政府提高保护措施的环境中，美佳钢铁的业务并不可行。

不过，经过顾问公司Sage3资本私人有限公司评估后，结果显示，公司在投资新热炉和获得注资后，就能帮助业务独立发展。

因此，为了提振热轧钢业务，将设立一家名为“BF公司”的新公司，来持有新厂房和应用新科技。

为了展开这些企业重组和债务清偿活动，美佳钢铁将成立一家特殊用途公司（SPV），并发行每股10仙的100股给金狮多元控股（LIONDIV，2887，主板消费产品股），以及金狮独资子公司Limpahjaya认购。

同时，特殊用途公司也会发行2.5亿股给所有无担保的债权人。【南洋网财经】

金狮获判没触犯竞争法令．美丽华工业上诉

（吉隆坡17日讯）金狮机构（LIONCOR,3581,主板工业产品组）旗下子公司美佳钢铁今日获律师通知，美丽华工业（MELEWAR,3778,主板工业产品组）就竞争委员会（myCC）宣判金狮机构没触犯竞争法令提出上诉。

金狮：美丽华指控子虚乌有

金狮机构在文告中表示，持握79%股权的子公司并没有触犯竞争法令，美丽华工业指控为子虚乌有。

美丽华工业在2013年11月11日正式投诉金狮机构，表示金狮机构利用其主导地位，输入大量廉价热轧钢卷导致赚幅大减，使冷轧钢卷出现违反竞争效果；当时，竞争委员会认为金狮机构违反竞争法，重罚450万令吉。

但后来金狮机构提出上诉，竞争委员会经查证后，在今年4月15日表示美佳钢铁没有违反竞争法令。

Under the Proposed Decision, a financial penalty of RM4,500,000.00 is to be imposed by MyCC on Megasteel. 2. the announcement of the Company dated 15 April 2016 wherein it was announced that pursuant to a notice of finding of non-infringement from MyCC dated 15 April 2015, MyCC determined that there is no infringement by Megasteel of section 10(1) of the Competition Act, 2010 as stipulated in the Proposed Decision (“Finding of Non-Infringement”). In arriving at the finding of Non-Infringement, MyCC concluded that Megasteel did not abuse its dominant position nor practice margin squeeze in the relevant domestic markets. The Board of Directors hereby announce that MyCC had on 16 June 2016 informed Megasteel's lawyer that Melewar Industrial Group Berhad (the complainant upon whose complaint MyCC had initiated investigation against Megasteel) had on 13 May 2016, filed a notice of appeal to the Competition Appeal Tribunal against the Finding of Non-Infringement. Megasteel has been advised that the Finding of the Non-Infringement is correct and that the appeal by Melewar Industrial Group Berhad is baseless and without merit.

金狮机构修改资金用途

金狮机构（LIONCOR,3581,主板工业产品组）修改脱售资产後的资金用途。

金狮机构在文告中表示，从脱售资产所获得的6400万令吉，其中1000万令吉将用作偿还给该公司的债权人，每年可从中节省60万令吉利息，而用作营运资本的资金从4525万令吉减至3925万令吉。

金狮机构是在5月18日宣布旗下Bright钢铁服务中心私人有限公司以6400万令吉脱售位於沙亚南的产业和资产予AXIS发展私人有限公司。

待美佳钢铁与伙伴签约
金狮集团将退居幕后

（吉隆坡2日讯）金狮（LIONCOR，3581，主板工业产品股）主席兼董事经理丹斯里锺廷森接受访问时指出，一旦子公司美佳钢铁（Megasteel）与中国策略伙伴签署合约，将“退居幕后”。

他回应《The Edge》财经日报询问时指出：“我们正在研究股权比例为50比50的合作关系，并希望可在2至3个月内达成协议。”

美佳钢铁正进行重组计划，不过，该公司的相关策略伙伴还需获得债权人的同意。

钟廷森说：“我们（金狮集团）将继续持股50%，但我们会让他们管理（扩大后的公司）。退居幕后以后，我们只参与本地销售和与本地政府交涉等活动。”

无论如何，钟廷森以洽谈中，及未签订合约为由，拒绝透露潜在伙伴的名字。

另一方面，据熟悉该重组计划的消息人士，该合作伙伴是中国3大滚珠制造商之一，有能力为合作关系投资价值20亿令吉的器材。

这已不是金狮集团首次向中国伙伴招手，交易也有可能失败。

不过，据悉相关人士正积极完成该项合作关系。

2011年，有报道指中国第二大钢铁制造商宝钢集团曾考虑与金狮合作，但未成功。

另外，今年5月媒体报道，法庭文件显示，美佳钢铁将在企业重组和债务清偿活动中，拨出11.3亿令吉兴建一座新炼铁高炉，但文件并未提及外资认购股权一事。【e南洋】

金狮：美佳钢铁不侵权案‧美丽华取消上诉

（吉隆坡5日讯）金狮机构（LIONCOR，3581，主板工业产品组）表示，美丽华工业（MELEWAR，3778，主板工业产品组）已取消对其持股79%的美佳钢铁有限公司被指未违反大马竞争委员会（MyCC）竞争条款所作的上诉行动。

金狮机构在文告中表示，美佳钢铁2013年11月3日，被大马竞争委员会指违反2010年竞争法令第10（1）条款，即美佳钢铁滥用其主导地位，运用热轧钢优势压缩冷轧钢赚益，因而被罚款450万令吉。

不过，4月15日，大马竞争委员会在不侵权调查中，发现美佳钢铁并没有滥用其主导地位，在市场压缩竞争者之赚益。

该公司文告说，美丽华工业6月16日针对上述不侵权调查，在竞争上诉审裁处提出上诉。

大马竞争委员会在7月5日通知该公司，美丽华工业律师团6月21日决定取消上诉，该会也不反对此取消行动。随着此进展，上述针对美佳钢铁的个案已完结，而不侵权调查结果是最终的。

外汇和减值损失降 金狮末季亏损收窄

（吉隆坡22日讯）金狮（Lion Corporation Bhd）第四季亏损收窄，归功于外汇和减值损失走低。

该集团今日向大马交易所报备，截至6月杪的2016财政年末季，净亏9435万令吉，相比去年同期的2亿779万令吉。

外汇损失为646万令吉，低于同期的2280万令吉；投资的减值损失也自258万令吉，降至4万1000令吉。

末季营业额从4亿3649万令吉，下挫93.2%至2983万令吉，主要由于热轧钢售价和销量因外国出口商持续的倾销活动而下跌。

2016财年的净亏自2015财年的5亿2297万令吉，缩小至4亿5944万令吉；营业额大跌66.4%至7亿119万令吉，同期是20亿9000万令吉。

金狮指出，由于主要子公司美佳钢铁（Megasteel）暂时停业，经商环境因而艰难。

“随着美佳钢铁的营运暂时停止，本集团预计2017财年的营运环境保持艰苦。”

“产业和家具业务预计维持温和表现。”

传美佳钢铁关万津厂房

（吉隆坡10日讯）消息称，金狮（LIONCOR，3581，主板工业产品股）旗下的美佳钢铁（Megasteel），已经结束在雪州万津的厂房营运。

《星报》引述消息报道，该17年历史的旧扁钢厂房，已经结束营运。

管理层全面结束厂房营运的决定，是在8月30日生效，直至进一步通知，不过，本地钢铁业者均不感意外。

“1月至8月，厂房没有接获新订单。厂房也已经变成单一轮班制，全面关厂将导致800名员工失去工作。”

消息指，美佳钢铁需要至少关厂一阵子，已是个公开的秘密，因为仍没有白骑士解救“流血不止”的公司。

值得注意的是，美佳钢铁是我国首个综合钢厂，每年产出的扁钢产品，包括320万公吨的热轧板卷，和145万公吨的冷轧卷板。

不过，金狮集团旗下其他的钢厂，包括Amsteel Mills和Antara Steel Mills，相信仍在营运中。

根据消息，这是因为Antara Steel Mills目前是以50%的产能运作，且长钢的需求依旧稳健，因有政府的建筑和基建项目在支撑。

由于中国进口的产品加剧领域竞争，美佳钢铁已有超过5年的业务受到冲击。【e南洋】

金狮:外资倾销打击大
美佳钢铁暂停营业

（吉隆坡14日讯）金狮（LIONCOR，3581，主板工业产品股）指出，该公司在公布第三和四季财报时，已经宣布了旗下美佳钢铁（Megasteel）暂停营业的消息。

金狮今天向马交所报告，由于贸工部在今年1月宣布，停止了针对有关热轧钢进口的调查，这个举措进一步打击了美佳钢铁的营运，进而导致该公司裁员。

金狮是针对“美佳钢铁关闭万津厂房”的报道，发文告澄清。

金狮指出，该媒体是根据业界消息而做出报道。

此外，金狮也说，美佳钢铁已经蒙受亏损多年，归咎于外国厂商在本地市场大量倾销钢铁产品，因此，该公司是根据市况间歇性运作。

之后，随着政府停止调查热轧钢进口问题后，美佳钢铁深受打击并暂停营业。

目前，金狮持有美佳钢铁79%股权，企业21%是由金狮多元控股（LIONDIV，2887，主板消费产品股）持有。【e南洋】

Reference is made to the article published in The Star newspaper dated 10 September 2016 entitled “Megasteel closes Banting plant” (“Article”). Megasteel Sdn Bhd (“Megasteel”) is a 79%-owned subsidiary of Lion Corporation Berhad (the “Company”) and the balance 21% is owned by Lion Diversified Holdings Berhad. In this regard, the Board of Directors of the Company hereby wishes to clarify that the Article was quoting industry sources. Megasteel has been suffering losses in the past several years due to excessive dumping of steel products by foreign millers and had been operating intermittently depending on market conditions. The announcement in January 2016 by the Ministry of International Trade and Industry that the Government had terminated the investigation for the Safeguard Petition on imported Hot Rolled Coils ("Government Decision") had further impacted Megasteel’s operations which resulted in the retrenchment of its staff. The Company had in its Interim Financial Reports for the quarters ended 31 March 2016 and 30 June 2016 reported that Megasteel had temporarily ceased operation following the aforesaid Government Decision.

延交重组计划被拒
金狮面对除牌厄运

2016年9月30日
（吉隆坡29日讯）大马交易所宣布，拒绝金狮（LIONCOR，3581，主板工业产品股）展延呈交重组计划日期的申请，因此，公司股票须在下月10日暂停交易，并在12日除牌。

马交所是考量到金狮多次无法在限定的期限内，呈交重组计划并获得批准，因此，才驳回金狮的展延申请。

因此，金狮的股票交易将在10月10日暂停，并在两天后除牌。

在这段期间，金狮可在10月7日前提出上诉，任何逾期呈交的上诉将不会受理。

如果金狮在10月7日前提出上诉，10月12日的除牌行动将会推迟，直到马交所对有关上诉做出裁决为止。

金狮因财困在2013年10月25日陷入PN17。

马交所曾在2014年12月19日、2015年4月10日、2015年10月5日、2016年5月4日和2016年7月29日，批准展延呈交重组计划，但都没有显著进展。【e南洋】

Suspension and De-Listing of Lion Corporation Berhad

Bursa Malaysia Securities Berhad (Bursa Securities) has rejected the application of Lion Corporation Berhad for a further extension of time to submit its regularisation plan.  Hence, the Company has failed to comply with its obligation to regularise its condition to submit its regularisation plan and obtain Bursa Securities approval of its regularisation plan within the stipulated timeframe.

In the circumstances and pursuant to paragraph 8.04(5) of the Main LR, please be informed that:-

1) the trading in the securities of the Company will be suspended with effect from 10 October 2016; and

2) the securities of the Company will be de-listed on 12 October 2016 unless an appeal against the de-listing is submitted to Bursa Securities on or before 7 October 2016 (“the Appeal Timeframe”). Any appeal submitted after the Appeal Timeframe will not be considered by Bursa Securities.

In the event the Company submits an appeal to Bursa Securities within the Appeal Timeframe, the removal of the securities of the Company from the Official List of Bursa Securities on 12 October 2016 shall be deferred pending the decision on the Company’s appeal.

With respect to the securities of the Company which are currently deposited with Bursa Malaysia Depository Sdn Bhd ("Bursa Depository"), the securities may remain deposited with Bursa Depository notwithstanding the de-listing of the securities from the Official List of Bursa Securities. It is not mandatory for the securities of a company which has been de-listed to be withdrawn from Bursa Depository.

Alternatively, shareholders of the Company who intend to hold their securities in the form of   physical certificates, can withdraw these securities from their Central Depository System (CDS) accounts maintained with Bursa Depository at anytime after the securities of the Company have been de-listed from the Official List of Bursa Securities. This can be effected by the shareholders submitting an application form for withdrawal in accordance with the procedures prescribed by Bursa Depository. These shareholders can contact any Participating Organisation of Bursa Securities and/or Bursa Securities’ General Line at 03-2034 7000 for further information on the withdrawal procedures.

Upon the de-listing of the Company, the Company will continue to exist but as an unlisted entity. The Company is still able to continue its operations and business and proceed with its corporate restructuring and its shareholders can still be rewarded by the Company’s performance. However, the shareholders will be holding shares which are no longer quoted and traded on Bursa Securities.

金獅機構10月12日恐遭除牌 鍾廷森企業王國危機四處

（吉隆坡30日訊）由丹斯里鍾廷森一手打造的企業王國，從鋼鐵到零售，國內拼至海外，輝煌一時；然而近幾年卻不敵商業大環境轉變與挑戰，旗下上市公司從被追債、陷入PN17行列，裁員、轉售等負面消息不斷，前景堪虞，危機四處。

大馬交易所昨日拒絕金獅機構（LIONCOR，3581，主要板工業）進一步延遲提呈重組計劃的期限，該股將于10月12日遭除牌。

鍾廷森旗下的百盛控股（PARKSON，5657，主要板貿服）剛于本月14日宣佈，以16億7000萬元人民幣（約10億3500萬令吉）脫售北京華德盛物業管理公司，有意退出中國零售市場。

其他業務亦虧損

除了零售業，向來有“鋼鐵大王”之稱的鍾廷森，領域營運艱巨的鋼鐵事業同樣碰釘子。金獅集團（Lion Group）本月14日同時證實，旗下美佳鋼鐵（Megasteel）煉鋼廠已暫停運作。

金獅機構持有美佳鋼鐵79%股權，美佳鋼鐵剩余的21%股權則由金獅多元控股（LIONDIV，2887，主要板消費）持有。

鍾廷森掌控多家國內上市公司，除了百盛控股、金獅多元控股，其他如金獅工業（LIONIND，4235，主要板工業）和金獅木業（LIONFIB，8486，主要板消費）亦蒙虧。

截至6月底2016年全財年，金獅工業虧損7億8859萬令吉，金獅木業則虧3億8488萬令吉。

美佳鋼鐵及安塔拉鋼鐵（Antara Steel）約40名員工，今年5月初在金獅集團總部外集會，要求鍾廷森關注裁員及削減員工薪資問題。

美嘉鋼鐵去年10月份宣佈，多年前因進口鋼鐵產品旺盛而陷入虧損，導致無法支付在9月23日到期的銀行承兌匯票，總欠款達30億2000萬令吉。

大馬交易所拒絕PN 17行列公司金獅機構進一步延遲提呈重組計劃的期限，該股難逃除牌命運。

金獅機構于週四（29日）報備，指遭馬證交所拒絕讓公司再度延長提呈重組計劃的期限。除非該公司在下週五（10月7日）前，向馬證交所提出上訴，否則股票將在10月10日暫停交易，並于10月12日除牌。

該公司在本月1日宣佈，提呈重組計劃的期限于今年7月31日到期，並向馬證交所要求將期限進一步延長至11月30日。

該公司自2009年開始面對虧損，在2013年10月份陷入PN 17行列。該公司在去年10月份宣佈，作為重組計劃的一部分，正尋求潛在投資者。

80年代為全盛時期

80年代事業王國處于全盛時期的鍾廷森，如今旗下事業卻落得慘兮兮局面。

整個鋼鐵業因受中國供應過剩困擾，嚴重打擊鍾廷森的鋼鐵公司業績，除了金獅工業，他所掌控的其他4家上市公司同病相憐，皆面對虧損。

其中，百盛控股截至6月底2016財年末季虧損按年擴大10%至9580萬令吉，全年虧8948萬令吉。

金獅多元控股2016財年末季由盈轉虧，蒙受7億3769萬令吉虧損，全年虧損為8億2082萬令吉。金獅機構末季虧損收窄55%至9435萬令吉，去年虧損也縮減12%至4億5944萬令吉。

如今落魄的上述公司，在“想當年”可是經歷了輝煌的80年代，當時金獅集團每年營業額平均增長率達到34%。

自小在經商環境下成長的鍾廷森，在父親去世后，則接管了父親在國內的業務，大哥鍾廷基繼承了父親在新加坡的業務。

他將父親創辦的德興製造公司、德昌製造公司及金獅金屬製造公司合併，易名為金獅（私人）有限公司，于1981年在大馬交易所上市。

鍾廷森每股75仙
脫售百盛控股5.18%

金獅木業以每股75仙，即總值4200萬令吉，向鍾廷森收購持有的百盛控股5.18%股權。

金獅木業向馬證交所報備，週五（30日）與鍾廷森簽署股權買賣協議，以總值4200萬令吉，相等于每股75仙，向鍾廷森收購百盛控股5600萬股，相等于約5.18%股權。

根據報備文件，金獅木業將通過內部融資，支付上述股權收購。

金獅木業指出，上述股權收購將讓公司有機會以百盛控股過去5日加權平均股價（VWAP），折價約5%收購股權。是項收購，加上百盛控股的轉型計劃或可改善百盛控股未來表現。

根據百盛控股週二（27日）報備文件，鍾廷森在上週四（22日），通過交換由金獅多元控股子公司，即Excel Step 投資有限公司（Excel step Investments Ltd）發行的可交換債券交，脫售公司831萬股。通過是項股權買賣，鍾廷森將持有百盛控股6億4572萬股。

另外，鍾廷森週一（26日）脫售金獅木業30萬股，將持股降低至1億7036萬股。【中国报财经】

不上诉延呈重组计划
金狮12日除牌

（吉隆坡4日讯）由丹斯里锺廷森领导的金狮（LIONCOR，3581，主板工业产品股）在要求展延呈交重组计划被拒后，今日表示将不会寻求上诉，将于10月12日正式除牌。

金狮今日发文告指，基于该公司有关重组计划的所有重要发展都已经向马交所披露，而决定不再上诉。

继续营运

这意味着，根据马交所条例，该公司股票须在10月10日暂停交易，在12日除牌。

金狮指，该公司将以非上市公司的模式下，持续运作。

上周四，马交所因考量到金狮多次无法在限定期限内呈交重组计划，拒绝金狮再次要求展延呈交重组计划日期的申请。

马交所曾经在2014年12月19日、2015年4月10日、2015年10月5日、2016年5月4日和2016年7月29日，批准展延呈交重组计划，但是仍没有显著进展。

由于财务困难，金狮在2013年10月25日陷入PN17公司。

早前，金狮更宣布，旗下的美佳钢铁（Megasteel）暂停营业，归咎于市况艰难。【e南洋】

金狮集团Amsteel Mills“清厂”
同业争相竞标

（巴生5日讯）《南洋商报》探悉，金狮集团旗下位于巴生的钢铁厂，目前正在进行“清厂”的招标工作，引起同业关注，有意争相竞标。

金狮集团旗下钢厂Amsteel Mills有限公司于1978年开始运作，主要拥有两家厂房，分别位于雪州巴生武吉拉惹工业区及万津。

其中，巴生厂房设于1982年，拥有现代化设施，包括100吨电弧炉及6台连铸机，以生产钢坯；而位于万津钢铁厂则拥有160吨电弧炉及钢包炉，以生产特别等级的钢条和钢线，作为供应汽车零件、弹簧、车削零件等特殊用途。

根据消息来源，金狮集团位于巴生的钢铁厂房开始进行清理与拆除工厂的招标工作，引起同业关注。

仍有员工上班

“这是一个相当大的工程，不少业者都表示有意参与竞标。”

据本报记者观察，位于武吉拉惹工业区的Amsteel Mills厂房主要出入口有辅警站岗，同时办公楼和工厂仍有员工上班，未见有大动作的“清厂”工作。

Amsteel Mills有限公司拥有生产75万吨钢产能及85万吨小型材的轧钢产能，并曾在东盟关税优惠政策下，计划扩展产力至150万吨。

该公司也曾于1994年获思灵（SIRIM）颁发ISO 9002品质认证及1995年获英国标准机构认证。【e南洋】

针对《南洋商报》昨日A4版有关“金狮集团Amsteel Mills清厂”的新闻，金狮集团企业关系部发出信函，指正这则新闻报道错误。

“对于这则错误的消息来源以及不正确的报道，我们感到非常担忧。”

本报是引述消息指出，金狮集团旗下位于巴生的钢铁厂，目前正在进行“清厂”的招标工作，引起同业关注，有意争相竞标。

王宝钦．“狮”魂落魄

1981年5月上市的金狮机构（LIONCOR，3581，主板工业产品组），将在两天后告别马股，结束35年上市生涯。

对比大马股票交易所发出的除牌令及金狮机构放弃上诉的文告，可见两者较劲意味浓厚。

首先，交易所上月29日公布，由于金狮机构的重组规划并无“重大进展”，因此决定驳回该公司延后至11月30日呈交重组计划的申请。

当时，交易所也下令，该公司股票须于周一（10日）暂停交易，如果未在停牌前最后交易日（7日）上诉，股票将在周三（12日）除牌。

金狮机构上周二（4日）盘后宣布放弃上诉，结束2013年10月列入PN17陷困公司以来的挣扎。

该公司在文告中强调，虽然已向交易所呈报所有重组计划的“重大进展”，而交易所最终仍决定发出除牌令，因此董事部决定放弃上诉，并在股票除牌后，以未上市公司形式经营公司业务。

宣布放弃上诉隔天，金狮机构股价走势有惊无险，虽然盘中下跌0.5仙或50%后，终场仍成功守住1仙平盘价，全天共有2040万6700股易手。

上周五（7日），金狮机构以0.5仙平盘挂收，全天共有3303万零800股易手。

钢铁业步入多事之秋，导致金狮机构连续亏损5年。截至今年6月30日止2016财政年，虽然该公司赤字略为收窄，但仍蒙受高达4亿5943万6000令吉净亏。

董事部在初步财务报告中说，美佳钢铁（Megasteel）暂时停运后，预期2017财政年营运环境“依然艰难”，并认为房产和家具业务将表现平平。

由于主导世界钢铁业的中国减产步伐迟缓，分析员普遍看淡国内钢铁公司业务展望，金狮机构更是首当其冲，未来数年相信会继续陷于赤字泥沼，除牌恐怕只是时间问题。

唯一值得庆幸的是，由于金狮机构大部份股权都掌握在丹斯里钟廷森手中，股票除牌不至于为马股造成深远影响。

交易所数据显示，钟廷森透过金狮多元控股（LIONDIV，2887，主板工业产品组）和金狮工业（LIONIND，4235，主板工业产品组）等属下公司，分别直接和间接持有金狮机构的3.96%和65.48%股权。

至于其他来不及跳船的小股东，只好自求多福了。
