(All abbreviations used in this announcement are defined in the announcement dated 23 July 2012)
We refer to the earlier announcements on the Proposals.
On behalf of the Board, M&A Securities is pleased to announce that Inari International and Richard Ta-Chung Wang, a duly authorised representative of the Vendors had vide an exchange of letters concluded that the NTA Statement was obtained based on a Special Audit on Amertron Group conducted by Messrs SJ Grant Thornton (as set out in Section 2.1.8(iv)(c)(b)(i) of the announcement dated 23 July 2012).
Based on the Special Audit, the parties to the SPA duly confirm their mutual agreement, settlement and adjustment in relation to the provisions of the SPA as follows:
(i) the Special Audit NTA based on the NTA Statement issued by Messrs SJ Grant Thornton amounts to USD38,622,024;
(ii) the NTA Statement shall be final and binding on the parties to the SPA;
(iii) the final Purchase Consideration amounts to USD39,658,845 after taking into consideration the Special Audit NTA, the agreed property valuation surplus amounting to USD1,036,821 and a withholding tax deduction amounting to USD1,148,827;
(iv) the parties to the SPA have agreed that the net excess NTA amounts to USD6,510,018.
Based on the Paragraphs (i) to (iv) above, and in accordance with the terms of the SPA, Inari International agrees to pay to Richard Ta-Chung Wang (a duly authorised representative of the Vendors), an amount equivalent to USD6,510,018.
Save for the above, there are no other changes to the terms and conditions of the SPA.
