非法操縱股票交易 股票經紀罰14萬吊銷執照

(吉隆坡26日訊)抽佣經紀林進發(譯音)非法操縱萬拿第一(MAGNA,7617,主要板建築)股票交易,遭馬證交所公開申誡、罰款14萬令吉並吊銷執照12個月。

馬證交所文告指出,林進發在涉案期間為珍珠白沙羅(Mutiara Damansara)肯納格投銀分行抽佣經紀,已違反馬證交所條例401.1(3)、404.3(1)及1302.1(1)(a)及(g)。

林進發利用客戶,即妻子、父親及姐妹戶頭操縱萬拿第一股票,以同樣價位買進后脫售,營造交投活絡及股價波動假象。

“交易每日進行並維持數月,並引來新客戶買進,違反專業股票經紀操守。”

馬證交所強調,必須維持公平有序市場,不會容忍任何導致不實交易、操縱活動和危及市場完整性的行為。

對于涉及不當活動或違反條規者,當局將會採取適當行動,包括將註冊人除名及罰款。【中国报财经】

向玛拿第一出价3.7亿 传KWAP购黎明华小旧址

(吉隆坡6日讯)消息传出,公务员退休基金(KWAP)将收购玛拿第一(MAGNA,7617,主板产业股)旗下的黎明国民型华文小学地段。

根据《星报》引述消息报道,玛拿第一有意脱售这块1.06公顷的安邦路地段,相信KWAP每平方尺将出价3300令吉,预计收购价格达3亿7660万令吉。

“这块地皮估计价值介于3.6亿令吉至4亿令吉之间,但玛拿第一仍在市场中,寻找出价更高的买家。”

KGV国际产业咨询公司执行董事安东尼蔡(译音)指出,黎明小学临近吉隆坡市中心,处于策略地理位置。

除了是安邦路的黄金地段之一,也具备可观的面积,可进行产业发展项目。

“由于产业市场放缓,预料吉隆坡的土地价格将介于每平方尺3000令吉至3500令吉的水平。”

目前,双峰塔附近的产业发展地段,最高的成交价为每平方尺3300令吉。

而玛拿第一则在5年前,以1.482亿令吉或每平方尺1350令吉,将这块土地纳入地库。

若KWAP落实交易,将是该基金首次投资于国内产业发展领域。

首次投资国内

这项潜在的收购计划,符合KWAP收购具有发展潜力地区的投资策略。

早前,KWAP计划把基金的14%投资在产业市场,其中6%为国内产业,另8%投资则是国际产业。

玛拿第一今天交投淡静,闭市时报91仙,起1仙或1.11%,成交量只有区区的2万5000股。【南洋网财经】


否認獲KWAP購地獻議‧麥納首要:尚無正式計劃書

(吉隆坡6日訊)麥納首要(MAGNA,7617,主板產業組)並未否認接獲退休基金局(KWAP)收購吉隆坡市中心黃金地段的獻議,惟目前尚無正式計劃書。

該公司發表文告說,與董事部求證後,確認接獲超過一個單位表明收購安邦路黎明小學地段的意願。

不過,該公司強調:“截至目前,公司並未收到任何一方提出有關黎明小學安邦路土地的正式計劃書。”

該公司表示,對於任何符合公司策略、儘量提高股東回酬、帶動未來業務成長的建議,他們向來抱持開放態度。

該公司補充,如果計劃有進展,將適時公佈當中詳情。

(吉隆坡30日讯)玛拿第一(MAGNA,7617,主板产业股)献议以2送1比例,赠送1亿8605万2813张凭单奖励股东。

根据文告,每持有2股者,可获赠1张凭单,行使价为每张90仙,较5日加权均价低20.09%。

为配合凭单赠送活动,该公司也献议将注册资本,从目前的1亿2540万令吉,扩大至2亿40万令吉,包含8亿股普通股,以及4000万股可赎回可转换优先股。

玛拿第一首季净利飙2.4倍

(吉隆坡13日讯)墨尔本产业发展计划贡献良好,玛拿第一(MAGNA,7617,主板产业股)截至3月底首季,净利飙涨242.43%,达6467万1000令吉,或相等每股19.43仙。

根据文告,去年同期的净利为1888万6000令吉,或每股5.67仙。

营收从1亿3324万9000令吉,年增193.12%,达3亿9058万4000令吉。

玛拿第一表示,墨尔本的“The Istana”产业发展计划,是首季业绩报佳音最大功臣,抵消贸易、建筑和工程业务的低迷情况。【南洋网财经】

诉雪发展局终止合约 玛拿第一索赔242万

(吉隆坡20日讯)玛拿第一(MAGNA,7617,主板产业股)子公司Ibsul发展(雪兰莪)私人有限公司,起诉雪州发展局(PKNS),索取高达242万令吉的“特殊损失”。

玛拿第一昨天向马交所报备,雪州发展局擅自终止地皮B的买卖合约(S&P)是违法的,因此,决定诉诸法律行动。

玛拿第一表示,其独资子公司Winicon私人有限公司旗下的公司Ibsul,已对雪州发展局采取法律行动,强迫后者履行于2009年8月5日签署的买卖合约。

根据文告,该买卖合约是关于两块价值1850万令吉的土地收购。地皮A及地皮B的售价,分别是1110万令吉及740万令吉。

Ibsul已经付清地皮A价格及完成其发展。

“估计的损失局限于价值740万令吉的地皮B,以及445万令吉的发展成本。”

“雪州发展局私自终止地皮B买卖合约,因此,玛拿第一向前者索取242万令吉‘特殊损失’,包括普通损失、利息及成本损失。”【南洋网财经】

Magna Prima Berhad ("MPB" and/or Company) - Writ of Summons and Statement of Claim by Ibsul Development (Sel) Sdn Bhd, against Perbadanan Kemajuan Negeri Selangor ("PKNS").
The Board of Directors of MPB wishes to announce on 18th May 2015, a Writ of Summons and Statement of Claim had been served by Ibsul Development (Sel) Sdn Bhd (“Ibsul”) (a wholly owned subsidiary of Winicon (M) Sdn Bhd, which is a wholly owned subsidiary of the Company) against PKNS for specific performance in order to compel PKNS to fulfill all their obligations relating to the Sale and Purchase Agreement dated 5th August 2009 and to claim a special damages amounting to RM2,416,138.55 as well as general damages, interests and costs.

The Sale and Purchase Agreement dated 5th August 2009 relates to the purchase of land at a purchase price RM18,500,000.00 with the breakdown as follows:-
  • RM11,100,000.00 in respect of Plot A (“Purchase Price of Plot A”); and
  • RM7,400,000.00 in respect of Plot B (“Purchase Price of Plot B”).

The purchase price of Plot A was fully paid by Ibsul and Ibsul has completed the development in Plot A.

The reason leading to the Writ of Summons was due to termination by PKNS on the said Sale and Purchase Agreement with regards to Plot B which Ibsul asserts was unlawful.

The expected losses are restricted to the costs of the land of Plot B of RM7.4 million and costs of development of RM4.45 million.

玛拿第一拟年杪售3地 入账5亿 50%分股东

(吉隆坡21日讯)玛拿第一(MAGNA,7617,主板产业股)计划在年杪脱售3块土地,估计可入袋5亿令吉。

这些将脱售的土地包括黎明华小地段、莎阿南的20英亩土地,以及八打灵再也的7英亩土地。

《星报》引述玛拿第一董事经理拿督拉哈迪安谈话指,该公司将通过脱售所得,用于购买一些小面积地段来推展产业发展,每个项目赚取的盈利,将拨出50%作为股息予股东。

根据估价师,黎明华小地段目前的市值约3亿5000万令吉,这明显高于该公司于2010年以1亿4820万令吉买入时的价格。

至于,莎阿南和八打灵再也的土地也是在5年前购入,土地价值同样飙升了许多。

拉哈迪安说,该公司目前正物色代理,以将黎明华小土地售出。

展望未来,玛拿第一计划发展小型利基产业项目,发展总值约2亿至3亿令吉,并放眼每年完成2至3个项目。

該公司首席執行員拿督拉哈典瑪穆表示,已脫售吉隆坡黎明華小、八打靈再也及沙亞南黃金地段籌措5億令吉,未來將專注於發展總值分別2億5千萬及3億令吉的巴生河流域土地。

這策略與夭折的10億令吉大型發展計劃背道而馳,包括發展總值18億令吉的安邦路黎明華小及14億令吉的沙亞南20英畝麥納Eco城計劃。

拉哈典瑪穆指出,公司大部份長期債務與這些土地有關,脫售有助於舒緩資產負債表。

截至2015年3月31日止第一季,該公司分別背負2億4千280萬及7千570萬令吉長期及短期債務。

財務持穩後,該公司計劃發展巴生河流域小型土地,撥備4千萬內部資金進行該計劃。

“比起一項價值過10億以上的發展計劃,我們更需要可以快速周轉的土地及發展容易售出的中型產業。

目前該公司最大產業是墨爾本的The Istana高樓住宅計劃,發展總值5億6千萬令吉。

不過,這引發麥納首要究竟是產業發展商還是土地商的疑問,一些市場觀察家對於該公司脫售發展價值可能更高的黃金地段感到擔心,因沙亞南20英畝地段價值已在過去3年倍增。

麥納首要是在2012年以1億令吉購入該地,如今以每平方尺250令吉脫售,可能是上市公司脫售沙亞南土地的歷史性價格。

從去年3月至10月期間,沙亞南土地脫售價從每平方尺75令吉起至214令吉。

儘管如此,該公司並不急需強化資產負債表,因短期債務僅需在12個月內償還,至今尚有現金可應付。

不满The Avare公寓品质 24人起诉玛拿第一

(吉隆坡10日讯)由于不满位于城中城区域(KLCC)六星级高级休闲公寓———The Avare的服务品资,因此,有24人起诉玛拿第一(MAGNA,7617,主板产业股)以及其子公司Embassy Court有限公司,要求赔赏2500万令吉。

据玛拿第一发出文告中指出,其起诉目的是不满该公寓的劣质设计、使用低品质建材、劣质建筑工艺、不符合应有六星级公寓水准;同时,也对上述两家公司虛假陳述感到不满。

玛拿第一指出,公司已咨询法律顾问,有信心能够抗辩成功。

据该公司官方网站指出,该公寓获“超级豪华公寓”头衔,共有41层楼高,内有78住宅单位。

该项目总值1亿4800万令吉,建筑方式使用工业建筑系统(IBS),能在短时间内完成。

Plaintiff Dr. Adam Victor and 23 others have filed a suit against the 1st defendant Magna Prima Berhad  ( MPB) & 2nd defendant Embassy Court Sdn  Bhd ( ECSB) for the sum of RM 25,000,000.00 on the development project known as THE AVARE @ KLCC.
The plaintiff claimed premised on:-
i) Alleged poor and defective façade design, low quality material, poor workmanship, failure to fully rectify the defect in the parcel and common property, structurally unsound construction and breach of the implied term to build and deliver a six star luxurious condominium ; and

ii) Alleged misrepresentation by MPB and ECSB.

ECSB was the developer/ vendor of the said development while MPB was only the proprietor of the land on which the Avare @ KLCC located.

MPB has instructed its solicitors to file an Application to Strike Out the plaintiffs claim against MPB and ECSB to file a defense in respect of Plaintiffs claim respectively.

Solicitors for MPB and ECSB are of the view that MPB has a strong and good chance of succeeding in the Striking out Application while ECSB has a reasonable chance in defending the plaintiff’s claim.

The expected losses are restricted to the total sum claimed by the plaintiff.

挑高設計、落地玻璃、無敵景致,再到別緻園林、私人泳池等配套設施,這些都是產業發展商為購屋者描繪的美好家園形象,希望消費者能心甘情願把錢掏出來,將打造理想家園的工作交給他們來辦。

發展商為消費者打造了如此美好的願景,消費者甘心為圓夢掏了大把鈔票買單,因此以客為尊的發展商自然得盡心盡力,為消費者鞠躬盡瘁,全心全意地為他們服務。

問題是,很多時候夢想始終是夢想,現實卻是殘酷的,許多消費者眼中所見,手掌所觸卻往往與心中所想相去甚遠,美好家園形象被發展商們張張空頭支票給擊碎。

最近,24位吉隆坡城中城(KLCC)六星級公寓The Avare屋主就入稟法院,起訴麥納首要(MAGNA,7617,主板產業組)稱該公司的超級公寓貨不對辦,索償2千500萬令吉。

根據起訴文件,該群屋主認為,整個公寓手工粗劣,並存在立面設計缺陷、原料品質低劣等問題,與發展商興建和移交6星級豪華公寓的條款不符,而麥納首要則忙著為自己辯護,捍衛優質產業發展商形象,並申請駁回原告的訴求。

產業網站資料顯示,The Avare豪華公寓身價不菲,發售價高達310萬令吉至800萬令吉,屋主們自然憧憬物超所值,誰知卻落得空歡喜一場。

現在,發展商尚未對外發言,單憑消費者片面之詞就判發展商有罪,未免太不公平。但從我國產業糾紛不斷,不難發現我國產業市場實在存在許多挂羊頭賣狗肉的勾當,雖然政府已不斷通過強化立法來保障消費者權益,可是成效卻似乎不是很好。

更要命的是,近年來產業市場大好,許多公司紛紛轉投產業市場分一杯羹,更讓人憂心國內產業品質的良莠不齊。現在,連產業老手也恐怕名節不保,那些半路出家的新手該如何叫人安心?看來政府是時候對現有產業法令檢討檢討了,否則叫我們如何住得安心呢?(星洲日報/投資致富‧投資茶室‧文:洪建文)

MAGNA PRIMA BERHAD ("MPB" OR THE "COMPANY")REDEMPTION OF 40,000,000 REDEEMABLE CONVERTIBLE PREFERENCE SHARES OF RM0.01 EACH IN MPB ("RCPS")
The Board of Directors of MPB (“Board”) wishes to announce that MPB had on 23 June 2015 decided to exercise its right in accordance with the terms and conditions of the Subscription Agreement dated 11 August 2014 with Lembaga Tabung Angkatan Tentera (“LTAT”) to fully redeem and cancel the entire 40,000,000 RCPS which were issued to LTAT on 23 December 2014.

The redemption price of the RCPS was RM1.00 per RCPS and paid together with the dividend for the RCPS, accruing up to and including the date of the redemption as per the terms of the Subscription Agreement.

After taking into consideration, amongst others, the current and future working capital requirements, the gearing level of the MPB Group and as part of the ongoing efforts to rebalance its debt portfolio, the Board views that the early redemption of the RCPS will enable MPB to enjoy interest savings of RM2,759,145 and reduce MPB Group’s gearing level from 1.55 times to 1.36 times as at 31 March 2015 (based on the latest announced quarterly results), on a proforma basis.

經紀操縱股票遭吊銷執照

(吉隆坡2日訊)證券監督委員會(SC)宣布,吊銷抽佣經紀林進發(譯音)的資金市場服務代表執照(CMSRLs),並已從今年5月28日起生效。

根據證監會發佈的文告,林進發本是肯納格投銀分行抽佣經紀,在2007年資金市場及服務法令(CMSA 2007)第71和第65條文下,因操縱萬拿第一(MAGNA,7617,主要板建築)股票交易而被吊銷執照。

此外,林進發較早前已遭馬證交所公開申誡、罰款14萬令吉並吊銷執照12個月。他並未在該法令的指定時間內針對此結果提出上訴。【中国报财经】

(吉隆坡8日讯)Magna Prima Bhd ( Financial Dashboard)计划脱售座落于巴生谷地区的主要地段,目前正在评估所接获的收购献议。

Magna Prima总执行长Rahadian Mahmud Mohammad Khalil表示:“对于出售所拥有的主要地段,我们对此相当认真。迄今,我们也接获数项献议,惟仍在等待一些买家重新调整他们的价格,我们希望在不久的将来完成交易。” 他是在公司今日的特别股东大会后,发表上述言论。

他指出,Magna Prima正与数名买家协商,其中包括主要发展商,惟他却没透露买家的身份。

目前,Magna Prima拥有逾30英亩的主要地库,这也包括该公司计划出售的地段。

Rahadian透露: “若我们成功脱售地皮,我们会再填充地库。脱售地皮可为我们带来大量资金,我们会使用这些资金去收购为公司快速带来回酬的计划。”

他补充,Magna Prima正在物色大吉隆坡地区(Greater KL)以及巴生谷一带的地段。

这些主要地段包括位于莎阿南15区一块占地20英亩的地皮、吉隆坡黎明小学旧址,以及两块位于八打灵再也的地皮。

Rahadian强调,Magna Prima可能重新考虑出售这些地段,惟这得取决于哪块地皮先出售,以及整体市场的前景。

鉴于马来西亚经济前景不稳定,他披露,Magna Prima(基本面:1.1;估值:2)脱售一些主要地段为防守举措。

“每个人都知道大马目前处于有点危险和不稳定的位置,因此,我们需要作内部加强,以改善流动现金的情况,以应对任何即将来临的风暴。”

Rahadian补充,由于货币前景疲弱,Magna Prima将不会进行海外发展计划。

另一方面,他也表示,Magna Prima正考虑多元化收入来源,以免过度依赖房地产发展,惟他却拒绝透露公司正在考虑什么选项。   

虽然大马市场前景依然不明朗,Magna Prima表示今年将持续获利,主要来自位于澳洲墨尔本的The Istana,以及两项进行中的发展计划——座落于古晋路的Boulevard Business Park,以及在双威镇Desa Mentari的36间店屋。

Rahadian说:“完成了澳洲的发展计划,有鉴于此,我们今年的业绩将表现良好。我们紧接着也将完成古晋路发展计划的首期工程,今年迄今,我们的业绩表现仍可圈可点。”

早盘休市时,Magna Prima以1.15令吉暂收,下滑1仙或0.86%。

截至下午3时27分,该股跌幅扩大至4仙或3.45%,报1.12令吉,成交量为9万7200股。

麦纳首要业绩大跃进

(吉隆坡27日讯)麦纳首要有限公司(MAGNA,7617,产业组)公布,在截至2015年6月30日止第2季度,所取得的税前利润按年从286万令吉激增至3177万令吉。

至于营业额则由之前的669万令吉大幅扬升至7163万令吉。

该产业发展商致函大马交易所表示,业绩大跃进,主要是由墨尔本的‘皇宫’项目销售良好所贡献。

它说:“虽然我们预计下半财政年是充满挑战性,但是董事局对整个2015财政年度的财务表现持乐观态度。”【光华日报财经】
