Magna Prima on lookout for high-yielding land

The property developer rules out plans to buy land in Penang and Johor, or expanding overseas in the near future

PROPERTY developer Magna Prima Bhd said it plans to continue buying high-yielding land in the Klang Valley and Selangor, to maintain its profitability.

It is also banking on its four existing projects in Kepong, Selayang and at the Kuala Lumpur City Centre area, and two new launches this year, all worth RM2 billion, to achieve better margins over the next few years, its chief executive officer Lim Ching Choy said.



The company recorded a net profit of RM93,000 in 2006 against a net loss of RM10.95 million in 2005.

For the nine months to September 30 2007, it posted a net profit of RM14.8 million.

"We will be able to churn in a higher profit for the last quarter as we registered better sales last year," Lim told reporters after its recent shareholders' meeting.

Magna has unbilled sales in excess of RM300 million, which will last the company for two years, he said.

"Our aim is to go for hot spots, where land is ready for development and there is fast turnaround, while increasing unbilled sales," Lim said.

Lim ruled out plans to buy land in Penang and Johor, or expanding overseas in the near future.

The company, in which Tan Sri Chua Hock Chin, the former executive vice-chairman of Road Builder (M) Holdings Bhd has a 6.25 per cent interest, is now targeting to launch new commercial and residential properties in Batu 3, Shah Alam, and Jalan Kuching, Kuala Lumpur, by March and June respectively.

For its Jalan Kuching property, it plans to build 20 units of three-storey shops, 200 units of signature offices, a 15-storey hotel/office block, a retail mall, and two blocks of service apartments comprising 800-units sprawled over 10.93 acres.

Magna is planning to sell these properties, which will be completed by July 2011, while retaining the shopping mall for recurring rental income.

"The acquisition of this land for RM57.93 million is in line with the company's business model that is to buy land with development order for fast project turnaround," Lim said.

In Shah Alam, the company plans to build residential and commercial units by 2010, targeting the medium class segment.

Meanwhile, Lim said that Magna is considering acquiring small firms to expand its property and construction activities, and plans to migrate to the main board of Bursa Malaysia in three years to enhance shareholders' value.

He said the company will also issue one fifth of its profit for 2007 as dividend to shareholders by the middle of this year.

Proposed private placement of up to ten percent (10%) of the issued and paid-up
share capital of MPB (“Proposed Private Placement”)
On behalf of the Board of Directors of MPB, HwangDBS Investment Bank Berhad
(formerly known as Hwang-DBS Investment Bank Berhad) (formerly known as
Hwang-DBS Securities Berhad) (“HwangDBS”) is pleased to announce that the
Securities Commission (“SC”) had, vide its letter dated 15 January 2008 (which
was received on 16 January 2008) approved the Proposed Private Placement
subject to the following condition(s):

(i) MPB / HwangDBS to fully comply with the relevant provisions in Guidance
Note 8C and other relevant requirements under the SC’s Policies and Guidelines
on Issue / Offer of Securities, in implementing the Proposed Private Placement;

(ii) MPB should allocate 30% of the Placement Shares to Bumiputera investors;

(iii) Pursuant to the private placement approved by the SC dated 18 August
2006, MPB to place out 30% of the placement shares (i.e. 1,403,930 new Magna
Prima shares) to Bumiputera investors within 2 years from the date of this
decision letter. The new shares to be offered to Bumiputera investors should be
approved by the Ministry of International Trade and Industry; and

(iv) MPB / HwangDBS to inform the SC upon completion of the Proposed Private
Placement.

1.        INTRODUCTION

The Board of Directors of Magna Prima Berhad (MPB) wish to announce that MPB
has acquired the entire issued and paid up share capital of the following
Companies on 18 January 2008 comprising 2 ordinary shares of RM 1.00 each fully

2.        INFORMATION ON DEALHALL, EVERHALL AND PRIMA AWAN

Dealhall was incorporated in Malaysia as a private limited company under the
Companies Act 1965 on 23 August 2007. The authorised share capital of Dealhall
is RM 100,000.00 divided into 100,000 ordinary shares of RM 1.00 each, of which

RM 2.00 has been fully paid up.

Everhall and Prima Awan were incorporated in Malaysia as private limited
company under the Companies Act 1965 on 24 August 2007. The authorised share
capital of Everhall and Prima Awan are RM100,000.00 divided into 100,000
ordinary shares of RM1.00 each, of which RM2.00 has been fully paid up
respectively.

Dealhall, Everhall and Prima Awan have been dormant since its incorporation.
The intended principal activities of Dealhall, Everhall and Prima Awan are
property development, property investment and property management respectively.


3.        FINANCIAL EFFECTS

The acquisition of Dealhall, Everhall and Prima Awan will not have any material

effect on the earnings per share and net tangible assets per share of the
Group.


4.        LIABILITIES

There are no liabilities to be assumed arising from the Acquisition.


5.        CONDITIONS TO THE ACQUISITION

The Acquisition is not subject to any Malaysian Government authority or
shareholders’ approval.


6.        DIRECTORS’ AND SUBSTANTIAL SHAREHOLDERS’ INTEREST

None of the Directors and/or substantial shareholders of the Company and/or
persons connected with the Directors and/or substantial shareholders of the
Company have any interest, direct or indirect, in the Acquisition.


7.        DIRECTORS’ STATEMENT

The Board of Directors of the Company is of the opinion that the Acquisition is

1)Magna手握6項總值20億工程,相信將在2011年完成所有工程,4年平均值算將為magna帶來每年貢獻5revenue*,和現在的前9月財政報表1.75億有段相當大的進步空間

2)PROFIT BEFORE TAX (PBT)
PBT=500MIL * 28%
= 140MIL
4年裡每年平均取得PBT 1.4

3)PROFIT AFTER TAX (PAT)
PAT=140MIL * 74%
=1.036

4)EARNING PER SHARE (EPS)**
EPS= 103MIL / 52MIL
= 1.98 PER SHARE
