稱董事收債務無方 美全2股東下月開特大

（吉隆坡28日訊）美全（MTRONIC，0043，主要板科技）持股至少10%股東劉志豪（譯音）及陳聯宏（譯音），因不滿董事局未能就未收回欠款擬定收款計劃，及脫售核心業務Micare51%持股，正式通告于下月21日，召開特別股東大會。

該公司向馬證交所報備，尋求在特別股東大會罷免主席丹斯里卡瑪魯查曼、執行副主席拿督阿都甘尼、執行董事劉展鴻（譯音），及獨立非執行董事莫哈末卡瑪奧瑪。

劉志豪尋求進入美全董事局，同時欲委任華總副義務總秘書拿督陳耀星博士、林耀光（譯音）與黃偉朋（譯音）為董事。

報備文件闡明，美全尚有總值4445萬令吉長期債務，未向MH企劃公司收回；阿都甘尼及莫哈末卡瑪奧瑪同時也在MH企劃擔任董事。

“作為公司股東，我們質疑的是，美全董事似乎並未針對上述分別介于3至5年，及5至10年的兩項長期債務，擬定收款計劃。”[ChinaPress]

（吉隆坡5日訊）美全（MTRONIC，0043，主要板科技）股東出現爭議，欲罷免包括主席及執行副主席在內的4名董事，該公司將在明日召開記者招待會交待來龍去脈，該股今日交投熱絡。

美全在邀請函中指出，明日中午將在吉隆坡精武山內舉行特別代表大會新聞發佈會，特大董事候選人林友良、廖志厚、黃偉平、拿督陳耀星博士將出席該項發佈會。

不過，該公司股價今日無大變動，美全開市報平盤12仙，全日窄幅波動維持12仙水平；股項交投則非常活絡，休市時成交量多達1078萬8900股；閉市時美全掛12仙，成交量1232萬1100股。

美全上月向馬證交所報備指出，2名持股至少10%的股東不滿董事，欲在本月21日召開股東特別大會，撤換包括主席及執行副主席在內的4名董事局成員。

當時文告指出，股東廖志厚及陳聯宏（譯音）發函要求召開特大，罷免主席丹斯里卡瑪魯查曼、執行副主席拿督阿都甘尼、執行董事劉展鴻（譯音），及獨立非執行董事莫哈末卡瑪奧瑪。

目前廖志厚持有美全2205萬股，另外還透過安聯委托公司持有1100萬股；僑豐委托公司則代表陳聯宏，持有該公司3215萬股，兩名股東合計持股6520萬。[ChinaPress]

（吉隆坡6日訊）兩週前要求召開特大罷黜美全（MTRONIC，0043，主板貿服組）現任董事部的“挑戰派＂人馬，今日終於露臉，要求小股東踴躍出席特大支持“去舊迎新＂，惟卻未對收購目的及公司未來作出任何闡述。

挑戰派今日特地召開“新聞發佈會＂，介紹新董事候選人和宣讀聯合聲明，之後卻對記者提問“一問三不答＂，即匆匆結束發佈會。

根據挑戰派提供的資料，4位候選人分別是華總副秘書長拿督陳耀星博士；兼任數家新加坡上市公司董事職位的林友良；擁有系統綜合及應用軟件發展背景的黃偉平；以及擁有銷售和行銷經驗的廖志厚。

陳耀星說，他本身擁有建築工程方面的經驗，林友良具備領導經驗，黃偉平和廖志厚則是行銷和資訊科技能人，這些經驗皆與美全業務息息相關，自信有能力領導美全邁向更健全發展。

不過，陳耀星在表述完畢後立即宣佈新聞發佈會結束，讓在場記者紛感錯愕，但依然嘗試追問更深入和具體的細節，如未來管理大計和為何看中美全等，但挑戰派人員以證券監督委員會（SC）條例不批准透露“敏感＂資訊和可能影響股價為由，拒絕回答所有提問。

他說：“在特大結果出爐前，我們無法透露相關資訊，因證監會禁止任何可能導致股價波動的訊息在交易時段公佈，同時也為了避免被牽扯進任何法律訴訟，我們將在特大當天向股東做出交代。＂

美全挑戰派是於兩週前，動用手中超過10%股權要求召開特大，罷黜以現任副主席兼大股東拿督阿都加尼為首的董事部成員，同時建議讓上述4位候選人入駐董事部，阿都加尼目前持有美全約11%股權。

觀察家當時稱，由於美全股權架構鬆散，挑戰派和當權派皆未持有足以左右大局的決定性股權，小股東可能成為今次權力鬥爭事件的“關鍵第三方＂。

2位發起董事部變天的顯著股東陳聯宏（譯音）及廖志厚，在向交易所匯報時表示是在今年1月至9月期間，透過公開市場買進超過5%股權，而崛起成顯著股東。另外，林友良也於上月5日宣佈買進5%股權，成為挑戰派第三位顯著股東。

根據交易數據，美全今年至今股價最低為4仙，最高曾上探31仙，納入交易日粗略計算，至今平均價約12至13仙，假設投資者透過定期買進模式累積5%股權，該批股權成本估計介於416萬至448萬令吉。

截至週四，美全股價掛12.5仙，漲5仙，成交量1千471萬6千100股。

一場“無可奉告＂的新聞發佈會

挑戰派今次召開的“新聞發佈會＂，令在場記者深感莫名其妙。

一般上，主辦方會先在新聞發佈會上匯報一些他們願意分享的事件或訊息，後才讓在場記者發問，記者也往往只能趁發問環節，就各項主題追根究底，甚至挖掘出一些更重要的資訊。

道理很簡單，讓主辦方自由發揮，他們絕對只提好不提壞，只有讓記者發問，讀者才有機會獲取較全面的資訊。

所以，最讓人莫名其妙的是，挑戰派既然敢挑戰現有董事部，並召開新聞發佈會，就意味他們相信若由自己來做，能做得更好，而且已具備接手美全後的全盤大計，尤其是，要如何帶領美全扭轉眼前頹勢。

畢竟，幾句“要翻身、要更好＂沒有實際意義，“如何翻身、如何更好＂才是投資者焦點所在。

此外，證監會確實會對導致股價波動的內幕消息或不實消息展開調查，但如果是有一套實質的全盤計劃或企業策略，根本不在限制範圍內。

而且，一般上市公司在召開新聞發佈會談及類似課題時，已屬向公眾發佈，只要不含任何違規不實的訊息，並不在內幕消息的規範內。

若怕“多說多錯＂而採取封口策略，直接將文稿寄給報館不就得了？何必辦場“無可奉告＂的新聞發佈會呢？（星洲日報／財經）

2董事辞职 美全挑战派入主董事部

（吉隆坡17日讯）美全（MTronic，0043，主板贸服股）4名挑战派人士成功入驻董事局，与此同时，该公司的执行副主席及一名董事则宣布辞职。

根据文告，美全股东挑战派的4人组，包括了廖志厚、林友良、拿督陈耀星以及黄伟平，分别被委任为非独立非执行董事、非独立非执行董事、独立非执行董事和独立非执行董事。

至于请辞的两位董事，则分别是执行副主席拿督阿都卡尼尤索夫，以及独立非执行董事兼审计委员会成员的莫哈末卡马奥玛，不过，文告均没有说明离职的原因。

2原董事动向不明
美全董事局在今年11月份接获持股超过10%的股东来函，要求下月21日召开股东特别大会，罢免4名董事及替换新董事，但未阐明任何理由。

上述要被罢免的董事，是执行主席丹斯里卡马鲁沙曼沙里夫、执行副主席拿督阿都卡尼尤索夫、原任执行董事的董事经理刘家宏（译音），以及独立非执行董事莫哈末卡马奥玛。

截至目前，还不知道卡马鲁沙曼沙里夫以及刘家宏的最新动向。

（吉隆坡24日訊）美全（MTRONIC，0043，主要板科技）挑戰派入主董事局，當權派人馬的主席丹斯里卡瑪魯查曼，基于其他工作義務，今日正式呈辭。

該公司今日向馬證交所報備，卡瑪魯查曼正式辭去職務，目前仍握有公司371萬4285股持股。

除了美全，卡瑪魯查曼也在馬股其他上市公司擔任董事，包括民泰近電（BINTAI，6998，主要板貿易）非執行主席、EMASKIARA工業（EKIB，7189，主要板貿易）及和合建築（HOHUP，5169，主要板建築）執行主席。

美全董事经理呈辞

（吉隆坡28日讯）美全（MTronic，0043，主板贸服股）董事经理刘家宏（译音）请辞，即日起生效。

美全向大马交易所报备，刘家宏请辞原因是为了另谋高就。原任董事经理黄得植11月6日离职，而时任执行董事的刘家宏次日调任为董事经理。

刘家宏是机械工程师，过后合伙设计与装配空气过滤、灰尘收集系统和清洁系统的生意。以其丰富经验，刘家宏2000年10月份开始加入美全。

美全11月接获持股超过10%的东来函，要求12月21日召开股东特别大会，罢免4名董事及替换新董事。

（吉隆坡2日讯）美全（MTronic，0043，主板贸服股）宣布，独立非执行董事莫哈末阿弗利占呈辞，从2012年12月31日起生效。
根据文告，莫哈末阿弗利占以“做法与专业出现利益冲突”为由辞去上述职务。

他也请辞了审计委员会主席一职，生效日期同样是去年12月31日。

今年44岁的莫哈末阿弗利占是多个会计师公会会员，包括英国特许公认会计师公会（ACCA）、马来西亚会计师公会（MIA）、澳洲执业会计师（CPA）等。

Working experience and occupation	Mohd Afrizan Bin Husain has over 21 years of experience in providing audit and business advisory services to a wide range of Malaysian and multinational clients. He has wide range of experience in handling the audits of various organizations which includes those in the telecommunication, manufacturing, services and construction industries in Malaysia. He started his professional career in 1990 with Coopers & Lybrand. His last position held was a manager of the Business Assurance Service with PricewaterhouseCoopers Currently, he is a partner of Afrizan Tarmili Khairul Azhar (AFTAAS), a public accounting firm.
