MEMORANDUM OF UNDERSTANDING
Description
MEMORANDUM OF UNDERSTANDING  BETWEEN CREST BUILDER SDN BHD AND T7 KEMUNCAK SDN BHD
Crest Builder Sdn Bhd ("CBSB") a wholly owned subsidiary of Crest Builder Holdings Berhad ("Crest Builder") had on 26 September 2018, entered into a Memorandum of Understanding ("MOU") with T7 Kemuncak Sdn Bhd (“T7 Kemuncak”) to jointly collaborate to prepare a detailed technical proposal for the construction works and subsequent executions of works for the Proposed Mixed Development of One (1) Block of Commercial Building with 44 Floors located at Lot PT 21 (Original Lot 60), Jalan Ampang, Seksyen 45, Wilayah Persekutuan Kuala Lumpur known as Latitud8 (the “Project”).

T7 Kemuncak is a wholly-owned subsidiary of T7 Global Berhad and is principally engaged in construction works.

The MOU serves only as a record of the Parties’ intentions and shall not create a legal relationship between the Parties and the Parties shall not be legally bound until and unless the relevant definitive Agreement has been negotiated and duly executed by the Parties

The MOU is not expected to have a material effect on the earnings, net assets, issued and paid-up capital of Crest Builder and the Group for the financial year ending 31 December 2018.

None of the Directors and/or substantial shareholders  of Crest Builder and/or any persons connected to the Directors and substantial shareholders of Crest Builder have any interest, direct or indirect, in the MOU.

AWARD OF CONTRACT
1.0   Introduction
We are pleased to announce that Crest Builder Sdn Bhd, a wholly owned subsidiary of Crest Builder Holdings Berhad ("Crest Builder" or the "Company") has been awarded a contract by Techvance Properties Management Sdn Bhd for Construction and Completion of a 26-storey hotel at Lot 1153, Seksyen 57, Lorong P. Ramlee, Bandar Kuala Lumpur, Daerah Kuala Lumpur, Wilayah Persekutuan Kuala Lumpur for a contract sum of RM99.60 million (the "Contract").

2.0   Duration of The Contract
The contract period set out in the letter of acceptance is twenty seven (27) months from 18 February 2019.

3.0   Share Capital and Substantial Shareholder's Shareholdings
The Contract will not have any effect on the issued and paid-up share capital of Crest Builder and on the substantial shareholder's shareholdings of Crest Builder.

4.0   Earnings and Net Tangible Assets ("NTA")
The Contract is expected to contribute positively to the earnings of the Group for the financial years ending 31 December 2019 and onwards.

5.0   Director's and Substantial Shareholder's Interest
As far as the Directors of the Company are aware, none of the Directors and/or substantial shareholders of Crest Builder and/or any persons connected to the Directors and substantial shareholders of Crest Builder have any interest, direct or indirect in the Contract.

6.0   Statement by The Directors
The Directors of the Company are of the opinion that the acceptance of the Contract is in the best interest of the Company.

(吉隆坡4日讯)新上市的Uni Wall APS Holdings Bhd获Crest Builder私人有限公司授予价值2125万令吉的分包合约,为6层办公楼供应和安装铝、玻璃和第二层皮外墙。

Uni Wall今日向大马交易所报备,该办公楼将建在八打灵再也19区,而原有的双层厂房将被拆除。

Uni Wall表示,该项目发展商是Toyoma Aluminium Foil Packaging 私人有限公司,而上市公司Crest Builder Holdings Bhd的子公司Crest Builder私人有限公司则是主要承包商。

合约期限从今年2月22日至2020年3月21日。

Uni Wall说:“在任何无可预见的情况下,这份合约有望在合约期限为集团的未来收益作出积极贡献,而且将不会影响集团的股本与大股东股权架构。”

Uni Wall于1月16日在大马交易所杰出企业家加速器平台(LEAP)市场挂牌。该集团有意通过内部融资及外部贷款,为上述合约筹资。

闭市时,该股升2仙或7.1%,挂30仙,市值为1亿971万令吉。从上市至今,该股上涨了4仙或16.7%。

AWARD OF CONTRACT
1.0   Introduction
We are pleased to announce that Crest Builder Sdn Bhd, a wholly owned subsidiary of Crest Builder Holdings Berhad ("Crest Builder" or the "Company") has been awarded a contract by Sime Darby Property (Ara Damansara) Sdn Bhd for the Construction of 1 block service apartment with car park podium at Lot 92084, Jalan PJU 1A/38, Ara Damansara, Mukim Damansara, Daerah Petaing, Selangor Darul Ehsan for a contract sum of RM 107.5 million (the "Contract").

2.0   Duration of The Contract
The contract period set out in the letter of acceptance is thirty-three months (33) from 22 October 2021 to 21 July 2024.

3.0   Share Capital and Substantial Shareholder's Shareholdings
The Contract will not have any effect on the issued and paid-up share capital of Crest Builder and on the substantial shareholder's shareholdings of Crest Builder.

4.0   Earnings and Net Tangible Assets ("NTA")
The Contract is expected to contribute positively to the earnings of the Group for the financial years ending 31 December 2021 and onwards.

5.0   Director's and Substantial Shareholder's Interest
As far as the Directors of the Company are aware, none of the Directors and/or substantial shareholders of Crest Builder and/or any persons connected to the Directors and substantial shareholders of Crest Builder have any interest, direct or indirect in the Contract.

1.0   Introduction
We are pleased to announce that Crest Builder Sdn Bhd, a wholly owned subsidiary of Crest Builder Holdings Berhad ("Crest Builder" or the "Company") has been awarded a contract by Sunway Velocity Three Sdn Bhd (formerly known as Tanda Warisan Sdn Bhd) for the Proposed Commercial Development (Plot A) consisting of 1 level basement, 8 levels car park, 2 levels of mezzanine and 2 blocks of 52 storey service apartments on part of Lot 20076, Seksyen 90, Jalan Shahbandar, Kuala Lumpur for a contract sum of RM 448.50million (the "Contract")

2.0   Duration of The Contract
The contract period set out in the letter of acceptance is forty-three months (43) from 15 March 2024 to 14 October 2027.

3.0   Share Capital and Substantial Shareholder's Shareholdings
The Contract will not have any effect on the issued and paid-up share capital of Crest Builder and on the substantial shareholder's shareholdings of Crest Builder.
