PROPOSED NEW SHAREHOLDERS’ MANDATE FOR PROVISION OF FINANCIAL ASSISTANCE
PROPOSED AMENDMENTS TO THE ARTICLES OF ASSOCIATION OF BOUSTEAD
We refer to the announcement dated 5 February 2008 in relation to the general
mandate for recurrent related party transactions of a revenue nature.
In addition, the Company also intends to seek its shareholders’ approval at the
forthcoming Annual General Meeting to be convened at a later date for the
following:-
a) a new mandate for recurrent related party transactions of a revenue
or trading nature;
b) a new mandate in respect of the provision of financial assistance by
a related party;
c) the amendments to the Articles of Association of the Company, by way
of a Special Resolution to be in line with the Listing Requirements of Bursa
Malaysia Securities Berhad.
A circular containing the information will be issued to the shareholders in due
course.
The interested directors and/or major shareholder will abstain from voting on
the relevant resolution in relation to the provision of financial assistance at
the forthcoming general meeting.
This announcement is dated 13 February 2008. |

大家在这个时候，动荡时候，动荡的时候，有期待宝实得（2771）业绩公布时间的到来吗。。。。
BHIC（8133）一口气拿了数亿的工程，怎样，宝实得还可以吗？。。。。
大概还有十天年终财报就公布，大家来对即将出炉的业绩给点期许或预测或批判或失望或盼望吧。。。。 |

29-02-2008: Boustead's FY07 net profit jumps 128% to RM478m
KUALA LUMPUR: Boustead Holdings Bhd's net profit soared 128% to RM478 million in its year ended Dec 31, 2007 from RM210 million in FY06 on the back of higher performances at all divisions led by plantations and heavy industries.
At pre-tax level, the group's profit surged 115% to RM829 million from RM386 million — its highest to date, while revenue rose 40% to RM5.75 billion from RM4.11 billion. Earnings per share rose to 79 sen from 35 sen.
In a statement on Feb 29, Boustead said the results was further supported by its fourth quarter performance, which posted a net profit of RM267 million, up 28% from RM209 million a year earlier.
It proposed a final dividend with a bonus dividend of 36% or 18 sen which will result in a record dividend of 60% or 30 sen (FY06: 37% or 18.5 sen).
“2007 was indeed been a very eventful year as the group embarked on a series of strategic corporate initiatives with the intention of fortifying the performances of our divisions.
“By maximising our existing resources and tapping into opportunities available in the market, we have proven yet again that the group is focused on setting new milestones,” said its group managing director Tan Sri Lodin Wok Kamaruddin.
He said the heavy industries division made a strong debut in 2007 by registering a profit of RM383 million which resulted in it being the largest profit contributor to the group, driven by Boustead Naval Shipyard Sdn Bhd and Boustead Heavy Industries Corporation Bhd.
The plantation division posted a profit of RM201 million versus RM54 million in the previous year, boosted by exceptionally high crude palm oil prices, having recorded an average selling price of RM2,279 per tonne (FY06: RM1,464 per tonne).
The property division registered a profit of RM85 million, a 77% increase from RM48 million in FY06, whle the trading division recorded a profit of RM38 million and the manufacturing and services division delivered a profit of RM10 million.
Boustead Properties Bhd recorded a pre-tax profit of RM135 million on the back of a turnover of RM462 million (2006: RM355 million). Boustead Properties proposed a final dividend of 10 sen per share.
The finance and investment division recorded a pre-tax profit of RM70 million versus RM8 million in FY06, due to higher earnings contributions from BH Insurance (M) Bhd (formerly Royal & Sun Alliance Insurance (M) Bhd) and the Affin Group.
In a separate statement, Affin Holdings Bhd's net profit rose 10.95% to RM251.77 million in FY07 from RM226.92 million in FY06, with earnings per share rising to 19.11 sen from 18.48 sen.
He said despite having to meet Bank Negara Malaysia’s request for additional specific allowance for non-performing loans aged five to seven years, which amounted to RM226.5 million, Affin Bank Bhd posted a pre-tax profit of RM232.45 million, up 16.72% from RM199.16 million in FY06.
Affin Investment Bank Bhd recorded a net profit of RM44.63 million, while Affin Islamic Bank Bhd posted a net profit of RM39.44 million.
The group has recently received Bank Negara Malaysia's approval to form Affin banking group, which will be structured under Affin Capital Sdn Bhd, a subsidiary of Affin Holdings. |

●南洋商报
（吉隆坡29日讯）莫实得（Bstead，2771，主板种植股）最新业绩高唱丰收，并建议派发总共36％的股息奖赏股东。
莫实得发表文告表示，截至2007年12月31日止的全年内，由于种植与重工业业务的显著贡献，莫实得的全年税前盈利飙升115％，从3亿8千643万令吉激增至8亿2千900令吉。
集团净利从前期的2亿1千零18万4千令吉，暴增127.29％至4亿7千773万6千令吉。
该集团全年营业额则从41亿1千433万令吉，跃升39.8％至57亿5千192万令吉。
随着取得强劲的业绩表现，莫实得建议派发每股18仙或36％的终期股息给股东，这包括每股16％的须扣税终期股息，以及每股20％的须扣税红利股息。
这令该集团全年共派发30仙或60％的须扣税股息，2006年则为18.5仙。 |
