柏利赛转租合约

（吉隆坡2日讯）柏利赛石油（PERISAI，0047，主板贸服股）宣布，子公司柏利赛岸外已同意，转租合约给大马HESS勘探和生产BV（简称HESS）。
这项合约是国油勘探（Petronas Carigali）去年5月，颁给柏利赛石油的升降式钻油平台供应合约。
该公司表示，转租合约已从9月23日生效，为期9个月，总值2690万美元（约1亿1908万令吉），另有延长1年的选择权。
转租完毕后，该钻油平台将重新分配回给国油勘探，以支援后者的钻井营运。【南洋网财经】

All conditions relating to the disclosure of the Farm-Out has been secured today.
2. DETAILS OF THE FARM-OUT The Farm-Out commenced on 23 September 2015 and shall continue for a duration of nine (9) months, with an option to extend for a period up to one (1) month by HESS. At the end of the Farm-Out, the PP101 will be reassigned to PCSB to support PCSB’s drilling operations.
The total contract value of the Farm-Out to HESS for the primary nine (9) month period is approximately USD26.9 million.
3. EFFECTS The Farm-Out will have no effect on the issued and paid up share capital of the Company. It is expected to contribute positively to the Group’s financial position for the financial periods comprised in the Farm-Out.
4. DIRECTORS’ AND MAJOR SHAREHOLDER’S INTEREST Datuk Zainol Izzet Bin Mohamed Ishak, the Managing Director of the Company, is a director of Perisai Offshore and holds 49% of Perisai Offshore’s issued and paid up share capital. Save for that as disclosed above, none of the Directors and/or major shareholders of the Company or persons connected thereto have any interest, direct or indirect, in the Farm-Out.
5. COMPANY’S BEST INTEREST The Board is of the opinion that the Farm-Out is in the best interest of the Company.

轉租合約影響不大‧貝利賽盈利能見度低迷

（吉隆坡5日訊）貝利賽（PERISAI，0047，主板貿服組）旗下自升式平台Pacific 101將暫時告別國油勘探（Petronas Carigali），轉為大馬HESS勘探與生產有限公司（HESS）服務9個月，分析員直言此變動對貝利賽影響不大，更糟的暗示反而是：本地鑽井服務業者短期內可能難再從國油手中贏得新合約。
鑽井業者營運更艱澀
分析員解釋，國油勘探把原本頒發給貝利賽的3年合約，“切出”9個月轉讓給HESS勘探與生產，暗示國油的確一如早前警示開始積極削減成本與開銷，鑽井需求預計受創，意味本地鑽井業者至少將在今年裡陷入更艱澀的營運時期。
至於貝利賽，分析員雖認為客戶暫時換人不會造成影響，但卻無法掩飾該公司盈利能見度越見低迷的事實，因嶄新Pacific 102平台已因無法贏得租約而延遲遞交時機，其浮式生產儲油船（FPSO）貝利賽Kamelia的3年租約也將在今年11月16日到期，但至今仍不曉得會否被延長一年。
MOPU和E3船艦閒置
另外，其MOPU和E3船艦也繼續處於空閒狀態，種種跡象顯示該公司盈利能見度仍然低迷。
肯納格研究說，國油勘探轉讓給HESS勘探與生產的9+1個月合約，總值達2千690萬美元（約1億1千850萬令吉），相當於每日租金約9萬9千600美元，低於原先預估的11萬美元。
“雖然租金低於預估，但由於貝利賽成功在今年初取得偏高租金，因此攤平計算，平均租金仍符合預期。”
馬銀行研究直言，就賬面盈虧而言，每日9萬9千美元租金估計讓貝利賽在合約期間呈虧損狀態，卻能夠帶來正面現金流，而這是無可避免的結果，因捍衛使用率、現金流和履行債務責任才是當務之急。
風險高於回酬
馬銀行還說，貝利賽的風險如今已高於回酬，其最值得關注之處在於高營運槓桿和不預計在短期內贏得租約的MOPU和E3船艦。
達證券因調低Pacific 101和102的預估租金，而調低2015至2017年財測15%、6%和4%，並預測Pacific 102平台在2016年第三季才開始運作。
“在油價保持低迷時期，我們更傾向避開自升式鑽井平台業者，因可能暫時無法繼續獲利和贏得新合約。”

油价低迷‧上游放缓 柏利赛再延交PP 102油台

（吉隆坡5日讯）柏利赛石油（PERISAI，0047，主板贸服股）宣布，PP102升降式钻油平台的交付日期，延迟至明年3月31日。
这是PP102第二次展延交付时间，文告指出，该升降式钻油平台原本的交付日期是今年4月30日，不过后来展延至12月31日。
然而，该公司并没有说明二次展延至明年3月的原因。
虽然如此，可以肯定的是，低迷的原油价格，已导致油气领域上游业务放缓，这可能是柏利赛石油展延交付PP102的原因。
目前，本地与国外的勘探与生产（E&P）活动低迷，上项消息对马银行投行来说是“不足为奇”。
由于分析员早前已预估更为保守的交付时间，即延迟至明年下半年，因此，分析员维持原有的净利预测。
“我们认为PP102交付日期还会更动，直到柏利赛石油为该钻油平台取得合约为止。”
马银行投行预测，未来12个月东南亚升降式钻油平台的每日租金率（DCR），介于9万美元（约39万1800令吉）至11万美元（约48万8900令吉）。
3年财测遭砍
柏利赛石油日前宣布转租PP101升降式钻油平台，由于每日租金率较低，加上PP102依然闲置，因此3年财测遭下修。
柏利赛石油上周五宣布，子公司柏利赛岸外已获得国油勘探（Petronas Carigali）的同意，将PP101升降式钻油平台，转租给大马HESS勘探和生产BV（简称HESS）。
转租合约已从9月23日生效，为期9个月，总值2690万美元（约1亿1908万令吉），另有延长1个月的选择权。
PP101原本是国油勘探在去年5月8日，颁给柏利赛石油的合约，为期3年，每日租金率是14.4万美元（约62万6900令吉）。
因此，在转租合约届满后，PP101将重新分配给国油勘探，支援后者的钻井营运。
对于这项转租合约，肯纳格投行分析员不感意外，认为这仅仅将同样的资产，转至不同的客户使用。
转租不影响现金流
不过，马银行投行分析员则说，由于转租合约的日租只有9万9600美元（约43万3600令吉），比国油勘探的原有合约低，因此柏利赛石油将蒙受一些损失，不过，现金流仍保持正面。
至于达证券分析员，则将PP101每日租金率预测下调，以便符合目前低迷的市况，并且保守地预测。
因此，该分析员将2015至2017财年的盈利预测，分别下修15%、6%及4%。
随着盈利下修，目标价格也从24仙，降低至23仙。【南洋网财经】 |

PERISAI石油科技向馬證交所報備，建議私下配售高達1億1927萬2400股新股，相等于繳足資本高達10%的新股。
根據每股31仙指標發售價計算，上述私下配售議案或可讓該公司籌集3700萬令吉。

現金流不足‧貝利賽前景謹慎

（吉隆坡8日訊）貝利賽（PERISAI，0047，主板貿服組）擬向第三方投資者私下配售佔繳足資本10%新股，以籌措最高3千700萬令吉作償貸、營運資本用途，分析員認為這是勢所必然，因今後3個財政年現金流不足，對其營運前景看法謹慎。
肯納格研究說，高負債與油氣業波動前景導致現金流不定，皆是促成配售因素；預料這項行動後可有喘息空間，等待油氣業復甦期間，確保盈利平衡表健全。
售股稀釋盈利
“完成配售行動後，可能導致每股盈利稀釋，負債則稍減。”
豐隆研究認為每年可節省80萬令吉，負債比由0.92調低至0.90倍，預測每股盈利今明財政年稀釋達3.6%和7.5%。
達證券認為所能節省借貸成本不多，因所籌措款項並不多，而明年資本開銷則達11億令吉。
馬銀行研究對其營運前景謹慎，並預計2015至2017財政年現金流不足。
貝利賽裝管船（E3）迄今仍未接獲任何工程，其移動式海上生產裝置（MOPU）下半年有獲合約機會，肯納格相信不會獲重大工程。
“另一升降鑽油井原本今年杪交貨，惟基於市場低迷，被迫展延交貨。其浮式生產儲油船（FPSO）預計2016年3月約滿，可望獲一年延長合約。”

FPSO及升降鑽油台拉動‧貝利賽第三季淨利飆331%

（吉隆坡23日訊）受浮動生產儲油船（FPSO）和升降式鑽油台更高貢獻拉動，貝利賽（PERISAI，0047，主板貿服組）截至2015年9月30日第三季淨利飆漲331.4%至962萬8千令吉。
首9月淨利漲88倍
首9個月淨利飆漲超過88倍，至1千826萬6千令吉。
PP101升降鑽油台作3個月貢獻（相比前期只2個月貢獻），第三季營業額揚9.9%至4千914萬2千令吉。
首9個月則因PP101貢獻9個月（前期貢獻2個月），再加FPSO之Perisai Kamelia和海事組貢獻，營收暴漲140.4%至1億5千953萬1千令吉。
該公司在文告中說，展望未來，PP1O1的3年租約自2014年8月起，2013年11月開始的FPSO租約接近到期，區域油氣資產需求疲弱，潛在之第二、第三鑽油台租約胥視市況。（星洲日報／財經）

達證券說，油價走低，區域油氣活動大減，升降式鑽油台供應過剩、需求疲弱，PP101鑽油台租金大幅折價，前景陰霾。
肯納格研究說，近期獲工程清晰度低，閒置資產持續侵蝕淨利，盈利持續波動。
豐隆研究說，其岸外生產平台（MOPU）和E3資產，自2013年9月起閒置至今，每月需330萬令吉維持費，欲獲新工程不易。

Further to the Announcements, the Board is pleased to announce that the Company had on 24 November 2015 procured a placee for the Proposed Private Placement vide the execution of a call option agreement (“Call Option Agreement”) with Macquarie Bank Limited (“Macquarie” or the “Investor”) pursuant to which the Investor is granted call options with the right to exercise and be issued with up to 119,000,000 ordinary shares of RM0.10 each (“Call Option(s)”) in Perisai at an exercise price to be determined at a later date (“Exercise Price”) (“Exercised Option Share(s)”).
