白沙罗实业易主后 新大股东动向受关注

二零一四年五月十四日 晚上七时四十一分
(吉隆坡14日讯)在柔佛机构(JCorp)以7890万令吉出售白沙罗实业有限公司(DBHD,3484,产业组)51%股权予商人拿督达因马力的交易中,被市场视为合理化,并可为白沙罗实业带来必要的创业动力。不过,这对柔佛机构来说,这笔交易是否获得最佳回报呢?

柔佛机构表示,上述脱售是为了减少拥有非核心业务。

虽然出售该批持股,但是柔佛机构仍然是白沙罗实业的第2大股东,它仍然可以享受达因马力所带来的任何利益,不过它不再是该集团的控制性股东。

诚然,每股50仙的售价对达因马力来说,仅支付轻微的9仙溢价,因为白沙罗实业最新公布的每股净有形资产值是41仙。

然而,白沙罗实业的产业资产最近也尚未被重估。

例如,它在吉隆坡市中心的Safuan商业大楼拥有两层单位,在2012年1月的最后一次估值中,得出330万令吉的账面价值。

根据地产代理所说,目前该办公室单位面积达1万244平方尺,而每平方尺至少达700令吉,因此上述2层商业单位至少值700万令吉。此外,白沙罗实业还在彭亨和霹雳拥有多块土地,最后一次重估是在2013年1月。

此外,柔佛机构应该以招标方式出售在白沙罗实业的持股,并拣选标价最高的买家作为出售对象。

在积极的一面是,少数股东对该宗交易没有抱怨,因为当消息公布后,白沙罗实业的股价飞涨。而达因马力在购入该批股票的2日后,就赚取1亿8000万令吉的账面利润。他肯定会密切关注如何为该集团带来价值。【光华日报财经】

顾问: 出价比资产低39% 白沙罗实业股东应拒献购

(吉隆坡26日讯)独立顾问认为,白沙罗实业(DBHD,3484,主板产业股)大股东强制全面收购的献议“不公平且不合理”,呼吁小股东拒绝献议。

独立顾问Main Street表示,大股东Seaview控股的献购价每股50仙,较白沙罗实业每股实际净资产值折价39%。

相比白沙罗实业过去1个月至1年的交易量加权均价(VWAP),大股东的献购价来得更高,溢价介于2至13.6%。

然而,Seaview控股收购白沙罗实业近51%股权后,白沙罗实业股价节节高涨,献购价比目前股价低59.7%。

白沙罗实业早前两度接获马交所的“不寻常市场活动”(UMA)质询。该股今天闭市报1.38令吉,跌6仙或4.17%,成交量为175万9700股。

维持上市地位

独立顾问也点出,大股东有意维持白沙罗实业的上市地位,有意扩展白沙罗实业旗下业务。

大股东未来一年计划继续经营白沙罗实业,结束献购后更会配合未来扩展策略,详细检视和评估现有业务。

此外,董事部(不包含牵涉股票买卖的成员)认同独立顾问所言,促小股东不要接受不公平且不合理献议。

(吉隆坡6日訊)白沙羅實業(DBHD,3484,主板產業組)宣佈董事部變動,即日起賽奧馬賽莫哈末受委為董事經理兼集團首席執行員,以及拿督達恩A摩力受委為非獨立執行主席。

白沙羅實業在文告中指出,原任董事經理瑪阿茲曼轉任非獨立非執行董事。

該公司也委任拿督蘇萊曼沙哈旦、拿督Ar旺莫哈末凱里和阿都拉尤索夫為獨立非執行董事。

白沙罗实业新几内亚设联营公司

(吉隆坡16日讯)白沙罗实业(DBHD,3484,主板产业股)与巴布亚新几内亚公司设联营公司,在当地提供咨询服务、设备管理和医院管理服务。

根据文告,白沙罗实业独资子公司保健技术服务(HTS),以及亚太(巴布亚新几内亚)有限公司(PAL)签署联营合约,前者将持有55%股权,后者则持股45%。

HTS与PAL将合作提供医院规划、工程管理、医疗设备采购、建筑等的顾问服务,也将负责医院管理和设备管理,包括工程、生物医药、床单与衣服清洗等服务,竞标已获当地政府接受。

同时,双方将可各委任1位联营管理委员会成员,并再委任1位替代成员。

这将是HTS首次进军巴布亚新几内亚,借此扩大顾客群和事业版图,与PAL合作更可降低当地的市场风险,在该国愈发炽热的保健领域分一杯羹。【南洋网财经】

ACQUISITION OF 157,780,000 ORDINARY SHARES OF RM0.50 EACH IN DBHD REPRESENTING APPROXIMATELY 51% OF THE EQUITY OF DBHD BY SEAVIEW HOLDINGS SDN BHD (“PURCHASER” OR “SEAVIEW”) FROM JOHOR CORPORATION (“JCORP”) AND ITS RELEVANT SUBSIDIARIES (COLLECTIVELY, THE “VENDORS”) (“ACQUISITION”); AND

MANDATORY TAKE-OVER OFFER BY SEAVIEW TO ACQUIRE ALL THE REMAINING VOTING SHARES OF DBHD NOT ALREADY OWNED BY SEAVIEW AND PERSONS ACTING IN CONCERT WITH IT (“OFFER SHARES”) FOR A CASH OFFER PRICE OF RM0.50 PER DBHD SHARE (“OFFER”).
We refer to our announcements dated 6 March 2014, 4 April 2014, 22 April 2014, 24 April 2014 and 30 April 2014 in relation to the Acquisition (“Announcements”).

All abbreviations and definitions used herein shall have the same meanings as the words and expressions defined in the Announcements, except where the context otherwise requires or where otherwise defined herein.
We refer to the SSA between Seaview and the Vendors in relation to the Acquisition for a Purchase Consideration of RM78,890,000. Pursuant to the Acquisition, Seaview had on 6 March 2014 and 30 April 2014 paid a total of RM15,778,000 representing twenty percent (20%) of the Purchase Consideration.

The Company wishes to announce that it has been notified by Seaview that the balance eighty per centum (80%) of the Purchase Consideration amounting to RM63,112,000 has been paid by Seaview on 5 March 2015.

Notwithstanding the above, all the conditions precedent of the Acquisition have been fulfilled on 24 April 2014, being the date of the Offer, and had been deemed completed on 30 April 2014, all in accordance to the SSA.

期望获取10亿营业额 白沙罗加强产业计划

二零一五年四月十一日 晚上七时四十分
(吉隆坡11日讯)由拿督达英马利克控制的白沙罗实业有限公司(DBHD,3484,产业组),目标是在2年内将营业额增加4倍至10亿令吉。目前,该集团在新山推行一项总发展值达100亿令吉的综合发展项目。

除了产业发展外,白沙罗实业也将其他业务扩充,即停车场管理以及医院工程和技术方案。此外,它有意建立经常性收入来源,以填补周期性的产业发展所取得的盈利。

该集团董事经理赛奥马说:“我们在2016年前,有权去发展一幅位于Taman Damansara Aliff面积达68英亩的土地,现时该土地是由柔佛机构拥有。”然而,它计划直接以1亿2000万令吉收购该幅土地作为日后发展。

“管理层正在放眼未来10年推行总发展值达100亿令吉的项目。该项目坐落在一个非常成熟的区域,位于8万人口的乌达新市镇与10万人口的甘拔士之间。”

赛奥马向传媒指出:“这是我们不会放弃的资产,我们将在今年底或明年初解决所有有关发展的问题。该幅土地的成本每平方尺不超过50令吉,而目前市价已超过150令吉。”

总括来说,白沙罗实业在2002年签订了10年的发展权协议,当中的条件是它在柔佛机构所拥有的土地上推行产业计划后,在所得的盈利中,支付1亿8000万令吉予柔佛机构。

不过,该协议在2010年终止,其后该集团在没有修订任何条件下锁定4年的延长发展权利。它经已支付柔佛机构6000万令吉金额,而剩下的1亿2000万令吉将在较后再付。

他称:“我们正在制定一项财务计划,以解决支付1亿2000万令吉,以及将土地所有权转让给白沙罗实业等问题。这是最佳途径在柔佛州收购土地,因为当地的地价自2002年以来,经已上涨了超过4倍。”

上述项目将会以知名品牌白沙罗高原来推行,该计划包括兴建一幢5星级酒店、数座高层住宅和办公大楼,以及一座暂称为国家心脏研究院2的心脏专科医院。

赛奥马表示:“我们已经获得卫生部长的首肯,但是细节尚未列出,因为我们不知是否与国家心脏研究院合作。”

他透露,整个白沙罗高原项目将拥有1200万平方尺的楼面空间,而第一阶段将在10月推出。

过去数年中,柔南一带的产业市场一直蓬勃发展,但是白沙罗实业尚未从中得益。这可从它的股价自2014年4月23日创下1.93令吉的5年高位,下降至最近的93仙中反映出来。

即使白沙罗实业现正试图重新进入产业市场,然而,该市场正在降温,据说一些发展商还缩减推出单位的数量。

尽管如此,赛奥马对产业市场放缓处之泰然。“即使在1997年,当我们遭遇亚洲金融危机时,产业还是人们主要投资的资产。目前柔南产业处于调整期,主要是数年前发展商在近海边的地区推出大量产业单位所造成。”

他解释;“目前,这些产业的供过于求情况非常严重,而外国发展商已经在当地完成产业项目,它们以海景作为卖点,并将价格推高至每平方尺1000令吉。”

他补充,白沙罗高原将会迎合本地人和新加坡人。

赛奥马说:“此外,我们正在关丹的白沙罗关丹城镇发展一幅面积达504英亩的土地。我们也正在修订发展规划和所提供的产品,以吸引现有客户。”

在截至2014年12月31日止财政年度,产业发展业务贡献集团总营业额2亿1480万令吉中的11.8%或2540万令吉。而该业务也提供534万令吉的最高营运利润。【东方网财经】

房產銷售延後進賬‧白沙羅實業全年轉虧451萬

(吉隆坡15日訊)白沙羅實業(DBHD,3484,主板產業組)旗下公司的房產銷售額調整進賬期限,造成截至2014年12月31日止財政年由盈轉虧,惟這筆款項將在現財政年進賬。

該公司在文告中說,配合大馬財務報告標準118,並在外部稽查師的建議下,該公司決定將獨資子公司白沙羅實業(柔佛)私人有限公司的部份銷售額延後至2015財政年進賬,而非原本的2014財政年。

上述房產銷售延後進賬,須扣除786萬9千令吉營業額,加上其他減值回撥等項目帶來32萬9千令吉,造成該公司2014財政年從原本的稅後盈利303萬5千令吉,轉為虧損450萬5千令吉。

根據最新財報,該公司2014財政年營業額增加7.79%至1億9千861萬4千令吉,淨虧損報608萬令吉,修改前是淨利132萬4千令吉。(星洲日報/財經)

Pursuant to paragraph 9.03 of the Main Market Listing Requirements of Bursa Malaysia Securities Bhd, the Board of Directors of the Company wishes to announce that there were amendments made to the unaudited financial results for the financial year ended 31 December 2014 as previously announced on 27 February 2015, whereby the net profit after tax of RM3.035 million has been amended to a net loss after tax of RM4.505 million (“Amended Results”). This announcement also refers to the amended Financial Results announced today.

2. Explanatory notes for the Amended Results
        2.1 Recognition due to reversal of revenue
        In accordance to Malaysian Financial Reporting Standards (“MFRS”) 118 and as advised by the Company’s external auditors, the revenue of certain property sales
        (“Said Properties”) of Damansara Realty (Johor) Sdn Bhd, a wholly-owned subsidiary of the Company, could not be recognised in the unaudited financial period ended
        31 December 2014.  Nonetheless, in accordance to the same provision of MFRS 118, the recognition of revenue of several of the Said Properties are expected to be
        recognised in the financial year 2015.

        2.2   Other adjustments
        The other adjustments include adjustments for the reversal of impairments, accruals of legal fees, under provision of tax expenses and etc.
