We refer to our announcements dated 15 April 2016, 2 June 2016, 10 June 2016, 16 December 2016, 7 March 2017, 6 June 2017, 22 June 2017, 8 September 2017, 26 September 2017, 2 October 2017, 13 October 2017, 8 November 2017, 13 November 2017, 20 November 2017 and 6 December 2017 in relation to the Proposals (“Announcements”). For consistency purposes, the abbreviations used in this announcement are the same as those previously defined in the Announcements unless otherwise defined herein.

DBHD wishes to inform that, on 7 November 2018, DBHD together with Advance Opportunities Fund I, and Advance Capital Partners Asset Management Private Limited had entered into a Termination Agreement to terminate the Subscription Agreement and the Notes Issue exercise implemented on 5 December 2017, with immediate effect.

Accordingly, effective from the date of the Termination Agreement, DBHD will no longer issue the Notes, and Advance Opportunities Fund I will discontinue subscribing to any Notes henceforth.

Therefore, the Notes Issue exercise is mutually terminated by DBHD, Advance Opportunities Fund I, and Advance Capital Partners Asset Management Private Limited.

Meanwhile, DBHD has also on even date notified, amongst other, Malaysian Trustees Berhad in writing (“Termination Letter”) that following the termination of the Subscription Agreement, the Company wishes to terminate the trust deed dated 20 November 2017 (“Trust Deed”). Following the acceptance by Malaysian Trustees Berhad of the Termination Letter, the Trust Deed is terminated with immediate effect.

Reference is made to the Company's previous announcements on 30 November 2015 and 17 October 2016.

The Company wishes to announce that its wholly-owned subsidiary, Damansara Realty (Johor) Sdn. Bhd. (DRJ) had received a notice of termination from Perbadanan Putrajaya (PJC) on 25 February 2019 concerning Projek Pembangunan Perumahan Penjawat Awam 1Malaysia (PPA1M) units, Non-PPA1M units and the commercial components (the Project) at Lot PT12952 (5R7), Precinct 5, Federal Territory of Putrajaya measuring approximately 11.898 acres.

The decision by PJC was made due to national and public interests, consistent with the Government’s aspiration to unify the development of affordable homes under Ministry of Housing and Local Government (KPKT). PJC and DRJ acknowledge the consequences of such termination as stipulated in Clause 26.2.1 and 26.2.2 of the Development Agreement entered by both parties on 17 October 2016.

Other than the costs incurred for the work done since the Project started which are claimable, the above decision would not have any significant impact on the Group’s earnings or net assets per share.

DAMANSARA REALTY BERHAD ("DBHD" OR "THE COMPANY")JOINT LAND DEVELOPMENT AGREEMENT BETWEEN DAC LAND SDN. BHD. ("DACL"), AN INDIRECT WHOLLY-OWNED SUBSIDIARY OF DBHD AND ACTIVE ESTATES SDN. BHD. ("AESB")  (DACL AND AESB ARE HEREINAFTER REFERRED AS THE PARTIES)
The Board of Directors of DBHD are pleased to announce that an indirect wholly-owned subsidiary of DBHD, DAC Land Sdn Bhd had entered into a Joint Land Development Agreement with Active Estates Sdn Bhd on 13 May 2019 wherein the Parties agreed to jointly carry out a development of sixty-eight (68) units of 3-storey and 4-storey freehold commercial shop lots on the parcels of land in Mukim Tebrau, Damansara Aliff, Johor Bahru, Johor ("the Development") with a total nett development area of 2.9 acres. This Development shall consist of twenty-eight (28) of Bumiputra units and forty (40) of Non-Bumiputra units.

DAMANSARA REALTY BERHAD ("DBHD" OR "THE COMPANY")LETTER OF AWARD FROM MENTERI BESAR, NEGERI SEMBILAN (INCORPORATION) (MBNSI) FOR THE JOINT DEVELOPMENT PROJECT ON THE 50 ACRES OF COMMERCIAL LAND AT LOT PT4948, BANDAR SRI SENDAYAN, SEREMBAN, NEGERI SEMBILAN
The Company wishes to announce that on 14 June 2019, DBHD had accepted the Letter of Award (“LOA”) dated 30 May 2019 from MBNSI for the Joint Development Project on the 50 acres of commercial land at Lot PT4948, Bandar Sri Sendayan, Seremban, Negeri Sembilan (“Project”).

Both DBHD and MBNSI will enter into a Joint Development Agreement (“JDA”) for the Project subject to the terms and conditions to be mutually agreed by both parties.

The Project is subjected to the fulfillment of the following Conditions Precedent as per the LOA:
  • Tabled and approved by the Negeri Sembilan Development Committee;
  • Obtained approval from Local Authorities on “Permohonan Kebenaran Merancang” and any related approval from Government Agencies; and
  • Fulfilled all the applicable requirements and guidelines by the Ministry/Government Agencies in relation to the Project.
The Gross Development Value of the Project is approximately RM771.0 million (Ringgit Malaysia: Seven Hundred Seventy-One Million only) consisting of mixed development of commercial podiums, shop lots and residential units. The development profit payable to MBNSI is approximately RM100.795 million over eight (8) tranches.

The period and confirmation of all terms and conditions for the Project will be further discussed and determined in the JDA to be entered at a later date.

The risks associated with the Project are normal operational risks which shall be mitigated through internal controls and good governance in operating procedures.

The Project is expected to contribute positively to the earnings and net assets of DBHD Group and will not have any effect on the share capital and substantial shareholders’ shareholdings of DBHD Group.

As DBHD is involved in the Property and Land Development business, the Project is in the ordinary course of business and is not subject to the approval of the shareholders of the Company.  

None of the directors and/or major shareholders of DBHD or persons connected to them have any interest, direct or indirect, in the above Project.
