TO MENARA HAP SENG SDN BHD FOR A CASH CONSIDERATION OF RM103,000,000
The Board of Directors of EOB wishes to announce that on 21 December 2009,
Radiant Kiara Sdn Bhd, a wholly-owned subsidiary of Matrix Promenade Sdn Bhd
which in turn is a wholly-owned subsidiary of EOB, entered into a sale and
purchase agreement to dispose a piece of freehold land held under GRN 36342,
Lot No. 595, Seksyen 57, Bandar and District of Kuala Lumpur, Wilayah
Persekutuan KL measuring approximately 4,651.203 square metres together with
the preliminary works carried out thereon to Menara Hap Seng Sdn Bhd for a cash
consideration of RM103,000,000.

As at 30 November 2009 the total bank borrowings of the EOB group
amounted to approximately RM1,032 million. Assuming the entire
proceeds from the Proposed Disposal (net of estimated expenses) were
utilised to pare down borrowings, the annual savings in interest is
expected to be approximately RM5.8 million based on an average interest
rate of approximately 5.7% per annum.

RATIONALE FOR THE PROPOSED DISPOSAL
The Proposed Disposal is in line with the group’s strategy of preserving capital
value and strengthening the balance sheet via realising cash resources which can
then be deployed in other projects and investments to maximise the returns of the
EOB group and/or for repayment of borrowings.

Further to our announcement dated 21 December 2009 (Announcement) and Bursa
Malaysia Securities Berhads letter dated 23 December 2009, the Board of
Directors of EOB wishes to disclose the following additional information in
respect of the Proposed Disposal.  The abbreviations used in the aforesaid
Announcement shall apply herein unless otherwise stated.
1. Justification for the consideration
The Sale Consideration for the Proposed Disposal was arrived at on a willing
buyer and willing seller basis after taking into consideration, inter-alia, the
following:
(i)  Meeting the E&O groups overall strategy and objective of preserving
capital value and strengthening the balance sheet via realising cash resources;
and
(ii)        Constraints on the development potential of the Land after taking into
consideration the requirement to undertake a commercial development which is
complementary and not detrimental to the neighbouring development being
undertaken on the adjacent land parcels.
2. Information as prescribed under item 4, Part C, Appendix 10A of the Main
Market Listing Requirements of Bursa Malaysia Securities Berhad (Listing
Requirements)
As stated in Section 2.4 of the Announcement, a development order has been
granted by DBKL for the development of a 35-storey office building with a
5-storey basement carpark on the Land based on a plot ratio of 1:7.97.  As of
to-date, approximately 40% of substructure and basement works have been
completed and total development expenditure incurred is approximately RM23.5
million.
Further details of the proposed development on the Land such as details of
total development costs, expected profits to be derived, expected commencement
and completion date(s) and others would depend on the Purchasers intended
development plan in respect of the Land.
3. Reasons that the Proposed Disposal is not subject to shareholders approval
As stated in Section 7 of the Announcement, Datuk Chin an Independent
Non-Executive Director of EOB, is deemed interested in the Proposed Disposal by
virtue of him being the deputy chairman of Hap Seng Consolidated Berhad, the
ultimate holding company of Hap Seng.  However, the Proposed Disposal is not
deemed a related party transaction pursuant to Paragraph 10.08(11)(c) of the
Listing Requirements.  As such it is not subject to shareholders approval as
the highest percentage ratio applicable to the Proposed Disposal pursuant to
Paragraph 10.02(g) of the Listing Requirements is approximately 14.1%.
4. Clarification on the computation of one-off gain as stated in Section 4.2 of
the Announcement
The one-off net gain on disposal of approximately RM31.0 million was computed
based on the unaudited consolidated net book value of the Land as at 30
November 2009 of approximately RM62.3 million (after taking into consideration
fair value adjustments upon acquisition of the Land) and further estimated
additional costs which are primarily development expenditure incurred/expected
to be incurred subsequent to 30 November 2009 of approximately RM8.6 million
and net of estimated expenses for the Proposed Disposal of approximately RM1.03
million.

報導:林苡欣 (吉隆坡24日訊)政府提前派發新年禮物,讓超過5年的房地產買賣交易,豁免繳納5%房地產盈利稅(RPGT),此舉雖有助國內房地產復甦,但明年首半年將持續顛簸,券商奉勸投資者,短期內宜套利離場。 僑豐投資研究認為,國內房地產明年首半年將持續顛簸,投資者應在短期內套利。 “依目前房地產類股週期來看,短期內或出現輕微盤整,加上我們預測的反彈,最快將在明年下半年顯現,因此暫不上調此領域投資評級。” 肯納格研究透過分析報告指出,政府能作出上述調整,對房地產領域可謂好消息,並可“真正”推動房地產。 “那些持有房地產投超過5年,資本回酬(capital gains)理所當然可全數認領,不用再繳交5%的房地產盈利稅。” 落實日未有定案 首相拿督斯里納吉昨晚宣佈,凡持有產業逾5年,明年1月開始,可豁免房地產盈利稅。 肯納格研究已針對此事,咨詢內陸稅收局,但當局對此事毫不知情,連落實房扡產盈利稅的確切日期,都還沒定案。 “從這件事來看,對于能否如期在1月1日落實房地產盈利稅,都還是未知數,在此情況下,外資信心首先產生動搖。” 馬銀行研究報告指出,政府此舉有利長期投資者,並可減低市場投機現象。 “可是目前有關當局並未清楚交代,豁免房地產盈利稅是針對個人或企業投資者。” 肯納格研究相信,投資超過5年的房地產豁免房地產盈利稅后,投資者將把焦點放在郊區及城鎮發展計劃。 “首選還是擁有多元化經常收入(recurring income)的發展商,但基于上述利好,我們也上調國內房地產的投資評級,由‘中和’調升至‘短期買進’(Trading Buy)。” 實達建築依恩奧起舞 5年以上房地產可豁免盈利稅的消息,帶動房地產類股今日全都翩翩起舞,其中又以實達建築(SPSETIA,8664,主要板房產)及依恩奧(E&O,3417,主要板房產)最為出色。 依恩奧今日盤踞10大熱門股榜,今日走勢穩定,交易員指出,此股下道阻力點落在1.29令吉。 “投資者過去几個月,大幅拋售此股,但依恩奧正積極強化資產負債表(balance sheet),並積極發展其他工程,以增加回酬。” 實達建築受到上述消息鼓舞,早盤一度上漲10仙,升至全日最高的3.78令吉。 馬銀行投資銀行首選股項為實達建築、馬星集團(MAHSING,8583,主要板房產)及高美達(GLOMAC,5020,主要板房產)。 肯納格維持馬星“買進”(Buy)投資評級,該股今日窄幅波動,近期已積極收購中國地庫,並與中國房地產公司聯營,在當地發展綜合城鎮計劃。 至于高美達,則緩步走高,盤中一度揚5仙,升至1.26令吉全日最高。 另外,陽光(SUNRISE,6165,主要板房產)、雙威城(SUNCITY,6289,主要板房產)、城中城產業(KLCCP,5089,主要板房產),及匯華產業(HUNZPTY,5018,主要板房產)皆走勢。

E&O,3417--产业组 要起飛了!~

(吉隆坡1日讯)依恩奥有限公司(E&O,3417,产业组)宣布,在截至2010年3月31日止财政年度录得7500万令吉净盈利,以及67%强劲收入成长。
基于上述表现,依恩奥董事部已建议派发3.8%股息。
其执行董事陈国梁表示:“尽管面对具挑战性的财政年,依恩奥仍然保持有利可图。”
陈氏称:“依恩奥拥有超过5亿5000万令吉现金的健康资产负债表,反映出该公司的蓬勃财务地位。”
除了核心的产业发展、休闲与产业投资业务,依恩奥也将在下个月在槟城斯里丹绒槟榔推介新一期海滨共管公寓。

傳大股東私有化東方

(吉隆坡)據傳,東方(E&O,3417,主板產業組)大股東計劃私有化這家產業發展公司。

財經週報《The Edge》引述消息報導稱,東方大股東正與多家銀行洽商融資計劃。

資料顯示,東方董事經理拿督譚家漢和新加坡G K G投資控股為這間公司兩大股東,分別握有16%和12%股權。

2月至今,東方積極回購股票,約增加6%持股。分析員認為,若大股東有意私有化,難怪東方近期交投頗為熱烈。

市場並非首次傳出東方私有化消息,早在2006年12月就有傳譚家漢想讓這間公司下市的報導,惟過後被否認。

一年後,東方雖仍上市,卻提出私有化旗下東方產業(E&O Properties)計劃。在斥資收購其餘37%股權後,東方產業成為東方獨資子公司,並成功協助母公司轉虧為盈。
