更改优先股和凭单比例
富科斯5配5送1凭单

（吉隆坡9日讯）富科斯（FOCUS，0116，创业板）更改发行不可赎回可转换优先股（ICPS）和凭单的比例，现建议发行21亿2278万8334股ICPS与派送4亿2455万7666张凭单D。

根据去年8月16日的特定通告，该公司建议发行12亿4538万4218股ICPS与派送2亿756万4036张凭单，股东每持有6股股票，就可认购6股ICPS及获赠1张凭单D。

不过，富科斯今日向交易所报备，将更改发行比例，建议发行21亿2278万8334股ICPS与派送4亿2455万7666股凭单D。

根据新计划，意味着股东每持有5股股票，就可认购5股ICPS及获送1张凭单D。

建议10拆19股

同时，前称亚洲生物能源科技的FINTEC Global有限公司（FINTEC，0150，创业板），也在今日向富科斯发出保证书，独资子公司Asiabio资本私人有限公司，将会认购2亿8469万9610股ICPS及5693万9922张凭单，价格待定。

另外，富科斯也建议进行拆股，每10股股票拆分为19股。【e南洋】

富科斯科技独资公司Marquee国际控股有限公司（MIHSB）在2017年8月份成立了主攻餐饮、娱乐和消费领域的Wine Commerce私人有限公司。Ministry of Wine將借助Wine Commerce在酒品销售方面的优势，提供线上销售。

Wine Commerce私人有限公司董事郑敏胜在主持Ministry of Wine的推介礼时表示，现代人不再是在特別的场合上才会饮酒，每日一酌儼然成了现代人的生活习惯。而线上酒类商店的便捷，正好迎合了现代人需求。

富科斯分拆获放行/万年船

富科斯（FOCUS）在2月23日的股东特大，不出意料之外，分拆计划顺利放行，10股变19股虽然无法取悦许多小股东，不过股票变多了，应该不是什么坏事，所以倒也没人反对。

至于配售优先股的建议，基本上只是因为其股价大起之后的变调，和之前的建议差异不大，因此也没有遇到股东的反对。

不过，因为公司股价的水涨船高，导致其即将免费派发的新凭单（WD）的转换价，也调高（预计是25仙），和目前在交易所上市的凭单（WC）的转换价（5仙）相差很远。

至于WD以后能不能到价，我们姑且一旁观察。

修改凭单契约被否决

股市里有什么是不可能的呢？在一年前大家也对其WC的价位不抱乐观；可是，经过富科斯一轮猛涨以后，WC的股价也跟着大涨，让小股东大赚钱。

不过，特大的另一个小插曲，是有个建议修改凭单契约（DEED POLL）的议案被否决了。

这项议案得到的赞成票是1.246亿股（41.39%），反对票是1.765亿股（58.61%），双方的比数相当，可见凭单持有人的意见分歧，成了两派。

开始我很奇怪为什么这个小议案和前头的几个唱反调，到底是出了什么问题？

后来我去细读公司特大通告，才发现个中乾坤。

原来，这个议案是和股票分拆有关。因为股票即将分拆10成19股，那么，凭单理论上也会10股拆成19股。

按照一般派红股的计算，凭单的转换价也会减少，即从原本的5仙变成3仙（详细的算法可见公司特大通告第46页，本来是2.63仙，向上调整成为3仙）。

但是，由于凭单契约是建立于公司尚有面值的时候，现在有必要删除该条款，以完成调低其转换价的过程。

分拆后转换成本变高

奇怪的是，公司似乎有先见之明，预料到有人要挑战这项条款，所以在通告中进一步说明，如果议案不被通过，那么，凭单的转换价将会保持5仙（见公司特大通告第47页）。

结果，这项议案果然被否决。换句话说，股票分拆以后，每100股凭单将和母股一样，变成190股凭单，但是，其转换价依然保持在5仙。

单从凭单持有人的利益来看，这当然是不公平，因为分拆以后，凭单持有人如果转换，要掏出来的成本高了（注：之前是100股X5仙 = 5令吉；之后是190股X5仙=8.5令吉，而非190股X3仙 = 5.70令吉），但是，反对者显然是要为公司筹多一点钱（因为凭单已经到价，持有人很大可能性会转换成母股），所以硬硬否决了调低转换价的建议，让这次的股票和凭单分拆活动无法皆大欢喜。

至于之后进行的优先股和免费凭单，是否会影响凭单C的数额和转换价？我们拭目以待。【e南洋】
