Redemption status:

和合擬申請提前脫困

(吉隆坡30日訊)和合建築(HOHUP,5169,主板建筑組)已連續5季錄得淨利,加上債務重組計劃告一段落,擬向大馬股票交易所申請提前脫離PN17公司行列。

該公司執行董事黃吉良表示,隨著可贖回可轉換優先股(RCPS)和不可贖回可轉換優先股(ICPS)等重組計劃完成,集團將擁有健康和乾淨的資產負債表以進行新工程,而旗艦武吉加里爾產業發展計劃也持續推介,並放眼未來2至3年推出剩餘的10英畝工程。

“我們現努力鑑定新地庫供未來發展,以及聯營夥伴參與基礎建設工程,以努力維持集團業務增長和獲利。”

除了產業發展和建築外,和合現也透過設立新工程和採購新卡車來擴充混凝土業務。

根據重組計劃,和合建築將把每股面值1令吉普通股、削減50仙至每股面值50仙,再以2股配1股比例發售1億零200萬408股ICPS,並以2優先股送1憑單比例,派送5千100萬零204單位憑單。

最後,該公司也將通過發售高達1億3千566萬4千698股RCPS來償還所有債權人債務,而其餘未擔保的1億8千910萬另吉則將分4期進行償還。(星洲日報/財經)

和合完成重組有望脫困

(吉隆坡31日訊)和合建築(HOHUP,5169,主板建筑組)即將完成重組計劃,有望脫離PN17陷困行列,肯納格研究預期該公司將重新從武吉加里爾佔地60英畝地段中攫取利惠,並強力轉虧為盈。

該公司2013至2015財政年料分別寫下1千710萬、1億零630萬及1億4千680萬令吉淨利,扭轉從2006年起的蒙虧窘境。

和合建築管理層透露將向交易所申請提前脫離PN17公司行列,該股雖一度揚升11仙至1令吉35仙,但賣壓活動迅速湧現,最低下探6仙至1令吉18仙,終場掛1令吉21仙,跌3仙。

和合建築已展開一系列重組計劃,包括削資及發售債券股等,以償還債務。隨後該公司的資產負債表將恢復健康,並潛在獲注資,主要通過發售債券股取得5千100萬令吉,而憑單轉換則將帶來3千零60萬令吉。

武吉加里爾地段發展總值
或倍增至40億

肯納格表示,該公司持有的武吉加里爾地段猶如“皇冠上的珠寶”,一旦獲批,當地的發展總值將從目前的21億令吉,倍增至40億令吉,並在未來7至10年作出貢獻。

和合建築擁有武吉加里爾地段的獨家發展權,並與馬頓(MALTON,6181,主板產業組)簽署了聯營協議,其中和合建築享有發展總值的18%,或最低2億2千萬令吉,加上8千萬令吉預支現金。

隨著該公司重新專注於產業發展業務,肯納格預見未來盈利水平將明朗化,有助於打造發展計劃組合,以支撐未來成長。

“同時,該公司也合理化建築及水泥製造業務,料將進一步增強盈利水平。”

肯納格指出,和合建築重估淨資產值或介於每股1令吉55仙至2令吉55仙,相等於2令吉零5仙平均價,因為武吉加里爾地段開價介於每平方呎250至400令吉。

和合建筑达成还债协议

(吉隆坡15日讯)和合建筑(HOHUP,5169,主板建筑股)已和Bukit Jalil Development私人有限公司债权人达成协议,分4个季度分期清还。

首期摊还将会在不可赎回可转换优先股(ICPS)和可赎回可转换优先股(RCPS)上市后的60天内偿还,或是与Bukit JalilDevelopment私人有限公司债权人协议安排最后获批的120天内。

接下来的还款,则必须每3个月缴付。

Reference is made to the Regularisation Exercise of Ho Hup.  On behalf of the Company, M&A Securities Sdn Bhd wishes to inform that the Regularisation Exercise is completed with the listing of irredeemable convertible preference shares (“ICPS”), redeemable convertible preference shares (“RCPS”) and Warrants on 31 December 2013.

未反映地库价值 和合建筑被低估

(吉隆坡28日讯)在许多产业股都随着它们的地库价值上扬而升值的同时,和合建筑有限公司(HOHUP,5169,建筑组)股价却未反映出其于吉隆坡南部武吉加里尔附近60英亩黄金地段的潜在收益。

分析师预测,该公司未来数年可从其于马顿有限公司(MALTON,6181,产业组)在其中50英亩的合作发展中获利至少5亿令吉。

不过,和合建筑的交易价仅把其市值定于1亿5500万令吉,远低于其每平方尺300令吉平均价的地库。

传言指和合建筑大股东兼非执行董事拿督汤国基,透过其投资工具英沙广场私人有限公司,已经为该公司拟定大规模计划。

消息称,汤国基有意把和合建筑打造为英沙有限公司(INSAS,3379,金融组)的产业与建筑支臂。

(吉隆坡14日訊)和合建築(HOHUP,5169,主板建筑組)宣布公司已成功還清拖欠兩家本地銀行的貸款,正式擺脫PN1公司身分。

該公司發文告說,公司已經完全還清拖欠馬來亞銀行的重組短期貸款,及拖欠安聯投資銀行的循環信貸(Revolving Credit),所以已經不再觸犯PN1公司條件,正式擺脫糾纏多年的PN1公司地位。( 星洲日報/財經)

庭令准购BJD股权 和合建筑大展拳脚

二零一四年二月二十一日 晚上七时四十八分
(吉隆坡21日讯)和合建筑有限公司(HOHUP,5169,建筑组)最终清除法律障碍,购入武吉加里尔发展私人有限公司(BJD)其余30%股份,后者在吉隆坡南部的武吉加里尔拥有60英亩(24.28公顷)地段。

和合建筑向大马交易所宣布,上诉庭已经驳回Zen Courts私人有限公司针对它持有一批450万股票的3597万令吉评值提出的上诉。

和合建筑称,上诉庭是在听审Zen Courts针对上述30%股权评值于3597万令吉,或每股7.99令吉的论点后,作出这项决定。

该庭也指示Zen Courts必须支付3万令吉予和合建筑,以作为双方上诉花费。

和合建筑执行董事黄吉良表示,该公司现将依循庭令,落实完成这项交易。

“这项收购将导致Zen Courts完全撤出。在和合建筑方面,它将获得武吉加里尔发展的全面控制权,后者目前正发展上述60英亩土地。”

上述裁决预料将使得上述过去五年困扰和合建筑经营的股东纠纷和法律问题划上句点。

Reference is made to the announcements dated 25 May 2011, 8 August 2011, 28 September 2011, 12 October 2011, 28 March 2012, 24 May 2012, 18 July 2013 and 16 August 2013.

The Board of Directors of Ho Hup wishes to announce that the Court of Appeal has on 19 February 2014 dismissed Zen Courts Sdn Bhd (“Zen Courts”) appeals against the Orders made by the High Court on 18 July 2013 in relation to:

(i) the purchase price of Zen Courts’ 4,500,000 shares (30% equity) in Bukit Jalil Development Sdn Bhd (“BJD”) being fixed at RM35.97 million, and

(ii) the application by Zen Courts to make further representations on the valuation report issued by Ferrier Hodgson MH Sdn Bhd as independent valuer on 31 December 2012.

The Court of Appeal further ordered that Zen Courts pay to Ho Hup costs (for both appeals) totalling RM30,000.

和合建築獲近2億伊拉克合約

(吉隆坡21日訊)和合建築(HOHUP,5169,主要板建築)獲頒伊拉克復修工程合約,約5800萬美元(約1億9100萬令吉)。

和合建築向馬證交所報備,獲伊拉克華事德(Wassit)省建設委員會頒發總值約1億9100萬令吉合約。

根據上述合約,和合建築將復修位于伊拉克長達44公里的道路,及相關基礎設施和公用事業服務。

作為主要承包商的和合建築,將委任當地分包商,一同為上述計劃執行和融資;上述合約耗時約3年半,料2017年6月分完成。

The Board of Directors of Ho Hup wishes to announce that the Company had been awarded a contract for rehabilitation of 44 km length of the Al-hawraa District Roads and Rehabilitation for all the infrastructure and utilities services in Al-hawraa District, Iraq (hereinafter referred to as "the Contract"). The Contract sum is for Iraqi Dinar 71,392,461,600 or approximately USD58 million. The Contract was awarded by the Commission of Construction, Wassit Province in Iraq and terms confirmed on 20 February 2014.

The contract work is expected to be carried out over three and a half years and be completed in June 2017.

The Contract is not expected to have any material impact to the financials for the year ending 2014 and is expected to contribute positively to the future earnings of the Company.

In carrying out the Contract, Ho Hup will undertake the role as the main contractor and will appoint and work with locally established Iraqi sub-contractors for the project execution and project financing. The Company is of the opinion that the project and country risks associated with this project will be adequately mitigated by the appointment of established and reliable local Iraqi subcontractors. The Contract sum in Iraqi Dinar is subject to foreign exchange risk.

None of the Directors and/or Major Shareholders and/or persons connected to them, have any interest, direct or indirect in the Contract.

和合建築申請提早脫離PN17

(吉隆坡6日訊)和合建築(HOHUP,5169,主要板建築)向馬證交所申請,提早脫離PN17行列,股價尾盤受激勵。

該公司向馬證交所報備:“合盈證券(M&A Securities)已代表和合建築,在上市條例下申請提早脫離PN17地位。”

不過此項申請有待馬證交所批准,和合建築將針對相關進展作宣布。

和合建築早盤走勢表現平平,休市報1.51令吉,起2仙。在宣布上述消息后,股價上揚4仙2.68%至1.53令吉,閉市時報1.54令吉,起5仙,成交量為806萬6000股。

和合建築截至去年底末季取得1650萬令吉淨利,全年淨利達2770萬令吉。

武吉加里爾發展30%股權 和合建築完成收購

(吉隆坡7日訊)經一段風風雨雨的日子后,和合建築(HOHUP,5169,主要板建築)終于完成收購武吉加里爾發展(Bukit Jalil Development)剩余的30%股權。

和合建築發佈文告指出,今日接獲高庭一份將Zen Courts私人有限公司所持有的武吉加里爾發展4500萬股,或30%股權的轉讓表格。

同時,和合建築已針對上述股權,向Zen Courts支付總值3597萬令吉銀行本票,及在去年7月18日開始至去年11月11日期間支付5%利息,相等于總值57萬6505令吉利息。

換句話說,該公司已完成向Zen Courts私人有限公司,收購子公司武吉加里爾發展的30%股權。【中国报财经】
