（吉隆坡25日讯）独立顾问Mercury证券认为，Waras Dinamik私人有限公司以64仙献购合力控股（HALEX，5151，主板工业产品股）“不公平”也“不合理”，建议小股东拒绝该献议。

Mercury证券在通告中指出，每股64仙的献购价“不公平”，因等于每股81仙实际净资产价值（RNAV）的21%折价。

此外，尽管合力控股股价在过去1年内低于献购价，但献购价仍等于3月21日闭市价的折价4.5%。

截至4月20日，该公司股价均高于献购价，与4月20日闭市价、5天交易量加权均价（VWAP）和22天交易量加权均价相比，分别折价30.4%、28.9%与22%。

维持上市地位

同时，该证券行认为，献购方有意维持合力控股上市地位，加上该股流动性高，股东可以在献购期限后，在公开市场中套现，因此该项献议“不合理”。

此外，其他董事包括丹斯里阿都拉曼、拿督威拉哈芝马苏德、莫哈末费沙卡因、菲利安东尼三美、梁嘉曼及郑德彬（皆译音），同意Mercury证券的意见，也建议股东股东拒绝该献议。【e南洋】

合力690万巴生买地

2017年7月13日
（吉隆坡12日讯）合力控股（HALEX，5151，主板工业产品股）以690万令吉买下位于雪州巴生，一块占地334平方米的土地及6层楼商业店铺。

合力控股日前向交易所报备，独资子公司Halex 管理私人有限公司，与Temasek Mentari 私人有限公司签署股权买卖协议，向后者买下一块永久地契地皮。

其中的20%将以现金支付，剩余80%则将通过银行借贷及内部资金来融资。

今年5月，被Waras Dinamik私人有限公司收购之后，合力控股目前正进行重组活动。

合力控股新管理层认为，由于控股公司的核心营运集中在巴生，收购上述地皮能整合及提高公司的整体营运效率。

预计上述收购活动，不会显著影响公司截至12月底2017财年的盈利及每股净利。

合力1800万售KDSB25%

（吉隆坡11日讯）合力控股（HALEX,5151,主板工业产品组）以1800万令吉，脱售肯辛顿发展公司（KDSB）25%持股，以作为减低银行贷款与营运资本用途。

该公司在文告中说，间接持股的肯辛顿发展公司目前在沙巴亚庇发展5亿余令吉零售商场、SOVO、二层半独立式洋房等产业计划。
