NON RELATED PARTY TRANSACTIONS | Description | DISPOSAL OF 52,000,000 ORDINARY SHARES IN SEREMBAN ENGINEERING BERHAD ("SEB") ("SEB SHARE(S)"), REPRESENTING 65.26% OF THE ENTIRE EQUITY INTEREST IN SEB ("SALE SHARE(S)"), A SUBSIDIARY COMPANY OF STC FOR A TOTAL CASH CONSIDERATION OF RM26.00 MILLION ("CONSIDERATION") ("DISPOSAL") | On behalf of the Board of Directors of STC (“Board”), Public Investment Bank Berhad (“PIVB”) wishes to announce that STC had on 3 September 2019 entered into a sale and purchase agreement (“SPA”) with MIE Industrial Sdn Bhd (“MIEI” or “Purchaser”) in relation to the Disposal at the Consideration, which is based on a sale price of RM0.50 per SEB Share.
Upon completion of the Disposal, SEB will cease to be a subsidiary company of STC.
Further details in relation to the Disposal are set out in the attachment.

售亏损资产·前风变压器松口气

前风变压器（SUCCESS,7207,主板工业产品服务组）宣布以2600万令吉，售出旗下65.26%的芙蓉工程（SEB,5163,主板工业产品服务组）股权，专注核心业务。
该公司是于2007年3月1日买入芙蓉工程，以多元化业务至工艺设备，随后芙蓉工程更是在2010年5月10日上市主板，主要业务为铸造、金属结构、维修护理。
认列芙蓉工程亏损
拖累净利暴跌
但芙蓉工程近年来表现不佳，2018及2019财政年皆蒙亏将近500万令吉，不仅让前风需要认列亏损，更拖累2018财政年净利写下5年新低，按年暴跌84.16%，至734万令吉。
此外，前风变压器还需提供更多财务和管理的支援，截至2019年6月30日，前风变压器总共给了芙蓉工程，约961万令吉财务援助。
这种种无疑是加重了前风变压器的负担，所以脱售芙蓉工程后，相信公司来说利大于弊。
料受惠于全国路灯改LED灯泡
另一方面，随着9月政府将逐步将全国路灯改用LED灯泡，作为东南亚首要工业灯具公司的前风，料可借此提振其盈利及加深在本地的步伐。
据了解，前风变压器开发的旗舰产品iLCS智能路灯系统，是通过物联网（IoT）网络链接所有灯明，以更好监管和控制路灯，达到成本效益和交通优化。
如今，加上脱售后将得一笔资金增进其工作资本和未来投资，料可进一步加强竞争力，未来前景可期。
