Description	MUAR BAN LEE GROUP BERHAD ("MBL" OR THE "COMPANY") ACQUISITION BY MBL PLANTATION SDN BHD (“MBLPSB”), A WHOLLY OWNED SUBSIDIARY OF MBL, OF THE ENTIRE ISSUED AND PAID-UP ORDINARY SHARE CAPITAL OF SOKOR GEMILANG LADANG SDN BHD (“SGLSB”) AND NOVATION OF THE SUM OWING FROM THE CREDITORS OF SGLSB TO MBLPSB FOR A TOTAL CONSIDERATION OF RM24,750,000 TO BE SATISFIED BY CASH (“ACQUISITION”)
The definitions and abbreviations used in this announcement are the same as those previously defined in the announcements of the Company dated 15 March 2013, 21 June 2013, 16 August 2013, 19 August 2013, 1 November 2013, 18 November 2013 and 18 December 2013 in relation to the Acquisition (“Announcements”). Further to the Announcements, Inter-Pacific Securities Sdn. Bhd., on behalf of the Board of Directors of MBL is pleased to announce that MBLPSB had on 13 February 2014, paid the remaining balance of the Purchase Consideration amounting to RM11,011,500 to the Vendors’ solicitors. Concurrently, MBLPSB had also paid the Sum Owing of RM12,515,000 to the Creditors. Accordingly, the Acquisition is deemed completed on 13 February 2014. This announcement is dated 13 February 2014.

麻坡萬利（MBL，5152，主板工業產品組）及誠成集團（KSSC，5192，主板工業產品組）的業務前景如何？似乎沒有分析員研究這兩家公司，它們還值得繼續持有嗎？

答：
麻坡萬利旗下子公司，主要涉足3項核心業務，包括設計及製造油籽壓榨器及輔助機械，設計、組裝及裝置及啟用油籽壓榨工廠、製造及銷售有關的部件等。

麻坡萬利於去年3月15日宣佈，以2千475萬令吉全面收購Sokor Gemilang Ladang（SGL）公司，包括協助SGL支付拖欠債權人的1千251萬5千令吉。SGL主要涉及棕油種植管理及營運業務，收購計劃將能讓麻坡萬利多元化業務至棕油種植上游領域。

在業務前景方面，麻坡萬利在宣佈最新2014年首季業績時，談到公司未來的業務前景時認為，該公司董事部認為，預料在2014年其餘季度的業務表現將保持令人滿意水平。

截至2014年3月31日為止首季，麻坡萬利淨利為144萬1千令吉（每股淨利為1.57仙），比較前期為271萬4千令吉（每股淨利為2.95仙）。而營業額為1千200萬7千令吉，比較前期為1千523萬7千令吉。截至2014年3月31日為止的每股資產值為90仙。

該公司第一季的淨利及營業額較低，主要是工程銷售額較低所致。該公司自2009年財政年以來的5年裡，皆錄得盈利，即每股淨利介於5.54仙至22.12仙。過去至少6個月以來，並沒有證券研究對它進行剖析及給於推荐評級。

誠成加強市場策略

誠成集團旗下子公司，主要涉及製造及加工次級不銹鋼產品、工業五金的貿易等。

截至2014年3月31日為止首季，該公司淨利為48萬2千令吉（每股淨利為0.50仙）。截至同期的營業額為2千105萬8千令吉。每股資產值則為76仙。該公司首季淨利表現稍為遜色，主要是整體銷售及分銷成本，行政開銷及其他開支有增無減所致。

該公司董事部表示，將繼續加強公司的市場策略，包括通過擴展旗下的工程業務及增加產品種類以提高營收。除了經濟不明朗因素之外，該公司預料業務表現保持令人滿意水平。

從2010年12月31日為止財政年以來的4年裡，該公司每股淨利介於2.87至13.75仙、而每股股息則介於1至3.95仙。是否值得持有，上述一點資料供參考。（星洲日報／投資致富‧投資問診‧文：李文龍）

最近几个月原棕油价格受大豆油价影响，两个都跌得很低，原棕油已经跌到RM2000 1吨的边缘。虽然这几天大豆油价格开始平稳，个人还是觉得暂时观望比较好。明天季报应该出炉了。
