达全球积极发展酒店业务

(吉隆坡11日讯)达全球(TAGB,5158,主板產业股)执行董事邱宝金表示,该公司正积极发展酒店业务,酒店与房產业务各贡献50%。

她今天在股东特大后的记者会上如是表示。一同出席的包括独立非执行董事余深慰。

「我们密切关注亚太区域酒店市场,並计划透过收购来扩大公司的酒店业务。北美以及欧洲市场都是公司考量范围內。」

她补充说,这包括川普品牌的其他酒店,如果价格合理而有机会,公司都会考虑。因为该公司正关注北美具有標誌性以及良好地理位置的酒店。

通过收购川普酒店

达全球週四召开股东特別大会,对收购位於温哥华的川普国际酒店与大楼(Trump International Hotel and Tower)表决,该议案获得股东以99.994%多数票赞成通过。

达全球旗下独资子公司--Maxfine国际有限公司,是在今年4月与卖主West Georgia Development达成协议,以1亿加元(2亿9621万令吉)收购该酒店。

问及这收购会否加重达全球的债务时,她表示,影响不大,公司的负债率仍处在可被接受水平。

「目前公司的负债率为0.55,预计在完成收购后增加0.04,至0.59。」

另外,余深慰补充,公司的债务依旧处於正常水平,这是因为在公司的房產业务中,一半的融资是来自公司內部资金。

所收购的酒店位於加拿大第3大城市,目前正兴建中,预计可於2016年6月完成。

邱宝金表示,大楼部份的住宅单位已推出市场,取得不错反应。

总共有218个单位,其中有60%已经售出。估计可在2017年开始为达全球带来贡献。

他表也示,收购酒店后並不会易名,公司收购川普品牌,看中的就是这品牌在北美已有很高的知名度,而且『Trump』是高贵顶级品牌的代名词。

在產业业务方面,邱宝金表示,公司在今年不会推出新发展项目。但会在明年实行消费税后开始推出新项目,並在2016年加速推出新发展项目。【东方网财经】

We refer to our announcements dated 29 April 2014, 14 July 2014, 27 August 2014 and 11 September 2014 (“Announcements”).

Unless otherwise stated, abbreviations and definitions used throughout this announcement shall be the same as the Announcements.

Further to the approval being granted by the shareholders at the Company’s Extraordinary General Meeting held on 11 September 2014 for the Proposed Acquisition, the Board of the Company now wishes to announce that a General Partner has been incorporated and a Limited Partnership has been formed. Details are as follows:-

Incorporation of General Partner – TA Hotel GP Ltd.

TA Hotel GP Ltd. (the “General Partner”) was incorporated under the Business Corporations Act on 15 September 2014 with the British Columbia Registrar of Companies under the incorporation number of BC1013525.

The principal activity of TA Hotel GP Ltd. is to carry on the business of the Partnership in relation to the Proposed Acquisition.

The shareholder of TA Hotel GP Ltd. is TA Management Ltd, a subsidiary of the Company. The current issued and paid-up capital of TA Hotel GP Ltd. is C$1.00 divided into one (1) common share of C$1.00 each issued to TA Management Ltd.

Formation of Limited Partnership – TA Hotel Management Limited Partnership

TA Hotel GP Ltd. and TA Management Ltd (“TAML”) had on 15 September 2014 formed a Limited Partnership under the name of TA Hotel Management Limited Partnership (“TAHLP” or “Partnership”) pursuant to the laws of the Province of British Columbia and pursuant to Sections 51(2) and 51(4) of the Partnership Act of British Columbia, R.S.B.C. 1996, c.348 as amended from time to time and any re-enactment thereof (“Act”).

The salient terms of Section 51(2) and 51(4) of the Act is attached herewith in Appendix 1 for your reference.

The following units in TAHLP have also been issued with the formation of the Partnership:-
(a)         100 Class “A” Units to TAML at C$1.00 per unit; and
(b)         1 Class “B” Unit to TA Hotel GP Ltd. at C$1.00 per unit.

達環球逾1億向新達南購地

(吉隆坡20日訊)達環球(TAGB,5158,主要板房產)耗資總值1億686萬令吉,向新達南(TALAMT,2259,主要板房產)購地。

達環球與新達南同時向馬證交所報備,達環球獨資子公司即Metro Ingenious私人有限公司,與新達南的獨資子公司Europlus Corporation私人有限公司簽署買賣協議,向后者首購2塊在雪蘭莪的商業用地,收購價為1億686萬令吉。
 
達環球將考慮通過內部融資和貸款,進行上述土地收購。【中国报财经】

未履行买卖协议纳税 达全球向KHI 索赔1307万

(吉隆坡2日讯)达全球(TAGB,5158,主板产业股)发出仲裁请求,向Kingdom酒店投资(简称KHI)展开仲裁程序,索赔1亿1934万5903泰铢(约1307万5649令吉)。

根据文告,这项仲裁请求是由达全球子公司Crystal Caliber(简称CCSB),在5月30日所发出。

目前,双方因KHI违反2012年4月25日所签署的买卖协议而僵持不下。

CCSB是根据伦敦国际仲裁院(LCIA)的条例,提呈仲裁请求。

早前的买卖协议指出,KHI已同意及契诺,在2012年5月31日前,会为CCSB支付任何纳税责任和成本,而最终却没有支付。

因此,CCSB欲索赔的金额,是根据普吉税收局向两家公司所所征收的预扣税(withholding tax)金额,总值预计达1亿1934万5903泰铢(约1307万5649令吉)。

此外,CCSB也将索赔当中的利息及成本。

这两家公司分别是Siam Recovery控股的49万5222泰铢(约5万4261令吉),以及Siam Resort的1亿1885万681泰铢(约1302万2591令吉),它们皆是Movenpick Karon Beach度假村的业主及经营者。

达全球是在2012年完全收购Movenpick Karon Beach度假村。

达全球认为,展开仲裁程序是保留权益的最佳解决方案,同时表示,这不会显著影响2016财年表现。

COMMENCEMENT OF ARBITRATION PROCEEDINGS BY CRYSTAL CALIBER SDN BHD AGAINST KINGDOM HOTEL INVESTMENTS
1.             INTRODUCTION
Pursuant to paragraphs 9.03 and 9.04 (g) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, TA Global Berhad (“the Company”) wishes to announce that Crystal Caliber Sdn Bhd (“CCSB”), a wholly-owned subsidiary of the Company, has on 30 May 2015 issued a Request for Arbitration to commence arbitration proceedings against Kingdom Hotel Investments (“KHI”).

2.             PARTIES
The Claimant in the arbitration proceedings is CCSB and the Respondent is KHI.

3.             DETAILS OF THE CLAIM
The Parties are in dispute arising from breaches by KHI of the Sale and Purchase Agreement dated 25 April 2012 between CCSB and KHI (“SPA”). The Request for Arbitration is submitted by CCSB in accordance with Article 1 of the Arbitration Rules of the London Court of International Arbitration ("LCIA Rules"). CCSB’s claim under the LCIA Rules arises from the tax covenant as set out in the Schedule 8 of the SPA whereby KHI agreed and covenanted to pay CCSB any tax liability and cost before 31 May 2012.

The estimated amount of claim in the Request for Arbitration by CCSB is in respect to the withholding tax liability claimed by the Phuket Revenue Office against:
(i)  Siam Recovery Holdings Company Ltd ("SRH") – amounting to THB 495,222.17; and
(ii) Siam Resort Company Ltd ("SRC") – amounting to THB 118,850,681.35.

In addition CCSB is also claiming for interest and costs arising from and in connection with the said matter.

4.             CURRENT STATUS
The Company is of the opinion that the commencement of arbitration proceedings are in its best interest to preserve CCSB’s rights in the SPA.

The Company is also of the opinion that the arbitration proceedings are not expected to have any material impact on the financial position of the Company for the financial year ending 31 January 2016.

None of the directors or major shareholders of the Company or persons connected to them has any interest, direct or indirect, in the arbitration proceedings.

KHI has twenty eight (28) days to file a Response to CCSB’s Request for Arbitration.

终止联营协议 达全球6951万售加拿大地皮

(吉隆坡12日讯)达全球(TAGB,5158,主板產业股)宣佈,其子公司TA Development One(加拿大)私人有限公司和Townline Gardens公司签署一项联营终止协议及签署地皮买卖协议,以6951万令吉卖掉一块加拿大地皮给Townline Gardens。

该公司表示,TADevelopment One公司是在2009年11月26日和Townline Gardens公司签下联营协议,以便发展位於加拿大Richmond城市的一块地皮(占地22英亩),並推销该地皮的住宅和商业单位。

TA Development One公司和Townline Gardens公司分別持有联营公司的65%和35%。

不过,达全球如今已经將该地皮卖给Townline Gardens公司,转手价是2352万加元(相等於6951万令吉)。该公司指出,售卖地皮的资金將用来发展核心业务。【东方网财经】

达全球首季净利跌11%

(吉隆坡25日讯)截至4月杪,达全球(TAGB,5158,主板产业股)首季净利报7217万2000令吉,或每股盈利1.36仙,按年下滑11.45%。

同期营业额也按年减少11.09%,至1亿4065万5000令吉。

由于发展成本高企,拖累产业发展业务表现失色,税前亏损报630万令吉。

同时,投资控股业务因缺少汇兑收入,也陷入税前亏损130万的窘境,打击了首季业绩。

展望未来,国际油价走跌和中国经济放缓,将持续为公司带来挑战。

因此,在产业发展业务方面,达全球预期我国的销量会疲弱。

不过,公司将在澳洲推介新项目,相信可提振当地销量表现。【南洋网财经】

达全球半年净利锐减

(吉隆坡30日讯)达全球(TAGB,5158,主板产业股)截至7月31日次季,也同样蒙亏1256万6000令吉,上财年同期获利2116万5000令吉。

同期营业额则萎缩47.1%,报1亿1432万3000令吉。

上半年而言,净利锐减41.9%,仅达5960万6000令吉;营业额报2亿5497万8000令吉,跌31.9%。

而拖累达全球表现的主因,也离不开投资控股、房产投资、房产发展和酒店业务。【南洋网财经】

The shareholder of Aava Whistler Hotel GP Ltd. is ERF Properties Sdn Bhd, a subsidiary of the Company. The current issued and paid-up capital of Aava Whistler Hotel GP Ltd. is C$0.01 divided into one (1) common share of C$0.01 each issued to ERF Properties Sdn Bhd.

Further to the announcement dated 29 October 2015, the Company now wishes to announce that Aava Whistler Hotel GP Ltd and Aava Whistler Hotel Limited, subsidiaries of the Company had on 30 October 2015 formed a Limited Partnership under the name of Aava Whistler Hotel Limited Partnership (the “Partnership”) pursuant to the laws of the Province of British Columbia and pursuant to Section 51 of the Partnership Act of British Columbia, R.S.B.C. 1996, c.348 as amended from time to time and any re-enactment thereof (“Act”).
The salient terms of Section 51(2) and 51(4) of the Act is attached herewith in Appendix 1 for your reference.

The following units in the Partnership have also been issued with the formation of the Partnership:-
  • 100 Class “A” Units to Aava Whistler Hotel Limited at C$1.00 per unit; and
  • 1 Class “B” Unit to Aava Whistler Hotel GP Ltd at C$1.00 per unit.

另外,达全球(TAGB,5158,主板产业股)第三季亦净亏4692万1000令吉或每股净亏0.88仙,逊于上财年同季的净赚4477万7000令吉,或每股净利0.84仙。

而营业额按年减少33.51%,至1亿3522万令吉。

公司首九个月净赚1268万5000令吉,或每股0.24仙,按年锐减91.4%;而营业额则跌32.47%,至3亿9020万令吉。

程铁建儿子任CEO

此外,达全球宣布,委任执行主席拿督程铁建的儿子程如锦为总执行长,并从明日开始生效。

今年36岁的程如锦带领达全球拓展至加拿大,近期更率领团队到温哥华进行旗舰发展项目特朗普国际酒店及大厦(Trump International Hotel and Tower Vancouver)。

值得注意的是,达全球自2009年11月上市以来,不曾有过总执行长的职位。

REASON FOR VARIATION ON THE RATE OF DIVIDEND DECLARED COMPARED TO PREVIOUS YEAR
The Board of TA Global Berhad is pleased to recommend a final single tier dividend of 0.5% for the financial period ended 31 December 2015, which is lower than the rate of final single tier dividend of 2% declared for the financial year ended 31 January 2015 in line with the lower profit after tax made for the financial period ended 31 December 2015.

The final single tier dividend of 0.5% for the financial period ended 31 December 2015 is subject to the shareholders’ approval at the Company’s forthcoming Eighth Annual General Meeting.
