After the above disposal, YTSSB will cease to become associate company of SSB. 招牌用越南字未受攻擊 森化集團供應鏈受波及

（吉隆坡15日訊）生產化學品的大馬上市公司森化集團（SAMCHEM）說，在越南業務已全面本土化，加上招牌使用越南字，未受反華暴徒攻擊；但因台灣及新加坡供應商受攻擊，使森化集團供應鏈受影響，加上街頭示威等暴亂持續，當地生意或多或少受波及。

該公司總執行長吳定波回應《中國報》詢問時指出，新加坡及台灣商家是暴動的最大受害者，儘管該公司在當地的主要營運及業務不受影響，供應鏈還是稍受拖累。

森化集團在當地業務90%員工為越南人，廠房位于出事省份週邊城市。

冀4年內海外貢獻佔半‧森化擬進軍柬緬

（吉隆坡22日訊）工業化學分銷商森化集團（SAMCHEM,5147,主板貿服組）放眼3至4年內海外營業貢獻達50%，正進軍柬埔寨市場和探討緬甸契機，期許今年捎來更亮麗佳績。

該集團主席吳定波說，過去曾放眼海外業務達30%目標，上財政年已超出預期至33.6%，期望3至4年海外貢獻佔半，除了已擴充越南、印尼外，今年2月也在柬設子公司行銷工業化學產品。

他今日在股東大會新聞匯報會後說，緬甸將是計劃欲擴展的另一市場，目前在進行一些預備工作，聯繫供應商與銀行方面等，擴充至緬甸只是時間問題。陪同者包括執行董事崔澤劬和黃森強。

“緬甸是人口龐大與相對穩定的國家，會是集團欲攫取的市場。”

他強調，國內市場已成熟，每年成長率3%至4%，區域市場待開發中與契機無限，最重要的作為400多種工業化學產品的領導分銷商，具備良好競爭能力。

他說，柬埔寨市場從小起步，也是重要的一步，柬市場下財政年貢獻料低於5%。

首席執行員吳聯波說，集團越南業務受反華暴動衝擊甚微，只有少數客戶在暴動重災區的平陽工業區，不過上週一起已完全恢復過來。

他不太擔憂投資法規對柬埔寨市場衝擊，任何法規的修改皆有利於吸資，因此對外資只有愈來愈好。（星洲日報／財經）

柬业务明年全面贡献　森化探討进军缅甸

（吉隆坡22日讯）於今年二月进军柬埔寨市场的森化集团（SAMCHEM，5147，主板贸服股），料这市场明年將可对公司作出全面的营业额贡献。       

森化集团主席吴定波於森化集团第7届股东大会后的记者招待会上表示，隨著柬埔寨贸易自由化和外国直接投资提高，以及製造业成长带动化学製品的需求提升，目前是森化集团进入柬埔寨的良好机会。而作为工业化学品分销商的森化集团，只会在柬埔寨设立办事处，所以资本开销不会太大。

森化集团首席执行员吴联波透露，柬埔寨业务自2月开业至今，已开始作出小额营业额贡献，料將於明年起，可作出全面贡献。

吴定波则透露，由於该公司对於柬埔寨业务採取谨慎的扩展策略，这个市场在未来数年的贡献，相信將低於5%。目前该公司的营业额贡献主要是来自大马（66%），紧接著是越南（19%）、印尼（14%）及新加坡（1%）。

另外，吴定波披露，该公司也对缅甸市场有兴趣，森化目前正探討进军市场环境稳定的缅甸，公司並无订下固定期限。展望未来，吴定波说，该公司2014財政年首季（截至3月31日止）业绩表现出色。有鉴於此，他相信此势头將会持续，料2014財政年业绩將会比去年更好。

森化集团週三公佈2014財政年首季净利为333万令吉，按年下跌16.32%；营业额则为1亿5368万令吉，提升22.73%。

吴定波指出，首季净利按年下跌，主要是去年同期脱售地皮取得一次过190万令吉收益。若是不纳入此一次过收益，该公司首季净利按年成长57.7%。

吴定波指出，虽然该公司並无订下股息政策，但每年均將盈利的30%用作派发股息。针对越南排华事件，吴联波表示，这对该公司越南业务影响非常低，並且此次暴动於上周一（12日）已逐渐平定。【东方网财经】

专注拓展海外 森化冀5年进军缅甸寮国

（吉隆坡30日讯）化学产品分销商森化集团（SAMCHEM，5147，主板贸服股），计划在未来3至5年踏入缅甸和寮国市场，为中南半岛的事业版图拼上最后两块拼图。

总执行长拿督吴联波日前接受《太阳报》访问时指出，中南半岛的增长潜能极大，人口和市场规模皆非常大，特别是在越南，未来数年的重心将是拓展海外市场。

“我们在当地‘在地化’业务，并非一、两年就能完成，而是需要3至5年的时间去真正稳健地发展。”

目前，森化集团有多达450至500个产品的分销权，包括聚氨酯化学品、化学半成品、特种化学品和定制溶剂混合物等，范围广泛。

暂没筹资计划

虽然着重于海外拓展计划，但该集团暂且没有筹资计划，除非为了拿到新的产品分销权，而需要大笔的资金，才会考虑筹资。

同时，这也不代表集团会就此忽略本地业务，希望能海内外业务的营收贡献比例，能在今年达到50:50。

另一方面，吴联波也透露，消费税（GST）的推行，以及经济增速放缓，对本地业务多少会造成短期冲击，但相信下半年将会恢复良好表现。

“在消费税之前，订单已经开始放缓，但并不是很严重。”

由于所分销的产品属于零税率，因此，也不会调整产品价格。

随着市场竞争提高，该集团也致力提高效率，而国际油价下跌也有助拉低交通成本，相信国内外稳健的政治局面，将能激励今年再取佳绩。

国內外业务支撑　森化预测全年营收增5%

（吉隆坡22日讯）森化集团（SAMCHEM，5147，主板贸服股）预测2015財政年全年营业额將成长5%，主要是由稳健的大马业务和海外业务贡献支撑。

森化集团首席执行员吴联波表示，集团本身將在今年积极爭取更多的客户和供应商，这包括在大马、印尼和越南的市场，以加强获利能力。

「目前，大马和海外市场的营业额贡献比重，分別是60%对40%。上述市场的国內经济成长稳定，而且人口眾多，预计將足以应付公司未来5至10年的发展所需。」

他在今天出席森化集团第8届股东常年大会后的记者招待会上，如此表示。

吴氏指出，森化集团作为石油化学分销商的佼佼者，计划在今年推出对环境有利的產品。

「我们將与供应商合作，计划在今年推出对环境无害的產品，以进一步加强公司的获利能力。」

他补充说，公司也將透过提升成本效率，以期提高净利赚幅。

森化集团周四公佈的2015財政年首季（截至3月31日止）净利为355万令吉，按年上升6.36%；同时，营业额按年成长1.43%，至1亿5589万令吉。

对此，森化集团主席吴定波表示，希望今年全年业绩表现可以维持首季的正面成长。

展望未来，吴联波称，大马作为该集团的起源地，该公司將继续专注大马市场。而在越南拥有的39年期限土地，他说，目前还没有正式计划如何去善用该地皮，大致上应该会用来作为化学混合设备的用途。

另外，吴定波指出，今日的股东大会，股东一致通过派发一次过2.5仙的单层股息。该股息占公司2014財政年净利比重57%，符合公司过往30至50%派息率。不过，他称，目前公司並没有固定的股息政策。

（吉隆坡20日訊）森化集團（SAMCHEM，5147，主要板貿服）截至6月底次季淨利大漲85%，從163萬令吉增至302萬令吉，由營運效率提升和較低融資成本貢獻，並派發每股0.02仙股息。

該公司營業額按年跌14.6%，達1億4104萬令吉，受原油價格走低影響。

森化集團上半財年淨利按年攀升32%，從496萬令吉增至656萬令吉；營業額跌6.8%，達2億9693萬令吉，對比去年同期為3億1875萬令吉。【中国报财经】

INTRODUCTION Samchem Holdings Berhad ("SHB or the Company") wishes to announce that the Company has completed the acquisition of the equity interest of 60%, representing 6 ordinary shares of RM1.00 each in SAMPRO DISTRIBUTION SDN BHD (Company No. 1151665-U) (“SAMPRO DISTRIBUTION”) from Mr. Mohd Firdaus Bin Jamari for a total purchase consideration of RM6.00 and satisfied by cash. 2.  INFORMATION ON SUBSIDIARY Name of Subsidiary                      : SAMPRO DISTRIBUTION SDN BHD Country of Incorporation              :  Malaysia Authorised Share Capital              : RM500,000/- divided into 500,000 ordinary shares of RM1.00 each Issued and Paid-up Share Capital  : RM10/- only divided into 10 ordinary shares of RM1.00 each Principal Activity                           : Retail sale of Audio Video and ICT Distribution, trading, system integrator and solution provider. 3.   FINANCIAL EFFECTS The acquisition will not have a material effect on the earnings per share and net assets per share of the Company for the financial year ending 31 December 2015. There is no impact on the share capital and substantial shareholders’ shareholdings in the Company as the acquisition is a cash transaction. The consideration will be funded by internally generated funds and that there are no liabilities to be assumed by the Company arising from the above acquisition. 4.   DIRECTORS' AND SUBSTANTIAL SHAREHOLDERS’ INTEREST Save for Ng Thin Poh and Dato’ Ng Lian Poh who are the common directors of SAMPRO DISTRIBUTION, none of the other Directors and/or substantial shareholders of the Company and/or persons connected with him has any interest, direct or indirect, in the above acquisition.
