REVALUATION OF PROPERTY
1.            INTRODUCTION
Pursuant to Paragraph 9.19(46) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, the Board of Directors of ASB (“Board”) wishes to announce that the Board had at its meeting held on 28 February 2014 approved the incorporation of the revaluation surplus arising from the valuation exercise conducted on a Property (as detailed below in item 3) held by the Group in the unaudited financial results of ASB Group for the fourth quarter ended 31 December 2013.

2.            PURPOSE
The valuation was carried out to determine the market value of the Property for the management purpose.

4.            EFFECT OF REVALUATION SURPLUS ON NET ASSETS PER SHARE
Based on the unaudited financial results of ASB Group as at 31 December 2013, the Group's net assets value per ASB share will be increased by 0.64sen upon incorporation of the net revaluation surplus (after deferred tax) of RM3.3million.

5.            DOCUMENT AVAILABLE FOR INSPECTION
The valuation report of the Property is available for inspection at the Registered Office of the Company at Level 3, East Wing, Wisma Synergy, No. 72, Pesiaran Jubli Perak, Seksyen 22, 40000 Shah Alam, Selangor Darul Ehsan during normal business hours from Monday to Friday (except for Public Holidays) for a period of three (3) months from the date of this announcement.

DISPOSAL OF THV MANAGEMENT SERVICES SDN BHD (“THV”), A 70%-OWNED INDIRECT SUBSIDIARY OF ASB HELD VIA ANTARA HOLIDAY VILLAS SDN BHD (“AHV”), AN INDIRECT WHOLLY-OWNED SUBSIDIARY OF ASB (HELD VIA ALANGKA-SUKA HOTELS & RESORTS SDN BHD (“ASHR”), A WHOLLY-OWNED SUBSIDIARY OF ASB)
The Board of Directors of ASB wishes to announce that AHV has on 8 April 2014 entered into Share Sale Cum Settlement Agreement (“Agreement”) with TH Hotel & Residence Sdn Bhd (Company No. 126483-D) (“THHR”) for the disposal of its entire shareholding of 350,000 shares representing 70% equity interest in THV to THHR, the company which is currently holding the remaining 30% equity interest in THV, for a cash consideration of RM350,000.00 only (“Proposed Disposal”).

THV is a private limited company incorporated in Malaysia on 9 May 2013 with an authorised share capital of RM500,000.00 divided into 500,000 ordinary shares of RM1.00 each of which 500,000 shares are issued and fully paid-up. THV was jointly incorporated by AHV and THHR to undertake the business of hotel management.

The cash consideration of RM350,000.00 for the Proposed Disposal is at par value of the shares.

In conjunction with the Proposed Disposal, there is a settlement sum of RM400,000.00 to be paid by THHR to AHV for the management services rendered by AHV under the Management Services Agreements entered into by THV.

AHV and THHR have agreed that the completion for the Proposed Disposal shall be the Business Day falling 14 days after the day upon which the conditions of the Agreement have been fulfilled, or such other date as may be agreed upon between the parties. Following the completion of the Proposed Disposal, THV ceased to be a subsidiary of AHV, ASHR and ASB.  

The Proposed Disposal is not expected to have any material effect on the earnings per share or net assets per share of ASB Group for the financial year ending 31 December 2014.

None of the directors, major shareholders and/or persons connected with the directors and major shareholders of ASB has any interest, direct or indirect, in the Proposed Disposal.

巴黎酒店餐廳業 先進策略以4684萬脫手

(吉隆坡12日訊)先進策略(ASB,1481,主要板工業)以1050萬歐元(約4684萬令吉),脫售旗下位于法國巴黎酒店和餐廳業務給Maranatha。

該公司將脫售旗下Alangka-Suka酒店和餐廳私人有限公司,持有的巴黎Alangkasuka、巴黎Holiday Villa Lafayette ,以及Legenda de Malaise股權。

Alangka-Suka酒店和餐廳持有巴黎Alangkasuka的70%股權和投票權,其余30%股權則由Memory Gate私人有限公司持有。

先進策略稱,酒店產業涵蓋購物和娛樂區,包括9個具租賃協議房間。該地面積達510平方尺,淨建築面積為509平方尺。

“酒店產業截至12月底2013財年平均入住率為78.63%,淨賬面價值(book value)達304萬歐元(約1350萬令吉)。酒店資產現是其中一項抵押給金融機構進行貸款融資的資產。”

先進策略指餐廳產業是在超過100年前建造,位于巴黎中心,占地152平方尺。該餐廳淨截至2013財年底賬面價值為74萬歐元(約329萬令吉),同樣抵押給銀行進行貸款融資。

先進策略認為脫售建議,提供釋放投資價值的機會。

該公司因此脫售,股項從今日早上9時開始暫停交易,並在早上10時以14仙恢復交易,即跌0.5仙。

該股今日大部分時間在14仙和15仙之間窄幅波動,休市暫掛14.5仙平盤;半日成交量達122萬7000股。

閉市時,該股報14仙,有172萬800股易手。

RE-ORGANISATION OF GROUP STRUCTURE
The Board of Directors of ASB wishes to announce the following:
1. Transfer by Advance Synergy Capital Sdn Bhd, a wholly-owned subsidiary of the Company (“ASCAP”), of its entire holding of 10 ordinary shares of AUD1.00 each, representing 50% equity interest in Quality Bus & Coach Pty Ltd (“QBC Australia”), to Quality Bus & Coach (M) Sdn Bhd, a 61%-owned subsidiary of ASCAP (“QBC Malaysia”) for a cash consideration of AUD10.00. The remaining 50% equity interest in QBC Australia not held by ASB Group is also transferred to QBC Malaysia.
(hereinafter referred to as “Transfer of QBC Australia”).

2. Pursuant to the Transfer of QBC Australia, Autobus Australia Pty Ltd (“Autobus Australia”), the wholly-owned subsidiary of QBC Australia, will become an indirect wholly-owned subsidiary of QBC Malaysia.

3. Consequential to the above, QBC Australia ceases to be an indirect associate of ASB (held via ASCAP) and becomes an indirect subsidiary of ASB (held via QBC Malaysia).

Both QBC Australia and Autobus Australia were incorporated in Australia on 15 December 1997 and 26 February 2008 respectively. The paid-up share capital of QBC Australia and Autobus Australia is 20 ordinary shares of AUD1.00 each and 1,000 ordinary shares of AUD1.00 each respectively. QBC Australia currently imports and sells coaches in Australia for QBC Malaysia. Autobus Australia is presently inactive.

The aforesaid transfer is to better streamline the operations and management of QBC Malaysia Group and is not expected to have any material effect on the earnings, net assets or gearing of ASB Group for the financial year ending 31 December 2014.

( 吉隆坡2 7 日讯) 週一接获交易所不寻常交易活动询问(UMA)的先进联营(ASB,1481,主板贸服股),今日答复询问时表示,除了已公佈的股息及脱售海外资產的行动,该公司並没有其他未公佈的企业消息,也不晓得有任何的传言导致公司的股价大热走高。       

惟该公司也表示,一直都有在探討机会,评估合適的建议,及执行关键的策略,来改善公司的表现,扩充营运及提振亏损或表现欠佳的子公司业绩。

若一旦有任何实际的商业机会或计划,经確定之后,公司將会作出適时的公佈。

该公司过去6 个交易节节上扬, 週一进一步走高7 仙或36.84%,至0.26令吉,並躋身热门榜第2位,过后,接获交易所的询问。

该股今早10时38份暂停交易以作出这项答复,並在11时38份恢復交易,股价已稍微回落,交投热度也大减。

助子公司融资伦敦房产 先进协作2060万购附加股

(吉隆坡31日讯)先进协作(ASB,1481,主板贸易服务股)将注资640万美元(约2060万1600令吉),购置间接持股公司发行的附加股,让后者通过内部融资,购置伦敦投资房产。

该公司向马交所报备,将通过Synergy实业(简称SRI)购置Helenium的640万附加股,其他股东也将依持股比例认购附加股。

后者将使用这笔资金,购置伦敦KilburnHigh路的一项房地产,作为投资用途。

这项购股计划将在8月完成,SRI将持有Helenium的40%,持股比例与之前一样。

Helenium为先进协作间接持股公司,主要业务为房产投资;SRI则是先进协作通过Synergy房地产的间接子公司。

Helenium在5月12日,与Lotta房地产签署买卖合约,以1940万英镑(约1亿670万令吉)购下上述房地产。

先进协作指出,Helenium未来将为公司带来稳定的租金收入。

3300万卖City Villa酒店

另一方面,先进协作以3300万令吉现金,脱售旗下的吉隆坡City Villa酒店予MWUrban发展。

该公司发表文告,City Villa酒店位于吉隆坡哈芝胡申路,属于独资子公司Mayor Hotel私人有限公司。

根据文告,先进协作与MW Urban发展的买卖合约中,包括了2年租约。

该公司将以每年100万令吉的价格回租City Villa酒店,2年共200万令吉的租金,将从脱售酒店的总额中扣除。【南洋网财经】

The Board of Directors of ASB wishes to announce that MHSB has on 30 July 2014 accepted a Letter of Offer/Intent for MW Urban Development Sdn Bhd (“Purchaser”) to purchase from MHSB the hotel property known as City Villa Kuala Lumpur (“City Villa”) located at No. 69, Jalan Haji Hussein, Off Jalan Tunku Abdul Rahman, 50300 Kuala Lumpur with Strata Titles Geran 85/M1/1-3, 4, 5-20/1 and Geran 85/M1/1-5/4, at Lot 2034, Section 41, Kuala Lumpur on an “as is where is” basis for a total cash consideration of RM33.0 million (“Purchase Price”) (“Proposed Disposal”).

The Purchase Price was derived on a willing buyer willing seller basis and after taking into consideration among others the net book value of City Villa.

The Purchaser has paid RM660,000.00 as earnest deposit on the date of acceptance of the said Letter of Offer/Intent by MHSB. The said earnest deposit shall form part of the 10% deposit upon execution of the Sale Agreement (“SPA”) by both parties. The SPA shall be finalised within 28 working days from the acceptance date of the said offer unless the time frame is extended by mutual consent in order to facilitate due diligence process on City Villa by the Purchaser and/or its consultants.

The Purchase Price shall be paid within 3 months from the date of the SPA with a further extension of 1 month with interest payable at 8% per annum calculated on daily basis on the outstanding balance Purchase Price until full payment.

The Proposed Disposal is subject to the inclusion of a “lease back clause” where the Purchaser shall let City Villa to MHSB at the annual rental of RM1.0 million per year for a total period of 2 years commencing from the date of settlement of the balance Purchase Price (“Leaseback”). The agreed total rental of RM2.0 million shall be offset/deducted from the balance Purchase Price simultaneously in exchange for the settlement of the balance Purchase Price in completing the Proposed Disposal.

The highest percentage ratio applicable to the Proposed Disposal is 7.66% pursuant to paragraph 10.02(g) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad.

None of the directors, major shareholders and/or persons connected with the directors and major shareholders of ASB has any interest, direct of indirect, in the Proposed Disposal and Leaseback.

A separate announcement will be released upon execution of the SPA.

(吉隆坡13日讯)先进协作(ASB,1481,主板贸服股)宣布,脱售吉隆坡City Villa酒店的计划已经告吹。

根据文告,先进协作间接独资子公司Mayor Hotels私人有限公司,今日接获买家MW城市发展私人有限公司的信函,宣告该建议收购计划已胎死腹中,惟并无透露原因。

上月杪,先进协作宣布以3300万令吉现金,脱售吉隆坡CityVilla酒店予MW城市发展。
