脱售部份资产 成隆机构冀减债10亿

(吉隆坡7日讯)成隆机构(Dijacor,5407,主板产业股)计划通过策略性的脱售计划,把目前高达0.9倍的负债率,减少至0.5倍,或大约10亿令吉的债务。

所谓策略性的脱售计划,包括出售现有存货、非核心地块、产业投资项目,及未完成的发展计划。

大华继显研究统计,要筹获10亿令吉,该公司可脱售的资产包括1亿9000万令吉的存货、3亿1900万令吉的未完成项目、位于雪隆和南马市值3亿令吉的非核心地库、2亿5000万令吉的非核心投资产业及建筑、1000万令吉的证劵等。

当被询问及有关计划是否包括之前大股东丹斯里陈志成所注入的私人资产时,成隆机构表示尚在研究,到底要出售哪一些地块及投资产业。

分析员指出,成隆机构脱售部份资产减债的计划,对公司和投资者来说是正面的,并减轻投资者对负债的疑虑。

该行对成隆机构维持“买进”的投资建议,并把目标价格设定在1.65令吉。

分析员把面积高达102英亩,总发展价值高达100亿令吉的槟州世界城收入纳入计算后,把成隆机构2013至2015核心盈利预测,从原先的25%,上调至41%。

“我们的报告并未把有关的土地出售计划纳入。否则2013年的赚幅可高达1亿7000万令吉。”

另一位产业研究员指出,低负债率有助成隆机构在扩展业务并进行策略性扩张,并在经济不景气时起到缓冲作用。[南洋网财经]

(吉隆坡18日讯)为了凸显旗下产业计划,成隆机构(Dijacor,5407,主板产业股)宣布更换名字至Tropicana Corporation Berhad。

龚伟成请辞

根据文告,马来西亚公司委员会(CCM)已在今年3月13日批准更换公司名字申请,董事局也将于即将举行的股东常年大会中让股东表决。

成隆机构表示,Tropicana Corporation更能凸显旗下计划如Tropicana Golf&Country度假村、Tropicana城镇、Tropicana英达度假村住宅区和Tropicana双溪毛糯等计划发展商身份。

另一方面,成隆机构宣布委任江文俊(音译)为副董事经理,同时宣布执行董事龚伟成请辞。

文告显示,现年49岁的江文俊在产业发展和建筑领域拥有20年的经验。

成隆机构(Dijacor,5401,主板产业股)积极脱售非核心资产,包括小面积地段及投资型的产业,力求把目0.8倍的负债率降低至0.5倍。

行家建议:
我们预计公司负债率将在2013财年降至0.6倍,2014年则将进一步减低至0.48倍。

把推出总值达29亿令吉的房产及9亿5100万令吉的未入账销售额纳入计算后,我们相信,公司2013财年净利将上升185%至1亿7000万令吉。

目前,公司的发展总值(GDV)500亿令吉,地库达900英亩,其中海滨工程占50%。

减低负债将强化公司的财务实力,不仅有利收购地库,也能加强并购计划。

2.0     BACKGROUND INFORMATION ON SISB
SISB was incorporated in Malaysia on 8 January 2013 under the Companies Act, 1965 as a private limited company with an authorised capital of RM100,000 comprising 100,000 ordinary shares of RM1.00 each. Its present issued and paid-up capital is RM2.00 comprising 2 ordinary shares of RM1.00 each.

3.0     RATIONALE FOR THE ACQUISITION
          The Acquisition is to facilitate the future investment opportunities in land.

4.0     FINANCIAL EFFECTS

(吉隆坡10日讯)成隆机构(Dijacor,5401,主板产业股)宣布,委任钟俊英(译音)为执行董事(财务)以及朱志明(译音)为总财长,从今年4月8日(周一)起生效。

根据文告,41岁的钟俊英从英国特许管理会计师公会获得专业会计资格,是大马会计师公会会员。

他曾经在跨国公司及本地大企业任职,在多个行业拥有逾18年的财务管理经验。

另外,朱志明今年42岁,在英国布里斯托尔大学考获经济与会计学士学位。

成隆機構斥13億 向雪政府購1172英畝地

(吉隆坡15日訊)成隆機構(DIJACOR,5401,主要板房產)出價近13億令吉,向雪州大臣機構(MBI)及雪州發展機構(PNSB)收購11塊位在莎阿南哥打哥文寧運河城(Canal City)土地,充作發展用途。

該公司今日晚間向馬證交所報備,獨資子公司Sapphire Index私人有限公司已與上述2個機構,簽署買賣協議;收購的土地總面積達1172英畝。

文告說,上述收購案符合公司發展策略,以持續擴大現有地庫,待完成收購后,成隆機構地庫將從800英畝增至2000英畝。

(吉隆坡15日讯)成隆机构(Dijacor,5407,主板产业股)以12亿9725万9264令吉、收购雪州哥打甘文宁附近Canal City约1172英亩土地。

成隆机构向马交所报备,配合上述收购,独资子公司Sapphire Index今日正式与雪州大臣和雪兰莪投资有限公司(Permodalan Negeri Selangor)签署一项买卖兼发展协议。

据文告,成隆机构将以最长20年期支付上述12亿9725万9264令吉,此收购价包括:1.土地收购价总值5亿8700令吉。

2.最高2亿5200万令吉利息款,以每年5%利息计算。

3.最低4亿5825万9264令吉的发展总值(GDV)和共享盈利。

成隆机构总执行长拿督游国成说:“这是重要的收购案,因在巴生谷内,具直接发展潜能土地已越来越稀少。

这土地更毗数城镇,包括哥打甘文宁、布特拉高原和Rimbayu城。”

成隆機構購地計劃 雪大臣:交易未完成

(吉隆坡16日訊)成隆機構(DIJACOR,5401,主要板房產)昨日宣布,出價近13億令吉,收購雪州大臣機構(MBI)及雪州發展機構(PNSB)旗下11塊土地,惟雪州大臣今日表示,該項收購計劃並未真正完成。

雪州看守政府州務大臣丹斯里卡立今日出席雪州“第13屆大選人民宣言”后的記者會時指出,雪州發展機構與成隆機構未真正簽署任何合約,后者必須接受仍待完成的協議條款。

成隆機構所收購的11塊土地,分別位于莎阿南哥打哥文寧運河城(Canal City)。

發展值增至700億

但卡立指出,該項協議尚未簽署合約,不排除出現任何變數;他也是雪州發展機構主席。

“我認為他們(成隆機構)是在接獲雪州發展機構的信函后作出回應,但信內只列明協議條款。”

他也說,成隆機構作為一家上市公司,可根據內幕消息宣佈購地交易。

此外,成隆機構董事經理拿督陳永隆今日透過文告指出,該公司冀望,該項收購土地計劃可增加公司未來15年至20年,發展總值至700億令吉。

雪州投資:成隆買地發展協議有效

(吉隆坡18日訊)雪州投資公司(PNSB)強調,與成隆機構(DIJACOR,5401,主板產業組)簽署的雪州哥拉哥文寧約1千172英畝地段買賣兼發展協議是有效的,縱然雪州政權變動都不會對之帶來影響。

雪州投資公司首席執行員拿督阿莫奧瑪表示,儘管雙方是在雪州議會解散後簽署買賣兼發展協議,但公司在簽署協議前已向律師進行諮詢,確認只要政策沒有變化損及協議內的特定條例,相關協議是可行的,因此有關協議是有效的。

“我需要鄭重聲明一點就是有關協議是在雙方長達2至3年的協商,並最終就細節取得共識,以及提呈董事部同意的情況下簽署的,完全按照合法的程序進行。"

不應將商業
與政治因素混在一起

他補充,就算雪州政權在大選後出現變動,而PNSB也嫡屬雪州政府,但這是兩者達成的商業交易,不應將商業與政治因素混在一起。

詢及對雪州看守政府州務大臣丹斯里卡立發表相關合約仍未定案的言論看法時,他認為,卡立談話可能遭到特定媒體的錯誤“引述",並重申上述合約是合法的。

成隆機構是在4月15日宣佈和雪州大臣機構(MBI)和雪州投資公司(PNSB)達致買賣兼發展協議,將以12億9千726萬令吉現金收購和發展雪州哥拉哥文寧約1千172英畝地段,以進行綜合發展計劃,包含住宅和商用產業,發展期達20年,預料總發展價值達86億令吉,若在15至20年內全面完成,發展總值可高達200億令吉。

成隆机构 私下配售10%股票

(吉隆坡15日讯)成隆机构(DIJACOR,5401,主板產业股)建议向第三方进行私下配售占缴足资本10%的股票,所得资金供未来买地和资本开销用途,但有关发售价尚未定夺。        

若以每股1.40令吉的指標发售价格计算,预计成隆机构可通过私下配售集得1亿2043万至1亿5904万令吉。

上述建议是为了让成隆机构以最低成本集资,並扩大股本和加强市场的股票流通量。
