WILLOW（柳谷系统，0008，主板科技股），成立于1986年12月，并于2002年4月29日上市大马交易所MESDAQ，之后于2010年9月28日转至主板。

WILLOW是一家小型科技公司，该公司的主要业务是提供电脑化的监控系统 Supervisory Control And Data Acquisition（简称 SCADA ）。该公司提供服务的客户领域涉及石油与天然气输送管、废水处理站、铁道和道路管理公司、发电厂、建筑服务公司以及等等。

WILLOW的营业额大都来自合约的收益，而主要市场是大马和新加坡。虽然该公司在印尼、加拿大和香港都有业务，但是新马两国所贡献的营业额就占了90%以上。特别是新加坡，贡献了超过60%的营业额。近期该公司所获得的数项合约都是来自新加坡。

估计WILLOW手中拥有总值1亿5000万令吉的合约，而且该公司仍然积极的竞标其他合约。

既然合约长做常有，那么公司的业绩想必不错。

翻看WILLOW过去几年的业绩，这家公司确实年年都赚钱。

此外，该公司是一家净现金公司，无银行借贷。在截至2016年9月30日为止的业绩里头显示，该公司拥有4571万令吉现金，相等于每股18仙，这也就是为什么该公司虽然业绩时有起落，但每年都会固定派发最少2仙的股息。

柳谷子公司赢770万合约

（吉隆坡13日讯）柳谷（Willowglen MSC Bhd）指出，新加坡独资子公司赢得一项总值770万令吉的合约，提供各种电气仪表控制（EIC）面板。

Willowglen Services私人有限公司还将根据Sanli M&E Engineering私人有限公司颁发的合约，设计和提供可编程逻辑控制器（PLC）及远程监控和数据采集系统（SCADA）。

柳谷今日向大马交易所报备，这项合约于1月11日开始，并将于12月21日完成。

“该合约预计为集团截至12月杪2017和2018财政年的盈利和每股净资产作出贡献。”

柳谷补充，合约将不获续约，并涉及正常的商业风险。

最新进展:
For the financial year under review, the Malaysian operations have set up a new division to venture into providing ITS.  After 4 months in operations,  we managed to secure a job of RM 7.40 million together with our JV partner in the supply and installation of traffic control and surveillance system for a highway project.

We have also put in significant efforts in sending our Remote Terminal Units (“RTU”) and Field Terminal Units to overseas reputable lab to go through a series of test in order to meet the stringent requirements of the largest electricity utility company in Malaysia.  Our efforts paid off in March 2017 as we have been awarded a contract of RM 7.82 million by the electricity utility company for the supply, installation, testing and commissioning of Secondary RTU.  We expect this market segment will continue to contribute to the earnings of the Group.  We are studying and putting in  extra efforts to improve on the efficiency  of our RTU and also to reduce the cost of production of our RTU in order to be more competitive.

柳谷冀涉足医院电子监控系统

（吉隆坡26日讯）柳谷（WILLOW，0008，主板科技股）放眼拓展业务至医院领域的监控系统，並已获得政府颁发彭亨瓜拉立卑（Kuala Lipis）医院的电子监控系统合约。

柳谷董事经理黄宗秋在今天股东大会后向《东方財经》表示，政府计划未来在2、3线城市兴建更多的医院，倘若能够按年在不同州属推行，这將会是一个庞大的项目。

「这也是公司自去年开始，计划向一些新领域寻求业务后的其中一个拓展方向。」

另一方面，成功註册成为国家能源（TENAGA，5347，主板贸服股）的潜在供应商后，柳谷获国家能源颁发总值782万令吉的合约，为后者自动供电计划中的机械化环网柜（ringmainunit，RMU）分站，提供安装、测试与运行次级远程终端设备单位。

黄宗秋也冀望公司今年能取得更多国能SCADA系统相关合约，这对公司的前景会有很大帮助。

除了国能合约外，该公司也打算竞標轻快铁第3路线（LRT-3）SCADA系统相关合约。

「轻快铁第1路线和第2路线皆由我们负责，我相信我们有能力竞標第3路线。」

黄宗秋表示，柳谷今年投標合约的价值达3亿至4亿令吉之间。询及该公司是否有意竞標隆新高铁（HSR）的合约工程项目，他称，有机会的话，肯定会把握。

同时，该公司目前手持未入账订单高达1亿9000万令吉，足以支撑一年半左右的盈利表现。

另一方面，黄宗秋指出，为了保留足够的现金储备，董事局將维持与上年相同的股息派发，即每股2仙。

他说，保留现金除了投標更多项目外，也有意进行併购计划，不过与柳谷能够业务相辅的公司才会考虑，对此仍保持谨慎的態度。

首季净利飆91%

柳谷在今日收市后，公佈2017財政年首季（截至3月31日止）业绩，该公司净利按年飆涨91.35%，至498万令吉；营业额也按年提高49.02%，至3832万令吉。该公司在文告中表示，业绩大好归因新加坡营收急涨，而加拿大子公司的贡献也增加。【东方网财经】

传柳谷领跑LRT3通讯合约

（八打灵再也27日讯）消息透露，电脑监控系统供应商柳谷（WILLOW，0008，主板科技股），领跑轻快铁第3路线（LRT3）4亿令吉的通讯合约。

《The Edge》引述消息人士报道，柳谷和联营伙伴华为，被选为该通讯合约的首选。

“国家基建公司（Prasarana）董事部已经评估该通讯工程的竞标，并推荐华为柳谷。这已提呈至财政部等待最终批准。”

财政部可能需要一至两个月来定案，批准国家基建公司颁发该合约给柳谷和华为。

一般上，财政部不会反对国家基建公司的举荐，但也并非没有例外。据悉，华为柳谷在竞标的商业和技术方面皆领先。

消息指出，柳谷和华为为了竞标该项目，成立了接近平等的伙伴关系。【e南洋】

董事经理以每股80仙强制收购柳谷

（吉隆坡12日讯）柳谷（Willowglen MSC Bhd）已接获董事经理黄宗秋旗下私人机构New Advent私人有限公司的无条件强制收购献议，以8760万令吉或每股80仙，收购New Advent及一致行动人（persons acting in concert）仍未持有的剩余1亿950万股，或相等于45%股权。

上述收购价码比5天成交量加权平均价（VWAP）（包括9月11日在内）1.34令吉折价40.3%。

同时，上述价码也比一个月成交量加权平均价（包括9月11日在内）1.41令吉折价43.26%，以及比3个月成交量加权平均价1.54令吉还要低48.05%。

在柳谷为了配合发布文告而暂停交易之前，上述收购价码也比今日暂停交易时的股价1.39令吉还要低45.44%。以当下的股价来计算，该集团市值达3亿3822万令吉。

兴业投资银行研究在大马交易所的文告中指出，继投资控股公司New Advent今日与柳谷签署一项股权买卖协议，以收购柳谷的5575万股或相等于22.92%股权后，因而触发强制收购献议。

完成收购后，New Advent和一致行动人的持股权将从原本的32.08%，扩增至55%。

除了黄宗秋之外，其他的一致行动人包括其妻子Ling Kim Po及两人的儿子、柳谷执行董事Simon Wong Chu Keong、Wong Chu Kee，以及柳谷的股东Elegant Prefere私人有限公司和Jian Qi Holdings私人有限公司。Elegant Preference和其独资子公司Jian Qi皆隶属黄宗秋旗下。

黄宗秋直接持有New Advent的55.51%股权，其余股份则由其妻子和两名儿子持有。

根据New Advent的代表兴业投行研究的说法，献购方打算维持这家在马交所主板上市的电脑控制系统开发商和供应商的上市地位。

这项收购献议的截止日期将由发布日算起的21天内，柳谷将于明日恢复交易。

王宝钦．“柳谷”花明又一村？

看着柳谷系统（WILLOW，0008，主板科技组），不知怎的令人想起丹斯里黄宗华私有化辟捷控股（PJ DEVELOPMENT）的事件。

上周，柳谷系统董事经理黄宗秋旗下NewAdvent公司，以每股80仙向6位股东增购22.92%股权后，与伙伴的持股将从32.08%提高到55%，触及强制全面献购门槛，因此建议以相同价位收购其余未持有的股票。

交易公布前，柳谷系统最后报价是1令吉32仙，比黄宗秋的出价高52仙或39%，与一年前相比，该公司股价也多出44仙或35%。可想而知，由于黄宗秋出手太低，隔天开市柳谷系统就面临沉重卖压，股价急挫12仙或9%，收报1令吉27仙，成交量达303万3700股。

由于黄宗秋打算维持柳谷系统的上市地位，因此不排除所谓的全购只是增持股权后，顺水推舟上演的一出戏，最后可能是一场注定草草收尾的演出。况且，小股东根本找不到以低价卖股的理由。

一般上，大股东全购上市公司，主要的原因往往是股价无法反映出该公司估值，而柳谷系统的股价一点也不失礼。该股今年7月14日曾飙上1令吉58仙，改写上市以来最高纪录，即使近期跌回1令吉28仙水平，也比年初的75.5仙高52.5仙或69.54%。

柳谷系统的股价表现抢眼，业务也稳定增长，截至今年6月的最新半年内，营业额增长24.36%至7273万令吉，净利也提高22.01%至929万6000令吉。过去5年，该公司营业额和每股盈利分别增长20.41%和16.56%。

由于建议全购的黄宗秋和伙伴不可投票，持有15.78%或3914万股的第二大股东侨丰国际（OSKVI，0053，创业板金融组），就成为左右全购成败的关键者，而侨丰国际的大股东，正正是黄宗秋的兄长黄宗华，在兄弟联手之下，小股东最终恐怕不得不接受现实。

别忘了，当初辟捷控股也是在众多股东万般不愿之下，最终依然完成私有化活动的，柳谷系统会不会步上辟捷控股的后尘？

柳谷获727万狮城合约
建造南北传输电缆隧道

（吉隆坡25日讯）柳谷（WILLOW，0008，主板科技股）独资子公司Willowglen Services私人有限公司，获SK E&C（新加坡分行）颁发总值约726万6000令吉的合约。

柳谷今日向马交所报备，该公司将负责设计、建造及完成南北传输电缆隧道。

上述合约从上周五（22日）起生效，预计将会在明年6月3日完成。

预计该合约将正面贡献公司2017和2018财年的盈利及每股净资产。【e南洋】

The Board of Directors of Willowglen MSC Berhad (“the Company”) is pleased to announce that on 22 September 2017, the Company’s wholly-owned subsidiary, Willowglen Services Pte Ltd has been awarded a contract valued equivalent to approximately RM7,266,000 by SK E&C (Singapore Branch) for the Design, Construction and Completion of North-South Transmission Cable Tunnel – Contract NS2. The commencement date of the contract is on 22 September 2017 and will be completed by 3 June 2018. The contract is expected to contribute positively to the Group’s earnings and net assets per share for the financial years ending 31 December 2017 to 2018. The contract is not renewable and the risk in respect of the contract is the normal business risks. MSWG：柳谷售股计划“令人困惑及不可思议”

（吉隆坡25日讯）小股东权益监管机构（MSWG）表示，柳谷（Willowglen MSC Bhd）股东以每股80仙的作价脱售手中的股权，此脱售价码比该股现有的交易价“折价幅度相当大”，股东的举措“令人感到困惑及不可思议”。

小股东权益监管机构在每周的The Observer新闻通讯中表示：“至于柳谷，由于该集团是一家现金充裕且稳定增长的公司，这可能迫使一些股东抛售股票。”

“这当然也将引发许多问题。此外，此次脱售比市价大幅折价，更为重要的是，这令人感到困惑及难以置信。”

小股东权益监管机构指出：“如今也触发强制收购献议，或许，神秘销售的原因会浮上台面，也许不会。”

New Advent在9月12日向柳谷发出无条件强制收购献议，以8760万令吉或每股80仙，收购New Advent及一致行动人士（persons acting in concert）仍未持有的剩余1亿950万股，或相等于45%股权。

New Adventa是一家由柳谷大股东黄宗秋、其儿子Simon Wong Chu Keong以及关联方所持有的公司。Simon Wong Chu Keong目前是柳谷的董事经理。

随着New Adventa向Ling King Ling、Paul Yii See Ying、Teh Boon Wee、Hue Nyet Fong、Au Yiu Joo和Jasmine Villa Development私人有限公司收购柳谷的22.92%股权后，New Adventa在柳谷的持股权由原本的32.08%提高至55%，因而触发强制收购献议。

柳谷表示，每股80仙的脱售价比该股9月11日的闭市价折价39.39%，仅在发动收购献议的前一天。

兴业投资银行研究建议，New Adventa打算维持这家在马交所主板上市的电脑控制系统开发商和供应商的上市地位。
