裕丰净亏偏差1013.7万

（吉隆坡1日讯）裕丰（YFG，7122，主板贸服股）截至6月的2014财年的已审计净亏，较未审计的账目多1013万7000令吉。

裕丰早前宣布的未审计全年净亏为428万令吉，但在审计报告中，实为净亏1442万3850令吉。

这是因为有工程更换持有权，其中一家金融机构撤出融资配套，导致工程暂时停止，记录848万1000令吉的减值。

虽然在7月时已获得工程终止消息，并在8月18日获得最终账目，但难以在2个月内落实各种技术程序，因此，未审计财报来不及记录133万4000令吉的成本支出。

同时，递延税项和其他收入调整32万2000令吉。

首季净利跌85%

另一方面，由于新工程收入降低、加上工程完工比例减少，以及赚幅下滑至6.3%，裕丰截至9月30日首季，净利按年跌85.36%，报11万2000令吉，或每股0.02仙。

同时，营业额从3420万5000令吉，年跌22.56%，报2648万8000令吉。【南洋网财经】

稽查師指少報1千萬虧損‧裕豐今發佈修正財務表

（吉隆坡4日訊）2014年第四季財報被稽查師認為少報了1千零13萬7千令吉虧損的裕豐（YFG,7122,主板貿服組），表示將調整某項已停工工程的撥備額，同時會因此修正2014財政年財務表。

該公司閉市後透過文告表示，經稽查和修正後的財務表將在週三（5日）發佈。

配合上述宣佈，裕豐股票在週二暫停交易一天；不過，截至晚上8時止，裕豐尚未表明會否在週三恢復交易。

根據裕豐在上月31日發出的文告中，透露2014年經稽查財報與未經稽查財報之間存有1千零13萬7千令吉的差距，主要因稽查師將848萬1千令吉工程撥備納入計算，同時以成本計算法計算一筆能見度不明朗的工程欠款，造成已稽查財報和未稽查財報出現重大差距。

據瞭解，裕豐2014財政年的未稽查淨虧損為428萬令吉，經稽查後虧損擴大至1千442萬3千令吉。（星洲日報／財經）

裕豐今日向馬證交所報備上述已審計財務報表的調整，主要因為一項計劃的減值減少，從原本的848萬令吉減低至511萬令吉。

該公司配合上述消息宣布，昨日停牌並于今日早上9點正式復牌；最終閉市時跌1仙至8.5仙。

工程中止或索不回337万 裕丰减值亏损难确定

（吉隆坡6日讯）裕丰（YFG，7122，主板贸服股）外部审计师指出，公司所承包的工程不确定是否可索回337万令吉，所以难以确定最终的减值亏损金额。

针对裕丰截至今年6月杪的财务，外部审计师毕马威（KPMG）发表保留意见（Qualified Opinion）。

毕马威点出，公司旗下工程中止，客户不确定可否获得融资，公司未必可向客户索回337万5072令吉欠款。

除了工程终止的问题，毕马威认为公司的财报没有问题，充分反映公司营运和现金表现。

毕马威提到，公司截至6月杪蒙受1104万8778令吉净亏，而且客户拖欠影响裕丰的现金流，可能进一步冲击持续经营的能力。

毕马威相信，公司能否持续经营，得看银行对公司的支持，以及公司能否取得和完成更多合约。

不过，裕丰董事相信，公司的计划不受影响，而工程终止一事也会成功上诉，更会获得银行支持，所以公司会保有稳定现金流，且持续营运。【南洋网财经】

該公司向馬證交所報備，建議將這批新股配售給有待確認第三方投資者，新股數額將不超過公司股本的10%。

以每股10仙指標價計算，裕豐料從私下配售集得968萬令吉，其中534萬令吉至958萬令吉將供未來一年資本開銷用途，而配售建議開銷估計花費10萬令吉。

遭中止2.5億合約 裕豐起訴Palikota

（吉隆坡26日訊）裕豐（YFG，7122，主要板貿服）宣布，子公司YFG Trolka私人有限公司將起訴Palikota私人有限公司，因后者中止價值2億5590萬令吉綜合房產建築合約。

YFG Trolka是在去年8月1日獲得這項合約，包括建築和完成Jesselton Residences Waterfront工程，該工程位于沙巴亞庇的商業和27層樓公寓發展。

裕豐向馬證交所報備，上周三（19日）接獲Palikota發出合約中止通知。裕豐質疑該通知的有效性，並視為回拒合約，同時會控告Palikota毀約帶來的傷害。

該公司稱，Palikota亦向裕豐的銀行代表大華銀行調用1280萬令吉履約保證金。

The Company wishes to inform that its wholly-owned subsidiary, YFG Trolka Sdn Bhd ("YFGT") has on 19 November 2014 received a Notice of Termination from Palikota Sdn Bhd ("Palikota"), to terminate a contract that awarded to YFGT on 1 August 2013 for the Construction and Completion of the Proposed Commercial and 27-Storey Waterfront Condominium Development known as Jesselton Residences Waterfront (Main Contract Works Phase 2) on T.L.017538788 at Jalan Haji Saman in Kota Kinabalu, Sabah ("the Project"). Palikota has on the same day served a separate notice to YFGT's banker, United Overseas Bank (Malaysia) Berhad ("the Bank") to call upon the performance bond of RM12.795 million. YFGT has on 24 November 2014 written to Palikota argued that it was an invalid notice of termination and will treat it as repudiation of contract and accepted the repudiation and be excused from further performance and will sue Palikota for damages for breach.  YFGT has on the same day through its lawyers, Messrs Liza Chan & Co. filed in the application for an ex parte interim injunction pursuant to Order 29 Rules of Court 2012 at Kuala Lumpur High Court, to injunct Palikota from calling on the performance bond. The Company also wishes to inform that the Kuala Lumpur High Court : 22C-66-11/2014 has on 25 November 2014 granted an injunction against Palikota, to restrain it from calling on the aforesaid performance bond issued by the Bank pursuant to the Letter of Award dated 1 August 2013, until YFGT's claim is heard and disposed by the Court. The Court has fixed the inter-parte hearing for the injunction application on 9 December 2014.

已擱置一兩年‧裕豐承包發電工程料下季重啟

（吉隆坡3日訊）裕豐（YFG,7122,主板貿服組）有信心，目前暫停的承包發電工程將於明年第一季重新啟動，預計第二季時全面釋放該發電工程的價值。

裕豐董事經理林宗麟在股東大會後表示：“該項計劃已擱置一兩年左右，但預計明年第一季將會再投入建造，到時就會正面影響公司的營業額。”

他透露，這項工程的設計藍圖及所有的東西都準備就緒，只要一獲得資金就可馬上動工。

工程撥備導致業績蒙虧

該公司所承包的這項發電工程，因為出資方在融資上碰到問題而停工，裕豐在稽查師的建議下調整了已停工工程的撥備額，才會造成2014財政年淨虧損1千104萬令吉。

在問及這是否表示發電工程資金問題已結束時，林宗麟並沒有做出正面回答，他只表示：“該工程擱置是因為參與的其中一個財團忽然撤出，才會導致工程喊停。”

林宗麟再三強調：“工程沒終止，只是暫時擱置。

冀和平終止Palikota合作

在與Palikota的糾紛上，林宗麟表示還在與對方洽談當中，也表示並沒有起訴Palikota，只是申請禁令，阻止Palikota動用履約保證金而已。

早前，Palikota以不能履行職責為理由，單方面終止與裕豐的合作，並向裕豐的銀行代表大華銀行調用1千280萬令吉履約保證金。

副金融和帳戶副主任洪良表示：“我們希望與對方洽談，以雙方面終止合約的方式終止合作。”

裕豐去年8月1日獲得這項合約，包括建築和完成位於沙巴亞庇，名為Jesselton Residences Waterfront的商業和27層樓公寓計劃。

在未來的方向上，林宗麟表示公司將繼續經營核心業務，並計劃擴展至發電廠，但會放棄投入產業領域。

他表示，公司已著手進入發電廠行業，與印尼公司PT Impha NusantaraMandir建造12兆瓦水壩就是其中的一部份。

放棄投入產業領域

在產業方面，林宗麟認為目前市場已放緩，加上公司沒有土地儲備，因此將打消進軍產業的念頭。但他補充：“如果有合適的聯營計劃，還是可以考慮已擱置一兩年左右。”

裕豐目前積極進行企業活動，當中包括籌資及收購。做為第一步，裕豐於11月11日發文告建議私下配售9675萬股新股，籌集約968萬令吉。

任洪良表示，企業活動的宗旨為加強公司財務表現。

目前，裕豐的負債率為1.0倍，林宗麟表示最理想的狀況是降到0.3倍。

該公司目前有2億令吉的訂單，也在競標總值5億令吉的多項項目。（星洲日報／財經）

失去亚庇Palikota合约 裕丰5亿订单目标无望

（吉隆坡22日讯）失去价值2.56亿令吉沙巴亚庇的合约后，裕丰（YFG，7122，主板贸服股）无法达到5亿令吉的订单合约目标。

2013年，裕丰从Palikota公司获颁一项建筑合约，以在沙巴亚庇兴建Jesselton Residences Waterfront项目，原本可以达到5亿令吉的订单合约。

不过，Palikota在上个月取消合约，这导致裕丰的订单合约锐减至2亿令吉。

裕丰董事经理林宗麟接受《The Edge》专访时表示，公司积极竞标更多发电厂项目，以达到5亿令吉的订单目标合约。

探讨生物质发电厂

“截至12月，我们竞标着5亿令吉的合约。我预计，能够在未来12个月，取得接近30%的项目。”

这将把订单合约从目前的2亿令吉，在明年末提高到至少3.5亿令吉，竞标着的工程都是与建筑相关的机电服务项目。

此外，他指，公司在探讨数项生物质能发电厂，不过，仍未向持续性能源发展局提交任何申请。

公司希望未来12个月内，能够取得一或两项持续性收入业务。

去年，公司接获Palikota公司的合约终止通知，因工程进度延迟，并要求取回1279万5000令吉的履约保证金。

“建筑工程进度意外缓慢，主要是因为数项技术性问题。”

林宗麟补充，一般上，都会向客户和工程师强调工程面对的技术问题。

同时，公司在8月已向Palikota提出延长工程时限。

他表示，Palikota在不考虑裕丰的申请下就取消合约，这是非法的行为。

股价平盘报收

“若要索取赔偿，就必须证明他们面对的损失的，但至今，并无提出任何的损失。”

裕丰1760万售资产

（吉隆坡2日讯）裕丰（YFG，7122，主板贸服股）以1760万令吉，脱售雪兰莪莎阿南土地，连同3层办公楼和一座单层仓库。

文告指出，这块土地面积5257平方米，属于工业用土地，由独资子公司裕丰产业持有，并在今日与Rangkain Handal公司签约脱售。

裕丰产业时在2012年8月，以1320万令吉购入此土地，后再斥资152万令吉的装修、律师费和印花税。此次脱售的净收益达188万令吉。

截至去年6月底，这土地与产业净账面价值为1472万令吉，脱售价较之高288万令吉，或19.57%。

脱售所得将用在偿还贷款和营运资本。【南洋网财经】

Description	YFG Berhad ("the Company" or "YFG")- Termination of Contract
Further to the Company's announcement dated 24 February 2015 in relation to the Termination of Contract and the inter parte hearing for the injunction application on 3 March 2015, the Company wishes to update that, the Kota Kinabalu High Court has granted the interlocutory injunction (inter parte) applied by the Company, to restrain Palikota Sdn Bhd ("the Defendant") from calling on and/or receiving the monies guaranteed for the sum of RM12,795,000.00 under the Performance Bond dated 9 January 2014 with cost in the cause. The grounds for this decision are, amongst others, as follows :- a) Based on the affidavits, YFG Trolka Sdn Bhd ("the Plaintiff") has raised issues of conduct to prick the conscience of a reasonable and sensible man that further investigation should be carried out on the allegations made and the affidavits show a serious bona fide issue; b) The calling of the Performance Bond is subject to the terms of the contract. Whether the contract was lawfully terminated or otherwise is an issue to be determined and warrant further investigation; c) The Performanace Bond has not been cancelled and is still available as security and still available at the end of the trial, if the Defendant succeeds at the end; and d) On the balance of convenience, the ad interim injunction should be granted and the case should proceed to trial eventually. （吉隆坡9日讯）裕丰（YFG，7122，主板贸服股）委任吉隆坡中环有限公司主席罗斯兰，担任公司主席，任期即日生效。

罗斯兰也是大马评级公司（MARC）的评级委员会主席，他同时也是雇员公积金局前任副总执行长。

前任主席拿督阿都拉西，则以私人理由，辞去主席职务。

该公司在文告中指出，拥有多年投资、经济研究，及企业经验的罗斯兰，将可协助公司发展再生能源业务。

裕丰同时也宣布委任苏汉昌（译音）担任公司执行董事，他在通讯与能源领域拥有丰富经验。【南洋网财经】
