誰來買單？

富達（PRTASCO,5070,主板建筑組）第三季業績由盈轉虧，公司董事又起內鬨，兩派人馬互相指責、罷免對方，現在已經鬧上法庭，卻苦了持有該公司股票的投資者。

雖說之前罷黜已經告一段落，但相信股東心情還是忐忑不安，明明是基本面備受市場看好的多元化企業，前景看俏，可能因為人為因素，嚇走有心投資的投資者。

這次糾紛的源頭，主要是來自告吹的印尼收購計劃，因無法收回訂金，導致該公司被逼為此撥備2千700萬美元（8千464萬令吉），為這筆龐大開銷墊底，令第三季業績蒙虧近7千萬令吉，9個月淨虧4千237萬5千令吉。

以該公司上半年賺2千700萬推算，原本全年可取得5千400萬令吉淨利，由於第三季虧損已超過1年所得淨利，估計2014全年盈利也凶多吉少。

雖然管理層於第三季維持派息，暫時安撫股東不安的情緒，可是撥備開銷已令富達平白損失了一筆資金，對資產負債表及盈利傷害已造成，這筆賬該由誰來買單呢？

事實證明，這筆賬已間接由股東承擔，尤其是僅持有幾千或幾萬股的散戶，股票資產價值實際上已經因這筆撥備開銷減少。

若以該公司約3億3千500萬股本計算，8千464萬令吉資金平分後，每股平均分得2.5仙，股東若持有10萬股，意味他們已間接虧損2萬5千令吉。

這場鬧劇隨著雙方罷免特大結果落幕，勝負分曉，獲股東力撐的管理層，承諾將盡力追討這筆資金，再度燃起股東希望之火，期待平空消失的資金安穩回歸口袋。

可是，對於進入司法程序的索償訴訟案，股東必須有長期跟進心理準備，快則半年，慢則3、5年才可能獲得審判結果，沒有耐心者還是趁早退出這場遊戲，擇良木而棲吧，別再留戀難以討回的資金。

總而言之，無論誰是誰非，誰輸誰贏，整件事最無辜的受害者，始終是被大股東牽著鼻子走，持有投票權卻無法主導一切的小股東。

事實上，這種虧損不該由股東來承擔；這種“人為因素”常見於國內企業，若當局不加以糾正，長此下去，將打擊散戶對馬股的投資信心。

馬股不少看來業績前景不錯的公司，上市不久，業績每況愈下，股價越來越低，最終更落到以“仙”計。所謂“城門失火，殃及池魚”，受傷害的還是投資該公司的小股東。

在外國，小投資者可能訴諸以法律追討損失，近例就有第一家在紐約納斯達上市的大馬公司MOL全球，上市月餘股價就崩跌不成形，雖然大股東“力挺”，但已經接獲投資者訴訟，認為他們被招股書誤導。

這是在美國，可惜在馬股，如果這事發生，小股東可能只能摸摸鼻子，自認倒霉。

任何一家公司，管理層應以公司利益為出發點，而不是把個人恩怨放大，危及公司名譽和財務狀況，讓無辜的小股東繼續承受不合理的人為損失。（星洲日報／焦點評析：郭曉芳）

（吉隆坡12日讯）富达（PRTASCO，7045，主板建筑股）宣布取消一年前建议的私下配售和送凭单活动。

富达去年12月12日宣布，建议私下配售最多5000万股和1亿张新凭单，以及送出最多3354万6259张凭单，筹集8250万令吉。

当时，该公司计划以1股配2张凭单的比例，私下配售5000万股和1亿张新凭单，予第三方投资者。

通过私下配售，公司估计可筹措大约8250万令吉，其中7000万将用来发展产业和建筑计划，包括土地收购和投资。

另外1200万令吉则充作营运资本。

除此之外，富达也建议发行最高3354万6259张免费凭单，股东每持有10股，可获得1张凭单。【南洋网财经】

禁张吉平投票 郑博毅撤销申请

（吉隆坡6日讯）郑博毅撤消去年11月25日对富达（PRTASCO，7045，主板建筑股）副主席兼董事经理拿督斯里张吉平与另三方特大投票禁令的申请。

郑博毅在11月25日通过Global Capital和KingdomSeeker，获得法庭禁令，禁止张吉平、非独立非执行董事陈兴逵等人，在隔日的特大上投票。

这项禁令促使富达将特大展延一日至27日，而张吉平的代表律师也在当日获得法庭听审，搁置禁令决定。

根据富达今日发出的文告，这项原本在本月26日听审的禁令，但郑博毅撤销申请。

连续从26日至27日的三场特大，张吉平获股东支持留守董事部，郑博毅和伙伴黄国安则被罢黜董事职位。【南洋网财经】

3業務貢獻增加‧富達放眼5年淨利衝1億

（吉隆坡19日訊）富達（PRTASCO,5070,主板建筑組）放眼5年後將淨利倍增至1億令吉，MIDF研究認為在3大業務增加貢獻的支持下，為這是能夠達成的目標，並看好該公司於今年轉虧為盈。

MIDF分析說，要在5年後達成1億令吉營業額，富達需取得15%年均複合成長率（CAGR），相信這是能夠實現的目標，因該公司過去6年的CAGR就達14%。

該行對富達旗下3大核心業務成長展望感到舒適，首先是建築業務仍掌握5億9千萬令吉訂單，加上仍競標總值20億令吉的工程，未來3年盈利能見度清晰。

此外，旗下產業計劃需求強勁，尤其是總發展值100億令吉的De Centrum City，亦讓產業臂膀持續為集團作出貢獻，MIDF認為一旦第二條捷運線（MRT2）路線塵埃落定，富達旗下產業需求亦會受到激勵。

“此外，我們瞭解到南部聯邦道路的維持工作經營權已頒回給同一位承包商，因此認為富達即將失效的經營權可望獲得更新，並可能增加新工作內容。”

MIDF認為，富達股價疲弱主要歸咎於市場對印尼油氣投資計劃終止和進行中的官司存有負面看法，惟由於富達已撥出1億零400萬令吉撥備額，相信未來業績將會改善。

富達獲頒7700萬 砂州道路工程

（吉隆坡2日訊）富達（PRTASCO，5070，主要板建築）子公司HCM工程私人有限公司，獲公共工程部頒發總值7700萬令吉合約，為砂拉越聯邦道路2A區域進行維修工作。

富達今日向馬證交所報備，HCM工程獲得上述合約，為詩巫和民都魯4條聯邦道路進行維修工作。

“這項工程預計在12個月內完成，料將積極貢獻截至12月底2015財年業績。”

富達在另一份報備文件指出，公司董事與相關人士購買了子公司富達置地公司開發的房產計劃的4個房屋單位，該房產計劃位于Unipark Suria，購買價格介于59萬2200令吉至59萬5350令吉。

富達雙管齊下探索商機

（吉隆坡12日訊）富達（PRTASCO，5070，主要板建築）為國際和本地市場的不確定性感到擔憂，但仍尋求通過策略投資或聯營的方式，探索進軍其他商機。

富達獨立非執行董事拿督莫哈默哈尼夫說，雖然公司謹慎看待全球和國內市場，但基于公司具備穩健財務狀況，無論是通過策略投資還是聯營方式，公司都有能力探索參與其他商機。

富達執行副主席兼董事經理拿督斯里張吉平在文告中指出，公司2014財年營業額首次突破10億令吉，是個很好的里程碑。他有信心可改善業績表現。

張吉平說：“公司去年所有6大業務都表現亮眼，尤其建築和維修業，相信今年將進一步改善表現。”

該公司截至3月底2015財年首季，營業額按年起48%至2億1900萬令吉。【中国报财经】

富达雪公路维修合约延长3.5个月

（吉隆坡15日讯）富达（PRTASCO，5070，主板建筑股）持70%的子公司KPS-HCM，获公共工程局（JKR）将雪州公路的维修合约，延长3.5个月。

根据文告，该为期7年的合约，原定在9月15日截止，但公共工程局据顶延长3.5个月，至今年12月31日。

富达表示，正致力于与公共工程局要求长期延期，接下来任何发展都会做出必要公布。【南洋网财经】

與富達訴訟案 KSV需付1.5萬開銷

As previously announced on 12 June 2015, the legal proceedings filed by Kingdom Seekers Ventures Sdn Bhd wherein Protasco Berhad (“Company”) is named as the 7th Defendant was struck out with costs of RM15,000.00 to be paid by Kingdom Seekers Ventures Sdn Bhd to the Company on 21 April 2015. Kingdom Seekers Ventures Sdn Bhd had served the Company a notice of appeal dated 27 April 2015 appealing against the decision delivered by the High Court on 21 April 2015 (“Appeal”). The Appeal was fixed for hearing in the Court of Appeal on 21 October 2015. The Company wishes to announce that the Appeal filed by Kingdom Seekers Ventures Sdn Bhd was dismissed by the Court of Appeal with costs of RM15,000.00 to be paid by Kingdom Seekers Ventures Sdn Bhd to the Company on 21 October 2015.
