Description
OSK PROPERTY HOLDINGS BERHAD ("OSK PROPERTY" OR THE "COMPANY")PUBLIC SHAREHOLDING SPREAD REQUIREMENT PURSUANT TO PARAGRAPH 5.0 OF PRACTICE NOTE 19 OF THE MAIN MARKET LISTING REQUIREMENTS OF BURSA MALAYSIA SECURITIES BERHAD
We refer to the Company's previous announcements in relation to the Offer ("Announcements"). Unless otherwise stated, definitions used herein shall have the same meaning as those defined in the Announcements.

The Board of Directors of OSK Property wishes to announce that based on the Record of Depositors and number of shares accepted under the Offer as at 4 September 2015, the public shareholding spread of OSK Property is 5.92%.

As the public shareholding spread of OSK Property is less than 10% of the total OSK Property Shares in issue (excluding treasury shares), pursuant to Paragraph 16.02(2) of Main Market Listing Requirements of Bursa Malaysia Securities Berhad ("Bursa Securities") ("Listing Requirements"), Bursa Securities shall suspend the trading of the securities of OSK Property immediately upon the expiry of 30 market days from the date of this announcement. The suspension will be effected on 22 October 2015, being the market day immediately following the expiry of 30 market days from the date of this announcement.

Once the suspension pursuant to Paragraph 16.02(2) of the Listing Requirements is effected, it will only be uplifted by Bursa Securities upon full compliance with the public shareholding spread requirements, where OSK Property must ensure that at least 25% of its total listed shares are in the hands of public shareholders ("Required Public Shareholding Spread"), or as may be determined by Bursa Securities.

As of the date of this announcement, OSK Property has not taken any steps to increase its public shareholding spread to above 10% and neither has it formulated any rectification plan as OSK Holdings Berhad, being the Offeror in the Offer, will explore various options or proposals to rectify the shortfall in public shareholding spread of OSK Property within the given timeframe or such extended timeframe as allowed by the relevant authorities to maintain the listing status of OSK Property on Bursa Securities.

僑豐產業10月22日停牌‧獨立顧問:小股東應換股

(吉隆坡4日訊)僑豐控股(OSK,5053,主板金融組)全面獻購僑豐產業(OSKPROP,6661,主板產業組)已達94.08%強制性全購水平,強制性全購已是板上釘釘的事情,一旦股票開始暫停交易,未接受獻議的小股東恐面對售股無門窘境,但獨立顧問立場不變,認為小股東應接受換股方式而拒絕現金收購。

公眾持股比例剩5.92%

僑豐產業在盤後公佈,公眾持股比例剩5.92%,根據上市條例,其股票將在即日起的30個交易日,即10月22日停牌。

僑豐產業表示,無意採取任何行動,以將公眾持股提高到法定的25%水平。

此前,僑豐控股在全購文件中寫明,有意維持僑豐產業上市地位,但除非接受獻議者超過90%,公司將啟動強制性全購機制。

根據馬股上市條例,如果公司的公眾持股比例少於25%,可向大馬股票交易所申請接受有關比例,只要交易所認為有關比例仍可達到一定的市場流通率,一般會予以批准,但若公眾持股比例少於10%,則將面對暫停交易的情況,到時股東將面臨出倉無門的窘境。

《星洲財經》特此諮詢大馬投資銀行,該行仍維持小股東應接受換股方式,但拒絕現金收購的立場。

“僑豐產業現已進入強制性全購階段,我相信小股東應該清楚未來的走向,但我們仍維持獨立顧問報告的立場。”

根據獨立顧問大馬投資銀行結論,僑豐控股以1換1比例全購僑豐產業“公平”,主要是僑豐控股重估淨資產估值(RNAV)為每股2令吉54仙,比僑豐產業的每股2令吉64仙,低10仙或3.8%,影響並不顯著。

同時,每股1令吉95仙收購價,比僑豐產業股票溢價空間為2仙至4仙(1%至2.1%),而僑豐產業的流動性為4.6%,僅略低於母公司的5.7%,並未出現太大的差別,因此獻議“合理”。

現金收購“合理”但不公平

不過,現金收購對僑豐產業不公平,主要是每股1令吉95仙全購價比僑豐產業的RNAV出現26.1%或69仙的顯著折價,但現金收購比僑豐產業股價僅溢價2仙至4仙(1%至2.1%),因此堪稱“合理”,而對僑豐產業憑單的現金收購建議,和母股一樣,合理但不公平。

僑豐控股是在今年7月獲證券監督委員會(SC)批准,以每股1令吉95仙和每股1令吉60仙併購僑豐產業及辟捷控股(PJDEV,1945,主板產業組),並在隨後召開的股東特大獲得股東壓倒性通過。

截至8月21日止,僑豐控股持有辟捷控股61.04%股權。(星洲日報/財經)

侨丰产业将除牌?

对侨丰产业(OSKPROP)的收购,至今侨丰控股已控制约95.6%的股权,这引起了强制收购的揣测。

此外,侨丰控股周五发文告,决定将收购截止日期,从原本的9月15日,进一步展延至10月9日。

所谓强制收购,是当一家公司被收购以后,收购建议延伸至小股东,而收购者成功把90%剩余小股东的股权收购下来,那么他可以强制收购,把那些不接受收购的少数股东手上的股票,以同样价钱买下来,因而全数持有该公司。

这里,丹斯里黄宗华卖给侨丰控股的72.4%是否不计算在内呢?

如果不算,那么侨丰控股的收购只要跨越90%的门槛就可强制收购。

反之,如果我们把丹斯里黄宗华卖给侨丰控股的72.4%除外,侨丰必须收购剩余的24.84%(即27.6的90%),达成97.24%,才可向最后的2.76%小股东进行强制收购。

由于侨丰控股目前持有超过90%的侨丰产业,却尚未宣布强制收购,第二种算法应该比较可信吧。

虽然还没达到强制收购,但由于大股东持股超过90%,侨丰产业将在10月22日停牌,是否除牌,我们等待公司进一步消息。

(吉隆坡28日讯)侨丰控股(OSK,5053,主板金融股)在侨丰产业(OSKPROP,6661,主板产业股)的持股率,已达96.81%,晋入强制收购未持有股权阶段。

20日停牌根据文告,股东还是可在下周五(9日)前接受献购;即便不接受,侨丰控股也将在截止后强制收购所有未持有股项。

而后,侨丰产业将在本月20日停牌,之后将从马交所除牌。

侨丰控股已两度展延截至日期。

早前,侨丰控股分别出价每股1.95令吉和1.56令吉,收购侨丰产业72.4%和辟捷控股辟捷控股(PJDEV,1945,主板产业股)31.6%股权,之后将采取全购行动,将两家公司纳入旗下。

不过,该集团在献购辟捷控股时失败,而后澄清本就有意维持后者的上市地位,并非如早前市场盛传要将后者私有化。【南洋网财经】

OSK PROPERTY HOLDINGS BERHAD ("OSK PROPERTY" OR THE "COMPANY")- UNCONDITIONAL TAKE-OVER OFFER BY RHB INVESTMENT BANK BERHAD ON BEHALF OF OSK HOLDINGS BERHAD ("OFFEROR")
The terms used herein, unless the context otherwise stated, bear the same meaning as those defined in the earlier announcements in relation to the Offer.

We refer to OSK Property's previous announcements in relation to the Offer.

The Board of Directors of OSK Property (“Board”) wishes to announce that OSK Property has today received a press notice from RHB Investment Bank Berhad ("RHBIB") ("Press Notice"), on behalf of the Offeror, informing that as at 5.00 p.m. (Malaysia time) on Monday, 28 September 2015, based on valid acceptances, the Offeror holds 317,242,727 OSK Property Shares, representing approximately 96.81% of the voting shares of OSK Property. In addition, the Offeror has received valid acceptances of not less than nine-tenths (9/10) in the nominal value of the Offer Shares (excluding the OSK Property Shares already held by the Offeror and the PACs as at the date of the Offer).

As stated in Section 5 of the Offer Document, in the event that the Offeror receives valid acceptances of not less than nine-tenths (9/10) in the nominal value of the Offer Shares (excluding OSK Property Shares already held by the Offeror and the PACs as at the date of the Offer) on or before the closing date of the Offer, the Offeror intends to invoke the provisions of Section 222 of the Capital Markets and Services Act, 2007 ("CMSA"), subject to Section 224 of the CMSA, to compulsorily acquire any remaining Offer Shares for which valid acceptances have not been received ("Remaining Offer Shares"). In such instance, the Offeror will not maintain the listing status of OSK Property. Accordingly, OSK Property will be delisted from the Official List of Bursa Securities.
Notwithstanding the above, the Offer will remain open for acceptances until 5.00 p.m. (Malaysia time) onFriday, 9 October 2015, being the final closing date of the Offer ("Final Closing Date").
In accordance with Paragraph 16.02(3) of the Main Market Listing Requirements of Bursa Securities, BursaSecurities shall suspend trading of the securities of OSK Property with effect from 20 October 2015, which is upon expiry of five (5) market days from the Final Closing Date. The suspension will result in the securities of OSK Property no longer being traded on Bursa Securities.

In addition, the Offeror will at any time within two (2) months from the date of this press notice proceed to exercise its rights to compulsorily acquire the Remaining Offer Shares in accordance with the provisions of Section 222 of the CMSA.

There is no provision within the CMSA allowing for the compulsory acquisition of the Offer Warrants. As such, when the Offeror invokes Section 222 of the CMSA to compulsorily acquire the Remaining Offer Shares, the Offeror will not extend any new or further offer for the Offer Warrants. In such instance, the OSK Property Shares will be delisted from the Official List of Bursa Securities and similarly, the Offer Warrants will also be delisted. Nevertheless, the Offer Warrants will continue to be held by the Warrant holders who do not accept the Offer and the rights of such Warrant holders shall continue to be governed by the deed poll dated 19 July 2012.

The detailed disclosure of level of acceptances of the Offer as at 5.00 p.m. (Malaysia time) on Monday, 28 September 2015 is set out in the attached Press Notice.

(吉隆坡9日讯)侨丰控股(OSK,5053,主板金融股)宣布委任黄祖阳为集团副董事经理。

同时,侨丰产业(OSKPROP,6661,主板产业股)和辟捷控股(PJDEV,1945,主板产业股)宣布,委任黄祖阳为执行董事。

黄祖阳也是侨丰控股董事经理兼总执行长丹斯里黄宗华的长子。

而黄宗华的小儿子黄祖星和拿督赛夫,也被委任为侨丰控股的执行董事。

另一方面,侨丰控股收购侨丰产业(OSKPROP,6661,主板产业股)已在昨日下午5时截止,共得97.1%股权。

根据文告,截至下午5时,侨丰控股共持有侨丰产业的3亿1820万2075股,相等于97.1%股权;凭单方面,则是持有93.12%。

如早前所提及,侨丰控股有意引用2007年资金市场与服务法(CMSA)的第222条例,强制收购剩余未在手的股权。

根据截止时的持股率,以及具表决权的侨丰产业股权,侨丰控股有资格援引条例,展开强制收购。

(八打靈再也25日訊)僑豐產業(OSK Property)將在今年推出3項發展總值約10億令吉的房地產計劃。

僑豐產業房地產部總執行長王義民說:“公司今年將推出3項計劃,包括位于關丹巴洛(Balok)的TIMURBAY住宅計劃、北海Luminari住宅計劃,及雙溪大年公主城再也計劃。這3項計劃累計發展總值約10億令吉。”

他今日出席僑豐產業品牌推介禮時,如是指出;列席者包括僑豐控股(OSK,5053,主要板金融)主席拿督聶莫哈末丁、僑豐控股執行董事黃祖星、僑豐產業銷售與營銷總經理朱國強和李俐穎。

僑豐控股早前併購僑豐實業72.4%股份和辟捷發展(PJDEV,1945,主要板房產)31.6%股權。僑豐實業隨后在去年11月從馬股除牌下市,這兩家房產公司再合併成僑豐產業。

針對僑豐產業在公主城再也的城鎮計劃,王義民說,公司將推出“Atria”品牌的零售發展計劃,估計今年末季開始動工。

另外,該公司近期收購位于芙蓉的地段,將進行綜合住宅和商業的發展,發展總值達36億令吉。

放眼10億銷售額

海外業務方面,王義民說,公司除了參與在墨爾本的發展,也對進軍其他海外市場保持開放態度。

“我們正積極設計在墨爾本的綜合發展工程,涵蓋公寓、零售、辦公室及酒店,估計年底將推出是項工程的第一階段。”

詢及房產領域的前景,他坦言今年將面對挑戰,但仍樂觀相信,公司今年可取得超過10億令吉銷售額。【中国报财经】
