大部分公司以低于账面值交易 产业领域料现并购潮
二零一一年十月三十日 晚上八时三十九分
随着过去2个月股价趋软,本地产业领域可能再掀合并与收购主题。
数据显示,整体上,吉隆坡产业指数89项成分股中的86%是以低于账面值水平交易,而48项更低于它们资产值以下。
这促使此间的大部分产业公司着手它们的地库重新评值,这意味着它们的价值将高于账面值的数字。
著名发展商MK置地(MKLAND,8893)、马化置地(MULPHAL,7889)、绿野集团(CHHB,5738)、辟捷发展控股(PJDEV,1945)和雪州产业集团(HKSB,6246),是其中以约3分1账面值水平交易的股项。
其他如大马产业(AMPROP,1007)、马顿(MALTON,6181)、亚太置地(APLAND,1716)和前身是打南机构的Trinity机构(TRINITY,2259),则只占了约0.4倍账面值。
除原为美景控股的MKH公司(MKH,6114)、联和机构(LIENHOE,3573)和联马置地(UMLAND,4561)外,尽管KLCC产业(KLCCP,5089)、宝敦(BOLTON,1538)、大城市发展(BRDB,1473)和雪兰莪铁船(SDRED,2224),都只在0.5至0.6倍水平交易。
估值不符是产业公司必须着手重估的原因。
“大部分产业公司都以低于账面值交易,因它们并没有完全利用资产,以带动更高的盈利。”
“已经采取这些行动的实达集团(SPSETIA,8664)和马星集团(MAHSING,8583)等业者,均已达到高账面值溢价。”
但这不显示着一只股比其他廉宜,或非常被低估。
分析师指出,此间的产业公司并不能完全比较。
“新上市公司的账面值是根据较近期市值评定。而旧产业公司的账面值则反映出它们数年前的收购价。”
因此,观察产业领域的分析师认为,市场上将出现更多交易和合并与收购活动,‘因价值相当吸引’。
举例来说,国民投资有限公司(PNB)展开每股3.90令吉收购实达集团,实际上是趁市场疲软提高持股。
重演UEM置地(UEMLAND,5148)去年以高溢价将阳光有限公司纳入旗帜下,森那美(SIME,4197,贸易服务组)在8月也落实与依恩奥(E&O,3417)董事经理拿督谭家汉和另2名卖方的一项交易,以收购后者30%股权。
这项交易出价每股2.30令吉,比之前闭市价高出60%。从而,森那美也透过这项交易,赢得依恩奥在槟城和依斯干达区的地库。
分析师表示,合并良好地库及建立规模的需要,将协助推动该领域更多合并与收购活动。
“一些大型公司将视收购为争取优质地库的良好途径,因除与原有地主合作外,它们已经难以于同区获得优良地库。”
分析师补充:“我相信合并与收购会是马来西亚产业领域的一个实际主题,我们有超过90家公司,其中只有少数拥有超过10亿令吉市值。”
不过,他们却难以鉴定潜在并购名单,主要原因是股权架构松散。
目前,并购阳光有限公司后,UEM置地现是以市值计国内最大产业公司,达到83亿令吉,其次是实达集团的69亿7000万令吉。
另外,IJM置地(IJMLAND,5215)仍拥有30亿令吉市值。而其他超过10亿令吉关口的尚有KLCC产业、怡保花园机构(IGB,1597)、UOA发展(UOADEV,5200)、Kris资产(KASSETS,6653)、马星集团、依恩奥、达环球(TAGB,5158)和雪兰莪产业(SPB,1783)。
但与新加坡大型发展商嘉德置地比较,扩大后UEM置地仍然相形见绌。
嘉德置地市值达104亿新元(257亿令吉),使它成为亚洲最大上市实业业者之一,组合遍布逾20个国家的110个城市。
