大红花石油拟筹资购资产
专访 财经周刊 2014-05-19 12:50
大红花石油（HIBISCS，5199，主板工业产品股）持续放眼收购石油生产（Production）资产，或进行更多筹资活动。
大红花石油总财务长乔依思华素德婉，接受《南洋商报》专访时表示，公司截至去年杪有约4800万令吉，但随着凭单将到期，如果全数被转换，可筹集1亿5700万令吉。
“这笔款项将运用在澳洲西海马油田（L31），也希望在阿曼收购石油初步生产系统。”
询及公司在首次公开募股（IPO）筹集的款项，是否已全数用完时，她表示，公司在IPO前筹集1100万令吉，从IPO筹得2亿3400万令吉，加上其他企业活动，共有3亿7900万令吉。
“我们动用1亿7000万令吉收购Lime石油35%股权，去年则注入800万令吉为Lime的项目融资。”
另外，公司以9000万令吉收购3D石油13.04%股权和澳洲VIC/P57勘探准证。
“扣除上市费用、资本开销和营运成本等，公司持有约4800万令吉现金。”
她说，公司一直为收购石油生产资产进行评估，若有必要会进行筹资。
公司计划收购1亿至1亿5000万美元（3亿2340万至4亿8210万令吉）的石油生产资产。
有望获阿曼政府批准
大红花石油董事经理肯尼思佩雷拉博士也说，目前是大红花石油自上市以来最令人兴奋的时期。
“我们2月在阿曼探油见成果，目前正等候当地政府批准，才能有更多的进展。”
他说，在未获得阿曼政府批准前，公司不方便透露更多详情，但他表示批准程序的进展“鼓舞人心”。
另外他也表示，公司近期签署初步协议书，也让公司在澳洲的发展更清晰，是另一项里程碑。
总发展长史蒂芬德臣则指出，根据协议，大红花石油联营公司HIREX，将获澳洲吉普斯兰盆地VIC/P57勘探准证的20%股权，也获选择权全购澳洲西海马油田（L31）生产执照所有股权。
公司也以750万美元（约2428万令吉）全购Britannia钻油平台。
史蒂芬德臣说：“VIC/P57油田面积达448平方公里，料有好几个可钻油的潜在地点。”
他说，根据独立油气咨询公司RISC，该区域临近的海狮（Sealion）油田石油蕴藏量达1100万桶。
明年上半年钻油
“如果一切顺利，我们将在明年上半年钻探油井。”
L31属于已探测油田，石油蕴藏量预计达800万桶，此外，该油田的油田发展计划已获批准，也获颁生产执照。
乔依思华素德婉说，如果大红花石油全数拥有L31，以570万桶石油计算，这个油田的5年内部回筹率（IRR）达40%，净现值为6500万美元（约2亿1021万令吉）。
至于VIC/P57，如果成功钻油，基于咨询公司预测这个区域的石油蕴藏量更高，回筹率高于L31。
否认泄露钻井结果 遭抛售
至于有网络媒体质疑，大红花石油去年12月宣布阿曼Masirah油田被断定无商业可行性的结果前，投资者仿佛已知晓结果并趁早抛售股票，怀疑公司有预先泄露结果之嫌。
对此，乔依思华素德婉回应说，根据公司本身内部程序与查询，公司并未觅得任何证据显示探油结果预先被泄露。
“根据我们的观察，石油勘探与生产公司宣布钻油成果前，这些公司的股价下跌时很平常的事，主要可能是投资者要锁定获利离场。”
另外，大红花石油股价受探油失败的消息拖累，股价一度暴跌，去年12月26日时，一度下挫至1.53令吉。
该事件也一度引发投资者可能低估SPAC的业务发展风险的讨论。
股价近期平淡
在今年2月时，大红花石油终于传来好消息，在阿曼油田发现油源，并激励股价攀扬，一度大涨23仙或11%，报2.33令吉。
该股在3月7日一度触及2.50令吉高位，是自去年12月底以来的最高水平。
不过，股价近期表现平平，于3月7日攀至2.21令吉后，持续走低。
截至上周五闭市时，报1.70令吉，下跌2仙或1.16%，全天成交量达76万8400股。

大红花收购挪威2油田5%股权

(吉隆坡5日讯)大红花石油（Hibiscs，5199，主板工业股）宣布，其联合持有的LimePetroleum挪威公司执行一项协议，向北部能源公司（North Energy）收购挪威海PL591及PL591B油田各5%股权。
將两项油田的股权转移给LimePetroleum挪威公司的交易，仍需要获得监管单位的批准。完成收购之后，大红花石油在挪威的开採执照將增加至16项。
图洛石油公司（Tullow Oil Norge AS）是负责经营PL591及PL591B的公司，持有这两项油田开採执照的80%股权。
2015上半年开採
两项执照位於挪威海哈尔腾岛一带，水深300公尺。根据北部能源2014年首季的业绩，该公司在这油田的20%股权，大约相等於1亿8400万桶原油。
这项收购是在对有关油田进行深入的技术评估之后，才做出的决定。开採挖掘预计將在2015年上半年进行。
大红花石油董事经理肯纳佩雷拉博士表示，「虽然我们在这项开採权的的持股不大，不过，却能够通过有名望的大公司参与这项计划。而每一次和新的伙伴合作，我们也有机会將--Rex虚擬钻探技术展示给新的伙伴。提高公司日后涉足更大规模计划的机会。」
隨著大股东在过去两年注入总数2300万美元的资金，以及从瑞典北欧斯安银行（Skandinaviska Enskilda Banken）获得的3亿挪威克朗的融资便利，Lime Petroleum挪威將有足够的资金应付直到2015年的財务需要。
Lime Petroleum挪威是Lime的独资子公司，大红花石油持有后者35%的股权。

木槿花石油售岸外氣田生產權20%

（吉隆坡16日訊）木槿花石油（HIBISCS,5199,主板工業產品組）擁有13%股權的澳洲上市公司――3D石油公司（TDO），以300萬澳元（910萬令吉）脫售20%的岸外氣田生產權給Beach能源公司。
根據木槿花石油和TDO的文告，TDO是脫售位於塔斯馬尼亞岸外T/49P氣田准證給澳洲上市公司Beach能源。
TDO是在2013年4月獲得該准證的100%擁有權。
在完成此交易後，TDO將保留在新T/49P聯營計劃的80%股權和營運權。（星洲日報／財經）

（吉隆坡23日訊）大紅花石油（HIBISCS，5199，主要板工業）子公司Timor大紅花公司，計劃斥資1800萬美元（約5802萬令吉）收購加拿大Talisman能源公司，后者擁有澳洲和東帝汶聯合發展區域中的部分海洋油田。
大紅花石油今日向馬證交所報備，子公司已與加拿大Talisman簽署協議，以約5802萬令吉收購后者子公司Talisman能源公司全數股權。
根據報備文件，Talisman能源公司擁有產油公司Kitan公司25%股權，意大利ENI公司和日本INPEX公司則分別持有后者40%和35%股權。

大紅花石油獲延長特許經營

（吉隆坡25日訊）大紅花石油（HIBISCS，5199，主要板工業）聯號公司Lime石油（Lime Petroleum）子公司沙迦（Sharjah）獲政府批准延長特許經營權。
大紅花石油向馬證交所報備，旗下Zubara石油有限公司將在今年7月敲定一份井口管理服務合約。環境影響評估和現場調查活動料將在明年1月完成。
“我們將在2015財年第3季開始為沙迦岸外Block進行鑽井勘探活動，包括工程設計和採購活動。”
根據報備文告，該新合約將成為Lime石油第2個在西亞的鑽井項目，首個為Block 50 Oman項目。

减持沙迦钻油计划 大红花寻合作伙伴

（吉隆坡27日讯）大红花石油（HIBISCS，5199，主板工业产品股）有意减持阿联酋沙迦（Sharjah）钻油计划的持股，并为该项目寻找合作伙伴。
大红花石油董事经理肯尼思佩雷拉昨天在股东大会后受询时表示，子公司Lime Petroleum有意减持在相关钻油计划的持股。
他说，已有三家外国公司对这项计划表示兴趣，公司将在未来数个月，探讨彼此合作的可能性。
“这些公司将有机会针对这项合作计划进行精明审查程序。”
不过，他不愿透露相关公司详情。
Lime Petroleum是通过子公司ZubaraPetroleum获颁以上合约，后者持有沙迦离岸油田100%股权，有关钻井管理服务合约颁发会在今年7月完成。
这项钻井合约为Lime Petroleum在中东的第二项钻井计划。

澳洲助大紅花石油 推動西海馬計劃

（吉隆坡2日訊）大紅花石油（HIBISCS，5199，主要板工業）全資子公司Carnavon Hibiscus私人有限公司旗下的西海馬（West Seahorse）計劃，已獲得澳洲聯邦政府主要計劃促進（Major Project Facilitation）服務，協助推動是項計劃。
澳洲副總理和基建與區域發展部長沃倫特拉斯在文告中指出，Carnavon Hibiscus公司已取得MPF服務，以幫助該計劃的進行，因澳洲政府了解到該計劃的國內策略意義。
“這項總值1.4億美元（約4.5億令吉）的計劃內容為透過移動岸外生產單位（MOPU）探鑽聯邦水域的兩個產油井，可為吉普斯蘭（Gippsland）海岸製造100個新建築工作。”
“這是一項私營投資，我們非常鼓勵這些可推動澳洲經濟的計劃，我們會扮演好協調的角色，及在需要的申請上給予協助。該公司建議，透過海底油管將石油運輸至浮式儲油卸油船，再運輸到煉油廠。”

大紅花石油 增持澳洲油氣權益

（吉隆坡7日訊）大紅花石油（HIBISCS，5199，主要板工業）宣佈，增持澳洲石油與天然氣探勘業務的權益，進一步擴大油氣業版圖。
大紅花石油向馬證交所報備，已和澳洲伙伴3D Oil公司簽署數項協議，提高VIC/L31生產執照和VIC/P57探勘準證的權益；VIC/L31生產執照包括澳洲西海馬（West Seahorse）的已開發油田。
該公司旗下子公司Carnavon Hibiscus私人有限公司持有上述兩項執照各50.1%股權 ；該公司將透過一項債券轉換計劃，以194萬美元（約617.3萬令吉）把位于澳洲吉普斯蘭（Gippsland）盆地的VIC/L31執照權益，從目前的50%提高到56.17%，並可以1405萬美元（約4471萬令吉），再增持至100%。
西海馬油田已知的石油儲量有650萬桶，及估計150萬桶的石油后備資源。
此外，VIC/P57探勘準證的權益也將從50%提高到55%。

(III) Proposed transfer of a percentage of 3DO’s interest in VIC/P57 to other VIC/P57 joint venture parties in the event that 3DO is unable to pay its participating interest share of any VIC/P57 cash call amounts payable (including any other outstanding debts) under the VIC/P57 Joint Operating Agreement dated 8 January 2013 (“VIC/P57 JOA”) (“VIC/P57 Interest Transfer”);
(IV) Proposed option granted by 3DO to HIREX in relation to the transfer of 3DO’s 20% interest in VIC/P57 from 3DO to HIREX (“VIC/P57 Option”);
(V) Proposed initial transfer of a percentage of 3DO’s interest in VIC/L31 production licence (“VIC/L31”) to CHPL for the conversion of all outstanding debts of 3DO as at 31 May 2014 (“VIC/L31 Sale Interest”);
(VI) Proposed subsequent transfer of a percentage of 3DO’s interest in VIC/L31 to other VIC/L31 joint venture parties, if at any time, 3DO is unable to pay its participating interest share of any cash call or other outstanding debts payable under the VIC/L31 joint operating agreement (“VIC/L31 JOA”) (“VIC/L31 Subsequent Transfer”); and
(VII) Proposed option granted by 3DO to CHPL to acquire the remainder of 3DO’s interest in VIC/L31 (“VIC/L31 Option”)

该公司发文告指，本周初与该两家投行签署协议，作为潜在融资活动的顾问，扶持公司的策略计划。

大红花石油 放弃挪威3油田执照

（吉隆坡24日讯）由于探索结果不如预期，大红花石油（HIBISCS，5199，主板工业产品股）的联号公司Lime石油有限公司（Lime Petroleum）放弃位于北海的3项油田执照。
文告指，该3项执照分别是PL509S、PL509BS，及PL509CS。
根据探索的结果显示，相信没有足够的规模吸引该公司进行钻探活动。
该3项目执照的营运商-北能源（NorthEnergy）亦建议伙伴退出持有的股权。
因此，大红花石油收购该3项执照的20%股权作罢，但该集团仍持有挪威13项执照的股权。【南洋网财经】
