達魯益山 上調雪房產收購價

(吉隆坡6日訊)雪州政府子公司達魯益山集團(KDEB;前稱達魯依山集團)同意上調雪州房產集團(KHSB,6246,主要板房產)獻購價;以每股至少76仙,收購雪州柏朗商(KPS,5843,主要板貿易)持有的57%股權。

雪州柏朗商今日透過艾芬投資銀行,向馬證交所報備,董事局週二(5日)接獲通知,指早前向達魯益山集團提出的2項收購條件已獲通過。

達魯益山集團同意,收購雪州房產集團2億5456萬2576股或56.6%持股,每股至少76仙,並將依據雪州房產集團資產與投資評估結果,潛在上調收購價10%。[中国报财经]

OFFER FROM KUMPULAN DARUL EHSAN BERHAD (“KDEB”) TO PURCHASE 254,562,576 ORDINARY SHARES OF RM1.00 EACH, REPRESENTING 56.57% OF THE ISSUED AND PAID-UP SHARE CAPITAL OF KUMPULAN HARTANAH SELANGOR BERHAD (“KHSB”) HELD BY KPSB (“OFFER”)
We refer to the announcements made on 14 February 2013 (“Announcement”) and 28 February 2013 in relation to the Offer.  Unless otherwise defined, the definitions set out in the Announcement shall apply herein.

On behalf of the Board of Directors of KPSB, AFFIN Investment Bank Berhad wishes to announce that at a Board of Directors Meeting of KPSB on 5 March 2013, the Board of Directors had been informed that the conditions set by KPSB for the acceptance of the offer by KDEB has been agreed and accepted by KDEB as follows:
1.                That the Purchase Consideration for the 254,562,576 Shares shall be at a minimum of RM0.76 per Share (“Minimum Offer Price”); and
2.                That the Purchase Consideration may be increased by up to 10% from the Minimum Offer Price, at the request of KPSB, to reflect the prevailing market value of the land banks and investment properties of KHSB pursuant to the valuations that shall be carried out by an independent valuer to be appointed jointly by KDEB and KPSB.

The above mentioned shall supersede items 2(a)(iv) and (v) of the Announcement, which are reproduced as follows:

2(a)(iv)    The Purchase Consideration is subject to further adjustment (if any), at the request of KDEB, upon due diligence investigation to be conducted by KDEB on the Company.

2(a)(v)     The Purchase Consideration is also subject to further adjustment (if any), at the request of KDEB, to reflect the prevailing market value of the land banks and investment properties of the Company for which valuations are to be carried out by an independent valuer to be appointed jointly by KDEB and KPSB.

KPSB wishes to highlight that the Offer is subject to KPSB and KDEB entering into a definitive share purchase agreement and also is subject to the acceptance and approval of the shareholders of KPSB. The details of the terms and conditions of the share purchase agreement will be announced once the same has been executed between KPSB and KDEB in due course.

Quote 2 :        “Bagaimanapun, kami terkejut apabila membaca laporan sebuah akhbar tempatan 7 Februari lalu mengenai penjualan kawasan in kepada pemaju”
Quote 3 :        “Kami menjadi ahli kelab di sini sejak 20 tahun lalu, tetapi hak kami seolah-olah dinafikan. Sepatutnya pihak pengurusan yang dipengerusikan Khalid memaklumkan ahli kelab serta mendapatkan persetujuan ramai sebelum menjualnya”.

Clarification to the Quotes
The Project was announced by Perangsang Selangor on 6 February 2013 (“Announcement”) in line with Chapter 10 of the Bursa Malaysia Securities Berhad (“Bursa Malaysia”), Main Market Listing Requirements (“MMLR”).

CBB remains the registered proprietor of PTGC and there has not been a transfer of ownership to RSSB. Under the terms of the proposed joint venture encapsulated in the Agreement, upon the fulfillment of the Conditions Precedent, CBB is entitled to receive payments at various stages of the development of the Project. Details of such payments had been disclosed in the Announcement.

As highlighted in the Announcement, PTGC was ascribed a market value of RM100,000,000 by an independent registered valuer, Messrs. Suleiman & Co. in December 2009. Based on the preliminary development plans of the Project, the estimated Gross Sale Value of the Project is approximately RM1.25 billion.

The Board also wishes to highlight that the expressed conditions of the three (3) parcels of lands on which PTGC is located allows for utilisation as a golf club, golf course and commercial building. Nonetheless, the successful implementation of the Project is still subject to the approval from the relevant authorities for the re-zoning, conversion, amalgamation, subdivision and re-alienation. Therefore, it would be premature and incorrect to imply or to state that the re-development of PTGC has been approved.

Quote 10 :        “Pelaburan setiap ahli dianggarkan kira-kira RM18,000 hingga RM47,000 setiap seorang. Jika wang dikembalikan, kami tidak yakin mendaftar sebagai ahli kelab lain kerana yakin kos pelaburan itu lebih tinggi daripada yang asal”

Clarification to the Quotes
As a public-listed company, Perangsang Selangor must adhere to the provisions of the MMLR which, among other things, stipulates that a listed issuer must disclose to the public all material information necessary for informed investing and take reasonable steps to ensure that all who invest in its securities enjoy equal access to such information.

As such, any dissemination of the Project to selected parties or the public at large prior to the signing of the Agreement would be in breach of the MMLR.

In line with the MMLR, details of the Project were disseminated to the public via an announcement on 6 February 2013 to Bursa Malaysia via the Bursa LINK system pursuant to the signing of the Agreement on the same day.

Prior to the commencement of the Project, PTGC will be required to cease operations, which would entail the termination of all current memberships. In this regard, the Board would like to assure the members that their rights are protected and compensation shall be made in accordance with the provisions of the Trust Deed governing the terms of membership.

Apart from the above clarification, the Board also wishes to reiterate that until all the Conditions Precedent under the Agreement are fulfilled to facilitate the Project, PTGC will continue to operate as usual and, the upkeep and maintenance of the golf course and facilities shall carry on as scheduled to ensure continued and uninterrupted enjoyment of the facilities by the members of PTGC.

As a public-listed entity as well as a government-linked investment company that takes pride in its role as theFlagship of Selangor, Perangsang Selangor has an obligation to all its stakeholders to ensure continued profitability and returns on its investment strategies that will benefit its shareholders and the rakyat at large. This is in line with the Selangor state government’s policy of a “People-Based Economy” (“Merakyatkan Ekonomi Selangor”).

In relation to the untrue and misleading reports, CBB is currently seeking legal advice on the inaccurate statements made by the members of the club and related parties and shall take all steps necessary to ensure that its interests and that of its stakeholders are protected.

重组水务资产料进账3.4亿 柏朗桑将成现金牛

(吉隆坡6日讯)假设民联雪兰莪州政府重组水供资产成功,柏朗桑集团(KPS,5843,主板贸服股)将立刻成为现金牛。

根据《The Edge》财经周刊报道,以州政府投资臂膀达鲁益善集团(KDEB)的出价推算,柏朗桑集团所掌握的雪州水务公司(SPLASH)30%股权,以及持有Titisan Modal私人有限公司(TMSB)的90.83%股权,总值约1亿5350万令吉。

早前,达鲁益善集团出价2亿5060万令吉现金,收购柏朗桑集团手上的SPLASH与TMSB股权;而这两家公司的水供资产与债务,估计约15亿8000万令吉和9亿600万令吉。

现金将累积至4.2亿

除了脱售水供资产,柏朗桑集团脱售雪资产集团(KHSB,6246,主板产业股)的56.57%股权后,也将进账1亿9347万令吉。

然而,水供重组计划如今碰上全国大选而暂被搁置。

市场人士指出,若国阵成功重掌雪州,民联推行的水供重组计划就会泡汤;反之民联继续掌政,计划就不受影响。

柏朗桑集团若顺利脱售上述3批股权,将接获3亿4700万令吉现金。

有鉴于此,集团现金与银行存款将累计至4亿2000万令吉。

若联邦政府旗下的水务资产管理公司(PAAB),决定特许经营合约的资产对债务账面值盈余的数额,柏朗桑集团将进一步收到更多现金。[南洋网财经]

等待适当时机 雪政府欲整合产业再上市

(吉隆坡18日讯)刚连任为雪州大臣的丹斯里卡立透露,州政府正鉴定旗下拥有高回酬产业,并打算整合至一家公司,再重新上市马交所。

卡立向《The Edge》财经周刊透露,雪州政府控制的公司旗下产业所进行的重组活动,是为了鉴定出将可吸引投资者的资产。

“一旦鉴定这些可带来高收入公司资产,我们将可把它们注入一家上市公司或雪资产集团,然后再上市。”

惟卡立没有对上市事项设定一个时间表,仅表示会在“适当的时候”。

目前,雪州政府的投资膀臂———达鲁益善集团(KDEB)掌控着柏朗桑集团(KPS,5843,主板贸服股)61%股权。

柏朗桑集团近日也建议把持有56.57%的雪资产集团(KHSB,6246,主板产业股),以1亿9346万令吉现金(相等于每股76仙)售予达鲁益善集团。

收购完成后,达鲁益善集团将对雪资产集团进行无条件全面收购。

随后将对下市的雪资产集团进行资产重组,后者在雪州拥有不少高价值的土地。

卡立指私有化雪资产集团的目的是为了更快对资产进行重组。

此外,雪州政府拥有的Central Spectrum私人有限公司也在英达岛拥有超过200英亩土地,已被规划为工业园的发展。

也是归属于雪州政府旗下的雪兰莪发展局(PKNS),在八打灵和市郊地区也拥有一些具吸引力的土地。[南洋网财经]

雪资产集团资产重估 达鲁益善上修献购价

(吉隆坡29日讯)雪州政府的投资膀臂———达鲁益善集团(KDEB)宣布,同意就雪资产集团(KHSB,6246,主板产业股)的最新资产估值报告,将收购价调高至每股83.6仙,总额达2亿1281万4343.54令吉。

根据文告,独立估价顾问报告显示,雪资产集团市场估值应达10亿8510万令吉,每股净资产价值从1令吉提高至1.47令吉。

这意味着达鲁益善集团原本每股76仙,或相等于1亿9346万7557.76令吉的出价,较重估每股净资产价值低43.13%。

雪州政府欲整合旗下所持资产,达鲁益善集团早前建议,从柏朗桑集团(KPS,5843,主板贸服股)手中,购入雪资产集团的56.57%股权。

PROPOSED DISPOSAL OF 254,562,576 ORDINARY SHARES OF RM1.00 EACH IN KUMPULAN HARTANAH SELANGOR BERHAD (“KHSB”) (“SALE SHARE(S)”), REPRESENTING APPROXIMATELY 56.57% EQUITY INTEREST THEREIN TO KUMPULAN DARUL EHSAN BERHAD (“KDEB”) FOR A CASH CONSIDERATION OF RM212,814,313.54 OR RM0.836 PER SALE SHARE (“PROPOSED DISPOSAL”)
On behalf of the Board of Directors of KPSB (“Board”), AFFIN Investment Bank Berhad wishes to announce the following:
(i)       that the valuation reports and the valuation certificates (“Valuation Reports”) for the landed properties owned by KHSB and its subsidiaries which have been identified as material in respect of the Proposed Disposal (details of which have been set out in KPSB’s announcement dated 2 May 2013) (“Material Properties”) have been submitted to Bursa Malaysia Securities Berhad;

(ii)      that the consideration of the Sale Shares has been revised from RM193,467,557.76 or RM0.76 per Sale Share to RM212,814,313.54 or RM0.836 per Sale Share based on the terms and conditions of the conditional share purchase agreement dated 29 April 2013 after taking into consideration the current market value of the Material Properties; and

(iii)     that the Board of KPSB had resolved to revise the proposed utilisation of proceeds to be received from the Proposed Disposal.

雪州柏朗商 或重新談判收購案

(吉隆坡14日訊)券商預計,雪州柏朗商(KPS,5843,主要板貿易)將與雪州政府投資臂膀達魯益山集團(KDEB)重新談判以實現公司潛在收購價值,並指出前者在完成是項收購案后,將尋找更多核心業務,以支撐公司未來發展。

今早開市時,雪州柏朗商微揚5仙,掛1.93令吉,休市時該股揚8仙,掛1.96令吉,成交量682萬7600股。

午盤間,該股持續攀高;閉市時,雪州柏朗商起4仙,掛1.92令吉,成交量841萬1600股。

大馬投資研究在分析報告中指出,雪州集團有限公司早前宣布,將斥資2億1281萬令吉或每股83.6仙,同時收購雪州柏朗商56.57%股權,及旗下所持有的雪州房產集團(KHSB,6246,主要板房產)57%股權。

“雪州柏朗商將支付收購價的44%或9900萬令吉,用做特別派息政策,換言之,雪州柏朗商每股收益為20仙,收益率為11%。”

根據雪州柏朗商早前文告指出,公司持有的有地房地產在獨立估價師做出評估后顯示,房產現價高達10億8510萬令吉,重估后淨資產值提高至每股1令吉。

報告也指出,雪州柏朗商若順利完成是項收購案,將失去公司核心業務,為此該公司必須儘快尋找更多核心業務,以支撐公司未來發展。

“完成是項收購案后,雪州柏朗商剩余業務為電訊業務及油氣業務,然而該公司這兩項業務,正面臨著虧損及不確定的狀況。”[中国报财经]

真是无敌的心痛。
之前在1.30的时候全部货出完了,
怎么知道不到4个月的时间,我损失了整整4百千!
太可惜了,如果握到今天,赚4百千。其他人赚得更加凶猛!

不要再起了,再起的话,真的很心痛!!!
