（吉隆坡6日讯）Destini（DESTINI，7212，主板贸服股）宣布将以2600万令吉，收购未持有的Vanguard Composite工程有限公司49%股权。
该公司向马交所报备，将以发售每股65仙，总数达4000万股新股的方式，向黄德伟（译音）收购Vanguard Composite工程剩余股权。
Vanguard是一家新加坡公司，主要业务是制造和维修，救生艇及相关产品。
截至目前，Destini共持有Vanguard Composite工程51%。
完成收购活动后，Vanguard Composite工程将成为Destini独资子公司，所以营业额和净利贡献可全纳入母公司账目内，中至长期内，将提升Destini的股东回酬。
根据文告，截至去年底财年内，Vanguard Composite工程营业额达1627万新元（约4177万令吉），净利则达213万新元（约547万令吉）。

Destini独资子公司Samudra石油服务，今日获大马Lundin公司颁发合约，为后者的钻井工程，提供锤钻予设备。

（莎阿南27日讯）由于Samudra石油服务第二季开始贡献，因此，Destini（DESTINI，7212，主板贸服股）预料本财年业绩将会倍增。
董事经理拿督罗查比阿都拉曼在股东大会后指出，Samudra的收购案在3月完成，并在第二季开始作出贡献，相信今年的表现将远比去年好，也许会倍增。
截至3月底首季，Destini取得308万4000令吉净利，按年增27.91%，营业额增77.93%至2907万令吉。
去年，该公司全购几家公司，并献议以8000万令吉，向东洋工程（SAMUDRA，7185，主板贸服股）收购Samudra，主要业务是提供油气管装卸与运作服务。
考虑制定股息政策
而在本月6日，该公司以2600万令吉，收购未持有的VanguardComposite工程49%股权。
罗查比表示，目前将着眼于整合过去两年的收购案，暂时无新的收购计划。
他指出，Destini手握7亿至8亿令吉的合约，期限长达5年，其中包括为国防部供应配件、提供国防配备、维修和翻新大马皇家空军的安全生存相关装备。

Destini大股东加码至20.45%

（吉隆坡31日讯）Destini（DESTINI，7212，主板贸服股）大股东兼董事经理拿督罗查比阿都拉曼为了整合股权，把直接及间接持股率增加6.7%，达到20.45%水平。
上周五，Destini有一批7200万股，以每股65仙或总值4680万令吉场外交易，这低于当日70.5仙闭市价。
根据《星报》报道，罗查比确认本身正是收购这批股权的人。
“最近公司在进行一项收购活动，所以现在是时候，让我整合股权，以关注公司业务发展。”
他对公司有信心，且相信能够在年末取得更高盈利。
增持股权的活动，让他通过BHP资本私人有限公司，持有Destini的股权提高至20.45%。
大马交易所最新数据显示，BHP资本在7月16日，持有该公司的1亿920万股，或相等于13.75%股权。
前称为莎当控股（Satang）的Destini，已在去年4月脱离PN17行列，且进行多项策略收购以多元化收入。【南洋网财经】

私配稀释股权 Destini变SMRT小股东

（吉隆坡6日讯）Destini（DESTINI，7212，主板贸服股）宣布，由于私下配售带来稀释效应，该公司因而失去SMRT控股（SMRT，0117，创业板）大股东地位。
文告指出，SMRT控股在7月11日完成私下配售和转换凭单活动，导致Destini所持有股权从早前的5.85%，稀释至4.98%，因而在7月21日失去大股东地位。
另一方面，Destini也以1令吉，向拿督罗扎比购入Detrac50%股权。

减少对政府合约依赖 Destini放眼航空业
二零一四年八月十九日 晚上七时二分
（吉隆坡19日讯）配合减少对政府合约的依赖，Destini有限公司（DESTINI，7212，贸易服务组）计划争取成为亚洲航空有限公司（AIRASIA，5099，贸易服务组）的维护、修复与翻修（MRO）服务供应商。
消息来源透露，该集团已与该廉价航空公司展开洽商，并且可能在明年落实上述MRO合约。
“一切仍然处于非常初步阶段。Destini公司仍然等待欧洲航空安全局（EASA）认证，以扩充其商业航空的产能。”
该集团也放眼其他航空公司的MRO工程。消息补充，Destini公司的计划将只会在获得欧洲航空安全局认证后才会实现。
值得注意的是，亚洲航空非独立非执行董事 拿督卡玛鲁汀，出现在该集团30大股东名单上。据Destini公司2013常年报告显示，截至2014年5月6日止他共持股1.94%。
消息称，卡玛鲁汀曾经控制Destini公司约5%，惟其持股已在收购东洋石油服务私人有限公司后被冲淡。
Destini公司是在今年初透过每股35仙发行2亿2860万股票，以8000万令吉代价向东洋工程有限公司（SAMUDRA，7185，贸易服务组）收购东洋石油服务。上述股票相等于后者约39%股权。
东洋石油服务提供管状处理设备服务，以及管状检查与维修服务予岸外油井。
该集团有意扩充其商业MRO业务并不令市场意外，因董事经理拿督罗查比早前已经透露，Destini公司在航空MRO部门的新焦点是从私人界争取更多合约，以多元化其收益基础。
Destini公司专业于航空、海事及石油与天然气工业的安全与拯救产品维护、修复与翻修。
其收益主人是由政府合约推动，占了该集团截至2012年12月31日止财政年度5683万盈利的超过一半。
在2013财政年，该集团录得821万令吉净盈利，比较一年前只有706万令吉。
据其公布业绩时的报告显示，较高盈利主要是因为较高贸易销售和新收购子公司，即Vanguard Composite工程私人有限公司和Techno Fibre私人有限公司所贡献。

- Subscription of Shares in Detrac Sdn Bhd | The Board of Directors of Destini Berhad (“Destini” or “the Company”) wishes to announce that the Company had on 4 November 2014 subscribed for an additional699,999 new ordinary shares of RM1.00 each in Detrac Sdn Bhd (“Detrac”), a subsidiary of the Company, at par for a total cash consideration of RM699,999.00 (“Subscription”). The Subscription was funded via internally generated funds.
Pursuant to the Subscription, the total issued and paid-up share capital of Detrac increased from 2 ordinary shares of RM1.00 each to 1,000,000 ordinary shares of RM1.00 each. As a result of this Subscription, total equity held by the Company in Detrac is 700,000 ordinary shares of RM1.00 each, representing 70% of the enlarged issued and paid-up share capital of Detrac and the total cost of investment of the Company inDetrac will increase from RM1.00 to RM700,000.00.
The Subscription will not have any material impact on the earnings and net asset of Destini for the financial year ending 31 December 2014.
None of the directors, substantial shareholders and/or persons connected with them has any interest, direct or indirect, in the Subscription.
The Subscription is not subject to the approval of the shareholders of the Company or other relevant authorities.
The Directors of Destini, after taking into consideration of all financial and other factors, is of the opinion that the Subscription is in the best interest of the Company.
This announcement is dated 4 November 2014.
