MCT上市開市溢價15仙 將推出發展總值67億工程

(吉隆坡6日訊)房地產發展商MCT集團(MCT,5182,主要板房產)完成倒置收購長城塑膠(GWPLAST)后今日掛牌上市,開市溢價15仙或11.72%,以1.43令吉促成首宗交易,同時也是今年馬證交所首宗上市活動。

MCT集團非獨立執行董事兼總執行長拿督董仕偉表示,目前進行著的工程發展總值22億6000萬令吉,未來即將推出67億2000萬令吉發展總值工程。另外還有296英畝尚未估算發展潛能土地可供未來10年發展。

未定股息政策

該股今日以1.43令吉開市,首宗交易有25萬3300股易手。該股在隨后收窄漲幅,休市報1.35令吉,起7仙。截至下午4時半,MCT集團報1.33令吉,起5仙,成交量1246萬1500股。

MCT集團該公司現有土地主要位于巴生谷地區,包括八打靈、賽城等。

上市活動出席者包括MCT集團獨立非執行主席丹斯里阿比慕沙、非獨立副執行主席丹斯里吳明璋、執行董事林國文、總財務長黃榮祥、發展董事林祺耕、獨立非執行董事拿督吳恆燦及高級獨立非執行董事丹斯里劉衍明。

對于以溢價上市表現,林國文說,這顯示市場對該股的興趣。雖然公司尚未定下股息政策,但未來一定會派發股息。

董仕偉說:“巴生谷地區仍是我們的專注地點,但也會在巴生谷以外地區尋求合適土地。隨著公司上市,我們將有更廣的融資管道,因此也會探討檳城、柔佛等市場。”

他說,儘管房產市場需求趨軟,可他相信對的產品可仍有需求。

“房市如同金字塔,最底層市場仍有龐大需求,只視民眾的負擔能力。”

菲Ayala認購9%股權
不排除未來聯營

在上市配售新股中,MCT集團獲得菲律賓最大房產發展商Ayala土地青睞,認購9.16%股權,不排除未來2家公司聯營的可能性。

董仕偉指出:“Ayala土地加入可為公司帶來互補效益和附加價值。雙方不排除未來聯營的可能性,但目前會專注加強在國內市場。”

MCT集團通過上市活動集得3億8400萬令吉,其中6400萬令吉供房產發展成本、1億6700萬令吉供房產投資、1億2000萬令吉用以償還銀行貸款、2000萬令吉供營運資本,其余1300萬令吉供其他開銷。

董仕偉引述大馬房地產發展商協會(REHDA)在早前預測,消費稅將對50萬令吉房產價格帶來約2.6%影響,而以模塊方式進行建築的MCT集團,影響程度只是一般房產發展商的一半。

該公司在過去4年交出44.3%盈利賺幅,相信未來可維持下去。

朝聖基金局成MCT大股東

(吉隆坡14日訊)朝聖基金局崛起成為新上市的產業公司MCT集團(MCT,5182,主板產業組)的主要股東之一。

朝聖基金局在購入該公司1億3千419萬股股票或10.05%股權後,成為大股東之一。

根據交易所資料顯示,朝聖基金局是在4月1日買入這批股權。

MCT集團是倒置收購長城塑膠上市,該公司副執行主席丹斯里吳明璋及首席執行員拿督斯里董仕偉為該公司第一及第二大股東,分別持有該公司42.68%及22.98%股權。(星洲網)

MCT推39亿可负担房屋 56%售价低于50万

(吉隆坡17日讯)消费税冲击消费情绪,但却激励可负担房屋的需求,MCT公司(MCT,5182,主板产业股)将加速推出这类房屋,近期将推出发展总值39亿令吉的计划。

MCT总执行长拿督斯里董仕伟,接受彭博访问时指出,未来5年将推出90亿令吉的房屋计划,将以可负担房产为主。

同时,该公司近期将推出39亿令吉的房屋计划,当中有56%的单位,价位低于50万令吉。

随着消费税在本月初开始上路,让原本就因为国行打房和升息而冷却的房市,再次受到打击。大马经济研究院在去年12月的消费者情绪指数,更跌至一年最低点。

对此,董仕伟认为,产业的价位相当重要。

“我们近期的产业销售,获得良好反映。价格非常重要,我们将会专注在更多可负担房屋上。”

MCT早前倒置收购长城塑胶(GWPLAST),并在上周一(6日)开始在马股交易。

从市值来算,该公司为马股第13大产业公司,并放眼在2020年时,能成为国内第五大上市产业公司。【南洋网财经】

看好潜力‧欲持20% 传阿雅拉加码MCT

(吉隆坡5日讯)消息指出,MCT公司(MCT,5182,主板产业股)发展潜力庞大,预料菲律宾产业巨头阿雅拉置地或提高股权比例至20%以上。

一名不愿透露姓名的管理层对《南洋商报》指出,阿雅拉置地目前在MCT公司的持股比例,并不符合投资回报,加上MCT公司的前景明朗,相信这家外资公司将进一步增持公司股权。

“MCT公司是一家很有潜力的公司,否则,阿雅拉置地就不会入股公司,而且我可以看出阿雅拉置地还有意提高本身的持股比例。”

阿雅拉置地目前持有MCT公司的9.17%股权,除了必须负担承载成本外,又无法获得后者的盈利分成,因此投资回报较低。

“假设阿雅拉置地要获得MCT的净利分成,就必须把持股比例增加至20%以上,这样才符合机会成本,并获得合理的投资回酬。”

菲律宾最大发展商

阿雅拉置地是菲律宾规模最大的产业发展商,市值达474亿令吉,主要以开发和打造商业区而闻名。早前,阿雅拉置地通过子公司Regent Wise投资公司,收购MCT公司的1亿2221万5500股或9.17%股权。

双方将探讨潜在的合作计划,并看好产生的协同效应,可缔造双赢局面,闭市时,MCT公司以1.32令吉平盘挂收,成交量达22万股。

去年倒置收购长城塑胶

MCT集团去年1月初宣布,以注入资产方式,倒置收购长城塑胶(GWPLAST)。

这项股权交易总值12亿1280万6557令吉,长城塑胶将透过发行10亿7764万5181新股,其中包括117万8125免费股,以及献售1亿5000万股来完成。

一旦交易完成,公司将以产业发展作为新核心业务。在今年1月间,长城塑胶股东批准MCT集团倒置收购,让后者完成“借壳上市”。

倒置收購財報未反映實收‧MCT15個月虧275萬

(吉隆坡7日訊)由於倒置收購造成時間差,使核心業務尚未反映在財報上,MCT集團(MCT,5182,主板產業組)的最新季度業績仍虧損2萬2千令吉,總結過去15個月則報275萬5千令吉淨虧損。

另外,由於實際銷售尚未反映,該公司在最新季度和過去15個月財報中均未錄取任何營業額。

該公司透過文告解釋,最新業績仍錄得虧損,原因是重組計劃涉及開銷。

據瞭解,由於MCT集團剛在今年4月完成倒置收購並在馬股上市,該公司財報料從下個季度起才會反映實際業績表現。

從事產業發展業務的MCT集團,是透過繼承長城塑料(GW plastics)上市地位的方式在馬股上市,後者在2013年完成脫售核心業務,之後即陷入無業務狀態,而最新業績反映的乃是長城塑料的業績,並非MCT集團。( 星洲日報/財經)

MCT拟注购物广场与酒店 5年内设实业信托

二零一五年五月十一日 晚上七时九分
(吉隆坡11日讯)MCT有限公司(MCT,5182,产业组)计划最早在2020年成立一项实业投资信托。这项实业投资信托将收购MCT公司已经发展的产业,包括购物广场和酒店。

这项实业投资信托将成为该综合产业发展商长期策略的一部分,以带来持续的收入来源,贡献约30%的净盈利。其余70%收益则将来自其核心产业发展业务。

MCT公司首席执行员拿督斯里董仕伟称,一旦该集团已经建立可带来持续收入的‘具规模’资产组合,这项实业投资信托将会设立。

“我们的多项投资资产预料可在2020年完成。”

他说:“最佳情况下,MCT公司旗下所有购物广场和酒店将会纳入实业投资信托中。我们放眼长期,它不是一项短期的行动。”

迄今,MCT公司已完成在雪兰莪梳邦再也和赛城的产业计划,总发展值达到13亿2000万令吉。

该集团尚拥有总发展值达到30亿2000万令吉的进行中发展计划,而其未来计划则预料有总发展值57亿3000万令吉。

而董仕伟而言,持续收益是管理MCT公司的一个重要角色。他相信,透过来自实业投资信托的持续收入,该集团将处于优势。

“在马来西亚有一些公司属于完全的产业发展商。但这对我属于不健康,因它并没有带来持续性。”

MCT公司执行董事林国文透露,实业投资信托将容许公司释放其产业资产的价值。

“在我们的发展下,我们将会进军实业投资信托。我们将套现我们的资产,从而让集团拥有另一轮的流动现金以作扩充用途。”

展望未来,该集团将投资于豪华酒店发展,并已着手从2个国家酒店品牌名单中,委任一名酒店经营商。

MCT公司目前正在赛城兴建一座酒店,同时也将在未来数月内于梳邦再也的One City计划发展2间。建筑工程预料将在4年内完成。

董仕伟拒绝透露涉及洽商酒店品牌的名称,但表示成功的团体将经营上述3间酒店,以及可能包括现由MCT公司管理,在梳邦再也的现有酒店。

“我们即将作出决定。这项交易会在一个月时间内签署。”

他指出,所有4间酒店都属于四星至五星级。

林国文说,2间国际酒店公司有意经营MCT公司的酒店,是因为“它们看到我们的价值”。

谈及菲律宾上市公司Ayala置地在MCT公司的策略性投资时,林国文表示,该公司将分享Ayala置地的经验,因它已与国际酒店品牌合作,以经营其酒店。

“这是一个我们可寻求Ayala置地意见的领域。”

他指出,这也是MCT公司可从其股东们引入的协同作用。

在4月6日,随着长城塑胶控股有限公司完成倒置收购MCT财团有限公司,促使MCT公司成功上市大马交易所的主要市场。

与2创办人签认购选择权 阿雅拉将增持MCT至32.95%

(吉隆坡11日讯)MCT公司(MCT,5182,主板产业股)大股东菲律宾阿雅拉置地(Ayala Land)与主席兼联合创办人丹斯里吴明璋,以及总执行长拿督斯里董仕伟签署认购选择权(Call Option),可购入高达24.82%股权,届时持股权将提高至32.95%。

根据今日文告,阿雅拉置地子公司Regent Wise投资,与吴明璋和董仕伟签署认购选择权,向后两者收购24.82%的股权。

不过,吴明璋和董仕伟目前必须遵守上市后6个月内的禁售期,因此,上述认购选择权,须在禁售期结束后的一个月内才能执行。

根据马交所的资料,截至上月1日时,吴明璋持有42.68%股权,董仕伟则持22.98%。

事实上,早前也有管理层向《南洋商报》指出,阿雅拉置地原本的持股比例,并不符合投资回报,加上MCT公司的前景明朗,相信这家菲国产业巨头,将会进一步增持股权。

若阿雅拉置地要获得MCT公司的净利分成,持股权必须至少达20%,才符合机会成本,并获得合理的投资回酬。

Details of the grant of call option:-First OptionRWIL shall have the right, but not the obligation, to acquire:-1) 209,012,352 ordinary shares of RM1.00 each (comprising 135,858,029 ordinary shares from TSBG and 73,154,323 ordinary shares from DST); or 2) in the event of any change in the issued and paid-up share capital of MCT, such number of MCT shares calculated as (15.658% x issued and paid-up share capital) x 65% from TSBG and (15.658% x issued and paid-up share capital) x 35% from DST  or which shall in any event enable RWIL to increase its shareholding of MCT to 24.815% (on the basis that RWIL simultaneously exercises its similar rights under the terms of both Call Option Agreements); andSecond OptionFollowing the exercise of the First Option, RWIL shall have the right, but not the obligation, to acquire:-1) an additional 108,581,209 ordinary shares of RM1.00 each (comprising 70,577,786 ordinary shares from TSBG and 38,003,423 ordinary shares from DST); or2) in the event of any change in the issued and paid-up share capital of MCT, such number of MCT shares calculated as (8.135% x issued and paid-up share capital) x 65% from TSBG and (8.135% x issued and paid-up share capital) x 35% from DST or which shall in any event enable RWIL to increase its shareholding from 24.815% to 32.95% (on the basis that RWIL simultaneously exercises its similar rights under the terms of both Call Option Agreements) The Form 29B was received by the Company on 14 May 2015.

MCT 44.3%赚幅的秘密

MCT公司(MCT,5182,主板产业股)通过倒置收购长城塑胶公司,崛起成为马交所房产企业的后起之秀,并以令人瞩目的盈利赚幅,在市场崭露头角。然而,很多人不晓得MCT公司的名称,其实是源自模块化建造技术(modular construction technology)的缩写。

而且,更多人不知道的是,MCT公司取得平均44.3%盈利赚幅的秘密,其实就深藏在模块化建造技术中。

MCT公司(MCT,5182,主板产业股)于4月6日上市马交所主板,首日在市场亮相,就以平均4年盈利赚幅高达44.3%的非凡气势,夺取投资者的目光。

公司44.3%的盈利赚幅,是截至去年6月杪的数据,综合了6项产业计划的赚幅,所得出的平均水平。

在这些产业计划中,最出色的是梳邦再也The Square One City,赚幅高达59.6%。

而赛城的The Place,虽然是表现最差的项目,但也取得30.2%。

MCT公司执行董事林国文接受《南洋商报》专访时指出,维持亮眼成绩的秘密,其实就是模块化建造技术和综合业务模式的互相配合,推动了成本效益走高。

“其他业者兴建典型的可负担房屋,赚幅大约只有17%,但我们的建筑和地皮成本低于竞争者,促使公司成功在充满竞争的环境脱颖而出。”

根据马来西亚房地产发展商会(REHDA)的例子显示,售价50万令吉的可负担房屋,发展成本中有23万令吉或46%是建筑开销。

“很多人会质疑我们专注发展的可负担房屋项目,是否会蒙受赚幅压力,其实不会,因为我们的模块化建造技术,可帮助节省成本。”

模块化的建造技术,其实就像用堆砌“乐高”(Lego)积木的方式,将建筑物拼凑组合起来。

公司会先固定柱子、墙壁和地板的规格,才开始大批制造这些建筑元件。

而通过固定的规格和重复的生产步骤,制造过程变得相当组织化,帮助工人更容易熟悉操作,减少了材料的浪费并帮助节省开销。

同时,通过预制的建筑元件,公司能够迅速地将建筑物“组装”起来,大幅提高效率。

一条龙业务省成本

MCT公司的综合业务模式,亦捎来可观的成本效益,推高盈利赚幅。

公司拥有本身的设计团队、建材供应来源、混凝土预制厂房和专业建筑人才,通过“一条龙”的业务营运模式,大幅节省了成本。

设计团队会将模块化建造技术,融入产业设计中,规划出符合经济效益的项目,同时,也可减少实际建造与设计蓝图之间的落差。

公司也通过本身的贸易子公司,直接向供应商购入建材,节省原料开销。

而混凝土的预制厂房可减少人力资源开销,也有助于控制品质。

再加上本身的建筑人才,能够负责专业的兴建工程,MCT公司在控制成本方面,取得了傲人的成绩。

“而且我们的土地成本也非常低,仅占了产业项目发展总值的4%至6%,这也是促使赚幅高企的原因之一。”

平均地皮成本比同行低

根据REHDA的例子,在售价50万令吉的可负担房屋发展成本中,地皮开销就占了7万5000令吉或15%。

MCT公司的平均地皮成本仅为5%,比其他业者拥有10%的优势,因而成功脱颖而出。

林国文认为,这些高效的成本控制策略,可帮助公司维持亮眼的盈利赚幅,并克服市场放缓的挑战。

“即使产业领域表现疲软,也不会带来太大的打击,因为公司专注的是可负担房屋计划,而且还拥有一系列的应对策略。”

- ACQUISITION OF TWO (2) WHOLLY-OWNED SUBSIDIARIES BY MCT CONSORTIUM BHD., A WHOLLY-OWNED SUBSIDIARY OF THE COMPANY
1. INTRODUCTION
Pursuant to Paragraph 9.19(23) of Bursa Malaysia Securities Berhad Main Market Listing Requirements, the Board of Directors of the Company wishes to announce that MCT Consortium Bhd. (“MCT Consortium”), a wholly-owned subsidiary of the Company, had on 3 August 2015, acquired two (2) ordinary shares of RM1.00 each fully paid-up, in the capital of Next Delta Sdn. Bhd. (“NDSB”) (Company No. 1130397-A) and Great Atlas Sdn. Bhd. (“GASB”) (Company No. 1146866-W) respectively, representing 100% equity interest in NDSB and GASB for a total cash consideration of RM4.00 (“the Acquisitions”). Consequent thereto, NDSB and GASB became wholly-owned subsidiaries of MCT Consortium.

2. INFORMATION ON NDSB and GASB
NDSB was incorporated in Malaysia under the Companies Act, 1965 (“the Act”) on 5 February 2015. The present authorised share capital of NDSB is RM400,000.00 divided into 400,000 ordinary shares of RM1.00 each and the paid-up share capital is RM2.00 divided into two (2) ordinary shares of RM1.00 each. NDSB has not commenced any operation since incorporation.

GASB was incorporated in Malaysia under the Act on 2 June 2015. The present authorised share capital of GASB is RM400,000.00 divided into 400,000 ordinary shares of RM1.00 each and the paid-up share capital is RM2.00 divided into two (2) ordinary shares of RM1.00 each. GASB has not commenced any operation since incorporation.

3. FINANCIAL EFFECTS
The Acquisitions are not expected to have any material effect on the earnings or net assets of the Company.

4. DIRECTORS’ AND MAJOR SHAREHOLDERS’ AND/OR PERSONS CONNECTED WITH A DIRECTOR OR MAJOR SHARHOLDER’S INTERESTS
None of the Directors and/or major shareholders of the Company and/or persons connected to them has any interest, direct or indirect, in the Acquisitions.

5. STATEMENT BY THE BOARD OF DIRECTORS
The Board of Directors of the Company is of the opinion that the Acquisitions are in the best interest of the Company.

MCT:仍具长期价值 不修改阿雅拉认购协议

(吉隆坡15日讯)即使股价下跌,MCT公司(MCT,5182,主板产业股)仍无意修改跟菲律宾阿雅拉置地(Ayala Land)达成的认购选择权协议,因为即使市况动荡,仍具备长期价值。

《星报》引述MCT公司执行董事拿督林国文谈话称,无论是协议条件或配售价,公司都对给出的认购选择权条件有信心。

“目前,我们无意调整每股1.28令吉的配售价,因为公司长期价值至今仍未受影响。”

林国文续称,尽管阿雅拉置地可能会因而成为单一大股东,但MCT公司发展方针将维持不变。

早前,MCT公司大股东阿雅拉置地,与主席兼联合创办人丹斯里吴明璋,以及总执行长拿督斯里董仕伟,签署了认购选择权。

阿雅拉置地可购入高达24.82%股权,届时,持股权将提高至32.95%。

不过,阿雅拉置地的出价,不得低于每股1.28令吉,或MCT公司20天加权均价。

有分析员指出,假设MCT公司股价跌破1.28令吉,阿雅拉置地可能会不再行使认购选择权。

MCT次季赚6668万

(吉隆坡25日讯)MCT公司(MCT,5182,主板产业股)今年4月至6月底期间,净利达6668万令吉,营业额则达6亿1875万令吉。

同时,建议派息每股2仙。

该公司向马交所报备,去年1月至今年6月底的18个月内,净利达6393万令吉;营业额则达6亿1875万令吉。

MCT公司指出,今年内,营业额贡献来自赛城的SkyPark、Lakefront Residence、Lakefront Villa和赛城南部的EcoGreen发展计划。

该公司预计,现财年内,产业市场料持续疲弱。不过已采取行动来应对,包括调整产品组合。

以目前市况,将专注于70万令吉以下的房产,及把焦点放在较好的地点,如巴生谷和大吉隆坡。

最近新产业推介不错的表现反映出该策略奏效。作为综合业者,房屋发展和建筑业务料持续带来协同效应。

目前,MCT公司未结账销售额达21亿令吉,加上先财年内将推介的新发展项目,将转换为营业额和净利。【南洋网财经】
