MCT首季净利跌34%

(吉隆坡28日讯)MCT公司(MCT,5182,主板产业股)截至9月30日首季,净利按年挫34.3%,写1055万1000令吉;营业额减少39.4%,报9403万7000令吉。

MCT公司向交易所报备,当季营业额的主要贡献者是产业发展项目,包括Lakefront @ Cyberjaya、Skypark @ Cyberjaya和Cybersouth。

没推新楼盘

该公司解释,Skypark @ Cyberjaya、Lakefront Villa @ Cyberjaya、Cybersouth Green Casa及Casa View(第1B和2B阶段),已经处于尾声阶段,因此相较去年同期,所录得的完成进度较慢。

由于2017财年末季已经售罄房产,所以Lakefront Residences的认购率走缓。此外,MCT公司在当季也没有推出新楼盘。

MCT公司表示,房产发展业务共贡献87%的生意额,去年同期则为93%。

另一方面,当季盈利赚幅企于44%的良好水平,比去年同期的34%要好。

该公司仍谨慎正面看待前景,相信产业发展和建筑业务将回升。【e南洋】

MCT公司750万卖子公司

(吉隆坡9日讯)MCT公司(MCT,5182,主板产业股)脱售持有该公司旗下梳邦再也One City项目部分产业的独资子公司,总值750万令吉。

MCT公司昨天向交易所报备,子公司One City发展私人有限公司,与BRAS Ventures公司达成股权脱售协议,脱售在One City产业私人有限公司的350万股,或相等于100%股权给买家。

该公司透露,脱售值为750万令吉,脱售活动料在明年首季完成。

该脱售价格是按照One City产业旗下350万令吉净资产估价得来,再经双方同意后达成。

营运面对亏损的One City发展公司,是MCT Consortium私人有限公司的独资子公司,后者是MCT公司独资子公司。

One City产业从事产业发展、投资和管理服务,所投资的项目包括Sky Park @ One City、The Place @ One City、The Square @ One City和Taman Bandar Awam @ One City。

MCT公司指,该脱售活动预料能获得400万令吉净利,这笔资金将用作公司的营运资本。

增持股权至50.19%
阿雅拉置地全购MCT


2018年1月3日
(吉隆坡2日讯)菲律宾上市公司阿雅拉置地(Ayala Land)通过旗下Regent Wise投资(RWIL),以总值2亿250万1705令吉增持MCT公司(MCT,5182,主板产业股)约17.24%股权后,再强制全面献购所有还未持有的股票。

在这之前,RWIL已经持有MCT公司近33%股权。

MCT公司向交易所报备,RWIL与MCT公司大股东兼联合创办人丹斯里吴明璋签署有条件买卖协议,以每股88仙或总值2亿250万1705令吉,收购2亿3011万5574股或约17.24%股权。

完成收购之后,RWIL在MCT公司的持股率从32.95%,增加至50.19%。

一旦变成无条件献议,RWIL再以每股88仙,强制全面献购剩余未持有的股票。

没披露是否除牌

不过,文告并没有披露,RWIL是否会把MCT公司私有化,或是设法维持上市地位。

截至今日,MCT公司已发行高达1亿2221万8357令吉的零息不可赎回可转换无担保债券股(ICULS),从2015年4月1日发行日算起,为期36个月。

一旦达到特定条件,ICULS可转换成股票。

根据董事部的资料,大马证券监督委员会豁免RWIL强制献购ICULS。

阿雅拉置地在菲律宾交易所上市,截至去年12月29日市值约132亿美元(约534亿令吉)。

这家集团主要业务是策划和发展综合产业,如住宅、办公楼、商业和工业单位,还有出租商业及办公单位,以及发展、经营和管理酒店与度假村。

同时,也发展商业和工业园,以及涉及产业管理和建筑。

2015年持32.95%

早在2015年10月15日,RWIL便向吴明璋和非独立兼执行董事拿督斯里董仕伟收购股权,将持持股率从9.16%,提高至32.95%。

SIGNING OF CONDITIONAL SHARE PURCHASE AGREEMENT BETWEEN REGENT WISE INVESTMENTS LIMITED AND TAN SRI DATO SRI GOH MING CHOON FOR THE ACQUISITION OF 230,115,574 ORDINARY SHARES IN MCT, REPRESENTING APPROXIMATELY 17.24% OF THE ISSUED AND PAID-UP SHARE CAPITAL OF MCT
The Board of Directors of the Company (“Board”) wishes to announce that the Board has on 2 January 2018, received a letter of notification (“Letter”) from Regent Wise Investments Limited (“RWIL”), that it has, on 2 January 2018, entered into a conditional share purchase agreement (“SPA”) with Tan Sri Dato’ Sri Goh Ming Choon (“Vendor”) to acquire 230,115,574 ordinary shares in the Company (“Shares”), for a total cash consideration of RM202,501,705.12 (“Cash Consideration”), which is equivalent to RM0.88 per Share (“Proposed Acquisition”). Upon completion of the Proposed Acquisition, RWIL’s shareholdings in the Company will increase from 32.95% to 50.19%.

RWIL is a wholly-owned subsidiary of Ayala Land, Inc. (“ALI”), which is a public listed company on The Philippine Stock Exchange with a market capitalisation of approximately USD13.2 billion (approximately RM53.4 billion) as of 29 December 2017. The principal activities of ALI and its subsidiaries are that of engaging in the planning and development of integrated estates with a mix of use such as residential lots and buildings, office buildings and commercial and industrial lots, as well as leasing of commercial and office spaces and the development, operation and management of hotels and resorts. ALI also develops commercial and industrial parks and also engages in property management and construction.

Upon fulfilment of the condition precedent under the SPA, RWIL will be obliged to extend a mandatory take-over offer to acquire all remaining Shares which are not already held by RWIL and person(s) acting in concert with it (“Offer Shares”) pursuant to Section 218(2) of the Capital Markets and Services Act 2007 (”CMSA”) and subparagraph 4.01(a) of the Rules on Take-Overs, Mergers and Compulsory Acquisitions (”Rules”) for a cash consideration of RM0.88 per Share (“Offer”). The condition precedent involves obtaining a waiver from Bursa Malaysia Securities Clearing Sdn Bhd to allow for 51% of the Cash Consideration to be settled in tranches to the Vendor. The Board will appoint an independent adviser upon receipt of the notice of the Offer, to advise the Board and holders of the Offer Shares and provide their comments, opinions, information and recommendation on the Offer.

In the event that the condition precedent under the SPA is not satisfied or not waived by RWIL, the Offer will not be made by the Offeror and the Company will issue an announcement, upon receipt of notice from the Offeror, confirming the fact as soon as reasonably practicable.

菲律宾Ayala寻求控制MCT

(吉隆坡3日讯)菲律宾上市公司Ayala Land Inc将投资2亿250万令吉,增持MCT Bhd股权至50.19%,并以每股88仙强制性全面献购(MGO)尚未持有的股权。

MCT在昨日下午2点49分暂停交易1个小时,最后作价为每股78仙,上述收购价比其最后作价溢价12.82%。

截至昨日闭市,该股报83仙,比收购价溢价6%,市值高达11亿令吉。

Ayala Land表示,增持MCT的股权让其有机会从后者的增长潜能及大马房地产市场的长期前景中受惠,并肯定其是东盟产业界的重要业者。

MCT昨日向大马交易所报备,公司接获Ayala Land独资子公司Regent Wise Investments Ltd(RWIL)的通知书,指RWIL已与MCT非执行董事丹斯里吴明璋签署有条件卖股协议,以2亿250万令吉或每股88仙,收购吴明璋在MCT的2亿3012万股或17.24%股权。

完成收购活动后,RWIL在MCT的持股权将从32.95%增至50.19%。

由于持股权已经超出33%,因此RWIL将会以每股88仙强制性全面献购尚未持有的股权。

MCT说:“这个交易的先决条件包括向Bursa Malaysia Securities Clearing私人有限公司取得豁免,允许其把51%现金交易分期支付给吴明璋。”

MCT补充说,一旦收到献购通知书,将会委任独立顾问为董事部及股东提供咨询。

《The Edge》曾于去年7月份报导,Ayala计划向MCT联合创办人吴明璋及拿督斯里董仕伟收购控制性股权,以加紧对MCT的控制。现在上述交易证实了报导的准确性。

报导指,上述收购活动将会引起强制性全面献购。

然而,MCT否认相关报导,并称“大股东并无讨论过MGO或买断。”

另一方面,Ayala Land总财务长Augusto D Bengzon向菲律宾证券交易所表示,增持MCT股权将有助于加强MCT的运作及进一步拓展其业务版图。

“Ayala Land在菲律宾开发大型、综合、多用途和可持续产业及发展多元化产品线方面拥有良好记录,我们相信这有助于提高MCT的表现及加强其价值。”

MCT总执行长Jose Juan Z Jugo在昨日回复《The Edge》财经日报的电邮中透露,完成收购活动后,集团将有更多机会接触到大股东Ayala Land的最佳实践、程序和专业知识。

“由于我们正致力于在大马实现自己的目标,因此这个交易将使MCT能够更好地利用Ayala在房地产开发方面的丰富经验和知识。我们的控股股东是东盟最大的房地产开发商之一,我预计MCT将在本地市场发展得更好、更快。”

Jugo还说,Ayala增持股权的举动,“显然”是对MCT充满信心。

“Ayala Land决心提高在本区域的地位,并选择我们为这个使命的主要份子。作为Ayala Land的子公司,我们的内部目标是支持母公司的整体目标。”

MCT是于2015年4月份在马交所主板挂牌。当时,长城塑胶(GW Plastics Holdings Bhd)把核心业务卖给工业包装制造商森德(Scientex Bhd)后,获MCT提出倒置收购。

Ayala Land在2015年4月份收购了MCT的9.17%股权后,崛起为大股东。同年10月,该公司把持股权进一步增至目前的32.95%。

截至2017年9月30日止首季,MCT的净利按年下跌了34.3%至1055万令吉,上财年同期为1606万令吉;营业额则从上财年同期的1亿5527万令吉,按年滑落39.4%至9404万令吉,主要是大多数项目已接近竣工阶段及无推出新项目所致。

产业发展业务占2018财年首季总营业额的87%。

顾问:比合理价低36%
MCT股东应拒阿雅拉收购

(吉隆坡5日讯)独立顾问认为,菲律宾上市公司阿雅拉置地(Ayala Land)以每股88仙,强制全购MCT公司(MCT,5182,主板产业股)属“不公平”且“不合理”。

MCT公司向交易所报备,独立顾问肯纳格投行研究建议股东拒绝上述献购。

根据独立顾问估算,MCT公司股票的合理价值理应是每股1.38令吉。

由于每股88仙的献购价比合理价低,且是50仙,或36.23%的折价,因此该行认为献购并不公平。

此外,与过去股价表现相比,每股88仙的献购价虽然是5日均价的0.22%溢价,却是以往12个月和24个月VWAMP的1.1%和8.33%折价,因此独立顾问认为不合理。

MCT公司非利益董事在几经考量后,也认同独立顾问的看法,即建议股东拒绝有关献购。【e南洋】

最大股东Ayala置地增持.MCT瞄准东盟商机

MCT集团(MCT,5182,主板产业组)认为,最大股东菲律宾Ayala置地增持公司股权,将是正面的催化因素,可攫取在东盟市场的更多成长机会。

Ayala置地每股88仙购17.24%

Ayala置地近期透过Regent Wise投资公司(RWIL),以每股88仙向丹斯里吴明璋买下MCT集团的2亿3012万股或17.24%股权,交易总值达2亿零250万令吉。

之后,Ayala置地的持股从32.95%提高到50.19%,并提出全购献议。

MCT集团手上拥有大批尚未发展的地库,该公司计划和Ayala置地建立新协同效益,这将加速该公司的成长以成为大马市场的关键产业公司。

增强营运扩充业务

MCT第三季净利涨近5倍

(吉隆坡8日讯)MCT Bhd第三季净利按年飙涨近5倍,因雪兰莪赛城的Skypark和Lakefront Villa发展项目节约更多。

MCT今日向大马交易所公布,截至3月杪2018财政年第三季净利达3078万令吉,或每股2.11仙,高于去年同期的521万令吉,或每股0.39仙。

第三季营业额则从1亿3409万令吉,跌5.8%至1亿2631万令吉。

综合2018财年首9个月的表现,净利起4.5%至4762万令吉,同期为4556万令吉,主要由于单次收益抵销较低的完工和认购率,因该集团清除库存。

“年内的开销为7960万令吉,较同期低11%。”

然而,首9个月的营业额由4亿2093万令吉,跌33.6%至2亿7950万令吉,因Lakefront Villa、Residences和Casa View的库存于2017财年末季清完,而且本财年并无推介。

展望2019财年,MCT表示,尽管对实际经济成果的情绪不一,但该集团对产业发展和建筑业务的增长持乐观态度。

该集团正在策划梳邦再也、赛城和龙溪现有地库的未来阶段,同时寻求机会扩大土地储备,以期市场回升。

“房地产业务的市场仍在可负担房屋,每单位介于10万至40万令吉之间。”MCT并称,该集团提供了改进产品和更强大的营销策略。

We refer to our previous announcement dated 30 May 2018 in relation to the Proposed Disposal. Unless otherwise defined, the definitions set out in the announcement dated 30 May 2018 shall apply herein.

The Board wishes to announce that all the conditions precedent as set out in the SSA has been fulfilled on 15 June 2018.

Accordingly, the Proposed Disposal is deemed completed on 15 June 2018. Following the completion of the Proposed Disposal, ECH has ceased to be a wholly-owned subsidiary of MCTCB.
