Geo Energy Resources, an Indonesian coal mining specialist, has launched its initial public offering of 289.3 million invitation shares, comprising 258.3 million new shares and 30.9 million vendor shares, at the issue price of $0.325 per share.

The 289.3 million invitation shares comprising 3 million offer shares at $0.325 each by way of public offer and 286.3 million placement shares at $0.325 each by way of placement, payable in full on application.

The invitation will close at 12 noon on Wednesday, Oct 17 and the counter is scheduled to start trading on the SGX Mainboard on Friday, Oct 19. Canaccord Genuity Singapore is the issue manager for the IPO.

印尼采煤企业Geo Energy Group将于本周五在新交所主板挂牌上市。公司以每股0.325元发售2亿8,930万股，其中300万股是供公众认购，余下的2亿8,630万股是配售股。公司的首次公开售股(IPO)顾问Ellis Botsworth Advisory的董事经理Robert Lim表示：“到目前为止，机构投资者的认购活动总体而言是健康的。”公司于2008年开业，是为第三方营运煤矿。但在印尼政府于2009年底实施新的采矿法令后，公司便自家收购采矿权，并开始提供矿场合约代工服务，如矿地表层清理及煤矿托运。公司于今年2月赢得首份合约，到目前为止已在自家的矿地生产了44万5,000吨的煤矿，并估计今年全年及明年的产量分别约为70万吨及230万吨。

启示：公司料将从IPO中筹得约7,780万元净收益，并将把资金主要用于营运资金、拓展计划及在矿地5公里外建筑一个码头和驳船上货设施。

Players may be getting a little over-exuberant on debutante Geo Energy, which is up 37% at $0.445 vs its $0.325 IPO price in strong volume with nearly 225 million shares changing hands.

The Indonesian coal-mining play appears to be trading around 31x FY11 EPS, based on the post-offer FY11 EPS of 1.24 US cents, or around 1.51 cents, from its prospectus; larger Indonesian-listed peers generally trade at less than 20x FY11 P/E.

Indonesian coal players’ outlook is “relatively subdued if we look at the coal prices. They appear to still be under pressure because of the abundance of supply. At least we’re seeing some production curtailments among the smaller miners in Indonesia and China,” an analyst says. “Given that the small guys are starting to cut production, it has already eaten into their profitability and they (likely) aren’t making any profits,” the analyst adds, noting the larger players are still above break-even with the Indonesian-listed stocks generally trading sideways.

Geo offered 258.3 million new shares and 30.9 million vendor shares; most of the around $87.5 million estimated net proceeds are earmarked to buy additional mining equipment and to construct jetty and barge-loading facilities.

Geo Energy Resources, the Indonesian coal mining specialist, says it has appointed Jim Rogers as non-executive director.

Singapore-based Rogers, who recently turned 70, is an author of five books, a globally renowned financial commentator and a successful international investor.

Rogers is also currently the Chairman of Rogers Holdings and Beeland Interests, Inc.

In recent years, Rogers has on a few occasions emphasised on the growing power of agricultural and mining companies.

In November 2010, Rogers, speaking at his alma mater, Oxford University’s Balliol College, urged students to scrap career plans for Wall Street or London’s financial district, and to study agriculture and mining instead.

In February 2011, Rogers started the Rogers Global Resources Equity Index, focusing on the top companies in agriculture, mining, metals and energy sectors as well as those in the alternative energy space including solar, wind and hydro.

While Geo Energy Resources offers 2012-14 EPS CAGR of 24% on rising coal production, downside risks to growth persist, OSK-DMG says. It notes the stock rallied more than 50% after the announcement Jim Rogers was joining the board.

“While we believe Mr. Rogers’ strong track record in commodity investing improves GER board’s credibility, we note that he has not invested in the company and there has been no change in the fundamentals.”

It says downside risks include the single coal-mine asset with low reserves/resources, its low calorific value coal, entailing export-prohibition risks and exposure to price volatility due to a lack of contracted sales.

“The 9M12 results also seem to suggest the potential risk to mining-segment earnings from higher-than-estimated strip ratios.”

It cuts its 2012 earnings forecast by 15% after a weaker-than-expected 9M12, but raises its 2013-14 forecasts by 3.8%-5% on a newly announced coal-trading contract. It expects 2013-14 EPS growth of 26%-65% on rising coal production and improving realised prices. It keeps a Sell call with $0.34 target. The stock is up 7.0% at $0.535.

Geo Energy subsidiaries sign related mining deals

Geo Energy Resources said two of its subsidiaries have inked mining-related contracts with PT Parisma Jaya Abadi (PJA).

In the first contract, Geo Energy’s subsidiary, PT Mitra Nasional Pratama (MNP) had entered into a mining services contract with PJA.

PJA holds mining business permits for an area of 5,000 hectares located in the Kedung Murung and Lebak Mantan Villages, Kota Bangun and Muara Wis District, Kutai Kartanegara Regency, East Kalimantan Province.

Under the contract, MNP will be appointed to provide mining services, comprising mainly overburden removal, in a specified area of 150 hectares within the concession area. MNP will receive a service fee of US$2.50 (excluding value added tax) per bank cubic metre for overburden removal. Additional fees shall be chargeable by MNP for services beyond the specified scope of work.

Meanwhile, the company’s other subsidiary, Geo Coal International (GCI), entered into a coal mining cooperation agreement with PJA to produce coal in the Work Block. PJA has agreed to sell and deliver the coal produced from the Work Block, exclusively to GCI.

PJA has undertaken exploratory activities and guaranteed that the coal contained in the Work Block is 420,000 metric tonnes of coal with calorific value in excess of 6,800kcal/kg (GAR).
