AMANAHRAYA REAL ESTATE INVESTMENT TRUST ("ARREIT")
- Revision of Trustee Fee
INTRODUCTION
The Board of Directors ("the Board") of AmanahRaya-REIT Managers Sdn Bhd, the management company of ARREIT wishes to announce that the Trustee Fee of ARREIT has been revised from the existing 0.05% to 0.055% per annum of the Net Asset Value of ARREIT with effect from 1 July 2013.

RATIONALE OF REVISION
The Board are of the opinion that the increase from 0.05% to 0.055% for the Trustee Fee is reasonable based on the following reasons :-

i.              it is within the permissible range of up to a maximum of 0.1% per annum of the Net Asset Value of ARREIT as stipulated in the Trust Deed of ARREIT dated 10 October 2006 (as varied by Supplemental Trust Deed dated 4 January 2007 and the Second Supplement Trust Deed dated 27 August 2009).

ii.             ARREIT's Net Asset Value has increased from RM558.568 million in 2010 to RM606.783 million in 2012.

iii.     There is no increase in the Trustee Fee's rate since 2010.

FINANCIAL EFFECTS
The revision of Trustee Fee’s will not have any effect on the units in circulation of ARREIT and the substantial unitholders unit holdings in ARREIT.

The revision will not have any material effect on the net asset value, earnings per unit and distributable income of ARREIT for the financial year ending 31 December 2013.

APPROVAL
The revision is not subject to the approval of the Unitholders pursuant to the provision of the Clause 20.1(a) of the Trust Deed dated 10 October 2006 (as varied by Supplemental Trust Deed dated 4 January 2007 and the Second Supplemental Trust Deed dated 27 August 2009) where the revised Trustee Fee of 0.055% per annum of the Net Asset Value of the ARREIT is less than the approved annual trusteeship fee of 0.1% per annum of the Net Asset Value of the ARREIT.

This announcement is dated 28 June 2013.

The Board of Directors (“Board”) of AmanahRaya-REIT Managers Sdn Bhd, the management company of ARREIT wishes to announce that further to the termination letter dated 2 September 2013 through Solicitors (“Solicitors’ Letter”) on the termination of the lease of all that piece of land held under Lot 62048, Geran 285748, Pekan Baru Hicom, Daerah Petaling, Negeri Selangor (formerly held under HS(D) 232293, PT 93, Pekan Baru Hicom, Daerah Petaling, Negeri Selangor) including an industrial warehouse complex erected thereon (“Demised Premises”) unless Silver Bird agrees to the renewal of the lease for a period of 6 months from 16 August 2013 upon the terms stated therein, Silver Bird had on 11 September 2013, replied to the Solicitors’ Letter subject to the terms stated therein.

The Board will make such further announcements as may be required, in due course.

We refer to the announcements dated 22 April 2013, 23 April 2013, 24 April 2013 and 22 May 2013 in relation to the Proposed Acquisition.

The Board of Directors of the Manager wishes to announce that the period for the fulfillment of the Conditions Precedent set out in the SPA has lapsed today, 21 October 2013.

In light of the fact that the conditional approval granted by Penang Development Corporation contains conditions which would in the view of the Manager materially and adversely affect the interest of unit holders of ARREIT, after due deliberation, the Manager has decided to reject the conditions imposed by the Penang Development Corporation.  As a consequence thereof, the Conditions Precedent under the SPA cannot be met within the Approval Period. The Trustee for ARREIT, has, on 21 October 2013, issued a letter to the Vendor to notify the Vendor of its intention to terminate the SPA and accordingly, the SPA, the SSPA, the Lease Agreement and the Supplemental Lease Agreement will be terminated with effect from 22 October 2013.

Upon the termination of the SPA, the Vendor shall refund the Deposit and all other monies paid by the Trustee together with any interest earned thereon within seven (7) Business Days from the date of termination and thereafter, the SPA, the SSPA, the Lease Agreement and the Supplemental Lease Agreement shall be null and void and be of no further effect and neither party shall have any further claim against the other in respect of or under the aforementioned agreements or otherwise.

This announcement is dated 21 October 2013.

We refer to the announcement dated 3 May 2013 in relation to the Proposed Disposal.

ARRM, the management company of ARREIT wishes to announce that the Conditions Precedent as stated in the SPA have been fulfilled.

The Manager also wishes to announce that the Balance Disposal Consideration was paid to the Vendor's Solicitors on 5 December 2013 ("Completion Date").

Upon receipt of the Balance Disposal Consideration by the Vendor's Solicitors, the Lease Agreement and the Second Supplemental Lease Agreement will be terminated with effect from the Completion Date. The security deposits placed into the ITA by the Vendor pursuant to the Lease and the Existing Sub-Lease together with any interest earned thereon as at the Completion Date less any deductions by the Vendor for any arrears of the rental, utilities, quit rent and assessments of the Property will be refunded to the Purchaser no later than 14 days after the presentation of the Memorandum of Transfer at the land office.

In light of the fact that the presentation of the Memorandum of Transfer at the land office was made on 16 December 2013, the Manager wishes to further announce that the Disposal has been duly completed on 30 December 2013.

(吉隆坡22日讯)公共产业信托(ARREIT,5127,主板产业信托股)放眼价值5000萬至3.5亿令吉的收购计划,以在未来3年进一步扩展产业组合。

公共产托信托旗下资产,目前价值10.1亿令吉,计划3年内增加至15亿令吉。

公共产业信托管理人(AmanahRaya-REIT Managers)正评估多项潜在收购行动,並专注3个领域———零售、办公楼和工业。

公共产业信托管理人表明,将通过策略伙伴和策略多元化,继续重组和增加产业组合。

该信托管理点出,收购足以提昇产托产期回酬的合適产业,是一大挑战。

公共产业信托去年8月宣佈,以3000萬令吉,在莎阿南收购一栋办公楼。双方目前仍在讨论相关收购条件。

信托旗下有15个产业,包括2栋办公楼、2栋酒店、2所高等学府、5栋工业大楼,及1栋零售商场。

这些产业产业分别坐落在吉打浮罗交怡和巴生谷的梳邦再也、白沙罗高原、八打灵再也、莎阿南和吉隆坡。

信托管理表示,一旦特定领域出状况,公共产业信托的产业类别和地点多元,可缓冲对投资者的冲击。【南洋网财经】

阿瑪納產託3000萬購莎阿南大樓

(吉隆坡23日訊)阿瑪納產託(ARREIT,5127,主要板產托)以3000萬令吉收購位于莎阿南的Wisma Comcorp。

該公司今日向馬證交所報備指出,管理公司Amanahraya產託管理的信託人聯昌伊斯蘭與Comintel私人有限公司簽署買賣合約(SPA)。

報備文件指出,Wisma Comcorp位于雪州莎阿南,共有5層樓高,面積達5118方尺。

不過該公司已透過律師,在去年8月30日已支付60萬令吉定金給Comintel私人有限公司。

該公司主要股東和董事並無直接或間接從中獲得任何利益。【中国报财经】
