由公积金局、森那美和实达产业联合组成的财团,以4亿英镑标得伦敦巴特西(Battersea)地段的发展权,轰动马英,成为产业界之美谈。

实际上,最先进军伦敦产业界的,不是公、森、实财团,而是另一家上市公司———阿马产业有限公司(ACcorp Properties Bhd.简称AMProp,产业组)。该公司早在三年前,当伦敦产业大跌时就采取了反向投资策略,积极投资于伦敦产业,成为大马上市公司进军英国产业的先锋。

当别的产业公司对伦敦产业市场跃跃欲试时,阿马已取得丰厚的成果。

该公司投资伦敦,双管齐下,一方面乘低收购优质产业,收取租金;一方面与当地发展商联营,发展产业出售。

尽管在投资规模方面阿马产业无法与巴特西计划相比,但在投资眼光和策略方面,阿马产业似更胜一筹,是伦敦产业市场的先知先觉者。

阿马产业前身为阿马发展(AMDB Bhd),是一家连年亏蚀,债务缠身的公司。于2009年8月5日完成财务重组,脱售非核心业务(旅游、餐饮及广告业)之后,集中发展三大业务:1产业;2工程及基建;3再生能源。并于2010年9月易名为阿马产业(AMCorp Properties Bhd.)。

公司业绩长足进展
经过一连串的脱售资产、采取新的投资策略后,目前的阿马产业已不是昔日的吴下阿蒙。投资者如果还是以过去的AMDB来看待该公司的股票的话,势将失之交臂。

从该公司过去五年的业绩,可以明显的看出该公司的已取得长足的进展。

每股净赚6.1仙
阿马产业到去年9月31日的上半年,已取得3498令吉的净利,每股净赚6.1仙。

该公司去年10月24日以4627万令吉脱售芙蓉的一段156英亩土地,净赚2723万令吉,加上上半年的净利,到目前为止已赚了6221万令吉,或是每股10.86仙。

如果到今年3月的下半年能重复上半年的营业盈利的话,则全年每股净利约为17仙,跟去年不相上下。

该公司到去年9月31日时,手头握有2亿令吉现金,假如下半年能保持上半年3498万令吉的净利,加上脱售芙蓉地皮所得4627万令吉,则到2013年3月财务年结束时,手头现金将增至2亿8125万令吉。

该公司在去年9月31日第二季结账时的负债额为1亿2813万令吉,其中长期负债为8670万令吉,短期负债只占3368万令吉。

手头净现金额1.5亿
从2亿8125万令吉中扣除1亿2813万令吉的长短债务后,届时,手头净现金额将高达1亿5312万令吉,或是每股有现金26.7仙。

由于长期负债无须在一年中摊还,一年内只需摊还3368万令吉的短债,周转金可谓绰绰有余。

该公司目前的财政基础可谓非常稳固,跟过去AMDB债台高筑的窘况相比,简直有天渊之别。

公司回购股票
阿马产业的实收资本为2亿8773万令吉,分为每股50仙的股票5亿7308万股。

每股净有形资产价值为1令吉19仙(在2012年9月31日时)。

该股上周五的闭市价为53仙,以去年每股净利18仙计算,本益比只有三倍。

以去年派发的6仙毛股息计算,毛周息率高达11.3%。

难怪该公司持续不断的从股市回购其股票。

阿马产业稳固财务3大基础
1.投资伦敦产业成功,该公司于2010年以2亿6000多万令吉买进伦敦市中心一座商业大厦的60%股权,于2011年脱手,净赚6600万令吉。
2.脱售资产,其中最显著的是以1亿2200万令吉脱售雪邦的1300英亩油棕园,去年10月又以4627万令吉脱售芙蓉的156英亩土地。
3.产业发展小型水力发电厂及其他业务均取得可观盈利。

进行中业务
1.莎阿南的188英亩产业发展计划,叫Kayangan山庄。
2.在砂拉越诗巫的诗巫查也有发展计划,占地750英亩。
*以上两项计划可在5至10年间为该公司带来16亿令吉的营业额。
3.在伦敦与当地发展商联营兴建216间公寓,目前在发售中。
4.在彭亨的小型水力发电厂带来稳定收入。

AM 产业净利跌20%

(吉隆坡6日讯)AM产业(AMPROP,1007,主板产业股)截至2012年12月31日财年第3季,净利按年滑20.4%至1535万9000令吉,上财年同期为1929万9000令吉。

第3季营业额按年微跌2.7%,报2736万2000令吉,上财年同期为2812万4000令吉;每股盈利从上财年同期的3.37仙,减少至2.68仙。

累计3季,AM产业净利跌44.8%至5033万7000令吉,上财年同期为9121万9000令吉;营业额则跌6.6%,报8697万令吉,上财年同期为9315万4000令吉;每股盈利从上财年同期的15.92仙,减少至8.78仙。

展望未来,董事部表示,集团将继续专注房地产、工程和基建领域。集团预期旗下位于英国伦敦的房地产将获得良好认购率,加上小型水电发电业务,将带动接下来的业绩。[南洋商报财经]

Walleng Enterprises Sdn Bhd (“Walleng”), a wholly-owned subsidiary of AMPROP, had on 7 February 2013 subscribed for 60 ordinary shares of £1.00 each in Merchant Alpha Limited (“MAL”), representing 60% of the issued and paid-up share capital of MAL, at par for cash (“Subscription”).

As a result of the Subscription, MAL became a 60% indirectly owned subsidiary of AMPROP. MAL has two wholly-owned subsidiaries namely, Merchant Beta Limited and Merchant Omega Limited.

Pursuant to the Subscription, Walleng has committed to provide shareholder’s advances to MAL of up to £30.0 million (equivalent to approximately RM145.5 million, based on exchange rate of £1:RM4.85).

AM 产业与国能签购电合约

(吉隆坡3日讯)AM产业(AMPROP,1007,主板产业股)2家子公司分别与国家能源(Tenaga,5347,主板贸服股)签署再生能源购电合约(REPPA),以供应太阳能光电(PV)。

这两家子公司分别为Gubahan Ceria有限公司以及Cemara Angsana有限公司,前者供应4.5兆瓦再生能源;后者则供应4.5兆瓦和1.25兆瓦再生能源。

上述再生能源太阳能厂房落在森美兰金马士(Gemas),并预计在2013年第三季开始商业营运。

国家能源同意购买这两家公司以太阳能光电生产的电力,为期21年,再生能源购电合约价值预计为每年1100万令吉。[南洋网财经]

AMPROP wishes to announce that two (2) of its wholly-owned subsidiaries, namely Gubahan Ceria Sdn Bhd and Cemara Angsana Sdn Bhd had respectively signed the REPPA with TNB on 31 May 2013 for the supply and delivery of the following renewable energy from solar photovoltaic (“PV”) for a feed-in tariff concession period of 21 years:

(a) 4.5MW renewable energy by Gubahan Ceria Sdn Bhd; and
(b) 4.5MW and 1.25MW renewable energy by Cemara Angsana Sdn Bhd.

The renewable energy solar plants will be located at Gemas, Negeri Sembilan and is planned for commercial operation by the third quarter of 2013. TNB has agreed to purchase the electricity generated from the solar PV from Cemara Angsana Sdn Bhd and Gubahan Ceria Sdn Bhd for a period of 21 years and the estimated value of the REPPA is approximately RM11 million per year.

The signing of the REPPA will not have any effect on the issued and paid-up share capital and substantial shareholders' shareholdings of AMPROP and will not have any material effect on the earnings and net assets of AMPROP Group for the financial year ending 31 March 2014. However, the REPPA is expected to contribute positively to the future earnings of AMPROP Group.  

None of the Directors and/or major shareholders of AMPROP and/or persons connected to them have any interest, direct or indirect, on the said matter.

AM 产业净利挫46%

(吉隆坡5日讯)AM产业(AMPROP,1007,主板产业股)首季净利按年暴跌45.88%,从上财年2075万3000令吉,锐减至现财年的1123万1000令吉。

相比于上财年2955万3000令吉,AM产业营业额按年上扬10.09%,现财年达到3253万5000令吉。

AM产业的产业业务首季营业额报1500万令吉,工业与基建业务则贡献1750万令吉营收。

公司旗下产业业务的发展计划大部分坐落在莎阿南和诗巫,而租金收入是来自英国和大马的产业投资项目。

尽管首季盈利下降,公司预期截至2014年3月杪的财年仍可继续获利。[南洋网财经]

我认为(AMCorp 1007)中文名应该叫阿马产业,这样比较容易和【DAIMAN 5355 大马发展】区分。。。。谢谢~

联营发展28.3亿公寓 AM 产业进军伦敦房产

(吉隆坡15日讯)英国伦敦房市看俏,大马发展商相继前往抢滩,AM产业(AMPROP,1007,主板产业股)今日宣布通过联营计划进军伦敦,参与发展总值达28亿3000万令吉的公寓发展计划。

该公司今日向大马交易所报备,基于该公司过去在英国产业投资回酬亮眼,现趁胜追击,参与伦敦Campden Hill路Holland Park School高档公寓发展计划,首次参与伦敦产业发展。

其联营伙伴,包括英国著名的发展商Native Land和Grosvenor,及HotelProperties有限公司。

根据文告,该发展计划土地面积达2英亩,于2012年3月取得发展准证,可建立72个公寓单位,其中包括78个停车位,总楼面面积达17万5000平方尺。

该公司指出,它是通过独资子公司———Campden Global有限公司(简称CGL),于昨日与Clan Campden发展及GCH投资签署了联营合约,成立NLGCampden(简称NLG),分别持股33.3%;初步投资,3者需分别注入1957万令吉的资金。

NLG将以2亿3060万令吉的价格,向Clan Kensington收购Holland Park School项目50%股权。

联营公司成员所需注入的资金最高达1亿6403万令吉。

地点佳料热卖

AM产业董事部对于该项产业发展计划有信心,因为该项计划位于伦敦关键地带,料取得很好的反应。

该公司指出,投资资金将通过公司内部融资,及现有的公司贷款拨出。

无论如何,不会对该公司造成负债。

AM产业说,虽然这项计划预计无法对其截至2014年3月31日止的财年内带来净利贡献,但料对该公司未来收益和增长有正面贡献。

大馬機構產業海外尋收購良機

(吉隆坡12日訊)大馬機構產業(AMPROP,1007,主板產業組)將持續在大馬、倫敦及其他國家發展及投資產業,同時計劃在未來幾年增加再生能源發電產能,開創穩定的經常性收入。

在核心業務前景展望樂觀,該公司有信心在產業及再生能源業務雙面貢獻之下維持獲利。

大馬機構產業董事經理李建邦在股東大會後表示,該公司業務除了投資及發展海內外產業,亦提供工程基礎設施,如再生能源發電及高速公路,同時持有部份酒店業務。

該公司在大馬擁有900英畝地庫,其中680英畝位於砂拉越詩巫,160英畝在沙亞南,另外67英畝則鄰近柔佛邊加蘭地區。

他說:“所有國內產業項目都由公司獨自發展,除了詩巫再也大型城鎮計劃是與砂拉越房屋發展局聯營發展,預計未來10年詩巫再也的發展總值約10億令吉。”

目前該公司已在詩巫發展了10年產業計劃,雙方聯營持股權分別為大馬機構產業60%,砂拉越房屋發展局40%。

至於海外產業,他表示除了倫敦,不排除會在其他國家尋求收購機會,並傾向與熟悉當地市場運作的頂尖業者展開聯營夥伴關係,加速獲利期限及減低不必要的海外運作開銷。

再生能源方面,該公司已投資9千萬令吉於太陽能發電計劃,於森州的金馬士(Gemas)興建10.25兆瓦太陽能發電廠,料可於今年投入運作。

水力發電方面,李建邦預計未來幾年將增加22兆瓦的發電量,包括在現有的彭亨Perting河水力發電廠增加2兆瓦產能及在雲頂附近的Liang河興建20兆瓦產能的水力發電廠。

李建邦透露,水力發電新產能開銷還在評估中,所有公司生產電源將售予國家能源(TENAGA,5347,主板貿服組),特許經營權為期21年。(星洲日報/財經)

金务大8.7亿购莎阿南大道

(吉隆坡4日讯)金务大(GAMUDA,5398,主板建筑股)建议以总数8亿7500万令吉,全面收购莎阿南大道控股(KESAS)有限公司。        

拥有莎阿南大道控30%股权的金务大,今日向其余3名大股东提出收购莎阿南大道控股70%股权的献议,这3名股东包括,持有莎阿南大道控股30%股权的雪州发展局、持股20%的国民投资机构(PNB)和持有其余20%股权的大马置业(AMPROP,1007,主板產业股)。

金务大今日已经向这3名股东发出献议通知,该公司建议以3亿7500万令吉收购雪州发展局持有莎阿南大道控股的30%股权,包括150万普通股和1亿3977万4452股优先股。

与此同时,金务大也献议以2亿5000万令吉,购大马置业持有的莎阿南大道控股的20%股权,包括100万普通股和9318万2968股;以及同样以2亿5000万令吉,买下国民投资机构持有莎阿南大道控股的20%股权。[东方日报财经]

We wish to announce that the Board of Directors of AMPROP today received a letter of offer (“LO”) from Gamuda Berhad, who currently holds 30% equity interest in Kesas Holdings Berhad (“KESAS”), which sets out an offer to acquire AMPROP’s 20% equity interest in KESAS for cash consideration of RM250 million.

Further details of the offer are set out in the LO as attached.

The Board will deliberate on the terms of the offer and decide on the next course of action. An announcement will be made to Bursa Malaysia Securities Berhad once the Board has made a decision on the offer.

This announcement is dated 4 November 2013.

莎大道控股20%股权 大马产业要求更高价

(吉隆坡15日讯)由土著银行家丹斯里阿兹曼哈欣掌控的大马产业发展(AMProp,1007,产业组)冀望与金务大(Gamuda,5398,建筑组)就以2亿5千万令吉的现金收购前者在莎亚南大道控股(Kesas Holdings)有限公司的20%股权一事进行进一步的洽商。

大马产业发展向交易所报备的文告中表示,该公司将与金务大就上述于本月4日提出的献议条款进行洽商。这项文告被视为对献购价格不满意,并冀望要求更高价格。尽管如此,阿兹曼持股72.41%的大马产业发展在截稿时间并未对此作出任何回应。

另一边厢,金务大也在同一时间内与雪兰莪州发展机构(Selangor State Development Corp)以及国民投资(Permodalan Nasional Bhd,PNB)有限公司提出献议,以收购后两者分别在莎亚南大道控股的30%和20%股权。

身为最大市际高速公路特许经营者的金务大,持有掌控和经营34.5公里长的莎亚南大道的莎亚南大道控股30%股权。

该公司向上述3家公司提出总值达8亿7千500万令吉的收购献议,而这项献议开放至下周一,除非前者同意延长其献购期。这项献议同时也必须获得其他相关单位,如政府的同意后方能落实。

AM产业(AMPROP,1007,主板产业股)向马交所报备,收到金务大的信函表示,该献购期限从原先的11月18日,延长一个月至今年12月18日。

金务大本月初以总额8亿7500万令吉,向AM产业、雪州发展局(PKNS)及国民投资机构(PNB)三方,献购莎阿南大道控股有限公司(Kesas Holdings Bhd)的其余70%股权。
