大马产业有限公司(AMPROP,1007,产业组)自2008年8月展开的的业务重组活动,已经为集团带来成果。它现拥有稳健财务基础,并将专注成长其产业投资、工程和再生能源业务。

大马产业已经对其业务进行中大规模整顿,落实资本重组、向大股东大马集团收购产业发展和其他业务、以及脱售非核心业务。

上述转型的结果包括一个更健康资产负债表、持续收入来源业务、以及更高盈利水平。

大马产业转型最引起注目的是,其于伦敦主要商业产业的投资。这项行动是自2009年9月透过其60%子公司Westlink环球投资有限公司进行,当时以5050万英镑收购了帕丁顿区2座办公楼。

大马产业在Westlink环球的投资,是以高达1350万英镑股东透支方式落实,其中1215万英镑现已利用。

随着大马产业以2740万英镑(1亿3436万令吉)脱售Westlink环球予Britel基金,在少于2年内从其投资成本获利7480万令吉或125%,这已印证了大马产业的成功。

“于2008年环球金融危机后,投资在伦敦产业市场是合适的选择,因当地价格已经随着流动资金干涸而触底。从而大马产业可以吸引的价格争取一些优质的产业。”

在2010年10月,大马产业斥资1625万英镑(7960万令吉)现金,买下贝克街一项商业产业。同年12月,它再购入肯辛顿一项住宅产业,交易价为730万英镑(3600万令吉)。

在去年5月,大马产业以933万英镑(4608万令吉)卖出上述肯辛顿产业,扣除银行借贷和相关脱售开销后,获利约660万令吉。

“当大马产业着手重组活动时,它觉得扩充其马来西亚产业发展与投资业务已经太迟。这是因为本地产业和土地价格已经飙涨。”

一名接近该集团的执行员透露:“但在伦敦,价格因为欧洲经济危机而触底,而英镑也处于多年的低点。这个状况给予大马产业机会,以吸引的价格收购产业。”

在今年8月,大马产业宣布,它联伙新加坡上市的旅店置业,在伦敦市中心2英亩地段,发展72间公寓,发展值超过5亿6000万英镑。

该集团在致给大马交易所的文件中称,这项联营给予大马产业一个珍贵的机会,建立其于伦敦产业投资的成功,并加强其于当地据点。

在马来西亚,大马产业决定合理化其产业投资与发展部门,在2008年出售英达岛地段,套现1亿3000万令吉,及于2011年再以1亿2200万令吉卖出另一幅雪邦地段。

由脱售所筹得的资金,协助大马产业降低其2008至2011财政年短期借贷。从2008财政年的1亿3680万令吉高峰,它已在2012财政年降至1470万令吉,及2013财政年回升至3480万令吉。

在脱售英达岛和雪邦地段后,该集团向大股东购入莎阿南188英亩地产,将发展称为Kayangan Heights的高档住宅发展,以及于2009年买了诗巫的737英亩地段。

上述收购主要将透过发行大马产业股票予大马集团以作支付,从而让大马产业以最低成本获得上述莎阿南与诗巫产业。它们将维持大马产业未来5至10年的忙碌,及协助维持其流动现金、降低债务与提升盈利水平。

在过去5年重组其业务后,大马产业已在截至2013年3月3月31日止财政年录得9680万令吉净盈利,比较2009财政年时的1770万令吉大跃进。

经过5年的成长后,市场观察家认为,投资者仍有望参与该公司未来成长的机会。

这是因为该股现有股价86仙,比其截至9月30日止每股净资产值1.35令吉折价了38.5%。

该公司的现金储备达7590万令吉。若它决定接受金务大有限公司(GAMUDA,5398,建筑组)以2亿5000万令吉收购所持高速大道经营商Kesas控股有限公司20%的献议,将会带来进一步的动力。

“大马产业将须拟定上述2亿5000万令吉资金的用途。该集团可能会以特别股息的形式分发特别息予股东们,或利用它们降低借贷。”

一旦成功脱售,它将是大马产业股东们的好消息。其于伦敦产业市场的投资策略,也将带来良好资本升值和回酬,并预料可继续推动其未来收益。

2.8亿购莎大道20% 金务大AM产业完成协议

(吉隆坡16日讯)金务大(GAMUDA,5398,主板建筑股)与AM产业(AMPROP,1007,主板产业股)正式达成收购莎阿南大道控股有限公司(Kesas Holdings Bhd)的股票买卖协议。

金务大以2.8亿令吉,向AM产业收购莎阿南大道的20%股权,或相等于100万普通股和9318万2968股优先股。

此外,金务大将与国民投资机构(PNB)签署股票买卖协议,收购后者手上的20%股权。

PNB早前要求延后执行协议,金务大今天也表明同意延长执行协议至2月7日。

去年11月,金务大向其他三名大股东献购莎阿南大道的其余70%股权,只有持30%股权的雪州发展局(PKNS)没接受献购。[南洋网财经]

大马产业营业额上升逾倍

二零一四年三月十四日 晚上十一时十五分
(吉隆坡14日讯)大马产业有限公司(AMPROP,1007,产业组)公布,在截至2014年3月31日止第3财季,所取得的税前利润按年从1356万令吉暴跌至366万令吉。

但是,营业额由前期的2736万令吉上升逾倍至5970万令吉,主要是拜产业部门贡献2550万令吉,以及工程和基建部门贡献3420万令吉所赐。

展望未来,董事局预期伦敦和马来西亚的项目销售,将会积极地为集团盈利作出贡献。

如果Kesas的销售能在现财政年度结束前完成,这将有助进一步贡献集团1亿3100万令吉的销售额。

除非出现不可预测的情况,否则董事局乐观地认为,在截至2014年3月31日止财政年,集团的业务将是有利可图的。【光华日报财经】

脱售Kesas控股20% 大马产业获利1.5亿

(吉隆坡26日讯)大马产业有限公司(AMPROP,1007,产业组)将从建议脱售Kesas控股私人有限公司20%股权交易中,获得1亿4910万令吉赚益。

上述交易的买方是金务大有限公司(GAMUDA,5398,建筑组),成交代价2亿8000万令吉现金。

在致给大马交易所的文件中,大马产业表示,脱售行动是一个机会,让它以合理价格套现其于Kesas控股的投资。

它说:“建议中脱售也符合集团放弃非核心资产的目标。最终在这项交易下,大马产业可转移更多资源于其核心业务,尤其是产业部门和再生能源计划。”

大马产业在1993年10月拨出原本投资成本为9418万令吉。

它透露,在截至2013年3月31日止财政年,Kesas控股是该集团净盈利的主要财务贡献者,达到3270万令吉或33.9%。

在截至2013年12月31日止第3财季,大马产业录得净盈利2248万令吉,及收益5961万令吉。累积而言,大马产业的9个月净盈利为3649万令吉,及收益1亿1613万令吉。

文件披露,其中1亿460万令吉所获得的资金,将注入资本投资用途,8000万令吉用作未来资本投资,及余额偿还银行借贷、营运资本和脱售相关开销。

股东批准脱售莎大道20% AM 产业进账2.8亿不派息

(八打灵再也12日讯)AM产业(AMPROP,1007,主板产业股)股东批准以2亿8000万令吉,脱售莎阿南大道控股有限公司(Kesas Holdings Bhd)20%股权予金务大(GAMUDA,5398,主板建筑股)。

尽管如此AM产业将因而有2亿8000万令吉入袋,但似乎没有意思要派发特别股息。

AM产业总财长叶俊盛今天出席股东特别大会后向记者表示,股东在特大上举手通过议程,但则拒绝透露赞成票与反对票的比率。

他预计,该交易最迟下个月完成,因此,不排除可能会影响截至本月杪财年的表现。

询及会否派发特别股息时,叶俊盛仅简短地回应:“有股东在特大上询问……但我们将会按照原定计划进行。”他拒绝回应管理层给股东的答复。

根据AM产业的特大议程,该公司可从上述交易获得2亿8000万令吉,这笔资金将会用来偿还银行贷款(7500万令吉)、已承诺的资本投资(1亿460万令吉)、未来资本投资(8000万令吉)、营运资本(2020万令吉)及支付该交易的相关开支(20万令吉)。

已承诺的资本投资,包括英国伦敦的产业发展项目(8910万令吉),以及彭亨州的再生能源发展项目(1550万令吉)。

这意味着股东将不会从上述交易,获得股息派发。

已持莎阿南大道控股三成股权的金务大,于去年11月初建议以8亿7500万令吉,向三方献购莎阿南大道控股70%股权,包括雪州发展局(PKNS)、国民投资机构(PNB)及AM产业。

之后,金务大把献购价总额调升至9亿8000万令吉,并获AM产业与国民投资机构同意转售股权,目前仅剩持30%股权的雪州发展局没有接受献购。【南洋网财经】

(吉隆坡17日讯)AM产业(AMPROP,1007,主板产业股)宣布,独资间接子公司Amcorp Far East投资1亿6000万令吉(50亿9300万日元)设立联营公司,在东京发展高级产业和商业增值项目。

Amcorp Far East在今日与亚太Grosvenor、NRJ投资和True Lead投资签署共同投资协议,在香港成立联营公司Grosvenor发展。

NRJ投资与TrueLead投资隶属南丰集团子公司。

根据协议,AmcorpFar East的投资达1亿6000万令吉,亚太Grosvenor的投资为1亿6200万令吉,以及南丰集团投资9720万令吉。

AM产业将持有联营公司38.5%股权。

AM 产业2送1优先股 首季净利飙1.9倍

(吉隆坡22日讯)鉴于保留盈利及现金储备增加,AM产业(AMPROP,1007,主板产业股)建议发送为期5年的优先股。

该公司建议发送高达2亿9786万7868股,5年可赎回可转换优先股,每股面值50仙。

每持2股可获送1优先股。

文告指,若以每股50仙现金赎回优先股,则每股可获25仙红利。

此外,股东也可选择以2优先股转换为1新股。

另一方面,随着脱售莎阿南大道控股有限公司(Kesas Holdings Bhd)的股权,加上伦敦产业带来贡献,AM产业截至3月31日末季净利激增1.9倍,报1亿3481万1000令吉或每股23.31仙。

上财年同期为4645万9000令吉或8.10仙。

i)         redeem the RCPS for cash at RM0.50 each (which is exercisable from the market day immediately after the date of issue of the RCPS up to the third (3rd) month anniversary (both dates inclusive)), effectively translating to a cash distribution of RM0.25 for every one (1) existing Share held; or

ii)       convert its RCPS to Shares by tendering two (2) RCPS in exchange for one (1) new Share (at any time from the first (1st) anniversary of the issue date up to the maturity date).

The Proposed Bonus Issue of RCPS, Proposed Increase in Authorised Share Capital and Proposed M&A Amendments are inter-conditional.

比方说今天毕市价 1.12 买进 12张配6张优先股( 免费吗 ? )面值0.50再2变1转换成母股吗 ?不就是拥有15张母股 ?

2送1优先股= 如有12粒Amprop就会送6粒(Amprop-PA),价錢就要等上市才知道。。。。

大大 免钱吗 ? 这样算起来不是很划算因为 母股都 1.12 了 !!
