大馬機構產業4286萬購英Merchant Alpha餘下40%

(吉隆坡15日訊)大馬機構產業(AMPROP,1007,主板產業組)以4千286萬令吉收購英國產業集團Merchant Alpha公司餘下40%股權。

大馬機構產業發表文告說,獨資子公司Walleng企業已與Penrith Overseas公司簽約,即日以784萬9千560英鎊(約4千286萬令吉)完成收購。

Merchant Alpha公司是投資控股公司,透過兩家子公司Merchant Beta公司和Merchant Omega公司經營英國總共60間公寓和公用地區的租賃業務。(星洲日報/財經)

– ACQUISITION OF THE REMAINING 40% EQUITY INTEREST IN MERCHANT ALPHA LIMITED (“MAL”)
Walleng Enterprises Sdn Bhd (“Walleng”), a wholly-owned subsidiary of AMPROP, had on 14 July 2014 entered into a Share Sale Agreement with Penrith Overseas Limited (“Penrith”) to acquire the remaining 40% equity interest in MAL, representing 40 ordinary shares of £1.00 each in MAL (“Shares”), from Penrith for a total cash consideration of £7,849,560 (equivalent to approximately RM42.86 million, based on exchange rate of £1:RM5.46), wherein the consideration for the Shares is £943,000 and repayment of shareholder advances from Penrith is £6,906,560 (“Acquisition”). The Acquisition was completed on even date.

MAL, a company incorporated in Jersey, is an investment holding company and has two wholly-owned subsidiaries namely, Merchant Beta Limited and Merchant Omega Limited, which owned in total 60 apartment leases and the common parts lease located at Core B, 4 Merchant Square, Paddington London W2, United Kingdom.

The Acquisition is not expected to have any material effect on the earnings and net assets of AMPROP Group for the financial year ending 31 March 2015.

None of the Directors and/or major shareholders of AMPROP and/or persons connected to them have any interest, direct or indirect, in the aforesaid Acquisition.

This announcement is made pursuant to Chapter 9, Paragraph 9.19(23) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, whereby upon completion of the Acquisition, MAL became an indirect wholly-owned subsidiary of AMPROP.

This announcement is dated 14 July 2014.

大馬房產首季營業額增25%

(吉隆坡4日訊)大馬房產(AMPROP,1007,主要板房產)本財年截至6月底首季營業額按年成長25%至4071萬令吉,淨利漲57%至1767萬令吉。

大馬房產今日宣布最新業績時指出,公司在國內與倫敦的計劃為公司貢獻了2610萬令吉營業額,再生能源和承包業務為公司貢獻1460萬令吉合約。

“公司預計大馬和倫敦房產項目將為公司積極貢獻淨利,在無任何不可預見的情況下,董事局樂觀認為,公司在2015財年和2016財年仍能繼續獲利。”【中国报财经】

AMPROP share price has been gradually increasing since April this year from RM0.85 to current RM1.27 (5/8/2014) which is a total jump of 49% within 4 months. This bring us our attention to this stock and here are some of the good things that we found:

1. AMPROP posted a 57.3% year-on-year improvement in earnings to RM17.66mil from RM11.23mil, following a 25% rise in revenue to RM40.7mil from RM32.5mil in the second quarter ended June 30, 2014. Earning per share rose to 3.05 sen from 1.95 sen.

2. Net cash company with EPS (Quarterly) now at 3.05 sen with NTA is RM1.65 which is truly undervalued!

3. Low PE at only 4.1. Expected share to be RM1.50 with estimated PE of 7 if EPS retained. Next resistance is RM1.28. A break above 1.28 may further test RM1.35/RM1.39.

4. Proposed capital distribution of RM0.25 per share with the RCPS (Redeemable Convertible Preference Stock), at RM1.27, yield = 19.6% which is still very high and expected price will soar up to at least RM1.70-1.80 by sept-oct.

5. And the business vision, AMPROP has set a priority to grow its renewable/green energy business segment locally n overseas which would contribute handsomely in the future.

小股东大权利:研究AM产业优先股

AM产业(AMPROP)刚刚开了股东特大,通过了它的2送1优先股计划,并且将在9月24日除权。

这次的优先股是可赎回可转换类型,不过其条文建议比较特别,值得我们研究。

首先,优先股面值50仙,为期5年,是以红股的方式派发。接下来,其重点在于赎回期限。

一般上公司选择赎回的期限有两种,一是当优先股满期后才赎回,例如马航(MAS)几年前的优先股;另一个方法是在期限内以一定的比例分阶段赎回。此外,也有一些公司保留在若干时限后,可执行即刻赎回的权力。

3个月内行使赎回权力

我们看AM产业优先股的条文,里面说到股东和公司在赎回的权力有所不同。优先股股东可在得到优先股的3个月内行使赎回的权力,向公司讨回每股50仙;如果不行使权力的话,那么股东只能在1年之后直至满期,选择以两张优先股转换成1张普通股(即转换价1令吉)。

而公司可在1年后的任何时间,以50仙赎回优先股。

在5年期满以后,所有未被赎回的优先股将自动以2换1的比例转换成普通股。

由于甫推出就允许股东选择赎回的案例比较罕见,因此如果股东认为现金比较实际的话,必须要即刻行动,以免向隅。

反之,如果股东对公司的前景很有信心,那么就可以等到一年后,观察公司股价来决定转换。

在等待的时期,股东可以获得每年2仙优先股息(前提是公司获得足够的盈利)。那么,为什么公司作此安排?

售KESAS进账2.8亿 或欲保留现金发展产业

原来,AM产业刚脱售20%的KESAS高速大道,进账2.8亿令吉,预料股东必定要求一些实质的回馈。

由于公司可能要保留现金来做未来产业发展,于是管理层就想出了这个绝妙好计来让股东酌量。

那些选择即刻赎回优先股换现金的普通股股东,就好象获得公司每股派25仙股息(注:1普通股获得0.5优先股)一样。

不过,也有一些股东不想一次过拿现金这么简单,公司就给他们一个机会,让他们选择把原本该得的25仙现金再投资在公司股份上面。这样一来,如果公司未来赚更多钱,这些股东因为股权增加,将有机会分享更多股东利益。

至于为什么要股东必须在首3个月决定要否赎回?这样安排可见公司的目的。

原本这就是打算要以特别股息派出来,现在只是临时转了一个弯,并不是要扣住这个股息5年,所以,要拿股息或现金的,快快决定,不然,就当成把现金交给管理层,再投资在公司的前景了。

大馬機構產業瞄準澳新歐

(吉隆坡5日訊)繼倫敦及日本產業市場後,大馬機構產業(AMPROP,1007,主板產業組)有意再投資澳洲、新加坡及其他歐洲產業市場。

今年4月,該集團宣佈與另外兩家企業聯營,投入1億6千200萬令吉投資東京高檔住宅與商業產業;2010年開始投資倫敦住宅及商業大樓,除了脫售及出租產業獲利,也與其他業者聯營發展產業計劃。

冀專注東京中央地區

該集團董事經理李建邦在股東大會及特大後對《星洲財經》表示,還在探索東京市場,希望可專注於東京中央地區。

“計劃還在初期階段,資產及市場評估費時,我們須與聯營夥伴密切探討,尚無法預測交易完成時間,一切有待機會浮現,無論是倫敦或東京都有機會先實現交易。”

該集團副董事經理夏滿補充,另外也會在歐洲、澳洲及新加坡尋求投資機會,目前還在研究這些市場的產業趨勢及資料。

“我們接獲來自法國、西班牙及意大利市場的建議書,不過目前還未找到適合的目標,未來還是會繼續探索這些市場。”

詢及進軍海外傾向那種經營模式時,夏滿表示,需依計劃規模而定,如果是大型投資或發展計劃,則會與當地大型業者合作,以縮短獲利速度。

至於再生能源業務,夏滿說,接下來將進軍印尼,建設太陽能及水力發電廠,大馬水力發電廠則計劃再增2兆瓦發電量。

“印尼再生能源領域才剛開始,當局亦提供具競爭力電力收購制(FiT),我們還在與當局洽談及探勘適合地點,等待當局設定電力收購制。”

目前該集團再生能源發電業務介位於大馬,在森州金馬士擁有10.25兆瓦全馬最大的太陽能發電廠,彭亨玻璃口河(Sg.Perting)4兆瓦水力發電廠預計會再增加額外2兆瓦發電量。

同時該集團也和國家能源(TENAGA,5347,主板貿服組)聯營,計劃在彭亨雙溪亮(Sg Liang)興建最高20兆瓦的水力發電廠。

2送1紅股放行

今日該集團獲股東通過2比1免費派送5年期優先股紅股計劃,大股東大馬機構集團(Amcorp Group Berhad)已承諾不會把這批優先股轉換成現金。
目前大馬機構集團持有該公司61.24%股權,如果在3個月內轉換成現金,總值達1億4千萬令吉。

截至今年3月31日止,該集團持有3億2千900萬令吉現金,總資產值14億4千萬令吉。

該集團在大馬持有超過900英畝地庫,分別位於砂拉越詩巫、雪蘭莪、森美蘭及柔佛,當中詩巫未發展地庫面積最大,達650英畝。(星洲日報/財經‧報道:郭曉芳)

(吉隆坡3日讯)丹斯里阿兹曼哈欣弟弟阿兹米,卸下AM产业(AMPROP,1007,主板产业股)主席职位,转由侄女莎丽娜担任。

现年66岁的阿兹米,将转为担任AM产业的非独立非执行董事,而原任副主席的莎丽娜,将接下非独立非执行主席,即日生效。

莎丽娜为阿兹曼哈欣之女,后者是大马银行(AMBANK,1015,主板金融股)创办人。

AM 产业净利缩74%

(吉隆坡5日讯)AM产业(AMPROP,1007,主板产业股)第三季净赚588万1000令吉,相当于每股盈利0.99仙,净利按年下挫73.8%。

该公司上财年同季净利报2248万5000令吉,相当于每股净赚3.89仙。

第三季营业额则报3963万9000令吉,相较上财年同季的5969万1000令吉,按年跌幅33.6%。

累计首三季,该公司净利报3058万3000令吉,按年滑落16.2%;营业额则报1亿2474万9000令吉,年增7.4%。【南洋网财经】

国能与AM 产业签约 向文东水力购电21年

(吉隆坡24日讯)国家能源(TENAGA,5347,主板贸服股)与AM产业(AMPROP,1007,主板产业股)签署长达21年协议,向文东水力发电厂购再生能源,每年料总值880万令吉。

根据AM产业文告,独资子公司Amcorp Perting水电公司,昨日与国能签署新合约以取代旧约,从文东的小型水力发电厂,供应6兆瓦(MW)再生能源给国能。

该公司在2009年投入运作时,再生能源的产能为4兆瓦,日前已提升至6兆瓦。

双方早在2012年3月,已开始合作供应和购电。【南洋网财经】

AMPROP wishes to announce that its wholly-owned subsidiary, namely Amcorp Perting Hydro Sdn Bhd (“Amcorp Perting”) had signed a REPPA with TNB on 23 February 2015 for the supply and delivery of 6.0MW renewable energy generated from Amcorp Perting’s mini-hydro power plant located at Sungai Perting, Daerah Bentong, Pahang.

Under the terms of the REPPA, TNB shall purchase the electricity generated from the 6.0MW mini-hydro power plant from Amcorp Perting for a concession period of 21 years and the estimated value of the REPPA is approximately RM8.8 million per year.

Amcorp Perting has been generating clean renewable energy from its existing 4.0MW mini-hydro power plant since December 2009 and has recently upgraded the capacity to 6.0MW. This REPPA superseded the earlier REPPA dated 1 March 2012 entered between Amcorp Perting and TNB in relation to the supply and delivery of renewable energy generated from the existing mini-hydro power plant.

The signing of the REPPA will not have any effect on the issued and paid-up share capital and substantial shareholders' shareholdings of AMPROP and will not have any material effect on the earnings and net assets of AMPROP Group for the financial year ending 31 March 2015. However, the REPPA is expected to contribute positively to the future earnings of AMPROP Group.

None of the Directors and/or major shareholders of AMPROP and/or persons connected to them have any interest, direct or indirect, on the said matter.

伦敦联营计划激励大马置业应声涨

(吉隆坡30日讯)大马置业(AMPROP,1007,主板產业股)与新加坡的淡马锡控股等公司组成联营,重建位于伦敦南岸泰晤士河畔的两栋办公楼,发展总值为10亿英镑(约55亿令吉)。

该公司是在上週六向交易所发布这项消息,今日上午暂停交易一小时,於10时復牌之后,股价大幅走高。

大马置业上午10时以79仙开盘,盘中一度冲至83仙,是自1月27日以来的盘中新高,最后以82仙收盘,全天上涨4仙或5.13%,成交量为18万3300股。

大马置业在文告指出,其子公司SNL有限公司上週五与淡马锡控股独资子公司--Hubbard 投资有限公司、旅店置业(Hotel Properties Limited)子公司- - H P L有限公司、以及英国著名的发展商Clan Bankside Quarter有限公司(CBQ),签署联营合约,成立名为Bankside Quarter联营公司,联手重建位于伦敦南岸泰晤士河畔的Sampson House与LudgateHouse,发展总值为10亿英镑。

与此同时, Bankside Quarter联营公司也与CEREPUK City Office有限公司达成股权脱售协议,以3亿零800万英镑(约16亿8000万令吉)收购Sampson House与Hudgate House,並將进行综合性重建计划。

根据协议, SNL 、Hubbard以及HPL公司各持有联营公司30%股权,而CBQ则持有10%股权。

所发展的两座办公楼楼龄超过27年,目前租用率达100%。

该產业位於伦敦南岸沿著泰晤士河边,佔地约5 . 3英亩。坐落於黑衣修士车站(和泰特现代艺术馆附近。

该地段已在伦敦市长的伦敦计划中被列为 「机会区」,並已在2014年3月被授予规划许可。

该產业面向泰晤士河,中间隔著一条南北方的铁路轨道。轨道西方是Ludgate House, 东边是Sampson House。铁路轨道直通对岸的黑衣修士车站,使该项目受益於现有的便捷交通连接可直达到市中心,伦敦西区,金丝雀码头等重点郊区。

The Board of Directors of AMPROP wishes to announce that AMPROP has received confirmation from its solicitors in London that its indirect wholly-owned subsidiary, SNL Limited had entered into a Subscription and Shareholders' Agreement ("SSA") on 27 March 2015 with the following parties to regulate their participation in the joint venture company known as Bankside Quarter (Jersey) Limited ("Joint Venture") which is also a party to the SSA:
(i)         Hubbard Investments Pte. Ltd., an indirect wholly-owned subsidiary of Temasek Holdings (Private) Limited;

(ii)       HPL (Southbank) Pte. Ltd., a wholly-owned subsidiary of Hotel Properties Limited; and

(iii)    Clan Bankside Quarter (Jersey) Limited, jointly controlled by Montrose Land & Development Limited and Tarras Park Properties Ltd., a wholly-owned subsidiary of Buccleuch Estates Limited; both Montrose Land & Development Limited and Buccleuch Estates Limited are shareholders of Native Land Limited.

大馬機構產業進軍東京

(吉隆坡11日訊)大馬機構產業(AMPROP,1007,主板產業組)預期很快會公佈東京第一項房產投資,延續以倫敦為起點的海外拓展計劃。2009年至今,該公司已在倫敦購置多項房產。

翻新服務公寓成高檔住宅大樓

根據集團董事經理李建邦,大馬機構產業與日本聯營夥伴正敲定一棟服務公寓大樓的收購計劃,這座名為Forest Nanpeidai的房產坐落東京中部澀谷的時尚富裕住宅區,計劃會翻新成為高檔住宅大樓。

大馬機構產業預計這項房產計劃的發展總值達8千900萬美元(約3億2千300萬令吉)。

李建邦告訴《The Edge》說:“我們決定拓展海外市場時,就決定投資世界級都市。這是考慮到這些都市的吸資魅力,它們持續吸引全世界的投資者,還有尋找就業機會的人。無可否認,在這些都市中,倫敦和東京肯定榜上有名。”

去年4月,大馬機構產業透過子公司大馬機構遠東有限公司(Amcorp Far East Ltd)與Grosvenor Asia Pacific有限公司、NRJ投資有限公司和True Lead投資有限公司達成共同投資協議,以1億3千萬美元初步資金設立聯營公司。

Grosvenor Asia是英國Grosvenor集團子公司,是大馬機構產業倫敦多個房產投資與發展項目的合作夥伴。NRJ投資和True Lead投資則是香港最大私人發展商南豐集團的子公司。
李建邦:合作模式很重要

李建邦說:“對我們來說,合作模式非常重要。許多投資者往往認為,小型房產發展商進軍海外市場的風險不小,我們的模式卻不一樣,我們會與世界級大公司攜手出擊。”

除了上述房產,大馬機構產業也有意買下東京六本木的服務公寓大樓Court Annex Roppongi。

3月28日,大馬機構產業宣佈與新加坡旅店置業(HPL)、英國Native Land,以及新加坡主權財富基金淡馬錫(Temasek)共同發展泰晤士河南岸的拉德蓋特屋(Ludgate House)和桑普森屋(Simpson House)重建計劃。

AMPROP refers to the article published in THE EDGE Weekly titled “AmProp adds Tokyo to global portfolio” dated 13 April 2015 in particular the following statements:
1.        “Amcorp Properties Bhd (AmProp) is expected to announce soon its first property investment and development in Tokyo”
2.        “According to group managing director Ben Lee, AmProp and its joint-venture (JV) partners in Japan are finalising the deal to acquire a serviced apartment block in the stylish and affluent neighbourhood of Shibuya in central Tokyo, which will be refurbished into a prime residential complex. The apartment block is called Forest Nanpeidai”
AMPROP wishes to clarify that the property, Forest Nanpeidai was acquired in January 2015 by a special purpose vehicle set-up pursuant to the Co-Investment Agreement entered by AMPROP through its wholly-owned subsidiary, Amcorp Far East Limited with Grosvenor Asia Pacific Limited, NRJ Investment Limited and True Lead Investment Limited. The execution of the Co-Investment Agreement was announced by AMPROP on 17 April 2014.
