The Board of Directors of AMPROP wishes to announce that AMPROP has received confirmation from its solicitors in London that its indirect wholly-owned subsidiary, SNL Limited had entered into a Subscription and Shareholders' Agreement ("SSA") on 27 March 2015 with the following parties to regulate their participation in the joint venture company known as Bankside Quarter (Jersey) Limited ("Joint Venture") which is also a party to the SSA:
(i)         Hubbard Investments Pte. Ltd., an indirect wholly-owned subsidiary of Temasek Holdings (Private) Limited;

(ii)       HPL (Southbank) Pte. Ltd., a wholly-owned subsidiary of Hotel Properties Limited; and

(iii)    Clan Bankside Quarter (Jersey) Limited, jointly controlled by Montrose Land & Development Limited and Tarras Park Properties Ltd., a wholly-owned subsidiary of Buccleuch Estates Limited; both Montrose Land & Development Limited and Buccleuch Estates Limited are shareholders of Native Land Limited.

大馬機構產業進軍東京

(吉隆坡11日訊)大馬機構產業(AMPROP,1007,主板產業組)預期很快會公佈東京第一項房產投資,延續以倫敦為起點的海外拓展計劃。2009年至今,該公司已在倫敦購置多項房產。

翻新服務公寓成高檔住宅大樓

根據集團董事經理李建邦,大馬機構產業與日本聯營夥伴正敲定一棟服務公寓大樓的收購計劃,這座名為Forest Nanpeidai的房產坐落東京中部澀谷的時尚富裕住宅區,計劃會翻新成為高檔住宅大樓。

大馬機構產業預計這項房產計劃的發展總值達8千900萬美元(約3億2千300萬令吉)。

李建邦告訴《The Edge》說:“我們決定拓展海外市場時,就決定投資世界級都市。這是考慮到這些都市的吸資魅力,它們持續吸引全世界的投資者,還有尋找就業機會的人。無可否認,在這些都市中,倫敦和東京肯定榜上有名。”

去年4月,大馬機構產業透過子公司大馬機構遠東有限公司(Amcorp Far East Ltd)與Grosvenor Asia Pacific有限公司、NRJ投資有限公司和True Lead投資有限公司達成共同投資協議,以1億3千萬美元初步資金設立聯營公司。

Grosvenor Asia是英國Grosvenor集團子公司,是大馬機構產業倫敦多個房產投資與發展項目的合作夥伴。NRJ投資和True Lead投資則是香港最大私人發展商南豐集團的子公司。
李建邦:合作模式很重要

李建邦說:“對我們來說,合作模式非常重要。許多投資者往往認為,小型房產發展商進軍海外市場的風險不小,我們的模式卻不一樣,我們會與世界級大公司攜手出擊。”

除了上述房產,大馬機構產業也有意買下東京六本木的服務公寓大樓Court Annex Roppongi。

3月28日,大馬機構產業宣佈與新加坡旅店置業(HPL)、英國Native Land,以及新加坡主權財富基金淡馬錫(Temasek)共同發展泰晤士河南岸的拉德蓋特屋(Ludgate House)和桑普森屋(Simpson House)重建計劃。

李建邦表示,淡馬錫成為大馬機構產業最新聯營夥伴,顯示了全球投資者對該公司的信心。(星洲日報/財經‧The Edge專版)

AMPROP refers to the article published in THE EDGE Weekly titled “AmProp adds Tokyo to global portfolio” dated 13 April 2015 in particular the following statements:

2.        “According to group managing director Ben Lee, AmProp and its joint-venture (JV) partners in Japan are finalising the deal to acquire a serviced apartment block in the stylish and affluent neighbourhood of Shibuya in central Tokyo, which will be refurbished into a prime residential complex. AMPROP wishes to clarify that the property, Forest Nanpeidai was acquired in January 2015 by a special purpose vehicle set-up pursuant to the Co-Investment Agreement entered by AMPROP through its wholly-owned subsidiary, Amcorp Far East Limited with Grosvenor Asia Pacific Limited, NRJ Investment Limited and True Lead Investment Limited. The execution of the Co-Investment Agreement was announced by AMPROP on 17 April 2014.

斥6千万购东京产业 大马产业进军日本

二零一五年四月二十三日 晚上七时三十五分
(吉隆坡23日讯)大马机构集团有限公司旗下产业支臂大马产业有限公司(AMPROP,1007,产业组),已斥资20亿6000万日圆(6330万令吉),收购东京一座称为“六本木场旅社新馆”(Court Annex Roppongi)综合用途建筑的62个公寓单位。

这项宣布证实了The Edge财经周刊早前的报道。有关报道引述集团董事经理李建邦的谈话称,该公司即将宣布在东京的首项产业投资与发展。

这座总共面积1963平方米或40%净租赁面积的公寓,目前是租赁予Asahi Homes,并以服务公寓方式经营。

在一项声明中,大马产业表示,该公司透过与Grosvenor亚太有限公司与香港南丰国际控股的联合投资,已经签署建议中收购的一份协议。

大马产业指出:“上述产业是日本野村实业发展安排建议中重新发展计划的一部分。在东京政府的后期城市规划批准后,建议中重新发展计划放眼转型上述建筑和周围地区为一个综合用途发展,包括零售、办公楼和住宅单位与停车场,总占地面积约为9万5000平方米,及净租赁面积约6万平方米。”

它补充:“透过参与这项重新发展计划,每个参与者将获得新发展的股份,它们可选择脱售或保留有关股份直到上述计划于2022年完成,以转换为新发展的单位。”

上述重新发展地点位于著名六本木新城发展毗邻,后者也是日本最大型综合发展之一,设有当地与国际企业的办公大楼,如高盛、联想、BASF及群悦酒店等。

大马置业 国能签购电协议

(吉隆坡18日讯)大马置业(AMPROP,1007,主板產业股)宣布,旗下两家子公司--Contour Mechanism私人有限公司和Trident Cartel私人有限公司,分別与国家能源(TENAGA,5347,主板贸服股)签署再生能源电力购买协议(REPPA)。

上述协议內容包括建设和营运位於彭亨劳勿再生能源微型水力发电站(renewable energy mini-hydro power plants),每个发电站可容纳10兆瓦再生能源。

该公司文告指出,水力发电站建设料耗时24个月。

两家子公司持有21年的特许经营权,而国家能源也將购买上述小型水力发电站所產生的电力。

估计总电力为85.42GWh,而Contour Mechanism私人有限公司和Trident Cartel私人有限公司,是Affluent Merger私人有限公司的独资子公司,而Affluent Merger私人有限公司是大马置业旗下独资子公司--Amcorp电力私人有限公司的子公司。

AMCORP PROPERTIES BERHAD (AMPROP)- SIGNING OF RENEWABLE ENERGY POWER PURCHASE AGREEMENTS (REPPA) WITH TENAGA NASIONAL BERHAD (TNB)
AMPROP wishes to announce that two (2) of its indirect wholly-owned subsidiaries, namely Contour Mechanism Sdn Bhd (“CMSB”) and Trident Cartel Sdn Bhd (“TCSB”) had respectively signed the REPPA with TNB on 18 May 2015 to build and operate two (2) renewable energy mini-hydro power plants, located at Sungai Liang, Raub, Pahang with a capacity of 10MW each.

The construction period of the plants shall take an estimated 24 months. Thereafter, under the terms of the REPPA, TNB shall purchase the electricity generated from CMSB’s and TCSB’s mini-hydro power plant for a concession period of 21 years.  The total estimated generation and value of renewable energy generated is approximately 85.42GWh and RM20.5 million per year.

CMSB and TCSB are wholly-owned subsidiaries of Affluent Merger Sdn Bhd (“AMSB”), which in turn is wholly-owned by Amcorp Power Sdn Bhd. Amcorp Power Sdn Bhd is a wholly-owned subsidiary of AMPROP. Subsequent to the signing, TNB will subscribe for 49% equity interest in AMSB and AMPROP’s equity interest in AMSB will accordingly be reduced to 51%.

The signing of the REPPA will not have any effect on the issued and paid-up share capital and substantial shareholders’ shareholdings of AMPROP and will not have any material effect on the earnings and net assets of AMPROP Group for the financial year ending 31 March 2016. However, the REPPA is expected to contribute positively to the future earnings of AMPROP Group.
None of the Directors and/or major shareholders of AMPROP and/or persons connected to them have any interest, direct or indirect, on the said matter.

(吉隆坡19日讯)AM产业(AMPROP,1007,主板产业股)宣佈以2735萬英镑(约1亿6137萬令吉),脱售Merchant Beta和Merchant Omega全数股权。

该公司向马交所报备,上述2家公司隶属於独资子公司MerchantAlpha,签署买卖合约後,不再是AM产业的子公司。

AM产业是将2家子公司,脱售给Merchant Square Guernsey有限公司。

根據AM产业文告,Merchant Beta和Merchant Omega为产业投资控股公司,共同拥有伦敦帕丁顿的4Merchant Square的60间公寓,目前供出租净赚5754萬令吉。

AM产业指出,将利用脱售活动所得的资金,作为伦敦其他投资项目的资本、营运资本和脱售活动开销。

扣除成本後,该项脱售活动将为AM产业带来5754萬令吉净收益。

该公司指出,目前4 Merchant Square的公寓已全部出租,因此相信,现在是脱售资产最好时機,可获最大價值,並把资金调动到其他的投资機会。

AM 产业首季净利翻2倍

(吉隆坡21日讯)受到脱售伦敦帕丁顿Merchant Square公寓获利激励,AM产业(AMPROP,1007,主板产业股)截至6月底首季,净利达5693万8000令吉,上财年同期达1766万8000令吉,暴涨222.3%。

该公司向马交所报备,同期,营业额则报3440万令吉,较上财年同期的4071万令吉,跌15.5%。

阿马产业进军印尼再生能源市场

该集团董事经理Ben Lee指出,该公司目前正与多家印尼公司协商,惟一切仍处于初步阶段。

“我们放眼进军印尼市场,冀望将再生能源的业务模式扩展至海外市场。”他是在今日的常年股东大会后,发表上述言论。

Ben Lee指出,本地业务方面,该公司将打造更多太阳能或水力发电站。

阿马产业今年5月与国家能源(Tenaga Nasional Bhd ( Financial Dashboard),TNB)签署长达21年的再生能源供应合约,在彭亨劳勿Sg Liang兴建和营运两座小型水力发电站,每座发电站能供电10兆瓦(MW)。

该公司目前共有两座发电站,分别是产电量为6兆瓦的彭亨文冬水力发电站,以及10.25兆瓦的森美兰州金马士太阳能发电站。

截至今年3月31日的财年,这两座发电站为公司带来380万令吉的营业额,占全年营业额的2.19%。

闭市时,阿马产业(基本面:2.1;估值:1.5)收报于79仙,下滑0.5仙或0.63%,成交量达10万9000股,市值共计4亿6431万令吉。

大馬機構產業 東京收購第3項資產

(八打靈再也20日訊)繼今年在日本東京收購多項優質資產后,大馬機構產業(AMPROP,1007,主要板房產)再次宣佈,與聯合投資夥伴英國Grosvenor亞太公司及香港南豐集團收購14個辦公單位和3個零售單位,總面積約為3萬9000平方尺,佔了該座44層高住宅兼商業大樓的淨可租賃面積的大約8%。

該公司文告說,這座坐落在東京西新宿的大樓,享有優越的地理位置,預計以日本的三菱地所residence株式會社和住友不動產等大型發展商為首,在該地區附近進行的一連串重建計劃,必將帶動和提高該產業的價值。

隨著這項收購行動,大馬機構產業在日本的房地產投資已達到將近29億日圓(約1億220萬令吉)。

近幾年來,大馬機構產業正積極地拓展它在海外的房地產投資組合,尤其在倫敦,頻頻收購資產。

AM产业次季净利飙134%

(吉隆坡4日讯)截至9月杪,AM产业(AMPROP,1007,主板产业股)次季净利按年大涨134.35%,从703万4000令吉,扬升至1648万4000令吉,每股净利2.8仙。

同期营业额则按年跌7.39%,报4111万3000令吉。

AM产业指出,次季营业额主要来自诗巫再也(Sibujaya)城镇计划、产业租金收入和再生能源业务。

再生能源业务贡献最多,报2370万令吉,其余属于产业发展与投资业务。

合计上半年,净利按年激增197.23%,录得7342万2000令吉,每股净利12.47仙;同期营业额则达7551万3000令吉,按年萎缩11.28%。【南洋网财经】

最新进展
AM产业(AMPROP,1007,主板产业股)首半年核心净利,按年暴增218%,至7900万令吉,归功于脱售海外产业收入和外汇收益。

该公司在首季脱售英国伦敦的4B Merchant Square产业,入账5750万令吉,相较于在2015财年上半年的产业脱售收益,仅达1610万令吉。

次季核心净利则按季下跌62%,因脱售收益减少。

行家建议
AM产业的首半年核心净利符合预期,占我们全年预期的69%,相信接下来季度的盈利或会倾向温和,因缺乏产业收益。

我们对2015财年至2017财年的每股核心净利预估维持不变,不过,2016财年则因外汇收益稍微调整,以反映出3年每股盈利年均复增(CAGR)可达64%的水平。

该公司强劲的增长,主要是由伦敦产业和东京重建计划的支撑。

除了增长步伐,AM产业强稳的盈利和2016至2018财年5%至7%的可观的周息率,促使该股具有吸引力,因而维持“买入”投资评级。

倫敦銷售強勁‧大馬機構產業或增派息

(吉隆坡2日訊)大馬機構產業(AMPROP,1007,主板產業組)10億令吉發展值的倫敦產業銷售強勁,預期肯辛頓和梅費爾(Mayfair)計劃拉抬2015至2018財政年盈利複合增長率64%,2018財政年起淨利可翻倍至1億5千600萬令吉,有派更豐厚股息可能。

2018淨利或增至1.56億

艾芬黃氏研究說,倫敦每方英尺3千500英鎊高檔產業需求甚殷,其中堪登山(Campden Hill)計劃由9月的30%認購率,提高至目前的40%;而布靈登(Bullington)計劃認購率約90%,預計2017年完成後可提高盈利。

目前上述產業平均銷售價比原先價格高,其中布靈登目前平均每方英尺3千700英鎊,堪登山走高至3千900英鎊,預計2017首季至次季竣工時可擷取更高盈利。

萊坊倫敦最新產業報告顯示,英國10月產業價微揚,倫敦中區首要地區持續放緩,預計明年微升;英國截至10月產業價微揚3.9%,價格將在強勁需求和供應吃緊保持穩健。

“最重要的是,大馬機構產業所涉肯、費兩區的產業價格,各揚1.2%和2.7%。”

外匯方面,倘若英鎊兌馬幣保持目前水平,可舒適從上述兩大計劃的紙上外匯收益中獲9千萬令吉。

該公司2013投資上述計劃,當時馬幣稅英鎊介於4.50與5.20之間,目前已在6.00至6.50之間。

剛公佈2016首半年業績,營業額7千550萬和淨利7千850萬令吉(扣除外匯收益為5千530萬令吉),為艾芬預測的70%。

大部份盈利為英國帕丁頓的4B Merchant Square計劃之首季入賬,外匯收益則在次季進賬。

國內詩巫之產業計劃料將貢獻,英國較舊計劃Neo Bankside的套房銷售在財政年下半年有驚喜,最後一單位套房訂價600萬英鎊,10月的一個單位售480萬英鎊。

分析員預測2016財政年核心淨利可按年飆125%至8千萬令吉,具有5至7%豐厚派息率,維持“買進”,目標價1令吉53仙;倘若2016財政年能派一如2015年的50%派息率,股息可能倍增或週息率可超過8%。(星洲日報/財經‧報導:張啟華)

倫敦計劃強穩‧大馬機構產業續“買進”

(吉隆坡18日訊)英國產業市場雖整體放緩,大馬機構產業(AMPROP,1007,主板產業組)位於倫敦第一區的高級產業計劃卻深受艾芬黃氏研究看好,認為在該公司股價近期回調後,趁低吸納機會也跟著浮現。

艾芬黃氏研究在報告中說,雖然大眾市場產業整體放緩,但高級和豪華產業卻不受影響,大馬機構產業旗下豪華產業的需求仍然強穩,旗下Campden Hill計劃的預定率如今已攀升至50%,另一項重大產業計劃Burlington Gate的預定率也已增至90%。

“除了身處對的市場,我們認為強勁預定率與該公司的聯營策略有大有關係,新加坡上市酒店產業有限公司(HPL)和英國的Native置地都是該公司夥伴;另外,大馬機構產業也將和新加坡淡馬錫控股聯手,在未來發展總值11億英鎊的Bankside Quater產業發展計劃。”

艾分黃氏表示,大馬機構產業也仍繼續找尋新投資機會,但並不急於新投資,原因是該公司手頭上仍有足夠的計劃,足以支持2016至2018年盈利。

“除誘人的估值外,盈利將擺脫過往的波動性,也是我們看好該公司的另一主因。”

艾分黃氏研究給予大馬機構產業目標價1令吉53仙,評級是“買進”,估計就目前股價而言,該公司2017和2018年週息率高達5至8%。(星洲日報/財經‧報導:李三宇)
