天龍科技 泰生產設施料不保

（吉隆坡18日訊）泰國水災持續不退，天龍科技（DNONCE，7114，主要板工業）泰國子公司ICSM科技另一硬碟生產設施淪陷，恐打擊2012財年報表現。
該公司今日向馬證交所報備，泰國大城水災惡化，位于洛察納工業區（ROJANA）的硬碟生產設施早在上週二（11日）已遭遇水劫。
但災情蔓延至Navanakorn工業園，造成子公司另一硬碟生產設施，昨日（17日）晚間被水淹。
天龍科技相信，相關損失料可透過保險取得賠償，但上述2間工廠，在2011財年約貢獻公司14%收益，此次大水災勢必影響本財年表現。

（吉隆坡24日讯）消息传，天龙科技（DNONCE，7114，主板工业产品股）将进军哈萨克斯坦和俄罗斯的清真食品市场。
根据《The Edge》财经周刊报导，消息透露天龙科技子公司目前正与俄罗斯其中一个州政府进入最后阶段的洽谈，以进军哈萨克斯坦和俄罗斯市场，供应清真食品。
泰水灾冲击
该子公司目前主要从事包装原料供应、综合供应链产品和服务、合约制造（Contract Manufacturing），及食物与消费产品。
在上财年业绩遭受泰国水灾影响的天龙科技，目前正积极进军哈萨克斯坦，以从当地庞大的商机潜能中获利。
我国商人或企业，近期把哈萨克斯坦视为具潜能的投资领域，尤其是本地石油与天然气及洋灰公司。
消息认为，私人企业在不需要国家或州政府作为大股东的情况下，可拥有石油与天然气特许权。

没准确计算财报 天龙科技被申诫

（吉隆坡25日讯）大马交易所公开申诫天龙科技（DNONCE，7114，主板工业产品股）没有将2013年1月9日公布的账目调整，准确计算在2012年10月31日公布的末季业绩内。
这乃违反了马交所主板上市条例中的9.16（1）（a）条规。
有鉴于此，该公司的季度报告被要求展开限定审查，该审查需由外部审计师负责，以审查自2013年8月31日起的4个季度报告。
同时，天龙科技也需确保所有的董事和相关人员出席一项培训计划，以迎合主板上市条例的要求。另外，该公司也需重申及确保其财务报表的准确性及有效性。
马交所严厉看待天龙科技的违法行为，并提醒该公司与董事局遵守规范和向股东与大众交待详情的责任。
该公司在2012年末季报上395万令吉的未经审核税后盈利和少数股东权益（PATAMI）；而经审核后PATAMI为276万6000令吉，两者之间相差118万4000令吉，相等于30%的偏差。[南洋网财经]
BURSA MALAYSIA SECURITIES PUBLICLY REPRIMANDS D’NONCE TECHNOLOGY BHD FOR BREACH OF MAIN MARKET LISTING REQUIREMENTS
LISTING'S CIRCULAR NO. L/Q : 68858 OF 2013
Bursa Malaysia Securities Berhad (Bursa Malaysia Securities) has publicly reprimanded D’nonce Technology Bhd (DNONCE) for failing to ensure that the announcement dated 31 October 2012 on the fourth quarterly report for the financial year ended (FYE) 31 August 2012 (4th QR 2012) took into account the adjustment as stated in DNONCE’s announcement dated 9 January 2013.
The failure to take into account the adjustment was in contravention of Paragraph 9.16(1)(a) of the Bursa Malaysia Securities Main Market Listing Requirements (Main LR) where a listed issuer must ensure that each announcement made is factual, clear, unambiguous, accurate, succinct and contains sufficient information to enable investors to make informed investment decisions.
The public reprimand was imposed pursuant to Paragraph 16.19(1) of the Main LR after taking into consideration all facts and circumstances of the matter and upon completion of due process.
DNONCE is also required to carry out a limited review of its quarterly report submissions. The limited review must be performed by external auditors for four quarterly reports commencing from the quarterly report for the financial period ended 31 August 2013. In addition, DNONCE must ensure all its directors and relevant personnel attend a training programme on compliance with the Main LR pertaining to financial statements. DNONCE is also required to review and ensure the adequacy and effectiveness of its financial reporting function.
While Bursa Malaysia Securities has not found any of DNONCE’s directors to have caused or permitted the breach by DNONCE, Bursa Malaysia Securities wishes to highlight that it is the duty of the directors to maintain appropriate standards of responsibility and accountability in ensuring compliance of the Main LR. The Board of Directors at the material time were as follows:
- Dato’ Ahmad Ibnihajar
- Dato’ Oon Choo Eng @ Oon Choo Khye
- Law Kim Choon
- Lim Teik Hoe
- Wong Thai Sun
Bursa Malaysia Securities views the contravention seriously and has reminded DNONCE and its Board of Directors of their obligation to uphold appropriate standards of responsibility and accountability to shareholders and the investing public.
BACKGROUND
DNONCE reported an unaudited profit after taxation and minority interest of RM3.950 million in DNONCE’s 4th QR 2012, compared to an audited profit after taxation and minority interest of RM2.766 million in DNONCE’s annual audited accounts for the FYE 31 August 2012 which was announced on 27 December 2012. The variance of RM1.184 million between the unaudited and audited results represented a deviation of 30%.
The deviation was mainly due to the oversight and error by DNONCE in recognising the entire 100% profit of a subsidiary for the whole of FYE 31 August 2012 in the 4th QR 2012 instead of only recognising the profits from the date of completion of the acquisition of the subsidiary i.e. from 6 June 2012 onwards.

天龙科技泰子公司火患 印刷材料业务损失大

（吉隆坡30日讯）天龙科技（DNONCE，7114，主板工业产品股）泰国子公司———ISCM工业（泰国）公司，在当地的其中1座制造厂房发生火灾，导致其印刷材料业务蒙受严重损失。
根据文告，该火灾发生于昨日傍晚时分，基于印刷材料业务遭到严重损坏，以致ISCM工业必须暂时停止运作。
该公司称，值得庆幸的是，该事件没有任何伤亡；目前，有关当局正在调查起火的原因。
该公司仍无法估计财务损失，但董事部相信可向保险公司索赔。
ISCM工业的制造厂房主要是印刷包装材料，以及消费类电子产品的合约制造。[南洋网财经]

Ltd ("ISCMI") situated at 188, Moo 1, Kanchanavavich Road, Tambol Samnakkam, Sadao, Songkla, Thailand, had caught fire in the evening of 29 October 2013.
The manufacturing facilities of ISCMI are principally involved in printing of packaging materials and contract manufacturing of consumable electronic products.
The fire had caused extensive damages to the printing materials segment and ISCMI had to temporarily ceased its operations in that segment. Fortunately, there were no injuries reported.
The cause of the fire is still under investigation.
ISCMI is not yet able to estimate the damage to its assets and the financial impact of the fire. However, the Directors of the Company believe that the damages should be covered by the insurance.
In addition to that, the Board of Directors of the Company will make further announcement on the financial impact once they are able to estimate the damages.

2) The age of the building was 28 years as at 31 August 2013

天龙科技获5300万合约

（吉隆坡2日讯）天龙科技（DNONCE，7114，主板工业产品股）获Kiwitech私人有限公司，颁发总值5300万令吉的闭路电视（CCTV）和中央控制系统安装设备合约。
根据文告，天龙科技独资子公司Attractive Venture（新山）私人有限公司，今日与Kiwitech达成协议。
Attractive Venture将为Kiwitech提供设备，于国内25个市议会安装496台闭路电视和50个中央控制系统。

Bhd.("Kiwitech") ("Transaction") | Further to our announcement dated 2 May 2014, the Board of Directors of the Company wishes to announce that prior to entering into the agreement with our subsidiary company, Attractive Venture (JB) Sdn Bhd for the Transaction, Kiwitech had obtained a contract from its customer to supply, install, test, commission and lease of 496 cameras closed-circuit television (“CCTV”) and 50 control centres for 25 town councils in Malaysia (“Project”) for a lease period of 60 months.
In this Transaction, Kiwitech will be the principal implementer and system integrator for all the said 496 CCTVand 25 control centres.

天龙科技Q3 转盈380万

（吉隆坡26日讯）天龙科技（DNONCE，7114，主板工业产品股）截至5月31日第三季转盈，取得380万5000令吉净利，相等每股8.44仙。
这归功于代工制造和集成供应链服务业务盈利改善，以及泰国包装原料工厂失火获得保险赔偿。去年同期面对362万7000令吉净亏，或每股8.04仙。
不过，火灾意外造成营收年跌5.57%，报4049万令吉，低于去年同期的4288万令吉。
首三季仍陷净亏，达196万2000令吉或每股4.35仙，亏幅较上财年363万4000令吉来得小；营收跌7.28%至1亿2362万2000令吉。【南洋网财经】

| Further to the announcement dated 28 November 2014 ("the Announcement") in respect of the Acquisition of Property by Subsidiary Company, the Board of Directors of the Company is pleased to provide the following additional information:-
Unless otherwise stated, defined terms used in this announcement shall carry the same meaning as defined in the Announcement.
1. The Directors and shareholders of Fuh Kai Advance Ceramics Sdn. Bhd. ("the Vendor") and their respective shareholdings are as follows:-

2. The estimated market rate of the vicinity areas where the Company benchmarked against in deriving at the Purchase Price are as follows:- Land area at RM50 per sq ft
Built-up area at RM100 per sq ft
3. The Vendor has recently stopped operation. The age of building is approximately 35 years.
4. There is no provision on the liquidated damages in the event of the Vendor's default. However, in the event that the Vendor shall default or refuse to complete the sale for any reason not due to the act, neglect or default of the Purchaser or be in breach of any covenant or warranty as specified in the Sale and Purchase Agreement ("the SPA"), then the Purchaser shall be entitled, either to enforce specific performance against the Vendor at the Vendor's costs and expense or to terminate the SPA.
5. There is no relationship between Attractive Venture Sdn Bhd, a wholly-owned subsidiary of the Company and the Vendor's or interest of the related party involved. Both companies are using Tricor Corporate Services Sdn. Bhd. ("Tricor") as secretarial agents and are using Tricor's address as its registered office.

天龍科技拓展電子電器業

天龍科技（DNONCE，7114，主板工業產品組）將繼續擴展電子與電器業，不過，對該領域的展望持謹慎樂觀。
該集團在包裝與設計的實力，預料有助於提高市場對該領域的需求，集團將持續扶持包裝業領域的成長，配合集團的擴展計劃，對策略性資產的收購將可輔助集團的業務，以及爭取更多的客戶。
子公司火患
營業額貢獻減至32%
由於子公司受到泰南火患的影響，打擊了集團的業務表現，子公司的設備受到廣泛的破壞，其中一家子公司甚至暫停運作，導致泰國子公司對集團營業額的貢獻，從2013財政年的佔41%，削減至32%。
集團的主要業務為電子與電器領域，雖然出口表現不錯，而且需求改善，可是，市況競爭嚴峻且充滿挑戰，影響該領域的表現。
在這方面，集團將繼續改善其業務與成本管理，以提高市場佔有率，預計市況保持嚴峻，集團將繼續調整策略，為改善業務做好準備，集團已展開策略性計劃，以加強其商務程式，通過資產的收購擴展其業務規模。
集團在已結束的財政年，取得1億7千880萬令吉的營業額，比前期增加100萬令吉，泰南子公司暫停運作雖有影響，不過，其他子公司營業額增加，對集團業績帶來正面效應。
獲360萬稅前盈利
與此同時，集團取得360萬令吉的稅前盈利，比前期的970萬令吉稅前虧損大有改善，主要原因是：合約製造業務顯著增加，泰南火患的理賠帶給集團部份收入。
在集團的三大組合業務，合約生產營業額較小，減少了26.9%，供應與包裝業務則稍微增至1億零720萬令吉，綜合供應鏈產品與服務的營業額，則從5千440萬令吉增至5千210萬令吉。
綜合供應鏈產品與服務組的營業額，主要來自電子與電器，以及醫藥保健領域，與之前一年比較，營業額從2千660萬令吉減至1千950萬令吉，儘管營業額減少，該組盈利得170萬令吉，比前期的260萬令吉理想。
此外，供應與包裝材料業表現較佳，營業額得1億零720萬令吉，比前期的9千670萬令吉較多，盈利則有920萬令吉，前期則面臨200萬令吉的虧損。（星洲日報／投資致富‧企業故事‧文：鄭碧娥） |
