曙光资本拨逾2亿 提升沙巴港口设施

(吉隆坡6日讯)曙光资本(Suria,6521,主板贸服股)子公司———沙巴港口私人有限公司(Sabah Ports)将在未来两年拨2亿2900万令吉提升沙巴港口设施与机械,提供港口客户更好的服务。

曙光资本向马交所报备,集团与子公司董事部批准3项新计划,包括扩充山打根港口船台、延长Sapangar海湾石油终站防波堤,以及为所有港口添购处理货柜所需机械。

针对山打根港口与Sapangar海湾石油终站的计划,集团预估今年内开始落实,两年内完成;届时两个港口都可容纳更多拖船停泊,解决过去船台拥挤问题。

集团也计划为Sapangar海湾货柜港口、山打根港口和斗湖港口增加货柜装卸机械,包括多架大型港口用起重机。

集团将在今年杪为这3个港口及拿笃港口添购搬运与装卸集装箱船坞机械。

目前,沙巴港口私人公司也探讨其他港口的需要,以全面升级沙巴的港口服务,刺激沙巴州经济。[南洋网财经]

SABAH PORTS ALLOCATES RM229 MILLION TO IMPROVE PORT FACILITIES IN SABAH
Sabah Ports Sdn Bhd, the port operating subsidiary of Suria Capital Holdings Berhad, will be spending a sum of RM229 million in the next two years to further improve its port facilities and equipment to better serve the port users and shipping communities in Sabah.

The Boards of Suria Capital Holdings Bhd and Sabah Ports Sdn Bhd had approved three new projects, which include the Berth Extension at Sandakan Port, Jetty Extension at Sapangar Bay Oil Terminal and for the purchase of container and cargo handling equipment for her ports.

Sabah Ports is looking forward to providing better berthing facilities at Sandakan Port and Sapangar Bay Oil Terminal in view of the increase in berth occupancy.  Both projects are expected to start sometime this year and will be completed within two years time.  With the completion of these jetty extensions, the two ports will be able to provide additional berthing facilities for working vessels and overcome any potential congestion.

In addition, Sabah Ports is also increasing her container handling equipment fleet at Sapangar Bay Container Port (SBCP), Sandakan Port and Tawau Port.  This includes one additional unit of ship-to-shore Gantry Crane at SBCP to the existing two units available at the port.  Sabah Ports will also be purchasing a new mobile harbour crane for Sandakan Port in addition to the existing unit which will further improve the loading and discharging of containers at the port.

The three ports together with Lahad Datu Port will also be provided with additional transfer and yard container handling equipment which will be made available by the end of 2013. Currently, Sabah Ports is also studying the requirements of the other ports with the objective of further improving the port services in Sabah.

The above investments will further enhance port efficiency in Sabah whilst expected to further boost the socio-economic activity in the State.

曙光SBC聯手 發展18億銷售值項目

(吉隆坡22日訊)曙光資本(SURIA,6521,主要板貿易)與SBC機構(SBCCORP,5207,主要板建築)聯營發展淨銷售值18億令吉項目,前者將藉聯項目進軍房地產發展業,早盤停牌1小時,復牌后先起后跌。

曙光資本開盤開市前報備暫停交易1小時,並在上午10時恢復交易,開市時走勢不錯,微揚3仙至1.93令吉,但后勁不繼,漲幅頻頻收窄,休市時揚1仙,掛1.91令吉;午盤該股開滑,閉市時跌1仙至1.89令吉,成交量135萬8900股。

反觀SBC機構沒有宣布停牌,不過全日保持升勢,開市揚2仙至1.65令吉,休市時漲幅擴大至4仙,掛1.67令吉,閉市時回落至開市時的1.65令吉水平。

兩家公司日前向馬證交所報備指出,雙方將聯營發展位于亞庇,面積16.25畝的土地,計劃完成后業務將多元化至房地產發展業。

文告指出,該項名為Jesselton Waterfront項目,淨銷售值高達18億令吉;曙光資本持股18%,SBC機構則持股82%。

曙光资本联手谢氏兄弟 沙综合发展净销售值18亿

(吉隆坡21日讯)曙光资本(Suria,6521,主板贸服股)与谢氏兄弟机构(SBCCorp,5207,主板产业股)达成联营协议,以将沙巴亚庇土地进行综合发展,净销售价值(NSV)至少为18亿令吉。

文告指出,曙光资本必须提供该发展土地给谢氏兄弟机构,并获分配净销售价值的18%份额,谢氏兄弟机构则为82%,该工程暂时命名为Jesselton Waterfront计划。

至于谢氏兄弟机构则必须在2020年1月1日前将整个工程推出,在扣除土地价值后,该工程总发展价值预计为11亿令吉,并应由谢氏兄弟机构承担。

曙光资本在今日早盘暂停交易一小时后,一度走高2%,以全日最高水平1.94令吉开始交易。

股价一起一跌

该股曾回吐涨幅,最终以1.89令吉挂收,全日跌1仙或0.53%。

至于谢氏兄弟机构,则以1.65令吉结束交易,全日上扬2仙或1.23%。

将开特大表决

曙光资本文告指出,这片土地是沙巴政府租赁给公司,租赁期从2010年1月1日至2108年12月31日,为一项政府赋予的特许经营权,以将沙巴7个主要码头私有化。

该地库占地23.25英亩,两者计划作为综合发展用途,范围包括住宅单位、零售单位、办公大楼以及酒店。同时,基础建设以及其他周边发展也在合作项目内。

净利贡献25%

以港口服务及设施供应业务为主的曙光资本表示,这项工程料让公司多元化至产业发展。

由于新业务净利贡献料至少为25%或更多,加上会挪用公司25%或更多的净资产,曙光资本必须在特大获得股东同意,透过这项工程。

曙光资本表示,Jesselton Waterfront计划在完成后,料将成为亚庇地标。

由于协议内容包括一笔3亿2400万令吉最低担保金,而该片土地截至2012年12月31日净面值(NBV)为1亿1940万令吉。

因此,曙光资本预料有一笔至少1亿5350万令吉净利,会根据项目的进展情况,分阶段为公司带来贡献。

不过,这项工程并不会对公司2013财年净利带来贡献。

(ii)            the preliminary project masterplan, business plan and other terms of the Jesselton Waterfront Project as provided in the JVA will not be affected by the change of the layout plan and minor variation to the total land area of the Development Land; and

(iii)           SBC may make the necessary submission to the relevant authorities for the purpose of obtaining the approval for the development plan for the Jesselton Waterfront Project at any time within six (6) months from the date of the JVA expiring on 21 November 2013 and that the period of three (3) months from the date of the JVA is no longer practical.

Save for the above, all the other terms and conditions of the JVA remain unchanged.

PS is a wholly owned subsidiary of Sumitomo Corporation, a private limited company incorporated under the laws of Singapore, having its registered address at 60 Anson Road #05-03 Maple Anson, Singapore  and having its principal business trading activities in crude oil, middle distillate, fuel oil and supplying marine bunker fuel for ships.

We wish to further inform that the Two Million (2,000,000.00) ordinary shares of Ringgit Malaysia One (RM1.00) per share of S.P. Satria Logistics Sdn. Bhd. (SPSL) which was sold by SURIA to SPSB, represents the total paid up capital of SPSL.

The total purchase price of the Two Million (2,000,000.00) ordinary shares is Ringgit Malaysia Two Million (RM 2,000,000.00) only, which is paid in cash.

SPSB, the purchaser, is also wholly owned subsidiary of SURIA.

As the result of the said purchase, SPSB now owns 100% of the equity in SPSL.

(沙巴‧亞庇24日訊)曙光資本(SURIA,6521,主板貿服組)將與謝氏機構(SBCCORP,5207,主板產業組)合作,在舊亞庇貨柜碼頭推行涵蓋辦公室和酒店業的大型商業發展項目,預計發展總值至少18億令吉。

這項名為“Jesselton Quay”的項目一旦完成後,不僅可成為亞庇市內新的沿海標誌性建築物,也能憑著其擁有的郵輪碼頭,搖身稱為主要的海上旅遊門戶。

工程耗時8年

曙光資本首席財務員黃潔敏今日披露,這個占地16.25英畝的項目預計將會在2014年首季動工,整個工程估計將耗時8年。

她說,在這項聯營計劃下,曙光資本只提供該項目所需的土地及協助與協調該項目進行,其餘有關該項目的經費,包括建築成本都由謝氏機構承擔。

黃潔敏今日出席該公司於實邦加貨柜碼頭舉行的特別大會後,在新聞發佈會上這麼表示。

她指出,沙巴州經濟逐漸起飛及亞庇迎來城市化發展,眾多投資者對發展迅速,尤其是亞庇沿海區的房地產發展項目的興趣也日漸增加。

“因此這個位於丹絨里拔靠近亞庇市區沿海地帶的項目完成後,將能滿足對亞庇沿海區黃金地帶商業單位的需求,同時也能吸引國內外的購物者和投資者。”

“Jesseltion Quay”項目所在地本是亞庇貨柜碼頭,不過該公司在2007年,已經把碼頭相關運作搬遷至現有的實邦加貨柜碼頭。

這個大型商業發展項目將包含商業單位、零售商場、零售單位、辦公室大樓和酒店。

她補充,曙光資本相信,這個項目將會把舊亞庇貨柜碼頭這個亞庇市區沿海黃金地帶,打造成市內全新的商業樞紐。(星洲日報/財經)

券商買進心頭好.聯營計劃未來成長動力 曙光資本被低估

曙光資本(SURIA,6521,主要板貿易)的Jesselton Quay聯營發展計劃初見成效,將是未來幾年成長動力,券商給予“買進”投資評級。

作為沙巴8大港口業者,曙光資本在5月中,與SBC機構(SBCCORP,5207,主要板建築)簽署聯營協議,近期也在特別股東大會通過有關發展計劃。

我們相信,該公司將會盡早展開這項發展計劃。

有關發展計劃將對曙光資本有利,因為只需要提供土地,協助和促進實施計劃。SBC機構則承擔其他有關發展計劃的成本和開銷,包括實施和完成Jesselton Quay。

曙光資本也保證可取得至少3億2400萬令吉的現金收益。我們認為,這項計劃將為曙光資本提供數年的成長潛能。

我們沒有將任何電價上調因素納入考量。

曙光資本的核心運作將呈內部成長,故作出保守的盈利預測。與其他業者相比,該股仍被被低估。

儘管曙光資本股價反彈,不過我們相信,其股價尚未反映來自Jesselton Quay聯營發展計劃的現金流。

一股作气:曙光资本估值有望上修

联营产业发展,市场不仅认为曙光资本(SURIA,6521,主板贸服股)风险极微,更认为能获至少3亿令吉回酬保证。

同时,稳定且有利可图的港口经营权业务,更料可持续性带来正面的现金流。

展望未来,港口收费调整有待批准以及物流与船舶加油服务业务有望转亏为盈等,将是该集团评估上修的因素。

今年5月,曙光资本宣布与谢氏兄弟机构(SBCCORP,5207,主板产业股)联营沙巴亚庇土地商业综合发展项目———Jesselton Quay。

Jesselton Quay的发展项目位于旧亚庇货柜码头,占地16.3英亩,项目涵盖办公大楼、零售广场与单位以及酒店。

同时,该发展项目的净销售值料达18亿令吉,根据双方签署的联营协议,曙光资本将获得至少18%的最低保证回酬。

兴业研究认为,曙光资本在此联营的发展项目中,其面临的风险不仅相对的低,甚至具有巨大回酬的潜能。

风险有限主要在于该集团只需要在该项目中提供土地,以及协助和促进执行计划即可。

反之,谢氏兄弟机构将承担所有相关成本和支出。

这项发展项目也能让曙光资本多元化其业务至产业发展,并在担保回酬计划下,为集团带来正面的业绩贡献。



港口经营权30+30年

曙光资本原是一家金融财团,在进行重大企业重组之后,摇身一变成为以港口服务为核心业务集团。

该集团在沙巴州内拥有8大主要港口的经营权,包括亚庇港口、Sapangar Bay石油终站、山打根港口、拿笃港口、古纳(KUNAK)港口、古达(Kudat)港口、斗湖港口和Sapangar Bay集装箱港口。

自2004年9月,曙光资本通过私有化计划取得州内8座港口的经营权为期30年,并可额外延长30年的期限。

该集团的其他业务,包括设备供应与维修、物流与船舶加油服务、合约与工程,以及渡轮终站运作。

安联研究指出,曙光资本的港口经营权属于稳定且有利可图的业务,预测可为该集团可带来预见现金流。

根据预测,在经营权剩余的期限(2014到2034年)内,该集团可创造18亿8000万令吉的股权自由现金流(FCFE)。

若加上联营的JesseltonQuay发展项目,安联研究合计预测能带来21亿5000万令吉的的股权自由现金流。

另外,兴业研究表示,强稳的盈利赚幅也可以让曙光资本的盈利,维持在每年约5000万令吉的水平。

兴业研究称,尽管该集团在过去4年的营收表现因全球经济不稳定而出现起落,但总利赚幅和净利赚幅分为维持在40%和20%的水平。



股价被低估

在股息派发方面,可见上涨趋势。

去年3月,董事部宣布,从2011财年期,采取股息政策派发高达35%的净利为股息。

安联研究预测在2015财年以后,预计曙光资本拥有强劲的自由现金流,相信该集团可提高股息派发率。

假设2016年的股息派发率为100%,以目前的股价计算,该股在2016年的周息率可达9%之高水平。

在稳定的港口业务以及备受看好的产业发展联营项目之下,再比较同行的估值,兴业和安联研究双双认为该股已被低估(无论是在本益比或股价净值比皆低于同行)。

同时,展望未来,该股评估上修的因素,包括港口收费可能获得调整,而目前正等待有关当局的批准。

此外,在物流与船舶加油服务业务重组之下,安联研究预计该业务有望在明年转亏为盈,甚至可带来高于预期的贡献。

投资风险

港口业务与该州的经济息息相关,尤其是在沙巴棕油出口对其盈利有着高度的敏感。

一旦国内最大的棕油生产州,且占出口30%份额的沙巴,出现原产品产量下滑,将对该集团有着负面影响。

此外,针对Jesselton Quay发展项目,曙光资本和谢氏兄弟机构将展延联营合约的先决条件。若之后的进展对集团不利,也是一个负面冲击。

港口房產雙重利好‧曙光資本遭低估

(吉隆坡7日訊)曙光資本(SURIA,6521,主板貿服組)的港口和房產業務“比翼雙飛”,分析員認為其股價明顯低估。

受惠自稅率降低,曙光資本2013財政年核心淨利增長14.4%。

安聯研究指出,納進海上供油及後勤業務轉虧為盈、港口效率改善、稅率降低等利好後,決定將該公司常年盈利預測調高16至17%。

同時,合約及工程等業務的虧損收窄,也有利於該公司業績表現。

不過,安聯研究考慮到2014和2015財政年營運資本增加可能推高折舊開銷,加上稅率降低利好將在2016年後結束,估計2014至2016財政年核心盈利僅分別增長5.5%、4.1%和1.0%。

另外,安聯研究也強調,暫時尚未納進房產聯營業務的盈利,因需要更多詳情。管理層披露,Jesselton Quay房產計劃將在第二季推介。

安聯研究調整財測後,將目標價調高至3令吉75仙,並看好房產計劃可以帶動股價回揚,擴大股價上升空間,因此決定上修評級至“強力買進”。(星洲日報/財經)
