削资后每股回退RM1.80 三进岭工业要下市

（吉隆坡26日讯）三进岭工业（Suncrn，7358，主板工业产品股）接获大股东要求，进行削资与资本回退现金每股1.80令吉给股东，之后将公司私有化。

三进岭工业今天向马交所报备，表明收到联合献议股东，包括Nichirin有限公司、Sunrise工业有限公司、Sunrise亚洲管理私人有限公司和平石正人（Masahi to Hiraishi），致函要求进行削资和资本回退。

截至今年11月28日，三进岭工业缴足资本为3838万4500股或3838万4500股，其中包含257万2500股库存股；而上述联合大股东共持有1966万8200股，或51.24%股权。

透过取消联合大股东的1497万3040股，以及其他股东的3368万9340股，公司将削减其缴足资本，至469万5160令吉。
此外，有关库存股也会同步取消。

完成削资后，联合大股东将持有三进岭工业的所有股权，即469万5160股，而资本回退总额为现金3368万9340令吉，相等于每股1.80令吉。

上述联合大股东将没有资本回退的享有权。

当削资与资本回退完成后，三进岭工业将除牌。

为了配合这项宣布，三进岭工业在今天暂停交易，最后作价为1.58令吉，该股将在明天（27日）早上9时正恢复交易。

独立顾问：比估值低 三进岭献购价不公平但合理

（吉隆坡26日讯）独立顾问———艾芬投资银行表示，三进岭工业（Suncrn，7358，主板工业产品股）选择性资本回退（SCR）计划的献购价不公平，但合理。

艾芬投行表示，三进岭工业大股东给予每股1.80令吉的献购价不公平，因为这比贴现现金流（DCF）估价方法计算出来的每股1.91及2.17令吉估价，分别低了5.76%和17.05%。

艾芬投行在给予股东的通告中表示：“我们认为贴现现金流的估价方式，最合适用于评估三进岭工业的业务，及判定整个股权利益的合理价格，因为这是以未来财政预测作为考量，而非过去业绩表现。”

建议股东接受

此外，相比于已完成的选择性资本回退计划，其献购价的涨幅也比5天、1个月及3个月的交易量加权平均涨幅（VWAP）还低。

不过，由于该股的成交量和流通量少，将限制股东在公开市场买卖股票的能力，所以，艾芬投行视这项献购价是合理的。

“从2011年12月至今，三进岭工业的股价不曾触及和冲破献购价。”

由于公司的股价将受到充满挑战的汽车领域前景，以及营运和业务风险等不稳定因素，所以无法确保股价未来会超越献购价，抑或保持在目前的水平。

因此，艾芬投行建议股东通过这项议案。

过去1年，三进岭工业的股价在1.27至1.74令吉之间游走。今日，该股报价1.74令吉。

三进岭工业将在5月17日召开股东特别大会，寻求股东通过这项议案。

三進嶺特大通過除牌‧續守大馬業務

（吉隆坡17日訊）三進嶺工業（SUNCRN,7358,主板工業產品組）預見汽車零件領域前路充滿挑戰，不過私有化後依然持續留守大馬，就近掌控泰國、印尼及印度業務。

該公司週五舉行股東特大，已獲股東通過選擇性資本削減及每股1令吉80仙資本回退活動，隨後將從馬股除牌。

該公司執行主席平石正人在會後接受訪問時發言，指未來汽車零件領域將面對潛在風險及未知的挑戰，包括天災、競爭、成本高漲及賺幅被壓縮等高風險問題，鑒於無法保證海內外業務可穩定獲利及股票交易量稀薄而選擇除牌。

市場開放
壓縮汽車零件賺幅

他指出，日本地震及泰國水災導致公司淨利下跌，無法預知未來這些狀況是否再度發生，加上大馬汽車領域潛在變化因素，預見未來汽車市場趨向開放，將吸引更多海外汽車業者加入市場，導致國產車售價下跌，壓縮汽車零件的賺幅。

目前，該公司供應約60%的國產車零件，主要業務貢獻來自汽車工業。

他表示，國家汽車政策（NAP）讓國產車備感壓力，希望政府可逐步實行開放政策。

“預見市場限制將侷限未來大馬汽車市場增長幅度，表現可能不及人口龐大的泰國及印尼。＂

不過，他表示除牌後將維持大馬業務正常運作，並進行拓展計劃，暫無重新上市馬股或在其它國家上市的打算。

對於上市17年後選擇從馬股除牌，他感到落寞，因大馬是其首個海外拓展地點，也是最理想的投資國度，未來將持續從大馬拓展汽車零件業務至其它國家。

至於股價被市場低估一事，他認為不只是大馬的汽車零件股被低估，整體區域市場也面對同樣問題，並認為公司在上市期間，已盡力回饋股東，不過股價表現仍低於自己設定的目標。

首季淨利跌27%

三進嶺過後發文告指出，截至2013年3月31日止第一季，淨利比去年同期下跌26.63%至65萬3千令吉，營業額則稍微走揚4.96%至4千873萬4千令吉。（星洲日報／財經）

該公司發文告說，在7月4日享有日當天被記錄戶存名冊內的股東，將可享有每股1令吉80仙的資本回退額，有關資本回退計劃料在享有日後10天內進行，隨後三進嶺將從馬股除牌。（星洲網）

Remarks :

The SCR entails a selective capital reduction and repayment exercise under Section 64 of the Act, which will result in the reduction of the issued and paid-up share capital of Sunchirin to RM4,695,160 comprising 4,695,160 ordinary shares of RM1.00 each in Sunchirin (“Sunchirin Shares”) by way of cancelling a total of 33,689,340 Sunchirin Shares comprising 18,716,300 Sunchirin Shares held by the shareholders of Sunchirin, other than Nichirin Co., Ltd., Sunrise Industry Co., Ltd. Sunrise Asia Management Pte. Ltd. and Masahito Hiraishi (collectively, the “Non-Entitled Shareholders”) (“Other Shareholders”) and 14,973,040 Sunchirin Shares held by the Non-Entitled Shareholders. Under the SCR, all the Other Shareholders, whose names appear in the Record of Depositors of Sunchirin as at 5.00 p.m. on Thursday, 4 July 2013 (“Entitlement Date”) (“Entitled Shareholders”) shall be entitled to receive a cash repayment of RM1.80 for each existing Sunchirin Share held. The capital repayment is expected to be made within ten (10) days from the Entitlement Date. Sunchirin will be delisted and withdrawn from the Official List of Bursa Malaysia Securities Berhad (“Bursa Securities”) within one (1) month upon successful completion of the SCR. The trading of Sunchirin Shares on the Main Market of Bursa Securities will be suspended with effect from 9.00 a.m. on Friday, 28 June 2013, being three (3) clear market days prior to the Entitlement Date. Accordingly, the last day of trading for Sunchirin Shares on the Main Market of Bursa Securities prior to the suspension shall be 5.00 p.m. on Thursday, 27 June 2013. The Sunchirin Shares will no longer be traded on the Official List of Bursa Securities after the trading of Sunchirin Shares is suspended on Friday, 28 June 2013.
