Tenancy Agreement Between Seal Management Sdn Bhd and CIMB Islamic Trustee Berhad
The Board of Directors of Seal Incorporated Berhad (“the Company”) wishes to announce that a wholly-owned subsidiary of the Company, Seal Management Sdn Bhd (formerly known as Gem Board Sendirian Berhad) (“SMSB”) had on 19 October 2017 entered into a Tenancy Agreement with CIMB Islamic Trustee Berhad (as Trustee for and on behalf of AmanahRaya REIT) (“CIMB”) for tenancy of Selayang Mall Shopping Centre held under H.S. (M) 7114, Lot P.T. 12299 (38451), Mukim Batu, District of Gombak, State of Selangor for a term of three (3) years with an option to renew for a further two (2) terms of three (3) years, each subject to the rental rates at prevailing market rate mutually agreed upon by both parties.

Efftect of the Tenancy Agreement ("TA")  

a. Share Capital and Substantial Shareholders’ Shareholdings

The TA will not have any effect on the issued and paid-up share capital and the substantial shareholders’ shareholdings of the Company as it does not involve any issuance of new ordinary shares or other securities convertible into ordinary shares in the Company.

b. Net Assets (“NA”), Gearing and Earnings

The TA is not expected to have any material effect on the NA, gearing and earnings of the Company and its subsidiaries (“SEAL Group”) for the financial year ending 30 June 2018.

Approvals Required

The TA is not subject to the approval of the Company’s shareholders and the relevant governmental authorities.

Interests of Directors, Major Shareholders and/or Persons Connected With Them

None of the Directors and/or major shareholders of the Company and/or persons connected with them have any interest, direct or indirect, in the TA.
Directors’ Statement

The Board of Directors of the Company, having considered all aspects of the TA, is of the opinion that the TA is in the best interest of the SEAL Group.

东南亚木材3000万卖资产

2017年12月29日
(吉隆坡28日讯)东南亚木材(SEAL,4286,主板工业产品股)以3000万令吉,脱售位于吉打州的土地资产。

该公司向交易所报备,独资子公司Seal城市与Tristar Bay私人有限公司达成买卖协议,脱售在吉打瓜拉姆达(Kuala Muda),总面积达35.55公顷的地皮,脱售价为3000万令吉或每公顷84万3881令吉。

东南亚木材在2013年4月,以1402万4237令吉购入上述资产,因此,扣除当中的成本和其他费用,本次脱售能带来约1300万令吉的净利。

这项脱售旨在为上述土地投资套现,所获得的资金将作为为未来购地活动和东南亚木材营运资本。【e南洋】
