On 26 August 2013, the Company announced that NCB is not able to submit the Group’s unaudited consolidated second quarterly result for the period ended 30 June 2013 (“Q2 Results”) due to the same reason stated above. Due to the failure in submitting Q2 Results within the stipulated timeframe, the trading of the Company’s shares was suspended with effect from 9 September 2013.
The Company had sought legal advice on the matter. Development on the legal matters pertaining to the non-submission of the quarterly results can be viewed via Company’s announcements dated 1 October 2013 and 31 October 2013.
The Company will announce the status update pertaining to the above and submit the Q2 and Q3 Results the soonest possible once they are finalised. |

子公司未呈管理賬目‧納嘉米治財報續“難產”

（吉隆坡30日訊）納嘉米治（NAKA，7002，主板工業產品組）因旗下51%子公司Tamabina私人有限公司尚未提呈管理賬目，而繼續無法發佈第二和第三季業績報告。
該公司發文告說，為解決有關事件，公司已向Tamabina展開法律行動，強迫Tamabina呈交管理賬目，而高等法庭也已經下達對公司有利的指令，惟Tamabina依然故意拒絕達成有關指令。
此外，納嘉米治也就此事可能導致公司牴觸2007年資本市場與服務法令，向當局做出投訴，同時強調將繼續找尋任何可協助公司符合上市要求的可能性。（星洲日報／財經）

TSB and its directors applied to the Court of Appeal to stay the Order but this application was dismissed on 2 December 2013. TSB and its directors then applied to the High Court through their Notice of Application to stay the Order (“Enclosure 76”). As TSB and its directors have not complied with The Order, NCB applied to the High Court for an order of committal against TSB, Lo Man Heng and Lai Yun Fung (“Enclosure 83”).
The High Court heard Enclosure 83 on 28 January 2014. After hearing arguments, the High Court fixed Enclosure 83 for decision on 5 February 2014. Enclosure 76 was not heard.
2. Lodged a complaint with the relevant authority on 20 August 2013. The complaint is premised on the fact that TSB and the respective parties may have breached some provisions in the Capital Market and Services Act (CMSA) 2007 for causing TSB’s refusal of handing over the management accounts to NCB.

高挺撤销羁押令申请 仲道电子续停牌

（吉隆坡12日讯）随着高庭撤销对两名董事的羁押令申请后，仲道电子（NAKA，7002，主板工业产品股）短期内料复牌无望。
该股自去年9月份，因财报逾期未交加上后续官司发展，遭勒令停牌至今。
仲道电子日前向大马证券交易所报备，公司将入禀上诉庭，但法律审讯仍需要一段时间，期间该股将继续停牌。
无法呈交财报
至去年12月底，仲道电子因子公司Tamabina私人有限公司未呈交管理账目，使得公司无法提交截至2013年6月30日第二季，以及截至9月30日的第三季财报，因而违反上市条例。
该公司在去年11月8日，入禀莎亚南高庭要求持股51%的Tamabina呈交管理账目，惟后者拒绝服从庭令。
在屡次催促无效后，仲道电子遂向高庭提出申请，向公司前总执行长卢文兴和妻子赖云凤（皆译音）发出羁押令，不过，该申请却遭高庭驳回。
在去年，仲道电子大股东吴庆标与妻子司徒珍，计划罢黜卢文兴和赖云凤在Tamabina的董事职位，后者透过法庭禁令禁止罢免行动，但吴庆标在7月时，依然透过股东特大，罢黜卢文兴总执行长职务。
仲道电子在2007年12月中，以3000万令吉购入Tamabina的51%股权，卖家为卢淑芬（译音）和赖云凤，当时以股票证书担保未来3个财年每年1200万令吉的净利贡献。
但据了解，Tamabina只在首个财年达到上述条件，卢文兴过后确认有关股票证书不翼而飞，司徒珍在去年5月间针对此事报警。【南洋网财经】

（吉隆坡1日讯）仲道电子（NAKA，7002，主板工业产品股）向马交所报备，无法如期公布过去3季的业绩报告。
根据文告，由于持有51%的子公司———Tamabina私人有限公司尚未上呈账目，因此，仲道电子也无法总结过去3季的业绩报告。
“董事部将会继续向Tamabina跟进，也会采取必要的行动。”

仲道 電子 拖欠3季度財報 申請延長提呈期限

（吉隆坡5日訊）仲道電子（NAKA，7002，主要板工業）向馬證交所延長財報提呈期限至4月中，若不獲馬交所批准，該公司恐遭除牌。
仲道電子今日向馬證交所申請延長財報提呈期限至4月中，該公司目前尚拖欠馬交所三個季度的財報，包括上財年次季、第3季和末季財報。
隨著2月份的結束，上市公司截至去年12月底財報提呈期限已截止，尚未繳交上財年次季和第3季財報的仲道電子，如今再拖欠第3份財報。
馬證交所早前已發出書面通知書，要求仲道電子提出馬交所不應將該公司除牌的原因，否則該公司在接獲馬交所的除牌通知書的7天后，將從上市公司名單中除牌。

Pursuant to Paragraph 9.28(6) of the Bursa Securities Listing Requirements, if NCB fails to issue the AR within 6 months from the expiry of the Timeframe, in addition to any enforcement action that Bursa Securities may take, de-listing procedures shall be commenced against NCB. The Company wishes to stress that it will continue to explore all possible approaches and take the necessary actions to ensure compliance with the Main Market Listing Requirements.

（吉隆坡16日讯）仲道电子（NAKA，7002，主板工业产品股）接获马交所通知，要求在9月21日前呈交所有逾期财报。
根据文告，仲道电子需在上诉庭裁决公司相关诉讼案后的两个月内，即9月21日，呈交所有未公布的财报。
若公司依然无法在限期前提交相关财报，马交所或要求仲道电子除牌。

冀重组脱离暂停交易 传仲道寻白武士倒置收购

（吉隆坡17日讯）消息称，仲道电子（NAKA，7002，主板工业产品股）正寻求白武士进行倒置收购（RTO），以重组公司，脱离暂停交易的行列。
《The Edge》财经日报引述消息报道指出，大股东正就潜在的倒置收购与数方进行洽谈，不过，未有任何定案。
需先分割债务消息人士补充：“若要重组，仲道电子首先需将债务分割开来。”
他认为，每一方都可从倒置收购中受惠，否则该股股价并不可能那么值钱。
《南洋商报》就倒置收购的传言，致电大股东司徒珍求证，惟后者表示在会议中，未能给予答复。
仲道电子自2010财年起开始蒙亏，短期和长期债务达43万2000令吉，累计亏损高企于6825万令吉。
仲道电子在2007年12月，以3000万令吉购入Tamabina的51%股权。
当时，该公司是以股票证书担保未来3个财年每年1200万令吉的净利贡献。
但Tamabina只在首个财年达到上述条件，前总执行长卢文兴随后确认有关股票证书不翼而飞。
司徒珍在去年5月间针对此事报警。
司徒珍和同为大股东的丈夫吴庆标，更在去年股东大会前，提案罢黜卢文兴。不过，却遭卢文兴“反将一局”，通过申请法庭禁令阻止罢免动议。
最后，两人成功在特大罢黜卢文兴总执行长一职。
该股在去年9月开始暂停交易。迄今，该公司2013财年次季至今仍无法交出业绩财报，因Tamabina无法提交财报给仲道电子。

倒置收購重組‧納嘉米治仍在覓白武士

（吉隆坡17日訊）去年9月暫停交易的納嘉米治（NAKA,7002,主板工業產品組）強調，仍在尋找白武士，但未否認試圖以倒置收購重組該公司，以恢復交易。
該公司今日發文告說，“仍在尋找”白武士展開重組。
申請展延除牌
“公司將繼續堅決並尋求所有法律程序，以採取必要的行動，確保公司遵守大馬股票交易所的主板上市條例。”
該公司在另一份文告中也說，已經在上週五（12日）提呈申請，要求交易所展延除牌時間。
截至2013年3月31日止，從2010年開始就接連虧損的納嘉米治的長短期貸款為43萬2千令吉，累計虧損達6千825萬令吉。
納嘉米治被停牌起源於其51%子公司Tamabina的董事部無法呈交管理賬戶，導致該公司無法在交易所規定的期限前交上2013年6月30日止第二季業績報告，導致股票暫停交易。
在缺乏Tamabina公司的管理賬戶下，納嘉米治至今仍無法提交2013財政年第二至第四季、2013財政年，以及2014財政年第一至第二季的業績。
交易所8月15日要求該公司在9月21日前呈交所有拖欠的財務報表，如果無法屢行這條件，股票將會除牌。（星洲日報／財經）

仲道电子准迟交财报

（吉隆坡26日讯）仲道电子（NAKA，7002，主板工业产品股）获大马交易所批准，将呈交财报期限延长两个月。
仲道电子已逾期超过6个月未上呈财报，主要因为子公司Tamabina无法交出相关账目、资讯及文件。
马交所表示，通过评估后，决定批准仲道电子延长两个月期限，以在Tamabina私人有限公司提供所有相关账目、资讯及文件后，整合及呈上财报。
仲道电子9月18日证实，正寻求白武士重组公司，并申请延长除牌期限。
同时，承诺将用尽所有途径，采取必要行动进行重组。
由于逾期未提呈财报，该股去年9月9日起，已遭马交所勒令停牌至今。【南洋网财经】

無法提呈財報‧納嘉米治遭公開譴責

（吉隆坡8日訊）納嘉米治（NAKA,7002,主板工業產品組）和前執行董事羅文軒（譯音）因無法提呈2013年第二季至第四季，以及全年稽查財報，而遭大馬股票交易所公開譴責，而後者更遭開罰143萬2千令吉。
前執行董事罰143萬
交易所發文告指出，納嘉米治因51%子公司Tamabina未能提供管理賬目，無力呈交截至2013年6月30日、9月30日和12月31日止第二至第四季，以及稽查全年財報，而羅文軒未能履行董事職務，確保公司能如期準備和公佈財報，牴觸主要交易板上市公司條例16.13（a），因此以財報每延遲1天課徵2千令吉罰金。
目前，納嘉米治仍未提交相關財報，因此截至今年10月8日止，羅文軒需繳交143萬2千令吉罰款。
交易所認為，相關違法行為嚴重，因上市公司按時提呈財報是確保公平和有序市場最重要的事項。
受到相關問題影響，納嘉米股票已從去年9月開始暫停交易，而公司也起訴Tamabina和兩位公司管理人，希望能解決相關問題。（星洲日報／財經）

LISTING'S CIRCULAR NO. L/Q : 71620 OF 2014Bursa Malaysia Securities Berhad (635998-W) (Bursa Malaysia Securities) has publicly reprimanded Nakamichi Corporation Berhad (NAKA or the Company) and its former executive director, Lo Man Heng for breaches of the Bursa Malaysia Securities Main Market Listing Requirements (Main LR). In addition, Lo Man Heng was fined a total of RM1,432,000 as at 8 October 2014.
NAKA was publicly reprimanded for failing to announce the following financial statements within the stipulated timeframes, in contravention of paragraphs 9.22(1) and 9.23(2) of the Main LR:-

Lo Man Heng, the former executive director of NAKA was found to have breached paragraph 16.13(a) of the Main LR for causing NAKA’s failure to announce the 2nd QR 2013, 3rd QR 2013, 4th QR 2013 and AAA 2013 within the stipulated timeframes resulting in the breaches of paragraphs 9.22(1) and 9.23(2) of the Main LR. A public reprimand and fine of RM2,000 per market day for each delay of the financial statements(subject to a maximum fine of RM500,000 for each financial statement) until the relevant accounts, information / documents of the subsidiary, Tamabina Sdn. Bhd. (Tamabina) was furnished to NAKA to enable preparation and finalisation of the 2nd QR 2013 were imposed on Lo Man Heng. The fines imposed on Lo Man Heng computed as at 8 October 2014 was as follows:-

Bursa Malaysia Securities views the contraventions seriously as the requirement for listed companies to ensure timely submission of financial statements was of paramount importance in ensuring a fair and orderly market of securities traded on Bursa Malaysia Securities.
BACKGROUND
The delay in submission of NAKA’s 2nd QR 2013, 3rd QR 2013, 4th QR 2013 and AAA 2013 was essentially due to the Company’s failure to obtain the management accounts of its 51% owned subsidiary, Tamabina as at 30 June 2013 for consolidation in view of the board / legal tussle with its Chief Executive Officer and director, Lo Man Heng. Lo Man Heng who was removed as a director of NAKA on 29 July 2013 was also a director of Tamabina, NAKA's only operating subsidiary which was contributing to the entire revenue of NAKA Group based on NAKA's latest financial statements for the financial period ended 31 March 2013. The management accounts of Tamabina were necessary towards the preparation and issuance of accurate consolidated financial statements of NAKA Group.
NAKA has an obligation to ensure timely submission of all its financial statements including establishing all the necessary controls and governance to enable it to adhere to its obligations under the Main LR at all material time.
Lo Man Heng has breached paragraph 16.13(a) of the Main LR for causing NAKA’s failure to announce the 2nd QR 2013, 3rd QR 2013, 4th QR 2013 and AAA 2013 within the stipulated timeframes. Lo Man Heng had not only failed to demonstrate efforts as a director of NAKA (prior to his removal on 29 July 2013) to ensure compliance by NAKA of its financial reporting obligations under the Main LR but had in fact showed blatant disregard of his duty as evident from his conduct / actions to frustrate NAKA's efforts to procure the relevant accounts of Tamabina.
The fact that the 2nd QR 2013 was due on 31 August 2013 after the removal of Lo Man Heng as a director of NAKA on 29 July 2013 did not absolve his breach of paragraph 16.13 of the Main LR particularly as his conduct / his failure to discharge his obligation as a director to NAKA was the cause/primary cause/reason for the failure on the part of NAKA to finalise the 2nd QR 2013 which further resulted in NAKA’s inability to prepare and announce the other outstanding financial statements.
The finding of breach and imposition of the above penalties on NAKA and Lo Man Heng were made pursuant to paragraph 16.19 of the Main LR upon completion of due process and after taking into consideration all the facts and circumstances of the matter including the following:-- the aggravating conduct of Lo Man Heng; and
- the materiality / impact of the breach vis-à-vis the material price and volume movement of NAKA’s securities upon the announcement that the Company would not be able to submit its 2nd QR 2013 within the timeframe stipulated and the non-submission of the 2nd QR 2013 had led to the suspension in the trading of NAKA’s securities from 9 September 2013 pursuant to paragraph 9.28(5) of the Main LR.

操控仲道電子交易 經紀吊銷執照遭罰款

（吉隆坡3日訊）大馬交易所（BURSA，1818，主要板金融）公開譴責，黃振豐（音譯）操控仲道電子（NAKA，7002，主要板工業）交易，並發出5萬令吉罰單，及吊銷執照6個月。
馬交所今日發佈文告指出，黃振豐在肯納格投資銀行任職抽佣經紀期間，操控仲道電子的股票交易，已抵觸馬證交所經修改第401.1(3), 404.3(1)(a) & (c) ，以及1302.1(1)(a) & (g) 條例，罰款5萬令吉，當局會視情況而決定是否要吊銷他的執照。
“馬交所是一個高度重視維持公平有序的市場的地方，絕不容忍這種虛假交易、操控活動，以及有損市場誠信的行為與做法。”

（吉隆坡30日讯）迟迟交不出的财报的仲道电子（NAKA，7002，主板工业产品股），触犯上市条例，今日被列为PN17公司。
马交所在文告中指出，截至今日，共有20家上市公司被列为PN17，占上市公司总数的2.21%.自截至2013年6月底的次季后，仲道电子至今都无法如期交出业绩，该公司日前指出，这是因为还未收到持股51%子公司Tamabina公司的账目。
该公司也因此在2013年9月9日被勒令停牌，至今仍尚未解禁。【南洋网财经】
